Especially if you order from the food delivery giant on a daily basis. Paytm's entertainment ticketing business covers movies, sports, and events (live performances). The boards of Zomato and One 97 Communications Ltd (OCL) have approved the all-cash deal. As part of this agreement, OCL's entertainment ticketing business will transfer business to its 100 per cent subsidiaries Orbgen Technologies Pvt Ltd (OTPL) and Wasteland Entertainment Pvt Ltd (WEPL), followed by the sale of 100 per cent stake in these subsidiaries (which operate the TicketNew and Insider platforms) to Zomato. Subsequently, Zomato will spin off the new business into a new app called 'District'. Under the deal, Zomato will fully acquire Orbgen Technologies Pvt Ltd (OTPL), which is into movie ticketing, for Rs 1,264.6 crore and buy Wasteland Entertainment Pvt Ltd, which is into events ticketing for Rs 783.8 crore. The combined entertainment ticketing business has a scale of Rs 297 crore in revenue and Rs 29 crore in adjusted EBITDA in FY24. "The transfer will also include around 280 existing employees from the entertainment ticketing business," OCL said in a statement, adding that the transaction generates significant profits for Paytm and cash proceeds will further strengthen the balance sheet. Announcing the deal, Paytm said it allows the fintech to strengthen its focus on core payments and financial services distribution. Paytm said with its strong focus on long-term value creation, the company remains confident in substituting revenue from its entertainment ticketing business by expanding core business areas of payments and financial service distribution. "This move allows us to continue focusing on long-term growth in our core areas and value creation for all stakeholders," a Paytm spokesperson said. On the other hand, Zomato Managing Director and CEO <keyword id="19901325" type="General" weightage="20" keywordseo="deepinder-goyal" source="keywords">Deepinder Goyal</keyword> in a letter to shareholders said, "The proposed acquisition helps us add more scale and offer newer use-cases (like movie and sports ticketing) to our customers in this segment". Zomato believes the deal makes it more relevant to its customers and gives an opportunity to spin off the business into a new app. "We are going to call it District, which could be a game changer for each of these use cases given the need for a single brand as a destination in this segment," Goyal added. Zomato is keen to position 'District' as the brand that consumers turn to when they are thinking of going out, he added. OTPL was incorporated on November 23, 2007, in India. It is in the business of listing and sale of movie tickets and other services. It had a turnover of Rs 13.14 crore in the fiscal ended March 31, 2024. WEPL was incorporated on December 21, 2015. It is in the business of listing and sale of event tickets and other services. Its turnover in the FY24 was Rs 236.03 crore. Paytm said the move to sell its entertainment ticketing business underscores its core focus on payments and financial services distribution. "In recent quarters, the company has also expanded its offerings in insurance, equity broking, and wealth distribution, with a significant opportunity to cross-sell these services and grow its market presence as a leading financial services distribution player," Paytm said. During a transition period (up to 12 months), the movie and event tickets will continue to be available on the Paytm app, as well as on the TicketNew and Insider platforms, ensuring a smooth and uninterrupted experience for users and merchant partners. Paytm said the deal underscores its success in building businesses and creating value for shareholders. Zomato's Goyal said the District app is expected to be launched anytime in the next few weeks. Post this acquisition, he said Zomato's going-out business would be spread across multiple different platforms. Its existing going-out business (dining-out + event ticketing) would continue to run on the Zomato app, and the acquired business -- movie, sports and event ticketing -- would continue to run on Paytm's main app for a transition period of up to 12 months, along with Insider and TicketNew apps. Both of these would get transferred to Zomato as part of the transaction. District app will duplicate the offerings above and over time, we will gradually nudge our customers to move from the Zomato, Paytm, Insider, and TicketNew apps to the District app. "Once most customers start transacting on the District app, we will remove the duplication and shut down this business on all the other apps. On August 21, the Deepinder Goyal-led company entered into definitive agreements for the acquisition of Paytm's entertainment arms. In its stock exchange filing on August 21, Noida-based Paytm had also confirmed the development. The deal, valued at Rs 2,048 crores on a cash-free, debt-free basis, stands "as a testament to the value" Paytm has created through its entertainment ticketing business, bringing choice and convenience to millions of Indians with its services and scale, the company said in a release filed with exchanges. As part of this agreement, OCL will transfer its entertainment ticketing business to Zomato by transferring OCL's entertainment ticketing business to its 100 per cent subsidiaries, Orbgen Technologies Pvt Limited (OTPL) and Wasteland Entertainment Pvt Ltd (WEPL) and selling a 100 per cent stake in its subsidiaries OTPL and WEPL, which operate the TicketNew and Insider platforms, respectively to Zomato. As per the information provided by the fintech, about 280 existing employees from the entertainment ticketing business will be part of Zomato. Paytm had said that the company wants to focus on the payments and financial services distribution segment. During a transition period (up to 12 months), the movie and event tickets will continue to be available on the Paytm app, as well as on the TicketNew and Insider platforms, ensuring a smooth and uninterrupted experience for users and merchant partners. As per Paytm, the company built movie ticketing from the ground up and acquired TicketNew and Insider for a total consideration of Rs 268 crores from 2017 to 2018. This technological shift has redefined the relationship between Indians and their restaurant dining habits. But has it also influenced their <keyword id="19956891" type="General" weightage="20" keywordseo="food-choices" source="keywords">food choices</keyword> and <keyword id="21015159" type="General" weightage="20" keywordseo="spending-patterns" source="keywords">spending patterns</keyword>? A new study from the University of South Florida hints at the possibility, highlighting how <keyword id="22470551" type="General" weightage="20" keywordseo="digital-ordering" source="keywords">digital ordering</keyword> platforms significantly shape <keyword id="20347870" type="General" weightage="20" keywordseo="consumer-behaviour" source="keywords">consumer behaviour</keyword>, often leading to more indulgent food choices and higher spending. The study—co-authored by Dipayan Biswas, the USF Frank Harvey endowed professor of marketing in the Muma College of Business—examines the cognitive effects of ordering from digital screens compared to traditional methods like printed menus. The findings were published in the Journal of the Academy of Marketing Science. “While digital ordering can enhance convenience and efficiency, many consumers will opt for unhealthier food choices and spend more. They reviewed over 23,000 orders from various establishments, ranging from independent restaurants to a major global dining chain with 1,000 locations across 23 countries. Food items were categorised as unhealthy, neutral or healthy. Unhealthy items were defined by portion size and type, such as fried foods and desserts, while vegetables and fish were considered healthy. Neutral items included most soups, large salads and steaks under six ounces. It also revealed that digital menus have a stronger impact on dinner choices, as consumers are more likely to be tired and reliant on technology later in the day. Consequently, digital ordering has less influence during breakfast and lunch. “Digital ordering modes foster a more automatic decision-making process with lower cognitive involvement. This is because digital tools encourage people to rely less on their cognitive resources and more on automated processes,” Biswas explained. This phenomenon, known as the ‘Google Effect’, implies that the availability of digital tools alters how people store and retrieve information, and even put in less cognitive effort overall. This is evident in tasks such as storing contact numbers instead of remembering them or navigating using GPS. According to the company's '2022 App Store Transparency Report', the Pakistan government requested to take down 10 apps while Russia asked to remove seven apps for violating various laws of the land. There were a total 18,412 appeals of app removals from various agencies worldwide (again led by China at 5,484), including 709 from India. Apple restored 24 apps in India after appeals of app removals last year. As of 2022, Apple had 1,783,232 apps in total on the App Store, according to the report. The tech giant reviewed 6,101,913 app submissions and rejected 1,679,694 last year for violating App Store policies. App submissions approved after rejection were 253,466 and total apps finally removed from the App Store were 186,195 in 2022. It was the first report published as part of the company's $100 million settlement with App Store developers in 2021. Category-wise, games (38,883), utilities (20,045) and business (16,997) topped the list of removed apps. Total number of registered Apple developers on the App Store was 36,974,015 while Apple terminated 428,487 developer accounts for violating its policies in 2022. Both online <keyword id="6376068" type="General" weightage="20" keywordseo="Food-Delivery" source="Orion">food delivery</keyword> platforms charge some money from customers in the name of delivery fees. There is often a dispute between tax officers and food delivery apps regarding the delivery fee, which involves nearly Rs 1000 crore, according to the reports. When reached for a comment, <keyword id="830092" type="General" weightage="20" keywordseo="Zomato" source="Orion">Zomato</keyword> refused. <keyword id="6358977" type="General" weightage="20" keywordseo="Swiggy" source="Orion">Swiggy</keyword> did not comment either. As per Zomato and Swiggy, 'delivery charge' is nothing but the cost borne by the delivery partners who go to deliver food from door to door. Companies simply collect that cost from customers and pass it on to delivery partners. But, tax officials do not agree with this, as per the reports. Last month, Swiggy increased the platform fee from Rs 2 to Rs 3 for food orders. A Swiggy spokesperson told IANS, that "there has been no significant change on platform fee, which is applied by most service players and is a common practice across industries". In April, the company introduced a platform fee of Rs 2 per order, irrespective of the cart value. In August, Zomato also increased its platform fee to Rs 3 per order from an initial Rs 2. Zomato started charging the platform fee from Zomato Gold users, who were previously exempted.

At the height of the pandemic, instead of outsourcing the Taj Hotel Group’s delivery services to existing platforms, the Tata Group launched its own in-house platform in Qmin. In the last two years, Qmin has generated revenues to the tune of ₹100 crore. This year alone, it hopes to clock in revenues to the tune of ₹80 crore. “We are possibly the only food delivery platform that has been profitable from day one because we have found the right balance of using our existing resources,” Jehangir Press, associate VP, strategic accounts management group and commercial director, Qmin at IHCL, told Business Insider India. The 90-minute delivery service Zomato and its rival Swiggy together hold <a href="https://theprint.in/theprint-essential/are-zomato-swiggy-helping-restaurant-business-or-hurting-it-why-cci-has-ordered-a-probe/905581/">90-95%</a> market share in India’s food delivery business, but also burning cash. In the quarter ending March 2022, Zomato posted a <a href="https://www.businessinsider.in/stock-market/news/zomato-posted-a-1222-crore-loss-but-its-stock-gained-18-reasons-behind-the-surge/articleshow/91766080.cms">net loss</a> of ₹1,222 crore, which widened by ₹400 crore since last year. With Qmin, the Tata Group could move away from having to depend on the likes of Zomato or Swiggy for deliveries. Qmin also gave the group complete control over the entire value chain from food preparation to delivery. “We have 100% control – over the value chain and with that, you are in control of the safety, hygiene, and health of everything that you're sending out. Also, we obviously cannot compromise on hygiene and safety. We took a call and even though it costs us substantially more, we went with the complete ecosystem,” said Press. Unlike its competitors that have been focusing on chopping their delivery time from 30 minutes to 10 minutes, Qmin says it has prioritized safety, security, hygiene, sustainability and delivering a luxurious experience. Qmin takes up to 90 minutes to deliver its orders. Our truck business will also grow, (but) not at the same pace. The shops are where we see the major growth,” said Press. Qmin is also looking at expanding its presence across borders, starting with the UK, US and UAE markets. While delivery and retail shops contribute almost equally to Qmin’s overall sales, Press is confident that retail shops will contribute a lion’s share of the revenue in the near future.
