The report further added that UPL paid crores in rent for properties owned by the shell company, previously owned by UPL chief executive officer Jaidev Shroff. The report states that the whistleblower is a board member and has provided documents to corroborate their claims. It further notes that shell companies were used to carry out other illegal transactions. In a clarification issued to <a href="https://twitter.com/CNBCTV18News/status/1336892930334707712">CNBC-TV18</a>, Shroff said that “the report is completely malicious”. “Auditors had reviewed transactions between companies that had rented my residence. Rental agreement is cancelled, the house is no longer rented to UPL,” he added. Shroff also clarified that the company or its auditors had not received any fresh complaint. Its global auditor KPMG has not resigned yet, he said. Shares of UPL, India’s largest pesticide company, plunge by 13% after whistleblower alleges promoter fraud

New Delhi, The Competition Commission of India has slapped penalties totalling Rs 55 lakh on Abu Dhabi Investment Authority (ADIA) and <keyword id="6367884" type="General" weightage="100" keywordseo="tpg" source="Orion">TPG</keyword> Group for making false declarations before the regulator while availing the green channel facility in a deal related to the acquisition of a stake in <keyword id="333824" type="General" weightage="80" keywordseo="upl" source="Orion">UPL</keyword> Sustainable Agri Solutions Ltd (<keyword id="15838761" type="General" weightage="80" keywordseo="upl-sas" source="Orion">UPL SAS</keyword>). The acquirers, ADIA and TPG Group, shall pay the penalty jointly and severally, the <keyword id="47183" type="General" weightage="80" keywordseo="cci" source="Orion">CCI</keyword> order said. The transaction pertains to the combination comprising the acquisition of a stake in UPL SAS by Platinum Trust and TPG Upswing through the Upswing Trust, the CCI said in the order. Abu Dhabi Investment Authority is the sole beneficiary and settlor of the Platinum Trust, while TPG Upswing is a part of the TPG Group. In December 2022, the Competition Commission of India (CCI) received a notice jointly given by Platinum Trust, acting through Platinum Trustee, and TPG Upswing in relation to the combination. The regulator noted that the <keyword id="18511918" type="General" weightage="80" keywordseo="upl-sas-acquisition" source="Orion">UPL SAS acquisition</keyword> has been consummated on or before February 17 2023, as the notifying parties (ADIA and TPG) gave the notice under the facility of green channel approval. Under the green channel route, the parties to the combination can avail the benefit of the facility only if their respective group entities and/or any entity in which they, directly or indirectly, hold shares and/or control neither exhibit horizontal overlap nor vertical interface nor complementarity, the watchdog said. Thereafter, CCI issued a show cause notice in May and observed that Upswing Trust holds a 22.2 per cent stake in UPL Corporation Ltd (UPLC) which is engaged in the business of formulated crop protection products (FCPPs). Further, the regulator also observed that Arysta India, a subsidiary of UPLC, is also engaged in the business of manufacturing and distribution of formulated crop protection products, similar to SWAL (wholly-owned subsidiary of UPL) and UPL SAS. CCI noted that the activities of Arysta India, UPL SAS and SWAL exhibit overlaps. Also, Arysta India is an indirect subsidiary of the portfolio company of the Upswing Trust. Thus, the activities of the Upswing Trust through UPLC and Arysta India appeared to exhibit overlaps with the activities of target business and thereby, CCI found that the UPL SAS acquisition does not satisfy the conditions prescribed under the norms, the regulator said. Therefore, the UPL SAS acquisition is not eligible for the benefit of green channel approval facility and the green channel declaration was incorrect and false in material particulars. Further, the notifying parties made statements in the notice, including notice declaration which are false in material particulars. In its 15-page order, the regulator also found that the combination does not fall under the rules and the declaration filed is incorrect, the notice given and the approval granted under the rules shall be void ab initio. Accordingly, the notice and deemed approval, under the rules, for UPL SAS acquisition is found to be void ab initio, CCI said. As the UPL SAS acquisition has already been consummated, the acquirers are liable for penalty under Section 43A of the Act, it added. In addition, the regulator also noted that UPL SAS Acquisition is not likely to have any appreciable adverse effect on competition in India, and therefore, the commission hereby approves the UPL SAS Acquisition under Section 31(1) of the Act.

CCI slaps ₹55 lakh penalty on ADIA, TPG Group

Agriculture solutions provider <keyword id="333824" type="General" weightage="100" keywordseo="upl" source="Orion">UPL</keyword> on Monday reported 42.56 per cent decline in consolidated net profit at Rs 792 crore for March quarter 2022-23. The company's net profit stood at Rs 1,379 crore in the year-ago period, UPL said in a regulatory filing. Revenue grew 4.46 per cent to Rs 16,569 crore as compared with Rs 15,861 crore in the year-ago period. "We delivered a resilient set of results for FY23 despite facing significant headwinds in the final quarter...We reduced our gross debt by over USD 600 million and net debt by USD 440 million driven by improved cash flow from operations and a leaner working capital cycle," UPL Chairman and Group CEO <keyword id="3338625" type="General" weightage="50" keywordseo="jai-shroff" source="Orion">Jai Shroff</keyword> said. He said, in line with the company's priority of creating shareholder value, UPL created distinct pure play platforms during the year to bring in enhanced focus and operational freedom to pursue independent growth strategies thereby unleashing the growth potential of each of UPL's distinct platforms. UPL Q4 net profit falls 43% to ₹792 crore

New Delhi, <keyword id="18215287" type="General" weightage="20" keywordseo="Agro-chemical-firm-UPL" source="Orion">Agro-chemical firm UPL</keyword> on Monday reported 81 per cent decline in consolidated net profit to Rs 166 crore for the first quarter of this fiscal year on lower income. Its net profit stood at Rs 877 crore in the year-ago period. Revenue from operations also dipped 17 per cent to Rs 8,963 crore in April-June 2023-24 from Rs 10,821 crore in the same period a year ago, according to a regulatory filing. Mike Frank, CEO - UPL Corporation Ltd, said, "The global agrochemical industry has been going through a challenging phase over the last two quarters as distributors prioritized destocking and focused on tactical purchases amid high channel inventories." Additionally, he said, the market is witnessing pricing pressure due to higher base effect and aggressive price competition. "Given this backdrop, our revenue and profitability were also impacted by these headwinds in line with the rest of the industry," Frank said. India revenue fell marginally by 1 per cent to Rs 2,054 crore in April-June from Rs 2,067 crore in the same period last year. Revenue from Latin America fell 14 per cent to Rs 2,965 crore in the first quarter of this fiscal from Rs 3,464 crore in the year-ago period. In Europe, revenue fell 27 per cent to Rs 1,259 crore from Rs 1,728 crore. Revenue in North America declined 52 per cent to Rs 870 crore from Rs 1,796 crore. However, the turnover from the rest of the world rose 3 per cent to Rs 1,814 crore in April-June 2023-24 from Rs 1,765 crore in the year-ago period. UPL is one of the largest agriculture solutions companies worldwide. Its portfolio consists of biologicals and traditional crop protection solutions with more than 14,000 registrations. The company is present in 138 countries.

Agro-chemical firm UPL Q1 2023-24 profit down 81% to Rs 166 cr

New Delhi, Feb 22 () Agro-chemical firm UPL Ltd on Saturday said its Mauritian subsidiary has raised USD 400 million (around Rs 2,840 crore) by issuing bonds, and the amount will be used to retire existing debt."UPL Corporation Ltd, Mauritius, the subsidiary of the company, successfully completed issuance of USD denominated perpetual subordinated capital securities (bonds) of USD 400 million at interest coupon rate of 5.25 per cent per annum," the company said in a regulatory filing.The proceeds would be used to repay the existing debt of UPL Corporation, it added.UPL is engaged in research, manufacturing, marketing, sales and distribution of agrochemicals and speciality chemicals across the world. New Delhi, Apr 3 () Agrochemical firm UPL Limited on Friday pledged to contribute Rs 75 crore to PM-CARES fund in assisting the government to fight against the coronavirus pandemic which has claimed the lives of over 50 people and infected more than 2,300 others.The Mumbai-based agricultural solutions company has also kept on standby the premises of its educational institutions such as Gyan Dham School and Sandra Shroff Rofel College of Nursing, both at Vapi in Gujarat, with necessary arrangements to operate as quarantine centres as and when required, it said.It is also continuously providing large numbers of Personal Protective Equipment (PPE) to frontline healthcare and sanitisation workers who are fighting the battle against the novel coronavirus, the company said in a statement.Jai Shroff, the CEO of UPL Limited, said: "These are very challenging times for the entire mankind, and we find ourselves duty-bound to serve the nation and assist with our resources and expertise in this critical fight. COVID-19: UPL pledges Rs 75 cr to PM-CARES Fund

New Delhi, Dec 15 () Agrochemical firm UPL has received the environment clearance from the government for its Rs 353.43 crore pesticide unit expansion project in Bharuch district of Gujarat, according to official documents.
 The environment ministry has given the go-ahead to the company for the proposed expansion project based on the inputs of a green panel, the documents showed.
 The approval has been given with some riders which include that the company should neither produce banned pesticides/chemicals nor use any prohibited raw material for production of pesticides.
 The proposed project is for expansion of the manufacturing capacity of existing products of pesticide technical grade, intermediate products and solid/liquid formulations and also for adding new products.
 The company plans to increase the capacity of pesticide unit from 1,520 tonne per month (TPM) to 4,720 TPM and pesticide-specific intermediate from 1,120 TPM to 2,100 TPM at Ankleshwar in Bharuch district.
 The expansion, which will be in the existing land area of 1.36 lakh square metres, is estimated to cost Rs 353.43 crore, the documents showed.
 The power requirement after the expansion will be met from Dakshin Gujarat Vij Company Ltd (DGVCL).
 At present, UPL has a production capacity of 6,910 TPM. It has 11 manufacturing facilities in Maharashtra, Jammu and West Bengal and marketing network in 133 countries. LUX ANU

Toxicology as a subject is quite neglected in the medical curriculum, Dr Tejas Prajapati, a clinical medical toxicologist at the LG Hospital in Ahmedabad, said at a press conference on Wednesday after a symposium on 'Occupational health hazards in agriculture' held at the All India Institute of Medical Sciences (<keyword id="40458" type="General" weightage="80" keywordseo="aiims" source="Orion">AIIMS</keyword>), Nagpur. Doctors at the PHCs are the first contact in the case of a patient exposed to pesticides and chemicals. They are already loaded with various other medical programmes and works and a case of such a medical emergency is immediately sent to higher centres and the "<keyword id="2284670" type="General" weightage="80" keywordseo="golden-period" source="Orion">golden period</keyword>" is lost, he noted. "The AIIMS along with the <keyword id="333824" type="General" weightage="80" keywordseo="upl" source="Orion">UPL</keyword> Limited (an agriculture solutions and services company) will provide the actual protocol training to <keyword id="6638497" type="General" weightage="100" keywordseo="phc" source="Orion">PHC</keyword> doctors from Vidarbha, Maharashtra and the country about the diagnosis and treatment of farmers exposed to pesticides and chemicals," Dr Prajapati said. He said ultimately, the goal is to save the lives of individuals and hence they were doing this awareness programme. Deputy director of health services, block and district health officers and PHC officers from Nagpur attended a training session here on Wednesday, Dr Prajapati said.
