2022 However, most of these companies, including Freshworks, have lost their spark in the stock market mainly due to market correction, business performance and the ongoing Russia-Ukraine crisis. The disappointing market debut of Life Insurance Corporation, one of the most anticipated IPOs, and its continued underperformance, down 18 percent since its debut in May, has made more companies wary of going ahead with an IPO this year. “Tech IPOs, which saw a frenzy of activity last year, have delivered a disappointing performance for investors. We expect limited movement in IPO markets in the near term as investors try to rebuild conviction on digital stocks,” DC Advisory added. Companies like OYO, ixigo, Droom, Mobikwik, PharmEasy and SnapDeal were planning to go for a public listing this year and have already filed their papers with the Securities and Exchange Board of India (SEBI). As Zomato, Paytm and new-age start-ups struggle at bourses, their unlisted peers stare at funding winter

But there are also ways to invest in unlisted companies, which are growing at a pace and could give attractive returns. Unlike the listed ones, shares of unlisted companies are not available for trading on any stock exchanges. So those who want to invest in those companies can do so through other platforms. Here are some ways for retail investors to invest in unlisted space: Pre-IPO investment Pre-IPO (initial public offering) trading means buying/selling the shares of a company before it gets listed on the stock exchanges. Since these shares are not traded in the public market, you do not have a marketplace like stock exchange to buy it. Unlisted shares can be bought through intermediaries and platforms who specialise in sourcing and placement of unlisted shares and can facilitate the trade. Intermediaries and platforms buy shares from employees i.e., employee stock options (ESOP), existing investors and offers new investors who are keen to invest. In the last few years, the pre-IPO market has opened up and is now available to the masses. Some investment firms like Analah Capital, TradeUnlisted and Unlistedkart have portals to help investors buy unlisted shares. Shares of these unlisted companies will be held in a demat account. According to Unlistedkart, depending on the unlisted share, the minimum amount can be between ₹ 25,000–₹ 50,000. Other investment platforms have not mentioned a threshold of minimum investment. As per India’s market regulator’s rules, all pre-IPO shares are locked in for six months from the date of listing. It means you cannot sell stocks before six months from the date of listing. In case of unlisted securities, if the stock is sold within 24 months, it’s considered short term. The gains are added to the income of the person and taxed at a tax slab rate applicable to you. And if sold after 24 months, it is taxed as long term capital gains at 20% after indexation. However, remember unlisted shares are illiquid and volatile, so you may not be able to sell your shares in a hurry. Since the pre-IPO market is mostly dominated by institutional players and the transaction among them is generally slower which makes it difficult to sell shares and get money any time of the day. After an online intelligence firm flagged that a cybercriminal was selling <keyword id="1106616" type="PERSON" weightage="20" keywordseo="TrueCaller">Truecaller</keyword> records of 4.75 crore Indians on dark web for just about Rs 75,000, the Swedish caller identification app on Wednesday denied any breach of its database. "There has been no breach of our database and all our user information is secure. We take the privacy of our users and the integrity of our services extremely seriously and we are continuously monitoring for suspicious activities," a Truecaller spokesperson said in a statement. "We were informed about a similar sale of data in May 2019. What they have here is likely the same dataset as before. It's easy for bad actors to compile multiple phone number databases and put a Truecaller stamp on it. "By doing that, it lends some credibility to the data and makes it easier for them to sell. We urge the public and users not to fall prey to such bad actors whose primary motive is to swindle the people of their money," the spokesperson said. Online intelligence firm Cyble in a blog on Tuesday said that its researchers have "identified a reputable seller, who is selling 47.5 Million Indians Truecaller records for $1000. The data is from 2019." "Looking at the information itself, it has over 47.5 million records, and it includes interesting information such as phone number, carrier, name, gender, city, email, Facebook ID and others," said the blog post. On Wednesday, Cyble updated the blog to say that the same hacker has dropped another 600 million records for sale.

ESOPs work in a certain way and there are a lot of factors which need to fall into place before an employee can make a profit out of them. Therefore, one needs to understand that with start-ups coming under a lot of pressure due to an uncertain economic scenario and a funding crunch, have ESOPs lost their charm? “ ESOPs are often offered to outstanding performers to foster a sense of ownership, and nowadays, start-ups use them as a means to attract and retain top talent. However, it is essential to be aware that some companies might also offer ESOPs to compensate for situations when they cannot offer competitive salaries,’ says Anjali Raghuvanshi, Chief People Officer, Randstad India, a HR consulting firm. What this essentially means is that when taking up a job offer, do note if ESOPs are a part of the salary package as this may come at the cost of foregoing some salary. It is important to understand two major risks associated with ESOPs. Suppose an employee is granted 1,000 ESOP options by a company. The exercise price or strike price of each option is ₹100. This means that the employee can purchase the company's shares at ₹100 per share at a future date, regardless of the market price at that time. Now, let's assume that the market price of the company's shares increases to ₹150 when the employee decides to exercise their ESOP options. To exercise the options, the employee needs to pay the exercise price, which is ₹100 per share. The taxable amount of such perquisite would be the fair market value (FMV) of the shares (computed in accordance with Rule 3(8) of the IT Act) on the date of exercising such option less any amount paid by the employee for such ESOPs,” says Suresh Surana, Founder, RSM India, an audit, tax and consulting firm. In the above example, the employee would need to pay tax on the taxable amount of ₹50,000 at the applicable tax rate. The exact tax amount will depend on the individual's income tax slab rate. <cmsannotation type="cmsannotation" annotationid="A bigger concern" comment="subhead" text="A bigger concern">A bigger concern</cmsannotation> Poor company performance and uncertainty of liquidity events may render ESOPs worthless. “If the company fails to perform well or lacks successful liquidity events, the potential returns on ESOPs may remain unrealised, potentially impacting the value of the effort and time invested over the years, “ says Raghuvanshi. The value of ESOPs is closely tied to the company's performance and growth potential. If the company's value decreases, it can negatively impact the value of your stock options, potentially making it challenging to sell your shares at a profit. Hence, it is important for an employee to evaluate the future prospects and growth of a company before making a decision to exercise the option. When an employee exercises the options, he should have trust in the company's future growth and performance. “The employee should also be aware about the exit possibilities in case of unlisted shares i.e. buyback track record, funding rounds etc,” says Akhil Chandna, Partner, Tax, Grant Thornton Bharat, a professional services firm. When exercising ESOPs, it is thus essential to conduct a thorough assessment of the company's current performance and financial well-being. So if you are joining a company just on the basis of ESOPs and not getting a reasonable salary and the company is in its early stages, then you should also focus on the cash component,” says Singh. If it has reached the Series A or Series B funding stage, then you can consider the value of ESOPs when joining and can consider it an important part of your salary package.

Mumbai, Finance minister <keyword id="129243" type="General" weightage="100" keywordseo="nirmala-sitharaman" source="Orion">Nirmala Sitharaman</keyword> on Friday said Indian companies can now go in for direct listing on foreign exchanges as well as on the <keyword id="6367752" type="General" weightage="50" keywordseo="international-financial-services-centre" source="Orion">International Financial Services Centre</keyword> (IFSC) bourse in Ahmedabad. The nod, which came after three years of announcement as part of the Covid relief package, will enable domestic companies to access foreign funds by listing their shares on various exchanges overseas. A proposal regarding this was first floated as part of the liquidity package announced during the pandemic in May 2020. "A direct listing of securities by domestic companies will now be permissible in foreign jurisdictions. I'm also pleased to announce that the government has taken a decision to enable direct listing of listed and unlisted companies on the IFSC exchange. So, this is a major step forward. This will facilitate access to global capital and better valuation, <keyword id="18177935" type="General" weightage="80" keywordseo="sitharmanan" source="Orion">Sitharmanan</keyword> said here. At the time of listing, profit and free cash flow were not even a part of management’s discussion. However, we see a very visible change in approach of management to deliver profit, evidenced, we believe, by the core EBIDTA profitability that was reported recently,” said Macquarie in a report. Zomato: A promising road to profitability Zomato reported better than expected Q3 FY23 revenues, and analysts believe it may reach profitability by the end of the current financial year. “Depending on execution-related wins, the company (ex of quick commerce) may clock profitability in Q4FY23 itself, two quarters ahead of their guidance,” said analysts at Nuvama Institutional Equities. “Zomato’s road to profitability has grown even more promising. According to the statement shared with the exchanges, finance costs of the company went up to ₹3,240.78 crore from ₹2,444.53 crore. Total expenses of the firm surged 17.10 per cent to ₹17,336.45 crore from ₹14,370.55 crore in the year-ago period. New Delhi, Jan 5 () Unlisted companies might soon be required to submit their financial statements to the government on a quarterly or half-yearly basis, according to an official.
 There are more than 11 lakh unlisted companies that are active in the country and the proposal also assumes significance against the backdrop of instances of financial woes at some large unlisted entities.
 The corporate affairs ministry is looking at introducing provisions in the companies law that would require unlisted firms to furnish financial statements every three months or six months.
 The aim is to have updated financial details about systemically-important companies that are not listed, the official told .
 Listed companies are required to disclose their financials every three months under Sebi regulations.
 In the case of unlisted companies, they are currently not required to furnish financial statements on a quarterly or half-yearly basis.
 The official said there would be thresholds for deciding which categories of unlisted companies would have to submit their financial statements on a quarterly or half-yearly basis.
 To bring this into effect, amendments would be required in the Companies Act.
 Currently, an unlisted company can submit its financial statement and annual returns to the ministry at least six months after completion of a fiscal.
 After the end of a financial year, a company has to hold its Annual General Meeting (AGM) within six months and the financial statement has to be submitted within 30 days of the meeting.
 Within 60 days of the AGM, the company is required to furnish the annual returns.
 Under the current system, the ministry would not be updated in case there are any significant financial issues during the course of a financial year, as per the official.
 In case the ministry decides to bring in quarterly or half-yearly financial statements reporting requirement for unlisted firms, then the Companies Act, 2013 would have to be amended, the official added.
