The jump in the shares of the pharma companies came after its Irish-peer Perrigo voluntarily recalled albuterol inhalation. This development bodes well for Lupin and Cipla. Cipla launched gProventil in April this year, and Lupin’s gProAir is expected to be launched this month. Dr Reddy’s Laboratories gains 4% Dr.Reddy’s Laboratories was the third-largest gainer in the Nifty pharma pack, trading almost 4% higher. The company has announced a settlement of litigation with a unit of Bristol Myers Squibb related to patents for Revlimid (lenalidomide) capsules, used to treat various kinds of cancer. “We are pleased with the settlement agreement, and look forward to bringing a generic version of lenalidomide to market soon subject to regulatory approval for the benefit of patients,” Dr Reddy’s Laboratories North America Generics CEO Marc Kikuchi said. New Delhi, Mar 9 () Torrent Pharmaceuticals on Monday said it has received shareholders' nod to raise up to Rs 5,000 crore through various instruments, including qualified institutional placement (QIP).In a filing to the BSE, the company said around 99.299 per cent votes were cast in favour of "issuance of equity shares including convertible bonds/debentures through QIP and/or depository receipts or any other modes for an amount not exceeding Rs 5,000 crore."The approval of the shareholders was sought by way of special resolution through a postal ballot, the filing said. Torrent Pharma gets shareholder nod to raise up to Rs 5,000 cr

New Delhi, Nov 24 () The American health regulator has pulled up Torrent Pharmaceuticals' US-based subsidiary for violations of good manufacturing practices, including lack of properly designed equipment and packing material.
 In a warning letter issued to Torrent Pharma Inc's CEO Sanjay Gupta, the US Food and Drug Administration (USFDA) said its inspectors found significant violations of current good manufacturing practice (CGMP) regulations for finished pharmaceuticals at the company's Levittown (Pennsylvania) based manufacturing facility.
 The USFDA inspected the plant from March 11 to April 9 this year.
 "Your firm failed to use equipment in the manufacture, processing, packing, or holding of drug products that is of appropriate design, adequate size, and suitably located to facilitate operations for its intended use and for its cleaning and maintenance," the USFDA noted.
 The plant's water system was not adequately designed, controlled, maintained, and monitored to ensure it consistently produced water that met specifications and appropriate microbial limits, it added.
 "An investigation identified your water system as the source of the contamination. Subsequent sampling of your water system revealed an adverse pattern of B. cepacia contamination in your pretreatment and downstream distribution system," the health regulator noted.
 Elaborating, USFDA said that pharmaceutical water must be suitable for its intended use and routinely tested to ensure ongoing conformance with appropriate microbiological attributes.
 "Systems that produce water for manufacturing and cleaning are critical determinants of the quality and safety of your drug products. Your firm produced drug products such as rectal suppositories and oral solutions with this inadequate water system," it said.
 Besides, the company failed to thoroughly investigate any unexplained discrepancy or failure of a batch or any of its components to meet any of its specifications, whether or not the batch has already been distributed, USFDA added.
 "You lacked an adequate investigation into failing microbiological results from your water system," it noted in its letter dated October 28.
 The US health regulator did not approve of the resolutions brought in by the drug maker at the facility, terming the steps as inadequate.
 "Based upon the nature of the violations we identified at your firm, we strongly recommend engaging a consultant to assist your firm in meeting CGMP requirements," it added.
 Until all corrections have been completed and USFDA has confirmed corrections of the violations and the firm''s compliance with CGMP, the regulator may withhold approval of any new applications or supplements, it said.

The annual sales of Gilenya, a drug used to treat multiple sclerosis, was about $3.3 billion in 2018 and the judge pegged the cumulative loss of opportunity on generic drug makers at $50 million. Novartis has sought to extend its patent on Gilenya beyond 2027, and the deadline to appeal for the extension ends this year. The patent case is still under trial. Double blow The court verdict has come a day after an Indian broking house, India Infoline (IIFL) downgraded Dr Reddy's by a notch. "The company’s market share uptake in Suboxone has been slow, and the key product filings of Nuvaring and Copaxone have also seen some delays," the report said. It has been a double whammy for Aurobindo Pharma too. The US Food and Drug Administration (USFDA) has issued a warning letter for one of the company's unit in Srikakulam in Andhra Pradesh. The unit, which manufactures active pharmaceutical ingredients, was inspected by the American drug regulator in February 2019 after the 'sartan' recall. "Our analysis of 34 WLs and interactions with the company suggest that the facility will be allowed to continue supplying existing molecules. However, future approvals will be withheld until the issues are resolved. There are 12 ANDAs (generic drug applications), including one injectable, pending from Unit 11, of which seven approvals were expected in FY20 and five in FY21. While a majority of these filings are „me too‟ products, there are a few that represent an $10mn+ opportunity annually," a report from SBI Cap Securities said, adding that if the warning escalated to a import ban into the US from the said facility, it could lead to 15% to 20% fall in earnings. Mylan, Dr Reddy's, Aurobindo, and Torrent Pharma can't sell generic Gilenya that is patented by Novartis

New Delhi, Jan 27 () Drug firm Torrent Pharmaceuticals on Monday reported a 2.03 per cent rise in its consolidated net profit to Rs 251 crore for the quarter ended December 31, 2019.
The company had posted a net profit of Rs 246 crore for the corresponding period previous fiscal, Torrent Pharmaceuticals said in a BSE filing.
Consolidated revenue from operations of the company stood at Rs 1,966 crore for the quarter under consideration. It was Rs 2,051 crore for the same period a year ago.
The company's board has approved the re-appointment of Samir Mehta as Executive Chairman of the company for the period of 5 years effective from April 1, 2020, the filing said.
Shares of Torrent Pharmaceuticals closed at Rs 2,026.85 per scrip on the BSE, down 0. 49 per cent from its previous close. AKT AKT BAL

Torrent Pharma Q3 net profit up 2 pc at Rs 251 cr

New Delhi, Jan 13 () Capital markets regulator Sebi on Monday exempted Mehta Family Trust from making open offer following its proposed acquisition of stake in three companies -- Torrent Power, Torrent Pharmaceuticals and Gujarat Lease Financing.
The move came after the trust has approached Securities and Exchange Board of India (Sebi) seeking exemptions from the obligation of making open offers.
"The applicant trust is eligible for exemption as sought and the same is being granted subject to certain conditions imposed in the interest of investors," Sebi said in three separate similarly-worded orders.
The trust currently does not hold any shares in these three firms. Pursuant to the scheme of amalgamation, the trust will hold over 71.2 per cent stake in Torrent Pharmaceuticals and over 53.5 per cent stake in Torrent Power through Torrent Pvt Ltd (TPL) and 29.55 per cent in Gujarat Lease Financing through TPL, Sebi noted in the orders.
The promoter and members of the promoter group of the firms include Sudhir Uttamlal Mehta, Samir Uttamlal Mehta, Jinal Sudhir Mehta and TPL, which is owned by family members of Sudhir Mehta and family members of Samir Mehta.
All the shares of TPL are held by the members of the Mehta Family.
TPL has filed before the National Company Law Tribunal (NCLT) a scheme of amalgamation of a group company Torrent Fincorp with TPL.
The trust, in its submission to Sebi, said that the objective of the proposed acquisitions are to streamline succession and promote welfare of the promoter family. Moreover, there will not be any change in control of the these firms pursuant to the proposed acquisition.
Accordingly, Sebi has granted exemption to the acquirer trust -- Mehta Family Trust -- from complying with the requirements of the takeover regulations with respect to the proposed acquisitions in Torrent Power, Torrent Pharmaceuticals and Gujarat Lease Financing.
The regulator has laid certain conditions while providing exemptions, including that the proposed acquisition should be in accordance with the relevant provisions of the Companies Act and other applicable laws.
Besides, Sebi said the trust on completion of the proposed acquisition has to file a report with the regulator within 21 days from the date of acquisition in compliance with the takeover regulations.
As per the SAST (Substantial Acquisition of Shares and Takeovers) Regulations, an entity buying 25 per cent stake in a listed firm will have to mandatorily make an open offer to buy an additional 26 per cent shares from the public shareholders. SRS

Sebi exempts Mehta Family Trust from making open offers for Torrent Group cos

Pharmaceutical major <a href="http://www.businessinsider.in/searchresult.cms?query=Novartis">Novartis India</a> reported a 600% jump in its net profit at Rs 103.82 crore for the quarter ended September 30, 2015 on the back of slump sale of its OTC division to GlaxoSmithKline Plc for Rs 109.7 crore. It had posted a net profit of Rs 14 crore a year ago. 
 
The stand-alone total income from operations of the company declined 4.4% to Rs 224.43 crore during the reported quarter, from Rs 234.79 crore in the year-ago period. 
 "Proceeds of Rs 1,09.7 crore from slump sale of the OTC division to GSK CPL has been accounted for in the quarter ended September 30, 2015 results," <keyword id="69388" type="COMPANY" weightage="20" keywordseo="Novartis">Novartis</keyword> said in a statement. 
 
In January, its board had approved a slump sale of OTC business to <a href="http://www.businessinsider.in/searchresult.cms?query=GSK+consumer">GSK Consumer</a>. 
 
According to the company, sale of company’s OTC business in India follows the divestment of Novartis AG’s global OTC business, including all of Novartis AG’s major OTC patents, trade-marks and R&amp;D assets. 
 
Its parent Novartis AG also recently agreed to create a consumer healthcare joint venture with GlaxoSmithKline in which GSK will own a 63.5% stake while Novartis will own the remaining 36.5%. 
 
Last year, another deal was signed between Novartis and GSK where GSK will acquire Swiss major's vaccine business for $7 billion, while Novartis will purchase GSK's cancer drugs portfolio. The two companies will also combine their over-the-counter drug businesses under Glaxo’s management. 
 
In April last year, Novartis had agreed to divest its global animal health business to Lilly by transferring it to Elanco India, an affiliate of Lilly. 
 
"Proceeds of Rs 86.6 crore from slump sale of the animal health division to Elanco India have not been accounted for in the quarter as the transaction is subject to legal and regulatory approvals," Novartis said in the statement. 
 
In January this year, Novartis AG completed sale of its animal-health division to Eli Lilly &amp; Co for $5.4 billion as part of the Swiss drug giant’s portfolio overhaul. 
 
The sale of the animal-health division is part of a complex overhaul of Novartis that will enable it to focus on three core businesses—pharmaceuticals, eye care and generic drugs. 
 
Of late, <a href="http://www.businessinsider.in/searchresult.cms?query=pharma">Indian pharmaceutical sector</a> has been seeing intense M&amp;A activity. In March, <a href="http://www.businessinsider.in/searchresult.cms?query=Sun+Pharmaceutical+Industries+">Sun Pharmaceutical Industries</a> completed a $3.2 billion acquisition of <keyword id="82365" type="CITY" weightage="20" keywordseo="Ranbaxy-Laboratories">Ranbaxy Laboratories</keyword> Ltd to create India’s largest drug maker, with a local market share of 10%, and the world’s fifth-biggest generic pharmaceutical firm by revenue. 
 
The deal was closed after Sun Pharma faced mounting challenges procuring approvals from authorities including the courts, capital markets regulator and anti-trust watchdogs in India and the US. Sun Pharma and Ranbaxy also overcame allegations of insider trading that cast uncertainty over the deal. 
 
Other Indian pharma firms also have been aggressively looking at acquisitions in order to gain faster and easier access to new territories, increased balance sheet strength and new drug molecules. 
 
In July, Lupin acquired Russia-based ZAO Biocom for an undisclosed amount, entering a country that will be one of the top eight markets for drugmakers by 2018. 
 
The deal followed just two months after Lupin acquired Brazil-based Medquimica Industria Farmaceutica SA. In March 2014, it also purchased Mexican ophthalmic drug maker Laboratorios Grin SA, the fourth-largest pharma company in Mexico, for an undisclosed sum. 
 
In December 2014, Aurobindo Pharma acquired US-based Natrol Inc for $132.5 million for gaining access to the latter’s nutraceutical brands in the US. In January 2014, Aurobindo bought Actavis Plc’s (now Allergan Plc) Western European businesses to gain access to products, infrastructure and a marketing set-up in seven European countries. 
 
Domestic M&amp;A activities have also been gaining traction among drugmakers as they have been trying to leverage favourable valuations. In May this year, Torrent Pharma acquired ZYG Pharma Pvt Ltd that manufactures dermatological formulations such as creams, ointments, gels and lotions. This came after its December 2013 acquisition of Mumbai-based Elder Pharmaceuticals Ltd for around Rs 2,000 crore that gave it access to Elder’s brands in women’s healthcare, pain management and nutraceuticals. 
 
In addition, <a href="http://www.businessinsider.in/searchresult.cms?query=cadila">Cadila Healthcare</a> recently emerged the front-runner to snap the generic sterile injectables business of Ahmedabad-based Claris Lifesciences Ltd. 
 
Outbound M&amp;As in the pharma sector have specifically been driven by an increasing appetite among drugmakers for acquiring firms that have approved facilities outside the country and whose products are sold in expanding overseas markets. Indian drugmakers have also been looking for intermediaries and distributors with established, large distribution and marketing networks as snapping such players would help them market own products in international geographies. 
 
The series of acquisitions has also enlivened investors’ interest in pharma companies. 
 
Over the last year, Singapore’s Temasek Holdings has invested as much as $600 million to buy stakes in Intas Pharmaceuticals, Glenmark Pharmaceuticals and Sun Pharmaceutical Industries. 
 
According to a recent study by PricewaterhouseCoopers, India is expected to be one of the top 10 pharmaceutical markets by sales and reach a value of around $50 billion by 2020. 
 
Indian pharma firms are already among the global leaders in producing generics, accounting for more than 20% of the world’s generics. According to PwC, around $70 billion worth of drugs are expected to go off patent in the US over the next three years, and India is capable of manufacturing a substantial share of the product to support the resulting generics opportunities.

Indian pharma sector is going through an interesting phase with Novartis being the latest

<a href="http://www.businessinsider.in/searchresult.cms?query=cipla">Cipla</a>, India’s third largest drug maker is planning to grow even larger. The firm has now come up as the only Indian contender for <keyword id="3006685" type="UNKNOWN" weightage="20" keywordseo="Kremers-Urban-Pharmaceuticals-Inc-">Kremers Urban Pharmaceuticals Inc,</keyword> the specialty generics drug business of the $4 billion Belgian drug maker <keyword id="234060" type="COMPANY" weightage="20" keywordseo="UCB">UCB</keyword>. 
 If the Indian drug maker successfully closes the deal, which is pegged at around $1.3 billion, it will cast a shadow on Lupin's recent $880 million buyout of <keyword id="2964788" type="UNKNOWN" weightage="20" keywordseo="Gavis-Pharma">Gavis Pharma</keyword>. 
 
<a href="http://www.businessinsider.in/searchresult.cms?query=Lupin+">Lupin </a>and <a href="http://www.businessinsider.in/searchresult.cms?query=Torrent+Pharma">Torrent Pharma</a> were other Indian parties that had initially shown interest but eventually opted out. 
 
The previous year’s report has said that Kremers Urban Pharmaceuticals Inc had sales of $463 million. 
 According to industry insiders requesting anonymity, “<keyword id="6357157" type="CITY" weightage="20" keywordseo="Cipla">Cipla</keyword> is the only Indian bidder for KU but it is pitted against a few powerful private equity players. It also depends on whether Cipla is prepared to shell out a large amount in a single bid." 
 
UCB floated the divestiture of Kremers Urban last year, noting that it will help reduce its debt load, and planned to focus on its core focus areas of immunology and neurology drugs. Last November, two private equity players— Advent International and Avista Capital Partners—had jointly agreed to buy Kremers as part of an all cash deal of $1.525 billion. 
 
The deal, however, was aborted in December 2014 citing unresolved regulatory issues for approval of its methylphenidate extended-release (ER) tablets. The US FDA directed Kremers to conduct additional studies to prove equivalence to Johnson &amp; Johnson's Concerta, a drug used to treat attention deficit hyperactivity disorder. 
 
Cipla’s approach towards Kremers Urban has been termed as extremely measured by market experts, particularly given that there is no fixed time frame by which it has to be closed. "It will also test how much more is Cipla willing to go to build a strong base in the US," a sector analyst said. 
 
Over the last three years, Cipla, under a refurbished management structure, has worked on establishing its own front-end marketing presence in several of its high growth markets including the US. The company is on the road to recovery after a lull of last few years. The company's net profit rose to Rs 671 crore in the quarter to June 2015 from Rs 295 crore a year-ago. 
 
Total sales were at Rs 3,853 crore, a 46% jump from Rs 2,720 crore. The current numbers are also the reflection of Cipla's subsidiaries that got incorporated in the company. The one-time payment over the manufacturing deal with Isreal's Teva for the heart burn drug Nexium has also helped Cipla pump up its revenues. 
 Its US operations are being run by <keyword id="3006684" type="UNKNOWN" weightage="20" keywordseo="Timothy-Crew">Timothy Crew</keyword>, who is an ex-Teva hand. Kremers is expected to give Cipla an ideal jumpstart in the increasingly competitive US specialty generics market where large Indian rivals like Sun PharmaBSE -0.71 % and Dr. Reddy's are already deeply embedded. 
 
Cipla has aggressively expanded its operations in the last 18 months, setting up front-ends in more than 15 markets outside its home turf India. Some of those include Yemen, Sri Lanka, Uganda, Morocco, Algeria, the US and a few European nations. 
 
Cipla COO, Sudhanshu Priyadarshi, on company’s first quarter earnings said, "Overall, the outlook for full-year 2015-16 is strong. And we expect to have a growth rate of approximately 20% for the year. We are evaluating reinvestment options in R&amp;D, consumer healthcare and biologics, while at the same time maintaining Cipla's high standards of quality, affordability and safety." 
 
In response to questions from the Economic Times, a Cipla spokesperson said that the company does not comment on any product or partner discussions. 
 
"As a pharmaceutical company, we are constantly in discussions with multiple parties on potential collaboration opportunities - in line with our aspiration to drive access and ensure availability of high quality, affordable medicines," the statement read.

Cipla only Indian firm to bid for Kremers Urban Pharmaceuticals Inc.

The government has approved FDI worth around Rs. 4,000 Crores for four pharma and medical devices firms. 
 
The accepted list includes Torrent Pharmaceuticals and Biocon's Syngene. However, Strides Arcolab was not allowed to issue shares to non-resident and resident equity shareholders of Shasun Pharmaceuticals. Three other drug companies’ applications have been delayed. 
 
The government’s decision to allow Torrent Pharmaceuticals' Rs. 3,000 Crores proposal for increasing FII limit to 35% from 13.09% was the biggest today. Syngene's proposal to raise FDI of about Rs. 930 Crores by raising the foreign investment to 44% from the current 10% was the second biggest in the pharmacy sector today. 
 
Others given approval are Stericat Gut Strings Pvt Ltd for FDI of Rs 43.52 Crores as it wants to sell 77.5% of its shares to Groupe Peters Surgical LLC 
 
Ordain Health Care Global Pvt Ltd was also allowed FDI of Rs. 23.34 Crore to buy assets from Alkems Fertica. 
 
The list whose proposals were delayed includes Celon Laboratories, Shantha Biotechnics and Sparsha Pharma International.

The Indian cricket board will be expecting the two new <keyword id="6354312" type="General" weightage="20" keywordseo="IPL" source="Orion">IPL</keyword> franchises to go for Rs 7000 crore to Rs 10,000 crore each after the bidding process begins here on Monday. It is still not clear whether the BCCI will announce the successful bidders on Monday itself after doing the technical evaluation of the bids. There are 22 companies which have picked up tender document worth Rs 10 lakh but with base price for new teams pegged at INR 2000 crore, there is expected to be only five to six serious bidders in fray. The BCCI is also allowing a consortium of up to three companies/individuals to bid for a franchise. However, in case of an individual or company, that particular entity's annual turnover should be minimum INR 3000 crore and in case of consortium, each of the three entities should have an annual turnover of INR 2500 crore. In this scenario, one of India's richest business tycoon <keyword id="111343" type="General" weightage="20" keywordseo="gautam-adani" source="Orion">Gautam Adani</keyword> and his Adani Group are expected to bid for the Ahmedabad franchise. Adani Group, if they finally put up a bid, are the favourites to own a new franchise. Similarly, RPSG group which is headlined by billionaire Sanjiv Goenka are also considered to be serious bidders for a new franchise. Whether RPSG would have any individual or other company as a part of consortium is still not known. "Gautam Adani and Sanjiv Goenka are the biggest names in the Indian industry. They will be serious bidders. Expect a minimum bid of INR 3500 crore from the potential bidders. Don't forget that IPL broadcast rights is projected around USD 5 billion (Rs 36,000 Crore). "So the economics will work accordingly as franchises get the TV revenue share equally," a BCCI insider tracking the developments told PTI on conditions of anonymity. For the record, Goenka owned the <keyword id="12377413" type="General" weightage="20" keywordseo="pune-franchise-rising-pune-supergiants" source="Orion">Pune Franchise Rising Pune Supergiants</keyword> (RPS) for two years and is also the owner of ISL franchise ATK Mohun Bagan. There has been buzz that Lancer group, which is owned by Manchester United owner Avram Glazer, has also picked up the bid document. The other notable companies which are in fray comprise Kotak group, pharmaceutical majors Aurobindo Pharma and Torrent group. The two cities that are favourites in terms of stadium capacity are <keyword id="10818893" type="General" weightage="20" keywordseo="narendra-modi-stadium" source="Orion">Narendra Modi Stadium</keyword> in Motera with more than 100,000 capacity while the other is Ekana Stadium in Lucknow with 70,000 capacity. The other cities in the hunt are Indore, Guwahati, Cuttack, Dharamsala and Pune.
