The Board has considered the proposal based on independent fairness and valuation opinions. It followed the process laid down under the Companies Act, 2013 and Securities and Exchange Board of India Regulations. The proposed amalgamation will enhance management efficiency, drive sharper strategic focus and improve agility across businesses based on the strong parental support from the Tata Steel leadership. "On completion, there will be further opportunities towards reduction of overhead and corporate costs. Each of the proposed amalgamations will be value-accretive for shareholders," the company said. TheBoards of all the amalgamating companies have also considered the proposals following due process and have unanimously approved the merger. The proposed amalgamation is also part of Tata Steel's continuing journey to simplify the group holding structure, the company said. According to the statement, since 2019, Tata Steel has reduced 116 associated entities (72 subsidiaries have ceased to exist, 20 associates and JVs have been eliminated and 24 companies are currently under liquidation). Tata Steel board approves merger of six subsidiary companies

He was 85.</li><li> Irani was associated with Tata Steel for over four decades.</li><li> He joined the Board of Tata Steel in 1981 and was also a Non-Executive Director from 2001 for a decade.</li></ul>Jamshed J Irani, known as the steel man of India, died in Jamshedpur late Monday night, Tata Steel said. He was 85. Irani was associated with Tata Steel for over four decades. He retired from the board of Tata Steel in June 2011, leaving behind a legacy of 43 years, which won him and the Company international acclaim in various fields. Born on June 2, 1936 in Nagpur to Jiji Irani and Khorshed Irani, Dr Irani completed his BSc from Science College, Nagpur in 1956 and MSc in Geology from the Nagpur University in 1958. He then went to the University of Sheffield in UK as a J N Tata scholar, where he secured a Masters in Metallurgy in 1960, and a PhD in Metallurgy in 1963. He started his professional career with the British Iron and Steel Research Association in Sheffield in 1963, but always yearned to contribute to the Nation's progress. He returned to India to join The Tata Iron and Steel Company (now Tata Steel), as it was then known, in 1968, and joined the firm as Assistant to the Director in-charge of Research and Development. He went on to become General Superintendent in 1978, General Manager in 1979, and President of Tata Steel in 1985. He became Joint Managing Director of Tata Steel in 1988, and Managing Director in 1992 before retiring in 2001. He joined the Board of Tata Steel in 1981 and was also a Non-Executive Director from 2001 for a decade. Besides Tata Steel and Tata Sons, Dr Irani also served as a Director of several Tata Group companies, including Tata Motors and Tata Teleservices. Irani is survived by his wife Daisy Irani and his three children, Zubin, Niloufer and Tanaaz. New Delhi, Apr 24 () Tata Steel on Friday said its board has approved proposal to raise up to Rs 5,000 crore through issuance of non convertible debentures (NCDs) on private placement basis.The funds will be primarily deployed towards repayment of debt and general corporate purposes."The Board of Directors at its meeting held today reviewed financing plan of the company and based on the review, approved issue of additional debt securities up to Rs 5,000 crore in the form of NCDs on private placement basis in one or more tranches (Issue)," Tata Steel Limited said in a BSE filing. It also authorized a committee of directors to determine and approve the quantum, timing and terms and conditions of the NCDs. ABI BALBAL

Tata Steel plans to raise Rs 5,000 cr via NCDs

New Delhi, Mar 9 () Tata Steel on Monday said the committee of directors has approved raising Rs 670 crore through issuance of debt securities.The decision was taken at a meeting of the Committee of Directors, which is constituted by the board, on March 9, the company said in a BSE filing.A total of 6,700 non convertible debentures (NCDs) of face value Rs 10,00,000 each would be issued aggregating to Rs 670 crore, the filing added. The date of the allotment of the debt securities is March 13, 2020 and date of maturity is March 13, 2025, it said. SID SID ANUANU

Two days after he was removed from <keyword id="6357147" type="CITY" weightage="20" keywordseo="Tata-Steel">Tata Steel</keyword> with 71.20 per cent votes going against him, shareholders of <keyword id="42747" type="CITY" weightage="100" keywordseo="Tata-Motors">Tata Motors</keyword> have now overwhelmingly voted to remove independent director <keyword id="6500654" type="PERSON" weightage="100" keywordseo="Nusli-Wadia">Nusli Wadia</keyword> from the company's board. 
 As many as 146.28 crore shares out of 205.45 crore votes polled voted in favour of a resolution brought by the company's main promoter <keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword> for removing Wadia. 
 Notably, he has been accused of siding with the estranged chairman <keyword id="844080" type="UNKNOWN" weightage="20" keywordseo="Cyrus-P-Mistry">Cyrus P Mistry</keyword> and rallying independent directors against Tata Sons. 
 
Out of 293.8 crore shareholders, 205.45 crore or 69.93 per cent participated in the voting on the resolution, according to a regulatory filing by the company. Those voting against the resolution made up for 28.80 per cent shares. 
 
On Wednesday, Wadia was removed as independent director from Tata Steel board, which he served for 37 years, with 90.8 per cent of the shareholders present and voting at the company's extraordinary general meeting voting in favour of the resolution moved by Tata Sons seeking his removal. 
 
Wadia did not attend both the meetings, calling them stage-managed. He further went on to file a <a href="http://www.businessinsider.in/now-nusli-wadia-files-defamation-case-against-tata-sons-ratantata/articleshow/56140677.cms">Rs 3,000-crore defamation suit against Ratan Tata and Tata Sons.</a>

Now, Tata Motors shareholders vote to oust Nusli Wadia from company's board

New Delhi, Apr 13 () Tata Steel Ltd (TSL) on Monday said it has approved a proposal to raise up to Rs 7,000 crore through non-convertible debentures (NCDs). In a BSE filing, TSL said the committee of directors, constituted by the board, has approved the proposal of issue of unsecured, redeemable, listed, rated non-convertible debentures aggregating up to Rs 7,000 crore. On the terms and conditions, the company said it will be issued on a private placement basis to all eligible investors. It said up to 70,000 NCDs of a face value of Rs 10 lakh each aggregating up to Rs 7,000 crore will be issued in one or more issues. According to the filing, the first issue that comprises up to Rs 1,000 crore along with a green shoe option to raise another to Rs 1,000 crore will be allotted on April 17. "Subsequent issuances of NCDs will have different base size, with or without green shoe option," it said. The NCDs will be listed and traded on the BSE's wholesale debt market segment. ABI HRS

While appointing Ratan Tata’s successor both the search committee and Tata himself chose Mistry amongst 6 other internal candidates. It was then told that Tata himself would mentor Mistry for a year.
