At 7:49 am the SGX Nifty was trading flat pointing towards a cautious start for Nifty50. Meanwhile, the US stocks climbed on Tuesday on rebound in tech stocks and policy reassurance from a top Fed official following a massive selloff in the previous three sessions. The Dow Jones Industrial Average ended up 140.48 points, and the S&amp;P 500 closed up over 1%. These are the stocks to watch out for during the trading session on September 23: Tata Group stocks The Shapoorji Pallonji Group is set to <a href="https://www.businessinsider.in/business/news/shapoorji-pallonji-group-says-its-time-to-part-ways-with-the-tatas/articleshow/78259653.cms">part ways</a> with the Tatas. SP Group stated before the Supreme Court that a separation from the Tata Group is necessary due to the potential impact this continuing litigation could have on livelihoods and the economy. The SP Group largest shareholder in the Tata Group and this news may move most of the listed Tata Group stocks like— TCS, Tata Steel, Tata Motors and others. RIL Mukesh Ambani owned RIL’s Jio unveiled its JioPostpaid Plus plans in a bid to lure more customers. The company will offer subscriptions to Netflix, Amazon Prime and Disney + Hotstar with a monthly tariff from ₹399 to ₹1,499 with different benefits. The shares of RIL ended 2% lower yesterday. Also keep an eye on other telecom stocks - Bharti Airtel and Vodafone Idea. CARE Ratings and ICRA Markets regulator SEBI imposed a penalty amount of ₹1 crore each on rating agencies— ICRA, and CARE Ratings, in connection with IL&amp;FS case. The shares of CARE Ratings ended 2% lower whereas ICRA was up 2% yesterday. Future Group stocks in focus Future Enterprises defaulted again on interest payments of ₹15.86 crore for its non-convertible debentures. Future Enterprises develops, owns and leases retail infrastructure for the Future Group, and this news may move other Future Group stocks like Future Retail, Future Lifestyle Fashions, among others. The shares of Future Enterprises ended 5% lower yesterday. Dewan Housing Finance (DHFL) The markets regulator SEBI has restrained 12 promoters of DHFL from accessing securities markets for violating market norms. Promoters are also restrained from associating themselves as directors or promoters of any listed public company or associating with any intermediary registered with SEBI. The shares of DHFL ended 3% lower yesterday. Central Bank of India The QIP of the Central Bank of India has opened with the floor price set at ₹16.18 per share. The shares of DHFL ended 15% higher yesterday. Cyrus Mistry, whose family holds a majority stake in Tata Sons, was appointed as Chairman in 2012 and was ousted in 2016. <keyword id="6360722" type="UNKNOWN" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword> has asked Mistry to step down from his post as the board had lost faith in him. However, Mistry’s refusal to leave had resulted in the very public spat between Tata and Mistry. Mistry was later replaced by the former TCS CEO, <keyword id="539517" type="PERSON" weightage="20" keywordseo="N-Chandrasekharan">N Chandrasekharan</keyword>. While upholding Mistry's appeal, the court has also admitted that there was 'mismanagement' by the Tata Sons Board and interference by Ratan Tata, as alleged by Mistry. However, The US stock markets soared on Thursday, as investors cheered healthy economic data and bet on tech stocks to post strong quarterly earnings. The Dow Jones Industrial Average closed 139 points higher and the S&amp;P 500 gained 1.19%. These are the stocks to watch out for during the trading session on October 29: IndiGo India’s largest airline IndiGo reported a net loss of ₹1,194 crore for the second quarter ended September 30. The company had posted a net loss of ₹1,062 crore in the same quarter last year. The airline’s total income was down 65% to ₹3,029 crore. The shares of IndiGo ended 2.3% higher on Thursday. Tata Group stocks The Tata Group stocks such as Tata Motors, TCS, Tata Communications, among others, will be in focus throughout the trade today. The Shapoorji Pallonji Group has submitted a plan for separation from Tatas to the Supreme Court. The Mistrys have valued their holding in the Tatas at ₹1.75 lakh crore. Hindustan Petroleum (HPCL) The petroleum giant Hindustan Petroleum announced that its board would meet on November 4 to consider a share buyback plan as the company management feels the share price is lower than the value it deserves. The shares of HPCL ended 5% higher on Thursday. SpiceJet, IndiGo and other aviation-related stocks The stocks of SpiceJet, IndiGo and other aviation-related stocks will be in focus today. The Civil Aviation Minister Hardeep Singh Puri announced that the upper and lower limits on domestic airfares would remain in place for another three months post-November 24. The shares of SpiceJet ended 2% lower on Thursday. Mangalore Refinery and Petrochemicals Limited (MRPL) ONGC subsidiary Mangalore Refinery and Petrochemicals Limited (MRPL) registered a net profit of ₹35.84 crore in the second quarter ended September 30, as against a loss of ₹574.45 crore in the corresponding period last year. The shares of MRPL ended 1% lower on Thursday. Zensar Technologies Zensar Technologies reported an 11.7% rise in net profit to ₹89.2 crore for the second quarter ended September 30. The board of the company has also given in-principle approval for a merger of its wholly-owned subsidiary Cynosure Interface Services with the company. The merger aims at reducing administrative costs. The shares of Zensar Technologies ended 0.37% lower on Thursday. TVS Motor TVS Motor Company reported a 29.37% decline in consolidated net profit at ₹181.41 crore for the quarter ended September 30. The production and sales improved consistently from July onwards, but the commercial vehicle segment continued to hurt the company. The shares of TVS Motor ended over 1% lower on Thursday. Vodafone Idea Debt-ridden telecom firm Vodafone Idea reported narrowing of its consolidated loss to ₹7,218.2 crore for the quarter ended September 30. The company had posted a loss of ₹50,897.9 crore in the same quarter last year. However, the total income declined by about 3% to ₹10,830.5 crore during the reported quarter. The company’s subscriber base also declined to 27.18 crore in Q2, from 27.98 crore earlier. The shares of Vodafone Idea ended 4% lower on Thursday. Angel Broking Kuwait Investment Authority has acquired half a percent stake in retail broking company Angel Broking via open market transactions on October 29 for ₹321.73 per share. The shares of Angel Broking ended 3% higher on Thursday. Nifty 50 broke below the 18,000 mark and Reliance Industries (RIL) contributed to nearly 30% of the fall, as at 2:40 p.m. 37 of the 50 stocks were in decline at the time. If not for the rally in automobile stocks like Tata Motors and Maruti Suzuki, the fall may have been sharper. The sell-off was the worst in pharmaceuticals, banks ⁠— particularly the state-owned ones like State Bank of India (SBI) ⁠— and the energy index fell over a percent largely due to the sell off in RIL shares. New Delhi, Feb 12 () Tata Chemicals on Wednesday said its promoter Tata Sons will increase the stake in the company to 25.26 per cent by acquiring shares aggregating to 1.08 per cent stake from other group firms. At present, Tata Sons holds 24.18 per cent stake in Tata Chemicals, the company said in a regulatory filing. As part of "restructuring of investment portfolio", the company said Tata Sons will acquire 7,05,522 shares from Tata Consumer Products (formerly Tata Global Beverages Ltd) and 1.6 lakh shares from Tata Coffee. Similarly, Tata Sons will also acquire 13,69,290 shares of Tata Chemicals from Ewart Investments Ltd and 5.18 lakh shares from Simto Investments Co Ltd. The total shares to be acquired amounts to 1.08 per cent of voting rights of Tata Chemicals, it added. The proposed acquisition will be carried out at prevailing market price on the date of proposed acquisition, it said, adding the the average weighted market price for 60-day trading period before the intimation of acquisition is Rs 693.26 per share. As per the regulatory filing, Tata Sons has confirmed that the acquisition price would not be higher by more than 25 per cent of Rs 693.26 per share. In a separate regulatory filing, Tata Coffee said the transaction is expected to be executed on or after February 18, 2020 at or around the prevailing price on the date of proposed sale. Tata Sons to hike stake in Tata Chemicals to 25.26 pc by acquiring shares from group firms

MUMBAI: Japan’s <keyword id="18313" type="CITY" weightage="40" keywordseo="NTT-Docomo">NTT DoCoMo</keyword> has decided to exit <keyword id="6359475" type="CITY" weightage="40" keywordseo="Tata-Teleservices">Tata Teleservices</keyword> by selling its 26.5% stake in its telecom joint venture with the <keyword id="6355725" type="CITY" weightage="40" keywordseo="Tata-Group">Tata Group</keyword> through a pre-agreed put option, setting the stage for protracted negotiations over valuation as the Indian conglomerate is likely to renegotiate the sum it has to pay to buy back the shares. The agreement was signed between the two companies in 2008-09. 
 
Both Cos have Hired Legal Teams 
 
Under the terms of the agreement, the Tata Group needs to ensure that its partner in the lossmaking joint venture gets the higher of either half the investment it made — which amounts to Rs 7,250 crore — or the stake’s fair market price in case the company fails to perform at a certain level. NTT DoCoMo had issued a notice to the Tatas three days ago, exercising its option to get a refund of Rs 7,250 crore by returning its 26% in Tata Teleservices before the deadline on July 9, said a lawyer involved in the transaction. 
 
Confirming the development, Tata Sons spokesman Debasis Ray said in an email: “The formal communication has now been received from NTT DoCoMo to that effect.” However, the Tata Group, which has applied for RBI approval to pay NTT DoCoMo as per the put option, expects regulatory hurdles. A central bank rule says put options must be exercised based on prevailing return on equity at the time the option is exercised, which could play spoilsport for DoCoMo’s exit plan. 
 
Since Tata Tele has been making losses and its net worth is negative, this clause could mean DoCoMo might not get the price it is looking for. RBI, in its latest monetary policy in May, had indicated that it was examining a mechanism linking such options to a fair market value, but it is yet to implement that decision. 
 
DoCoMo had purchased its Tata Tele stake in instalments in 2009 and 2011 for $2.7 billion, at a time the telecom sector was the poster child of India’s fast-growing economy. 
 
Facing the prospect of lengthy negotiations to arrive at a middle ground on valuations, the Tatas have lined up legal eagle Harish Salve, law firm Amarchand Mangaldas, UK-based firm Freshfields, and Mumbai-based AZB Partners to act on its behalf. NTT DoCoMo is likely to be represented by Khaitan &amp; Co, law firm Skadden, Arps, Slate, Meagher &amp; Flom. 
 
NTT DoCoMo spokeswoman Hiroko Shimoyama said she cannot comment due to confidentiality obligations.The joint venture partners will soon enter into fresh talks to arrive at a final price, according to people familiar with the matter. “One hopes that it won’t come to a legal battle. Both groups are reasonable and prefer to avoid that,” said a person involved.“ 
 It is not possible to predict how events will unfold; however, Tata Sons is cognizant of its responsibilities, and will act keeping in mind the interests of all stakeholders and in accordance with law,” added Roy, reiterating an April 25 statement by Tata Sons.The RBI rule was also invoked by the <keyword id="6425677" type="CITY" weightage="40" keywordseo="Essar-Group">Essar Group</keyword> when Vodafone exercised its option to buy Essar’s 33% in Vodafone India in 2011. 
 
However, the two companies agreed to up the price a little for the Indian promoter by depositing additional funds in an escrow account in case tax is imposed on the transaction, else the deposited amount will be given to Essar. This time around, as money will go out of India, the deal might attract more scrutiny.

“In 2008, there was no regulation around put calls. People assumed that these contracts will be honoured and so incorporated them in JV agreements. But RBI has now become far stricter and concerned over outflow of dollars,” said a legal advisor involved. 
 
NTT DoCoMo is the second large Japanese investor to be faced with disappointment in its India investment after Daiichi Sankyo’s buy into generic drug-maker Ranbaxy. Daiichi exited its Ranbaxy investment in May this year, selling its stake to Sun Pharma at less than half the $4.6 billion it paid in 2008. 
 
LOSS-MAKING VENTURE 
 
The Japanese company is exiting the Indian telecom venture since it is known to prefer owning a majority in its ventures and because it feels it cannot control management actions adequately in India, said a person familiar with DoCo-Mo’s thinking. They are also disappointed by the company’s performance. For the year ending March 31, 2014, Tata Teleservices recorded a loss of nearly Rs 2,000 crore, according to data from the Registrar of Companies (RoC). Its user base has been shrinking over the past two years. 
 
In December last year, Tata Teleservices’ lenders had insisted on a Rs 4,000-crore equity investment from the parents to recapitalise the company. Tata Sons had agreed to put in that amount through two tranches. In an effort to reduce losses, Tata Teleservices shut base stations at around 8,000 locations and entered into agreements with rivals Aircel and Reliance Communications to provide coverage where its network has gaps. 
 
In the financial year that ended in March 2013, Tata Teleservices’ net worth was completely wiped out and equity value fell to a negative Rs 1,863 crore from around Rs 3,000 crore in the previous year, according to data with RoC. Tata Teleservices is also weighed down by its debt of Rs 28,000 crore. Top executives at two potential acquirers of the company said they were interested but did not want to take on the debt. The top court said the value of SP Group shares will depend on the valuation by Tata Sons equities and the court will not determine the fair value. In December 2019, the NCLAT had ruled that the proceedings of the Board meeting of Tata Sons held on October 24, 2016 removing Cyrus Mistry as chairperson was illegal. The Mistry family, which runs SP Group, owns an 18.4 per cent stake in Tata Sons.
