Singapore Airlines will make an additional investment of Rs 3,194.5 crore in Tata Group-owned Air India post-merger of Vistara in November. The merger, announced on November 29, 2022, and set to be completed on November 11, 2024, will result in Singapore Airlines having a 25.1% stake in the enlarged Air India. Full-service carrier Vistara, which started flying on January 9, 2015, is a joint venture between Tatas and Singapore Airlines, where the latter holds a 49% shareholding. Vistara's last flight will take off tomorrow i.e. November 11, 2024. Singapore Airlines (SIA) Group on Friday said its consideration for the merger comprises the 49% interest in Vistara and Rs 20,585 million (Rs 2,058.5 crore) in cash in exchange for a 25.1% equity interest in the enlarged Air India. Post-merger, SIA expects to recognize a non-cash accounting gain of around 1.1 billion Singapore dollars and also start equity accounting for its share of Air India's financial results. According to a release on Friday, the merger includes an agreement for SIA to contribute its share of any funding previously provided by Tata prior to the completion of the merger, together with relevant funding costs up to Rs 5,020 crore that would allow it to maintain a 25.1% stake in Air India. "SIA's additional capital injection is expected to be Rs 31,945 million (equivalent to SGD 498 million), based on Tata's funding to Air India to date. This will occur after the completion of the merger and within November 2024 through subscription to new Air India shares. "Future capital injections will be considered based on Air India's requirements and available funding options," according to the release issued while announcing the airline's financial performance for the six months ended September 2024. The merger of Vistara with Air India will mark a major consolidation in the fast-growing Indian aviation space. SIA said the merged entity will have a significant presence across all key Indian air travel segments, including domestic, international, full-service, and low-cost operations. "This will strengthen SIA's multi-hub strategy, allowing it to continue participating directly in India's large and fast-growing aviation market," it added. Recently, Air India and SIA agreed to significantly expand their codeshare agreement, adding 11 Indian cities and another 40 international destinations to their network.

"The FDI approval, together with anti-trust and merger control clearances and approvals, as well as other governmental and <keyword id="19941849" type="General" weightage="20" keywordseo="regulatory-approvals" source="keywords">regulatory approvals</keyword> received to-date, represent a significant development towards the completion of the proposed merger," the airline said in the filing to the Singapore Stock Exchange. The airline also said the completion of the merger continues to be subject to compliance by the parties with applicable Indian laws, which is currently expected to be completed in the next few months. "At this juncture, completion of the proposed merger is anticipated to occur by the end of 2024," it added. According to Singapore Airlines, the parties are in discussions to extend the long stop date for the completion of the merger. Earlier, it was expected to be October 31, 2024. The merger, which will create one of the biggest airline groups, was approved by the National Company Law Tribunal (NCLT) in June. In March, Singapore's competition regulator CCCS gave a conditional nod for the proposed deal. Prior to that in September 2023, the deal received approval from the Competition Commission of India (CCI), subject to certain conditions. "SIA will make the necessary announcement(s) upon completion of the proposed merger or in the event that there are other significant developments," the filing said on Friday.

Singapore Airlines gets FDI nod from Indian govt for Vistara-Air India merger

Pilot woes have forced the <keyword id="21105887" type="General" weightage="20" keywordseo="Tata-Group-airline" source="keywords">Tata Group airline</keyword> to temporarily cut down capacity by 10 per cent or 25-30 flights daily. While acknowledging that things should have been planned better, Kannan said it has been a "learning experience". He also said it has been a challenging start to the new financial year and the airline faced significant operational disruption from March 31 to April 2. "The anxiety and frustration felt by our customers was matched in even measure to the pain that all of us felt in seeing our much-loved brand drawing negative commentary from various quarters... I assure you that the worst is behind us, and we have already stabilised our operations, with our on-time performance (OTP) increasing to 89 per cent on 9 April 2024 (second highest among all Indian airlines)," he said in a message to the staff. The full-service carrier has around 6,500 people, including about 1,000 pilots. In the wake of the disruptions, the top management of the airline had held a virtual meeting with the pilots. One of the reasons for the disruptions was also that some section of pilots reporting sick to protest against the new contract that will result in pay revision. According to Kannan, there were a multitude of reasons for the disruptions, including ATC delays, bird hits, and maintenance activities early last month. "We were stretched in our pilot rosters and there was not enough resilience to withstand injects that we would otherwise have weathered. We could and should have planned better, and this has been a learning experience for us which we will review thoroughly," the <keyword id="20018887" type="General" weightage="100" keywordseo="Vistara" source="keywords" meta.keywordsubtype="org" meta.entityname="Vistara" meta.hostid="261" meta.entityid="Vistara">Vistara</keyword> chief said. Most of the cancellations were in the domestic network and the carrier is working on plans for May and beyond. "While the events of the last week may seem like a setback, the hallmark of our organisation has always been that we have bounced back from tough situations ' and emerged stronger. "... I trust each of you to continue to put in all efforts to ensure that we do not let our brand, and our customer, down," Kannan said. As we emerge from this difficult phase, he said it is this commitment to being a customer-oriented airline that will help it bounce back stronger. The airline has also reached out to customers impacted by the cancellations and delays over the affected period. "We have provided the necessary compensation as per the regulatory mandate, and have also offered additional service recovery vouchers for passengers whose flights were significantly delayed," the Vistara chief said. The carrier has 70 aircraft in its fleet and is to operate more than 300 flights daily in the ongoing summer schedule. "Dealing with disappointed customers is never easy but amidst all the chaos, we have received feedback on how some of you went beyond the call of duty to assist our customers to the extent possible," Kannan said and expressed gratitude to the pilots for cooperating and stepping up to support operations.

Vistara CEO says 'worst is behind us', flight operations have stabilised

Discontent has been brewing among a section of the cabin crew at the low-cost carrier for some time now, especially after the start of the process of merger of AIX Connect, formerly AirAsia India, with itself. The sources on Wednesday said several cabin crew members started reporting sick since Monday evening and as there are not enough cabin crew members, "scores of flights" have been cancelled at various airports, including Kochi, Calicut and Bangalore. Late last month, a union representing a section of the Air India Express cabin crew alleged that the airline is being mismanaged and there is a lack of equality in the treatment of the staff. Air India Express Employees Union (AIXEU), a registered union, which claims to represent around 300 cabin crew members, mostly seniors, had also alleged that mismanagement of the affairs has affected the morale of the employees. Many passengers took to social media on Wednesday complaining about the sudden cancellation of flights. In response to a passenger's post on X about flight cancellation, Air India Express apologised and said the flight was cancelled "due to operational reasons". "As part of our service recovery process, you can either opt to reschedule the flight within the next 7 days or request a full refund through our chat bot Tia...," the airline said in a post on X. Air India Express cancels flights due to cabin crew shortage: Sources

Vistara on Monday said that it delivered remarkable results for the first time since its inception in 2013. The airline achieved its highest-ever domestic market share of 10.4 per cent in July 2022 and maintained its position as the second largest domestic airline in India since then, flying more than 11 million passengers in the calendar year 2022. Vistara also registered an 11 per cent year-on-year growth in the member base for its frequent flyer program, Club Vistara. Vistara grew its international network by over 180 per cent in 2022, by adding seven additional routes including three new destinations (Jeddah, Abu Dhabi and Muscat). It also grew its domestic network by over 50 per cent, by adding six new routes including two new destinations (<keyword id="6361828" type="General" weightage="50" keywordseo="coimbatore" source="Orion">Coimbatore</keyword> and Jaipur). For the quarter that ended December 2022, the airline grew its capacity by 37 per cent and passengers by 47 per cent compared to the same period last year. The airline recorded the second-highest on-time performance at four key metros and over 85 per cent domestic load factor for most of the year in 2022. This year, Vistara became the only Indian airline to be featured in Skytrax's list of the World's Top 20 airlines. <keyword id="8555" type="General" weightage="20" keywordseo="tata" source="Orion">Tata</keyword> Group’s takeover of loss-making national carrier <keyword id="2573" type="General" weightage="20" keywordseo="air-india" source="Orion">Air India</keyword> is most likely delayed by a month till January as the completion of procedures taking longer than expected, an official said on Monday. In October, the government accepted the highest bid made by a Tata Sons company for 100 per cent equity shares of Air India and Air India Express along with its 50 per cent stake in ground-handling company AISATS — the first privatisation in 20 years. At that time, the government had stated that it wanted to complete the transactions, which included Tatas paying Rs 2,700 crore in cash, by December end. As per the conditions in SPA, all formalities of handover would have to be completed within 8 weeks, but this date can be mutually extended by the buyer and seller and is being done in this case. However, some regulatory approvals are yet to come in for the handover, and certain formalities are yet to be completed, the official, who wished not to be named, told PTI. “The process would be completed by January,” he said without giving a specific date. On October 25, the government had signed the share purchase agreement with Tata Sons for the sale of national carrier Air India for Rs 18,000 crore. Tata’s would pay Rs 2,700 crore cash and takeover Rs 15,300 crore of the airline’s debt. The cash component would come once the handover process is completed, another official explained. Tatas beat the Rs 15,100-crore offer by a consortium led by SpiceJet promoter Ajay Singh and the reserve price of Rs 12,906 crore set by the government for the sale of its 100 per cent stake in the loss-making carrier. As of August 31, Air India had a total debt of Rs 61,562 crore. 75 per cent of this debt or Rs 46,262 crore will be transferred to a special purpose vehicle AIAHL before handing over the loss-making airline to Tata Group. Tatas will not get to retain non-core assets, such as the Vasant Vihar Housing colony of Air India, Air India Building at Nariman Point, Mumbai, and Air India Building in New Delhi. Of the 141 Air India aircraft that Tatas will get, 42 are leased planes, while the remaining 99 are owned. While this will be the first privatisation since 2003-04, Air India will be the third airline brand in the Tatas’ stable – it holds a majority interest in AirAsia India and Vistara, a joint venture with Singapore Airlines Ltd. Tata’s acquisition of Air India will give it access to a fleet of 117 wide-body and narrow-body aircraft, and Air India Express Ltd another 24 narrow-body aircraft besides control of 4,400 domestic and 1,800 international landing, and parking slots at domestic airports. Air India started suffering losses every year since its merger with Indian Airlines in 2007-08. A Turnaround Plan (TAP) and a Financial Restructuring Plan (FRP) were approved for Air India by the previous UPA regime in 2012. However, the TAP did not work out, and Air India continued to reel under losses, with the government giving Rs 20 crore per day to keep the airline afloat. Over the last decade, more than Rs 1.10 lakh crore was infused by way of cash support and loan guarantees in the loss-making airline to keep it afloat.
