A statement issued by Society of Indian Law Firms (SILF) chief <keyword id="21195497" type="General" weightage="20" keywordseo="lalit-bhasin" source="keywords">Lalit Bhasin</keyword> on Thursday said it was "unfortunate" that recently "very senior bar members", while appearing in the courts, had "attacked the integrity and competence" of <keyword id="19895345" type="General" weightage="20" keywordseo="supreme-court" source="keywords">Supreme Court</keyword> judges "This is an alarming and pernicious attempt to tarnish the image of the judiciary of our country, which has always stood for commitment to the rule of law. <keyword id="21195498" type="General" weightage="20" keywordseo="our-supreme-court" source="keywords">Our Supreme Court</keyword> has repeatedly held that however high one may be, one is not above the law," it said. The statement added, "Our society strongly believes that law should be allowed to have its normal course, regardless of the status of the individuals in respect of whom there are ongoing investigations. It is to be left to the courts to decide on the innocence or otherwise of the persons." SILF, a collective body of the leading corporate law firms, is the country's only representative body for law firms.

Law firms' body deprecates attempts to undermine integrity of SC judges

New Delhi: The <keyword id="19895345" type="General" weightage="20" keywordseo="supreme-court" source="keywords">Supreme Court</keyword> on Wednesday said it will hear on September 17 the appeal of US-based creditor Glas Trust Company LLC against a judgment of the <keyword id="19916400" type="General" weightage="20" keywordseo="nclat" source="keywords">NCLAT</keyword>, which had stayed insolvency proceedings against ed-tech firm BYJU's and approved its Rs 158.9 crore dues settlement with the <keyword id="19901245" type="General" weightage="20" keywordseo="bcci" source="keywords">BCCI</keyword>. A bench comprising Chief Justice D Y Chandrachud and Justices J B Pardiwala and Manoj Misra was urged by a battery of lawyers that the plea be heard urgently keeping in mind the subsequent developments in the case. The plea was mentioned by senior advocate NK Kaul, appearing for the ed-tech major, that the case needed to be heard at the earliest. The submission was supported by Solicitor General Tushar Mehta, appearing for the BCCI, and senior lawyer Abhishek Singhvi, also appearing for the ed-tech firm. Kaul said another plea in the case has also been filed and that is listed for hearing on September 17 and hence, the present plea be either heard on that day or the hearings in both the cases be advanced to this Friday. "We will hear both the pleas on September 17," the CJI said. Senior advocate Shayam Divan, appearing for the US-based creditor, said let the matters be heard together on September 17. Earlier on August 22, the bench had refused to pass an interim order to ensure that the committee of creditors (CoC) does not hold any meeting in pursuance of the insolvency proceedings against the embattled ed-tech firm. It had listed the plea for a final hearing on August 27. The bench had said the developments, which may take place in the meantime, can be negated if it finds there was no merit in the appeal of the US-based creditor against the judgment of appellate insolvency tribunal NCLAT. The plea was mentioned earlier also on August 20 by Byju's and the BCCI and the top court had then also refused to pass an interim order to restrain the Insolvency Resolution Professional (IRP) from constituting a committee of creditors (CoC) in the insolvency proceedings against the ed-tech firm. In a major setback to Byju's, the top court had on August 14 stayed the verdict of NCLAT, setting aside the insolvency proceedings against the ed-tech major and approving its Rs 158.9 crore dues settlement with the Indian cricket board. The August 2 verdict of the NCLAT had come as a huge relief for Byju's as it had effectively put its founder Byju Raveendran back in control. The top court, however, had prima facie termed the NCLAT verdict as "unconscionable" and stayed its operation while issuing notices to Byju's and others on the appeal of the ed-tech firm's US-based creditor against the judgment of the insolvency appellate tribunal. The case stemmed from Byju's default on a Rs 158.9 crore payment related to a sponsorship deal with the BCCI. The top court had directed the BCCI to keep a sum of Rs 158 crore it had received from Byju's after a settlement in a separate escrow account till further orders. "Issue notice. Pending further orders there shall be a stay of the impugned order of August 2 of NCLAT. In the meantime, BCCI shall maintain the amount of Rs 158 crore, which shall be realised in pursuance of a settlement, in a separate escrow account until further orders," the bench had said. The NCLAT had approved the Rs 158.9 crore dues settlement with the BCCI and set aside the insolvency proceedings against Byju's. Byju's had entered into a "Team Sponsor Agreement" with the BCCI in 2019. Under the agreement, the ed-tech firm got exclusive rights to display its brand on the Indian cricket team's kit and some other benefits. Byju's had to pay a sponsorship fee. The company met its obligations till the middle of 2022 but defaulted on subsequent payments of Rs 158.9 crore. After insolvency proceedings were initiated, Byju's entered into a settlement with the BCCI. On July 16, the Bengaluru bench of the <keyword id="19902197" type="General" weightage="20" keywordseo="national-company-law-tribunal" source="keywords">National Company Law Tribunal</keyword> (NCLT) had admitted 'Think and Learn', Byju's parent company, to the insolvency resolution process on a plea filed by the BCCI over default in payment of outstanding dues of almost Rs 158.9 crore. While suspending the board of the ed-tech firm, the NCLT had appointed an interim resolution professional to run the operations of the company, suspended the company's board of directors, and brought it under moratorium by freezing its assets. An interesting addition of the law is that in the event of an arrest, the individual has the right to inform a person of his choice about his or her situation. This will ensure immediate support and assistance to the arrested individual. Besides, arrest details will now be prominently displayed within police stations and district headquarters, allowing families and friends of the arrested person easy access to important information. To strengthen the case and investigations, it has become mandatory for forensic experts to visit crime scenes for serious offences and collect evidence. Additionally, the process of evidence collection at the crime scene will be mandatorily videographed to prevent tampering of evidence. This dual approach significantly enhances the quality and reliability of investigations and contributes to a fair administration of justice, the sources said. The new laws prioritised the investigations for offences against women and children, ensuring timely completion within two months of recording information. Under the new law, victims are entitled to regular updates on the progress of their case within 90 days. This provision keeps the victims informed and involved in the legal process, enhancing transparency and trust. The new laws guarantee free first-aid or medical treatment to victims of crimes against women and children at all hospitals. This provision ensures immediate access to essential medical care, prioritising the well-being and recovery of victims during challenging times. Summons can now be served electronically, expediting the legal processes, reducing paperwork and ensuring efficient communication between all parties involved. For certain offences against women, statements of the victim are to be recorded, as far as practicable, by a woman magistrate and in her absence, by a male magistrate in the presence of a woman to ensure sensitivity and fairness, creating a supportive environment for victims. Both the accused and the victim are entitled to receive copies of the FIR, police report, chargesheet, statements, confessions and other documents within 14 days. Courts grant a maximum of two adjournments to avoid unnecessary delays in case hearings, ensuring timely justice delivery. The new laws mandate all state governments to implement witness protection scheme to ensure the safety and cooperation of witnesses and enhancing the credibility and effectiveness of legal proceedings. The definition of "gender" now includes transgender individuals, promoting inclusivity and equality. By conducting all legal proceedings electronically, the new laws offer convenience to victims, witnesses and accused, thereby streamlining and expediting the entire legal process. In order to provide more protection to the victim and enforce transparency in investigation related to an offence of rape, the statement of the victim shall be recorded through audio video means by the police. Women, persons below 15 years, persons above 60 years and those with disabilities or acute illness are exempt from attending police stations and can receive police assistance at their place of residence. A new chapter has been added in BNS specifically to address offences against women and children, ensuring focused protection and justice. Various offences against women and children have been made gender-neutral in BNS, covering all victims and perpetrators regardless of gender. The new laws introduce community service for minor offences in order to promote personal growth and social responsibility of an individual. Under community service, the offenders get the chance to positively contribute to society, learn from their mistakes and build stronger community bonds. Under the new laws, the fines imposed for certain crimes have been aligned with the severity of the offences, ensuring fair and proportional punishment, deterring future offences and maintaining public trust in the legal system. The legal processes have been simplified to make them easier to understand and follow, ensuring fair and accessible justice. The new laws promise a faster and fair resolution of cases, instilling confidence in the legal system. The legislations were considered and passed by Parliament in its winter session in 2023. Total 37 members of Parliament from Lok Sabha and 40 from Rajya Sabha participated in the debate.

The company told IANS that "it cannot comment on rumours on the same". "The Indian regulations stipulate due process for conducting an EGM, intimation of petitions being filed in NCLT, etc. But certain shareholders prefer to manufacture a media spectacle as opposed to following due process," the company spokesperson said. If such a petition has been filed, "the company shall respond to the same as per applicable law and due process," the spokesperson added. According to investor sources, the VC firms have cited "suppression of investor rights and mismanagement of the company". The four investors filed the petition before the Bengaluru bench of the tribunal, according to sources. This is the first time Byju's investors have legally moved against the rights issue. The edtech company said earlier this week that the rights issue by its parent company Think &amp; Learn Pvt. Ltd to raise $200 million at a 99 per cent valuation cut was fully subscribed. "Investors have sought relief on declaring the rights issue as void, and declaring the founders and the management as unfit to run the company," according to investor sources. "However, the NCLT, Chandigarh Bench, which has jurisdiction over IBREL, had earlier raised certain concerns based on the objections cited by the Income Tax department to the merger. "IBREL strongly believes that these objections and concerns were unfounded, unjustified and do not impact the merger in a significant manner and had accordingly addressed the same before the NCLT," the company said in the filing. IBREL said it will await the detailed order to further evaluate the next steps and shall explore all options, including filing an appeal against the order of the NCLT, Chandigarh Bench, before the National Company Law Appellate Tribunal (NCLAT) at the earliest. The merger has already received overwhelming support from 99.9987 per cent of its shareholders who voted on the same and has also received approval from other regulators, it added. "IBREL's board shall be meeting over the next day to chalk out its plan and strategy to move forward and shall communicate the same to all its stakeholders," the filing said. In February 2021, the Competition Commission of India (CCI) approved the proposed merger of Embassy Group firms -- NAM Estates Pvt Ltd and Embassy One Commercial Property Developments Pvt Ltd -- with IBREL. At present, Embassy Group has around 14 per cent stake in IBREL and the same will increase to 45 per cent after the merger of assets of these two companies. Post-merger, the combined entity will have 80.8 million square feet of launched and planned development potential. The merged entity will have about 30 projects. Under the terms of the agreement, IBREL's shares are valued at Rs 92.5 per share. IBREL has a land bank of 3,280 acre, near major metropolitan cities. The council said, "Taking an all-inclusive view, the Bar Council of India resolves to implement rules enabling the foreign lawyers and Foreign Law Firms to practice foreign law and diverse international law and international arbitration matters in India on the principle of reciprocity in a well defined, regulated and controlled manner." In order to meet the objectives, the Bar Council of India has framed the Bar Council of India Rules for registration of foreign lawyers and foreign Law Firms in India, 2021 under its rule-making powers under clauses (d), (e), (ic), (1) and (m) of sub-section (1) of section 7 and clauses (ah), (ag), (c), (e) and (h) of sub-section (1) of section 49 read with sections 24, 29 and 47 of the Advocates Act, 1961 and under all other enabling provisions. Bar Council of India is of the view that opening up a law practice in India to foreign lawyers in the field of practice of foreign law; diverse international legal issues in non-litigious matters and in international arbitration cases would go a long way in helping the legal profession/ domain grow in India to the benefit of lawyers in India too, the council said. This decision has been further confirmed by the Supreme Court itself twice over, a fact which has been deliberately ignored and concealed in the Hindenburg report (which contemptuously raises questions on the competence of the Appellate Tribunal with baseless claims that it has ignored evidence). An example of where the report exposes its motives is the question around "convoluted structures" and multiplicity of subsidiaries, while failing to comprehend that in the infrastructure business, especially in a sprawling geography like India, most large corporates operate in a similar fashion because projects are housed in separate SPVs and these need to be ring fenced from a lender perspective for limited recourse project finance and in many cases on account of specific regulatory requirements, Adani Group said. As an example, transmission projects in India are awarded under tariff-based competitive bidding, in such bidding, the successful bidder has to acquire the SPV which is undertaking the project. Hence, it is a regulatory requirement as part of the Electricity Act, 2003 and the regulations of the Central Electricity Regulatory Commission to execute projects in different SPVs. Hindenburg deliberately ignores Indian legal processes and regulations in their insinuations against us, Adani Group said. For instance, they have raised several questions around the offer for sale undertaken by Adani Green Energy Ltd in 2019, while maliciously ignoring the fact that in India the process for OFS is a regulated process, implemented through an automated order book matching process on the platform of the stock exchange. This is not a process which is controlled by any entity and the purchasers are not visible to anyone of the platform. Adani Group said on Sunday that it is in compliance with all applicable laws and regulations. "We are committed to the highest levels of governance to protect the interests of all our stakeholders," a statement said. The Adani Portfolio also has very strong internal controls and audit controls. All the listed companies of Adani Portfolio have a robust governance framework. The Audit Committee of each of the listed companies is composed of 100 per cent of Independent Directors and chaired by an Independent Director. The Statutory Auditors are appointed only upon recommendation by the Audit Committee to the Board of Directors. Adani Portfolio companies follow a stated policy of having global big 6 or regional leaders as Statutory Auditors. The focus of the Adani portfolio and the Adani verticals is to contribute to nation building and take India to the world. "We will exercise our rights to pursue remedies to safeguard our stakeholders before all appropriate authorities and we reserve our rights to respond further to any of the allegations or contents of the Hindenburg report or to supplement this statement," Adani Group said. Adani Group, in a statement, said it is shocked and deeply disturbed to read the report published by the "Madoffs of Manhattan" - Hindenburg Research on January 24, 2023 "which is nothing but a lie". "The document is a malicious combination of selective misinformation and concealed facts relating to baseless and discredited allegations to drive an ulterior motive," Adani Group said. This is rife with conflict of interest and intended only to create a false market in securities to enable Hindenburg, an admitted short seller, to book massive financial gain through wrongful means at the cost of countless investors. "It is tremendously concerning that the statements of an entity sitting thousands of miles away, with no credibility or ethics has caused serious and unprecedented adverse impact on our investors. The mala fide intention underlying the report is apparent given its timing when Adani Enterprises Ltd is undertaking what would be the largest ever further public offering of equity shares in India. This is not merely an unwarranted attack on any specific company but a calculated attack on India, the independence, integrity and quality of Indian institutions, and the growth story and ambition of India," Adani Group said. There are three key themes from the Hindenburg Report: (i) Selective and manipulative presentation of matters already in the public domain to create a false narrative (ii) Complete ignorance or deliberate disregard of the applicable legal and accounting standards as well as industry practice, (iii) Contempt for the Indian institutions including the regulators and the judiciary, Adani Group said. The report has been put out with the admitted intent of Hindenburg (holding short positions in various listed companies of the Adani portfolio through US traded bonds and non-Indian-traded derivatives, along with other non-Indian-traded reference securities) to profiteer at the cost of our shareholders and public investors. Hindenburg has not published this report for any altruistic reasons but purely out of selfish motives and in flagrant breach of applicable securities and foreign exchange laws, it said. "The truth of the matter is that Hindenburg is an unethical short seller. A short seller in the securities market books gain from the subsequent reduction in prices of shares. Hindenburg took 'short positions' and then, to effect a downward spiral of share price and make a wrongful gain, Hindenburg published a document to manipulate and depress the price of stock, and create a false market. The allegations and insinuations, which were presented as fact, spread like fire, wiping off a large amount of investor wealth and netting a profit for Hindenburg. The net result is that public investors lose and Hindenburg makes a windfall gain. "Thus, the report is neither 'independent' nor 'objective' nor 'well-researched'. The report claims to have undertaken a '2-year investigation' and 'uncover evidence', but comprises of nothing other than selective and incomplete extracts of disclosed information which has been in the public domain for years if not decades, attempts to highlight allegations which have since been judicially determined to be false, narrates as fact what is attributed to hearsay, rumours and gossip spread by unnamed sources such as 'a former trader' or 'touts' of a 'close relationship', questions the independence of the judicial processes and regulators in the nation, and selectively extracts statements devoid of their context and with no understanding of Indian law or industry practice," Adani Group said. It is telling that not one of the allegations is a result of any independent or journalistic fact finding. The allegations and innuendoes made in the Hindenburg report are knowingly false. Hindenburg's conduct is nothing short of a calculated securities fraud under applicable law, Adani Group said. Ironically for an organization that seeks transparency and openness, nothing much is known about either Hindenburg or its employees or its investors. Its website alleges that the organisation has an experience that 'spans decades' and yet appears to have been set up only in 2017. Despite all its talks of 'transparency', Hindenburg has actively concealed the details of its short positions, the source of its own funding, who is behind them, the illegality underlying the synthetic structures by which they hold such positions, or the profit it has made by holding such positions in our securities, Adani Group said. Not one of these 88 questions is based on independent or journalistic fact finding. They are simply selective regurgitations of public disclosures or rhetorical innuendos colouring rumours as fact. The report seeks answers to '88 questions' - 65 of these relate to matters that have been duly disclosed by Adani Portfolio companies in their annual reports available on their websites, offering memorandums, financial statements and stock exchange disclosures from time to time. Of the balance 23 questions, 18 relate to public shareholders and third parties (and not the Adani portfolio companies), while the balance 5 are baseless allegations based on imaginary fact patterns. "Our inspiration and India's First Home Minister, Sardar Vallabhbhai Patel famously called the civil servants as the 'Steel frame of India'. The people of India are well aware that it is the Indian National Congress which established numerous institutions, laid their solid foundation, and devised mechanisms for their independence, on the basis of the Constitution of India. "Independence of the institutions is paramount, for every civil servant takes oath of the Constitution that they 'will faithfully and conscientiously discharge their duties and will do right to all manner of people in accordance with the Constitution and the law, without fear or favour, affection or ill-will'," he said. "In this spirit we expect every bureaucrat and officer - from top to bottom of the hierarchy, to discharge their duties in the spirit of the Constitution, without any coercion, threat, pressure or intimidation either from the ruling party/coalition or from the opposition party/coalition," the Congress chief said in his letter. He said that the Congress, through the Constitution prepared by inspirational founding members such as Pandit Jawaharlal Nehru, B R Ambedkar, Rajendra Prasad, Maulana Azad, Sarojini Naidu and countless others, not only created a framework of strong governance, but also ensured affirmative action through representation of the marginalised in the bureaucracy and the civil society. "The last decade has witnessed a systemic pattern to assault, undermine and suppress our autonomous institutions by the ruling party. India's Democratic ethos are being consequently damaged. There is a widespread tendency to turn India into a regimental dictatorship. "We are increasingly seeing some institutions shedding their independence and brazenly following the diktats of the ruling party. Some have completely adopted their style of communication, their way of functioning, and in some cases even their political rhetoric," Kharge said. But it is not their fault, he said. "With brute power, threat, coercive mechanisms and misuse of agencies, this tendency to bow to the powers that have become a way for their short-term survival. Even though, in this denigration, India's Constitution and Democracy have become a casualty." The Congress chief also said that the "will of the people" is supreme, and people want Indian bureaucracy to again be the same 'Steel frame of India' as envisaged by Sardar Patel. "Indian National Congress now urges the entire bureaucracy, to adhere to the Constitution, enact their duties, and serve the nation, without fear, favour and ill-will against anybody," Kharge said. Counting for the 2024 Lok Sabha elections would be held on Tuesday, and both the ruling NDA and the opposition INDIA bloc have claimed victory. Meanwhile, BJP IT cell head Amit Malviya shared a purported letter of the Congress in which it has asked all its cadres to reach the counting centres. However, there was no confirmation of the letter from the Congress. "<keyword id="1571" type="General" weightage="20" keywordseo="congress-party" source="Orion">Congress party</keyword>'s instruction to its workers' reads like a manual to riot...There is absolutely no merit in asking people to assembly in state and district offices because counting happens in a designated secure zone for each Lok Sabha, unless the idea is to unleash mobs and disrupt the process," Malviya said in a post on X while sharing the unsigned letter of the Congress.
