IPOs this week – Allied Blenders and Vraj Iron and Steel look to raise ₹1,671 crore

Strong participation of family offices as well as high-net-worth individuals (<keyword id="109161" type="General" weightage="20" keywordseo="hnis" source="Orion">HNIs</keyword>), adequate market liquidity, and optimistic investor sentiment have amplified interest in small and medium enterprise (<keyword id="18173" type="General" weightage="80" keywordseo="sme" source="Orion">SME</keyword>) IPOs, with 139 such firms garnering Rs 3,540 crore through initial share sales in 2023 so far. This was higher than 109 companies that raised Rs 1,875 crore through initial public offerings (IPOs) in the entire 2022, according to data provided by primedatabase.com. Looking ahead, the fundraising environment for <keyword id="3704207" type="General" weightage="20" keywordseo="sme-ipos" source="Orion">SME IPOs</keyword> is anticipated to remain favourable, experts said. "The primary determinants include the growth potential of specific sectors, market liquidity levels, investor sentiment, and potential regulatory changes. The robust fundraising momentum is expected to persist, buoyed by the convergence of these influential factors," Abhishek Jain, Head of Research at Arihant Capital Markets Ltd, told PTI. Going by the industry data, a total of 139 IPOs have debuted on the SME platforms -- <keyword id="1885131" type="General" weightage="20" keywordseo="bse-sme" source="Orion">BSE SME</keyword> and <keyword id="4484133" type="General" weightage="20" keywordseo="nse-emerge" source="Orion">NSE Emerge</keyword> -- and raised Rs 3,540 crore this year (till October 20). In addition, the maiden public issues of two more SMEs -- Paragon Fine and Speciality Chemical and On Door Concepts -- are scheduled to open next week. These companies that came out with their maiden public issue belong to a wide range of sectors like IT, FMCG, automotive components, pharma, infrastructure, advertising, and hospitality. These firms have mobilised funds for expansion plans, support working capital requirements, and retire debt. The remarkable surge in SME fundraising through IPOs in 2023 can be attributed to the participation of family offices and HNIs that injected substantial capital into the SME market, Jain said. "Some reasons for the whopping growth in fundraising are the upward movement in the markets, the liquidity has been good, and businesses are scaling up. As a result, there is a huge demand for capital. And many companies are taking advantage of these favourable market conditions to raise capital from the public market," Himanshu Kohli, Co-founder of Client Associates, said. Also, there is a lot of demand for offers for sale because investors who had invested in those companies before are considering unlocking value and wish to exit through this route right now, he added. In terms of month, September saw the highest number of 37 SMEs hitting the IPO market. The largest issue this year was Spectrum Talent Management which mobilised Rs 105 crore, followed by CFF Fluid Control which mopped up Rs 86 crore. Stock exchanges BSE and NSE launched SME platforms in 2012 becoming the only two bourses to offer such a segment in the country. These platforms provide opportunities for such firms to raise capital for growth and expansion.

An eclectic mix of companies are hitting the primary markets ranging from ‘gathia’ (Gujarati snack) makers, apparel brands to marketing agencies will make their case for investors in the coming months. This flow of new IPOs will continue to hit the market, experts predict, thanks to the stellar response received of the issues that hit this week. All IPOs, barring the Fedbank Financial Services issue, were subscribed at least twice over on the first day. Tata Technologies offering was lapped up like hot cakes on a winter morning as it was swiftly overbooked within hours. “Investors have come through,” Munish Aggarwal, managing director of Equirus Group tells Business Insider India. “In fact, a lot of them were launched parallelly because there is a lot of equity in the market. QIBs are very active too,” he comments. The QIB quota of four of five IPOs live this week, barring Fedbank, were subscribed over 100 times the shares on offer. changed from extant T+6 to T+3. It means an issue can now debut on exchanges within three days of receiving subscriptions. And many companies are choosing to go for it, which means IPO bid amount is blocked for shorter timelines. “Investors now have the opportunity for having early credit and liquidity for their investment, which enable investors to analyse and participate in more number of IPOs opening parallel, as we gear for bigger capital formation,” says Lunawat. Listing gains in focus next week If the grey market premiums are anything to go by, next week will be much better for the issues that were open this week. Analysts say that those who missed out on share allotment due to heavy oversubscription might try to buy from the secondary market – and that’s pushed the listing gains expected for issues live this week — anywhere between 23-78%. Even as the response to IREDA and Tata Technologies was expected as they have strong legacy and brand names, investors are also willing to make their bets on smaller, newer and niche companies. Gandhar Oil Refinery’s book is just as busy as that of Tata Technologies, even though it’s a much smaller issue. “It has leading market share in the Indian white oil market with significant overseas presence; and a well-diversified product portfolio with an extensive customer base,” comments Kunvarji Wealth Solutions. Pen manufacturer Flair Instruments too is getting good interest. “Being among the top three players in the overall writing instrument industry with a market share of 9% in the overall writing and creative instruments industry in India, we believe the company is strategically positioned coupled with a track record of sustained growth,” said Rajan Shinde, research analyst at Mehta Equities. DroneAcharya AI IPO set to open next week on December 13; GMP at ₹25 per share

It operates a manufacturing facility located in Chandrapur, Maharashtra with an installed production capacity of 72,000 metric tonnes. The company sells its products primarily in Maharashtra, Odisha and Chhattisgarh. <ul><li>According to Prime Database, IPO pipeline continues to remain strong for 2023. </li><li>The report says 54 companies received SEBI approval to collectively raise ₹84,000 crore.</li><li>Of the 87 companies in line to launch their IPOs (including those with SEBI approval and those awaiting approval) in 2023, eight are new-age tech companies.</li></ul>Initial public offerings (IPOs) have seen a pick up in the last two months of last year and the momentum is expected to continue in 2023, especially for IPOs that intend to raise around ₹500 to ₹1500 crore, says Prime Database. “The momentum seen in the last 2 months of 2022 is likely to continue, at least for the smaller-sized IPOs. However, it may be a while before we see larger-sized deals, especially in light of lack of sustained interest from FPIs,” said Pranav Haldea, MD at Prime Database Group. The pipeline continues to remain strong for 2023 as the report says that 54 companies have received SEBI approval to collectively raise ₹84,000 crore. Another 33 companies looking to raise about ₹57,000 crore are awaiting SEBI approval. IPOs halved in 2022 from the previous year In 2022, 40 Indian corporates raised ₹59,412 crore through main-board IPOs, half of the all-time high of ₹1.19 lakh crore – mobilised by 63 IPOs – in 2021, according to Prime Database. A huge portion of the fund raised during the year came from LIC’s IPO, which raised ₹20,557 crore. Response from retail investors also moderated in 2022 as the average number of applications from retail dropped to just 5.92 lakh, in comparison to 14.25 lakh in 2021 and 12.77 lakh in 2020. However, retail investors showed exceptional interest in three IPOs – LIC (32.76 lakh) followed by Harsha Engineers (23.86 lakh) and Adani Wilmar (18.96 lakh). On the other hand, <keyword id="3704207" type="General" weightage="20" keywordseo="SME-IPOs" source="Orion">SME IPOs</keyword> nearly <a href="https://www.businessinsider.in/stock-market/news/small-is-the-new-big-sme-ipos-double-in-2022-while-mainboard-ipos-halve/articleshow/96618323.cms">doubled in 2022 </a>with a stellar performance. According to Prime Database, SME IPOs saw a huge increase in calendar year 2022 – with 109 SME IPOs raising a total of ₹1,874 crore in comparison to 59 IPOs in 2021 which collected ₹746 crore. While <a href="https://www.businessinsider.in/business/corporates/news/new-age-tech-companies-rake-in-business-but-are-still-making-losses/articleshow/95837559.cms">IPO subscriptions of </a>Nykaa, Zomato and Policybazaar were huge, they are now being punished for poor financial performance. Of the 87 companies in line to launch their IPOs (including those with SEBI approval and those awaiting approval) in 2023, eight are new-age tech companies, which are looking to raise roughly ₹29,000 crore. In 2022, only 1 – Delhivery – out of 40 IPOs in the year was that of a new-age tech company compared to seven such IPOs raising ₹42,826 crore in 2021, pointing to a slowdown in IPOs from this sector. Slowdown in promoter sell offs The report said that offers for sale (OFS) through stock exchanges, wherein promoters dilute their stake in a company, also saw a huge decrease to just ₹11,269 crore raised in 2022, from ₹22,912 crore raised in calendar year 2021. Only 14 out of the 40 IPOs that hit the market in 2022 had a prior PE/VC investor who sold shares in the IPO. Offers for sale by such PE/VC investors at ₹7,821 crore accounted for 13% of the total IPO amount. Offers for sale by private promoters at ₹8,623 crore accounted for 15% of the IPO amount while offers for sale by the government accounted for 35% of the IPO amount. As many as 20 new companies listed on BSE and NSE, raising as much as ₹15,000 crore as of August. An IPO (Initial Public Offer) is the first sale of shares by a privately owned company to institutional and retail investors. Though it’s a far cry from ₹58,346 crore raised in 2022 — a lot of large and small companies alike have filed their draft red herring prospectus (DRHPs) with market regulator SEBI — promising an exciting year ahead. In spite of a lot of investor concern around new-age companies, experts believe that India will see a lot of tech IPOs in the coming years. Mamaearth’s parent Honasa Consumer has also received a nod from SEBI for their IPO, even though it was delayed as of March this year. “By FY25, India is likely to have up to 40 listed/IPO ready new-age companies, which can grow to 90 by FY28. SaaS, B2C Product Companies, and FinTech are amongst the most promising categories to produce IPO-ready companies," Rohan Agarwal, partner at Redseer said in a recent report. These companies, Agarwal believes, have sizable revenues, sustainable growth, a strong EBITDA, and operate on defensible business models, making them strong candidates for IPO. Another Solapur based specialty chemicals company Balaji Specialty Chemicals also hopes to add to the many companies that have provided outsized returns to their investors in the last few years — as the sector is on an upcycle. IPOs galore – India’s primary market to remain buzzing in 2023

From Sah Polymers to Chaman Metallics – Four IPOs that plan to raise almost ₹110 crore this week

And a fourth of all the funds raised, and almost half of all the offer-for-sale capital landed in the coffers of private equity and venture capital firms. This is in addition to the large block deal action seen between August and September, especially in new-age companies. A total of ₹40,773 crore was raised by 46 mainboard public offers in 2023 up until the third week of November. Around half of it — ₹23,714 crore raised as offers-for-sale by promoters, existing investors and more. Of this, PE and VC players made as much as ₹10,007 crore across 17 IPOs via offers-for-sale, according to data by Primedatabase. Even if they’re not a part of the offer-for-sale in an issue, being part of a public listed company frees-up their shares for block deals. “IPOs are a credible exit channel for VC/PE funds. Revival of the IPO market is certainly good news for the investors. Equally good news is the performance of some of the marquee tech stocks that have been listed on the stock market in the last few years,” Fazal Ahad, managing director at Merisis Advisors told Business Insider India. Thanks to the bull run of stock markets seen since August, there have been a lot of block deals by large PE/VC investors. In as many as 29 large block deals since September, Softbank, <keyword id="526777" type="General" weightage="80" keywordseo="tiger-global" source="Orion">Tiger Global</keyword>, Bain and TPG sold stakes in new-age internet companies like PB Fintech, Delhivery, Zomato and Paytm, as per data by Kotak Institutional Equities. According to IVCA-EY monthly PE/VC roundup, August 2023 saw exits to the tune of $4.3 billion across 37 deals in August 2023. And, open market exits accounting for 57% of all exits by value. The best is yet to come The buzz in the primary and secondary markets coupled with the exits they provide is a sign of maturity in the VC ecosystem, say experts. And there are more to come, as per Redseer. As many as 30 unicorns that are valued over $1 billion will become IPO-ready next year. For the smaller startups, there is the SME listing route who want to hit the markets at an earlier stage of their growth. “IPOs need to be valued right as public markets still look for profitable ventures, early profitability will enable startups to get exit through SME listings which has scaled up substantially in the last two years. This will take some time to evolve for startups,” said Manoj Agarwal, co-founder &amp; managing partner, SeaFund. The discipline of being a part of the listed universe also helps companies shrug off cash burn and move towards profitability. “Listed space gives rigour especially financial rigour to companies. This is something which the VCs like and now slowly but surely, there is acceptance in the IPO story of the startups,” says Bhaskar Majumdar, Managing Partner, Unicorn India Ventures. As more and more such companies are entering a state of maturity, FY25 will be a better year for serious large-scale exit gains, opines Agarwal. In the meanwhile, it’s open season for PE/VC investors who are looking to chart their exit strategy. Private equity and VC players make a killing as IPO rush yields them ₹10,000 crore

<ul><li>Perfios and Krutrim AI turned unicorns, while Lohum, The Ayurveda, Cureskin and <keyword id="19919709" type="General" weightage="20" keywordseo="hunch" source="keywords">Hunch</keyword> raised chunky investments.</li><li>Many PE and VC funds made a killing in the public markets in 2023, which has fuelled optimism in the private markets, say experts.</li><li>Investors are warming up, say experts who are cautiously optimistic that funding winter which was set in 2022 might thaw this year. </li></ul>The year 2024 has been good for many startups, as deal activity is growing at a faster clip. While the funding winter that set in mid-2022 is far from over, there seems to be a thaw, opine experts. Not only did two companies — Krutrim AI and Perfios — turn unicorns, but many more late-stage deals are being closed at impressive valuations. In the last few weeks, VC investors have been writing checks at a feverish pace. Fintech Perfios raised $80 million and Bhavish Agarwal-backed Krutrim AI raised $50 million — each of these funding rounds valuing them at $1 billion. In all of 2023, only two startups — Zepto and InCred Finance — had turned unicorns. Apart from unicorn activity, there have been other large deals too. Lithium-ion battery pack maker Lohum raised $50 million, while personal care brands The Ayurveda and Cureskin raised $27 million and $20 million, respectively. Social media discovery app Hunch too raised as much as $23 million. Signals of revival The emerging trends could be the beginning of the end of a funding winter, say experts. Pratip <keyword id="20425093" type="General" weightage="20" keywordseo="mazumdar" source="keywords">Mazumdar</keyword>, partner at Inflexor Ventures says that the noticeable uptick seen in March strongly suggests a warming trend in the investment climate. “This observation indicates a possible conclusion to the previously experienced funding winter. The increased deal flow within our purview further corroborates this optimism, signalling a revitalizing market ready for robust investment and growth opportunities,” he adds. Yet, the Indian startup ecosystem has a long way to go. After spectacular startup inflows of $41.6 billion in 2021, the Indian startup ecosystem made a distinct mark in the global economy. However, funds have been sharply dwindling in the last year and a half. The inflows fell to around $25 billion in 2022 and further dipped to a six-year low of $7 billion in 2023 — one-sixth of 2021 figures — as per a Tracxn report. “These are green shoots for India's large and rapidly growing market. However, more sustained venture capital activity and successful exits over a longer period will be needed for a more definitive end to funding winter. And, the recent developments are encouraging, likely a cautious optimism — a start to a full-fledged thaw,” opines <keyword id="20999102" type="General" weightage="20" keywordseo="rajeev-ranka" source="keywords">Rajeev Ranka</keyword>, Partner at Incubate Fund Asia. The exit door opens wide The year 2023 saw the Indian stock market’s bull run, which enthused the primary markets as well. This optimism has flowed into the private markets, explains <keyword id="20999103" type="General" weightage="20" keywordseo="anirudh-a-damani" source="keywords">Anirudh A Damani</keyword>, managing partner at Artha Venture Fund. “There has been a buoyancy in the India story. For one, SME IPOs have picked up, and there has been a lot of upstream fishing which has triggered the pre-IPO rounds — which has spilled over to Series A,” <keyword id="20043640" type="General" weightage="20" keywordseo="damani" source="keywords">Damani</keyword> tells Business Insider India. A lot of high-profile VCs like Softbank, <keyword id="19971306" type="General" weightage="20" keywordseo="tiger-global" source="keywords">Tiger Global</keyword>, Bain and TPG exited many companies<a href="https://www.businessinsider.in/business/startups/news/private-equity-vc-players-make-a-killing-as-ipo-rush-yields-them-10000-crore/articleshow/105649221.cms"> via primary deals</a> (IPOs) as well as <a href="https://www.businessinsider.in/business/startups/news/pe-and-vc-investors-make-a-killing-in-the-2023-bull-market/articleshow/104034840.cms">secondary market (bulk and block deals)</a> in 2023. That’s made the India startup story stronger. “These exit events not only underscored the viability and potential for significant returns in venture investments but also contributed to the stabilization of valuations within the market. This has, in turn, created a more predictable and reliable landscape for investors, fostering an environment where confidence can flourish,” says Mazumdar. Cleanups, not cash burns The funding winter has also been a wake-up call for many companies as well as their investors – especially those commanding premium valuations. Many listed as well as unlisted companies pivoted to profits, reduced cash burn, and re-calibrated growth strategies. Many of them even tightened belts by reducing staff and other costs, and also agreed to participate in downrounds. Downrounds are those where a startup raises funds at a lower valuation than it did in an earlier round. Those startups that managed to survive with little or no fundraising also passed the acid test — and that’s attracting more investors into the game. “Founders who understand the drop in valuations are raising money. Those startups with profitability focus, scalability and are also generating good customer revenues with good reporting practices are in demand,” says Damani. In the funding boom period, many companies which were getting easy money were burning cash at a rate much faster than revenue growth. As funds became scarce, these practices went away and many of them shifted to positive unit economics. According to Ranka, these are signs of a more mature ecosystem. “Overcoming the funding winters, many startups pivoted from growth-at-all-costs to profit-oriented growth, and it helped keep the investors' trust. The period of valuation-correction has led to more realistic valuations, ushering the ecosystem to an investor-focused approach to growth,” he adds. Cautious optimism reigns the ecosystem Many funds had raised a large amount of capital during the pandemic, and after funding winter a lot of them have been sitting on massive amounts as well — referred to as dry powder across the industry. Yet, funds looking to raise more capital might be hit by a slower translation of interest rate cuts across the globe, a few economies slipping into recession and prevailing high inflation across economies. All in all, global funds wouldn’t flow as freely as they did during the pandemic. “Limited partners (LPs) are understandably cautious in the current economic climate. While the potential for global rate cuts is a factor, it's not the sole driver of their sentiment. LPs indicate a focus on understanding the underlying fundamentals of businesses seeking investment. LPs are primarily looking for sustainable growth potential and a focus on long-term value creation,” says Ranka. Here too, there is caution that’s seeping into optimism. “LPs are bullish on India as a market as it’s a rare market exhibiting growth and well poised for delivering good performance as an economy. However they are cautious in picking funds and looking for evidence in terms of past track record,” adds Mazumdar. Even as the system improves, the odds of startup funding getting back to its former glory this year remain very limited. Even if achieved, it could be a long and rocky path. But the signs of revival are here, and the sector only hopes that the reforms of the winter continue to boost the entire ecosystem towards greater heights in the coming quarters.

A 'thaw in startup funding winter' as two unicorns emerge within a quarter

The <keyword id="35199" type="General" weightage="20" keywordseo="stock-markets" source="Orion">stock markets</keyword>, however, are chugging ahead on long-term triggers like 2024 <keyword id="43763" type="General" weightage="20" keywordseo="general-elections" source="Orion">general elections</keyword>. <keyword id="6354527" type="General" weightage="20" keywordseo="nomura" source="Orion">Nomura</keyword> has recently upgraded India to overweight on account of its structural story. It’s seen as a major beneficiary of the “China+1” theme, possessing a large, liquid equity market. “Valuations are expensive but will likely remain so in a scenario of policy and government continuity. A cyclical slowdown from a high base is expected, but will unlikely deter investor optimism, in our view,” said Nomura. <keyword id="48670" type="General" weightage="20" keywordseo="morgan-stanley" source="Orion">Morgan Stanley</keyword> also believes that the most important catalyst in the second half of 2023 is the market’s view on the 2024 general election outcome. The markets will also watch out for the outcomes of the polls in five states slated to take place this quarter. “Even though we do not believe these state election results will have a lasting effect on share prices since state and general election outcomes may follow independent paths. The thing to watch for is how the opposition parties form alliances. In our base case, we expect the market to trade higher in the run-up to the 2024 polls,” said Morgan Stanley. Foreign vs domestic funds Globally, equity and bond markets are being driven by multiple uncertainties like Fed refusing to commit a pivot in rate hike cycle and lingering fears of recession. That has and will continue to affect FII and FPI inflows into the country. FPIs have started packing off from the Indian equity markets, with their outflows crossing ₹10,000 crore in September. “With the ongoing correction in the US stock market, it is difficult for Indian shares to find a bid from abroad. This is particularly true for mid and small-cap stocks, which look rich relative to large caps,” said Morgan Stanley India’s inclusion into the JP Morgan EM Bond Index is good news for inflows in 2024. Various estimates have suggested that it could bring in inflows anywhere between $30 and $50 billion. But few of that could affect the net flows in the upcoming quarter. While there is little foreign money for emerging markets (EM), India’s performance has been better relative to its EM peers. In January to March, Indian stock markets saw double-digit growth, which moderated to around 7% growth on a relative basis in April-June. “Though relative valuations remain rich, India’s low beta status implies outperformance versus EM if global equity market conditions get worse in October-December quarter,” said Morgan Stanley. While volatility in FPIs are given, domestic markets will keep seeing good inflows, the research firm believes. The only hurdle to domestic flows being heightened primary market activity that could eat into secondary market inflows. A large number of mainboard as well as SME IPOs are slated to open in the coming weeks, with a robust pipeline ahead. Its FY24 earnings per share (EPS) estimates are about 10% above consensus, with a likely recovery in capital spending acting as a key source for upside to estimates. Nomura too sees oil price hit on Indian companies as an opportunity. “We see recent softness driven by higher oil prices as an opportunity to raise exposure. While this weakness may persist in the near term, thus presenting even better timing, we think the window of opportunity might not be open for too long,” Nomura says. The only risks to the euphoria on Indian markets is a potential surprise after May 2024 elections, China re-rotation and sustained high oil prices. Because online lenders let savers lend money directly, borrowers pay less interest, and lenders get a better return. The company was officially launched in May 2013, when it was spun out of short-term mortgage lending business Montello. Since then, it has financed over £300 million worth of mortgages. Cutting out the middleman lets LendInvest give both sides a better rate, CEO Christopher Faes told Business Insider, and means that they can get applicants their money in just two weeks, compared to the three months banks usually take. He added: "LendInvest are re-thinking the whole mortgage process, and using technology to provide an unrivalled experience for borrowers, and a superior return for investors. Chinese technology company Beijing Kunlun was listed on the Shenzen Stock Exchange earlier this year, and was originally backed by Sequoia Capital.
