The Securities &amp; Exchange Board of India (<keyword id="35210" type="General" weightage="20" keywordseo="sebi" source="Orion">SEBI</keyword>) has kept the initial public offering (<keyword id="6354763" type="General" weightage="20" keywordseo="ipo" source="Orion">IPO</keyword>) of <keyword id="236770" type="General" weightage="20" keywordseo="adani-wilmar" source="Orion">Adani Wilmar</keyword> in abeyance. The website of the capital market regulator showed that the Rs 4,500 crore issue has been "kept in abeyance". As per the SEBI (Issuance of Observations on Draft Offer Documents Pending Regulatory Actions) Order, 2020, issued by the SEBI on February 5, 2020, the regulator is obligated to keep issuance of observations in abeyance for a period of 30 days or 45 days or 90 days or more, as the case may be. Adani Wilmar is a joint venture of <keyword id="6367820" type="General" weightage="20" keywordseo="adani-group" source="Orion">Adani Group</keyword> and Singapore's Wilmar Group. During the Monsoon session of the Parliament, Minister of State for Finance, Pankaj Chaudhary said that the SEBI is investigating some Adani group companies with regard to compliance with SEBI regulations while the Directorate of Revenue Intelligence is also probing certain entities under the laws administered by it. However, the minister added that the Enforcement Directorate is not probing these companies. SEBI puts on hold Adani Wilmar’s ₹4500 crore IPO

Business conglomerate <keyword id="6367820" type="ORGANIZATION" weightage="20" keywordseo="adani-group">Adani Group</keyword>'s edible oil firm <keyword id="236770" type="COMPANY" weightage="20" keywordseo="Adani-Wilmar">Adani Wilmar</keyword> on Monday filed draft papers with markets regulator <keyword id="35210" type="ORGANIZATION" weightage="20" keywordseo="sebi">Sebi</keyword> to launch its initial public offer (IPO) to raise up to Rs 4,500 crore for funding its expansion. Adani Wilmar, an equal joint venture between Adani Group and Singapore-based Wilmar, was formed in 1999. It sells cooking oils under the <keyword id="27145" type="COMPANY" weightage="20" keywordseo="Fortune">Fortune</keyword> brand as well as various other food products like rice and sugar. The company, which aims to become a major <keyword id="34523" type="CITY" weightage="20" keywordseo="fmcg">FMCG</keyword> player, has an annual turnover of more than Rs 30,000 crore. In a regulatory filing, Adani Enterprises said <keyword id="4093966" type="COMPANY" weightage="20" keywordseo="adani-wilmar-ltd">Adani Wilmar Ltd</keyword> (<keyword id="3020883" type="ORGANIZATION" weightage="20" keywordseo="AWL">AWL</keyword>) has filed Draft Red Herring Prospectus (DRHP) with Sebi for its IPO. "The proposed listing of AWL on the stock exchanges will comprise an IPO in the form of fresh issue of new equity shares by AWL for an amount of up to Rs 45,000 million (approximately $600 million)," Adani Enterprises said. "There will not be any secondary offering," said Adani Enterprises, the flagship firm of the Adani Group. Adani Wilmar proposes to use the net proceeds to expand its existing manufacturing plants, set up new facilities, repayment/prepayment of borrowings, fund strategic acquisitions and investments, and general corporate purposes. "The proposed listing is intended to further the growth of AWL's operations by increasing its market visibility and awareness among current and potential customers," the filing said. "As there is no assurance that the Proposed Listing will proceed, shareholders and potential investors are advised to exercise caution when dealing with the securities of the company," Adani Enterprises said. In November last year, Gujarat-based Adani Wilmar completed 20 years of operations of its flagship 'Fortune' brand. AWL's deputy CEO Angshu Mallick had said the company's revenue is more than Rs 30,000 crore, of which edible oil business contributes around Rs 24,000 crore. Currently, six Adani Group companies are listed on domestic bourses. Apart from Adani Enterprises, other listed ones are Adani Transmission, Adani Green Energy, Adani Power, Adani Total Gas, and Adani Ports and Special Economic Zone. Adani Wilmar also sells soap, handwash and hand-sanitisers. Adani Group firm Adani Wilmar to raise ₹4,500 crore via IPO

New Delhi, Feb 13 () Shree Renuka Sugars Ltd, a Wilmar group company, on Thursday reported a consolidated net loss of Rs 208.6 crore in the quarter ended December. The company had posted a net profit of Rs 311.1 crore in the year-ago period. Total income dipped to Rs 1,003.9 crore in the third quarter of this fiscal from Rs 1,140 crore in the corresponding period of previous year. "As on December 31, 2019, the current liabilities of the group exceeds its current assets by Rs 3,311 crore. The group has incurred continuing losses in the previous year ended March 31, 2019, and in current nine months period ended December 31, 2019 before exceptional items. The group has negative net worth of Rs 569.9 crore as at December 31, 2019. The group management expects to generate operational cash-inflows in the next 12 months, which will support the group to meets its near future cash obligations," the company said in a regulatory filing. Shree Renuka Sugars Ltd (SRSL) is one of the largest sugar manufacturers and refiners in India. It is present across sugar, ethanol, co-generation, trading and engineering segments. Renuka Sugars posts Rs 208.6 cr loss in Dec quarter

New Delhi, Dec 18 () Yoga guru <keyword id="6355107" type="UNKNOWN" weightage="20" keywordseo="Baba-Ramdev">Baba Ramdev</keyword>'s <keyword id="6406649" type="UNKNOWN" weightage="20" keywordseo="Patanjali-Ayurved">Patanjali Ayurved</keyword> on Wednesday made its first big acquisition when it paid Rs 4,350 crore to take over soya food brand Nutrela-maker Ruchi Soya through an insolvency process. The acquisition will help Patanjali acquire edible oil plants as also soyabean oil brands such as Mahakosh and Ruchi Gold. Sources said Patanjali settled Rs 4,350 crore of dues Ruchi Soya had towards financial creditors by infusing Rs 1,100 crore equity and arranging another Rs 3,250 crore via debt.
 The acquisition of Ruchi Soya by Patanjali Ayurveda has been completed, sources said, adding that the amount has been transferred to an escrow account and disbursals to financial creditors are in process.
 When contacted, Patanjali Ayurveda spokesperson S K Tijarewala said: "We have completed all the formalities and the entire amount of debt and equity has been deposited. Now, officially Ruchi Soya has become Patanjali group firm."
 In December 2017, the National Company Law Tribunal (NCLT) ordered start of insolvency proceedings against Ruchi Soya on application of Standard Chartered Bank and DBS Bank. Shailendra Ajmera, part of consultancy firm EY, was appointed as resolution professional (RP).
 Ruchi Soya is the second big insolvency case to be completed this week. World's largest steel maker ArcelorMittal together with Japan's Nippon Steel on Monday completed the acquisition of Essar Steel for Rs 42,000 crore.
 Both the companies were taken to insolvency court over unpaid dues of lenders. Their bankruptcy proceedings had been pending for two years. Their resolution will help lenders such as State Bank of India clear a good part of bad loans, sources said.
 Japyee Infratech, which built the country's first road expressway that is wide enough to land fighter jets during emergency, is also headed towards resolution with lenders on Tuesday accepting the offer of state-owned NBCC Ltd. The deal is slated to close in coming months.
 In April 2019, Patanjali Ayurved had received approval of financial creditors to acquire Ruchi Soya. The NCLT gave its nod to the resolution plan in early September.
 But later, the Singapore-based DBS Bank became a dissenting creditor and approached the NCLAT challenging the distribution of proceeds from the bid submitted by Patanjali Ayurveda.
 Earlier, Ruchi Soya had informed in a regulatory filing that resolution applicant Patanjali group will infuse Rs 204.75 crore as equity and Rs 3,233.36 crore as debt.
 The amount will be infused in a special purpose vehicle 'Patanjali Consortium Adhigrahan Pvt Ltd', which will be later amalgamated with Ruchi Soya.
 Another Rs 900 crore would be infused by the Patanjali group through subscription of non-convertible debentures and preference shares in the SPV. It will also provide credit guarantee of nearly Rs 12 crore.
 Out of the Rs 4,350 crore offered by Patanjali group, Rs 4,235 crore would be utilised to pay creditors while Rs 115 crore would be used for capital expenditure and working capital requirements of Ruchi Soya.
 As per the filing, Rs 4,053.19 crore would be paid to secured financial creditors, Rs 40 crore to unsecured financial creditors, Rs 90 crore to operational creditors, Rs 25 crore to clear statutory dues, Rs 14.92 crore to workmen/employees and Rs 11.89 crore to provide counter bank guarantee.
 Patanjali won the bid to acquire Ruchi Soya after Adani Wilmar, which sells edible oil under the Fortune brand, withdrew from the race citing significant delays in resolution process that led to deterioration of assets.
 Patanjali Ayurved had approached NCLT challenging the decision of Ruchi Soya's lenders to approve Adani Wilmar's takeover bid. Patanjali group had come second in the bidding process. MJH ANZ ABM
