The disputes center around allegations that Grover breached confidentiality terms outlined in his <keyword id="20424040" type="General" weightage="20" keywordseo="employment-agreement" source="keywords">employment agreement</keyword> with the fintech firm. Justice C. Hari Shankar of the Delhi High Court has ordered the appointment of a sole arbitrator to resolve disputes between Ashneer Grover and BharatPe. BharatPe's plea under a relevant section of the Arbitration and Conciliation Act sought to resolve issues stemming from Grover's alleged breach of confidentiality by disclosing sensitive company information on social media. BharatPe proposed former <keyword id="19895345" type="General" weightage="20" keywordseo="Supreme-Court" source="keywords" meta.keywordsubtype="org" meta.entityname="Supreme Court" meta.hostid="261" meta.entityid="Supreme Court">Supreme Court</keyword> Justice Hemant Gupta as the arbitrator, but Grover suggested Justice (Retired) J.R. Midha instead. Grover's advocate, Giriraj Subramanium, did not oppose arbitration, but proposed that the matter be handled by the Singapore International Arbitration Centre (SIAC), given its ongoing involvement with related disputes over the shareholders' agreement. BharatPe's advocate, Anuj Berry, contested this, asserting that the employment agreement specifies arbitration under the Delhi International Arbitration Centre (DIAC), which the Court upheld. Additionally, BharatPe had previously sought a restraining order to prevent Grover from publicly disclosing company details. The Delhi High Court had previously imposed a penalty of Rs. 2 lakh on Ashneer Grover for breaching a court order by posting derogatory content about BharatPe on social media. Justice Rekha Palli, expressing disapproval of Grover's repeated violations, mandated that he pay the costs to the Delhi High Court Clerk Association. Delhi HC appoints arbitrator to address conflict between Ashneer Grover and BharatPe

India is believed to have challenged in a court in The Hague an <keyword id="10983799" type="UNKNOWN" weightage="20" keywordseo="arbitration-tribunal-verdict">arbitration tribunal verdict</keyword> that overturned its demand for ₹10,247 crore in <keyword id="172303" type="PERSON" weightage="20" keywordseo="back-taxes">back taxes</keyword> from <keyword id="128650" type="COMPANY" weightage="20" keywordseo="Cairn-Energy">Cairn Energy</keyword> Plc -- the second time in three months that it has refused to accept an <keyword id="603715" type="COMPANY" weightage="20" keywordseo="international-award">international award</keyword> against retrospective tax. The appeal was filed on Monday, a source with knowledge of the matter said. The <keyword id="47209" type="COMPANY" weightage="20" keywordseo="Finance-Ministry">Finance Ministry</keyword> spokesperson did not immediately respond to an e-mail sent for comments. The appeal against a three-member tribunal at the Permanent Court of Arbitration at The Hague invalidating India's Rs 10,247 crore tax claim on Cairn Energy and ordering the government to return the value of shares it had sold, dividends seized and tax refunds withheld, comes weeks before UK Prime Minister Boris Johnson's visit to India. The British Prime Minister is widely expected to broach India honouring international arbitration awards during his April 26 visit, another source said. In December, the government had challenged in a <keyword id="211440" type="ORGANIZATION" weightage="20" keywordseo="Singapore-court">Singapore court</keyword> an international arbitration tribunal verdict that overturned its demand for ₹22,100 crore in back taxes from Vodafone Group Plc. Since the seat of Vodafone arbitration was Singapore, an appeal was filed in a court in that country. In the case of Cairn, the seat was The Hague and so an appeal has been filed in a court in the Netherlands, the first source said. The appeal was filed on a day when Minister of State for Finance Anurag Singh Thakur had told the Lok Sabha in a written reply that "any such decision on filing of appeal or otherwise is taken only after careful consideration of all aspects of the matter." The tribunal's 582-page detailed verdict that asked India to return USD 1.2 billion-plus interest and cost to Cairn was registered in the Netherlands on January 8 and New Delhi acknowledged it on January 19, the source said. Finance Minister Nirmala Sitharaman had earlier this month indicated the government's intent of appealing against the award on grounds of it questioning the sovereign powers of India to levy taxes. Her ministry feels taxation is not a subject of bilateral investment treaties, like the UK-India Bilateral Investment Treaty under which Cairn had sought rescinding of the tax demand raised, and so the award should be appealed. It is of the opinion that Cairn set up a tax abusive structure in 2006 when it reorganised its India business to list the local unit, and did not pay taxes anywhere in the world on the gains that it made in India, they said, adding India had made an unsuccessful case of tax not being part of the treaty before the arbitration panel as well. However, the arbitration award specifically made it clear the base of the judgment was not a challenge to the 2012 law or India's sovereign right to tax. "The issue at stake is thus not a matter of domestic tax law, it is rather whether the fiscal measures taken by the state, valid or not under its own tax laws, violate international law," the tribunal had said in a unanimous verdict. The Hague panel found that a 2012 law passed by the Indian Parliament was a new tax, not a clarification of prior law that could be applied to earlier years. Cairn has moved courts in nine countries to enforce the award against India. The award has already been recognised by courts in the US, the UK, Netherlands, Canada and France and the same is in the process in Singapore, Japan, the United Arab Emirates and the Cayman Islands. The registration of the award is the first step towards its enforcement in the event of the government not paying the firm. Once the court recognises an arbitration award, the company can then petition it for seizing any Indian government assets such as bank accounts, payments to state-owned entities, airplanes and ships in those jurisdictions, to recover the monies due to it, sources said. Sources said the government believes that taxation is not covered under investment protection treaties with various countries and the law on taxation is a sovereign right of the country. While the treaties are primarily aimed at the protection of investments, the tax is levied on 'returns' earned by entities. But the Hague tribunal had gone into this claim and rejected it. Vodafone had challenged before the arbitration tribunal the demand for ₹7,990 crore in capital gains taxes (₹22,100 crore after including interest and penalty) under the Netherlands-India Bilateral Investment Treaty (BIT). The demand pertained to Vodafone's USD 11-billion acquisition of 67 per cent stake in the mobile phone business owned by Hutchison Whampoa in 2007. RIL, Future Retail stocks under pressure after Singapore arbitration court rules in favour of Amazon

British oil firm <keyword id="262456" type="COMPANY" weightage="20" keywordseo="Cairn-Energy-Plc">Cairn Energy Plc</keyword> on Tuesday said it has identified Indian sovereign assets overseas, which it can seize in the event of New Delhi failing to return over USD 1.7 billion that an international arbitration tribunal has ordered after rescinding a <keyword id="10021078" type="UNKNOWN" weightage="20" keywordseo="retrospective-tax-demand">retrospective tax demand</keyword>. "<keyword id="64469" type="COMPANY" weightage="20" keywordseo="Cairn">Cairn</keyword> is extremely confident that satisfaction of the award will be achieved either by negotiated settlement or by enforcement against Indian assets," the firm said in its 2020 annual earnings statement. The firm has moved courts in nine countries to get the arbitral award registered and recognised. "The tribunal ruled unanimously that India had breached its obligations to Cairn under the UK-India Bilateral Investment Treaty and awarded to Cairn damages of USD 1.2 billion-plus interest and costs, which immediately became payable. The total due at the year-end was USD 1.7 billion," it said. The firm said it has engaged directly with the <keyword id="6377129" type="COMPANY" weightage="20" keywordseo="government-of-india">government of India</keyword> regarding satisfaction of the award, which is also enforceable against Indian-owned assets in more than 160 countries that have signed and ratified the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. "Cairn has already taken steps to have the Award recognised in certain major jurisdictions in which Indian sovereign assets have been identified," the statement said. had on March 8 reported that the December 21 award from a three-member tribunal at the <keyword id="1056875" type="COMPANY" weightage="20" keywordseo="Permanent-Court-of-Arbitration">Permanent Court of Arbitration</keyword> in the Netherlands has been recognised and confirmed by courts in the US, the UK, Netherlands, Canada and France. Further, the firm has started the process to register the award in Singapore, Japan, the United Arab Emirates and the Cayman Islands. "Cairn's engagement with the Government of India on its arbitration award will continue in parallel with pursuing options of enforcement and monetisation of the Award in order to safeguard shareholders' rights," the statement noted. The tribunal had on December 21 ruled that the government breached an investment treaty with the UK and was therefore liable to return the value of shares it had seized and sold, dividend confiscated and tax refund stopped to adjust a Rs 10,247 crore tax demand. Simon Thomson, Chief Executive, Cairn, said: "We have engaged with the Government of India regarding adherence to the ruling and we are pursuing all avenues to protect our shareholders' rights to the value of the award". Cairn said the tribunal ruled that the dispute was within the scope of the Treaty and other relevant legal parameters. "It further ruled that the application to Cairn of the retrospective tax amendment introduced by the Government of India was "grossly unfair", discriminatory and in breach of the "Fair and Equitable Treatment" standard of the Treaty," the statement said. The tribunal, therefore, ordered the withdrawal of the tax demand in India and awarded to Cairn compensation equal to the value of the shares held in Cairn India Limited (subsequently merged with <keyword id="2819168" type="DOMAIN" weightage="20" keywordseo="Vedanta-Limited">Vedanta Limited</keyword>) seized by India in 2014 and withheld tax refunds due on other matters, totalling USD 1.223 billion-plus interest and costs, which is now payable. "Interest is payable based on USD six-month LIBOR plus a semi-annual margin of 1.375 per cent, accruing from 2014, and the costs awarded totalled USD 22 million. The total amount due to Cairn on December 31, 2020, was USD 1.725 billion," it said. Hong Kong bans flights from India, Singapore suspends quarantine free travel Hong Kong has banned all flights coming from 8 countries — including India, France, Pakistan, France, Australia, Canada, the Philippines, UK and US — as it is fearing the absolute worst. The country had reported <a href="https://www.worldometers.info/coronavirus/country/china-hong-kong-sar/">38 cases</a> on January 5. Singapore has suspended all quarantine-free travel in order to curb the spread of COVID-19 variants. Overseas travelers must take a PCR test upon travel as well as a daily rapid antigen test for the first week in Singapore. Germany relaxes entry restrictions for UK travellers, France bans non-essential travel Germany is opening up to international travellers from the UK once again, two weeks after imposing a ban on all travellers coming from the country. Germany has now downgraded UK’s COVID status to ‘high risk’. Unvaccinated travellers are subjected to 10-day quarantine, while vaccinated people do not need to quarantine. France has also banned all non-essential trips regardless of the person’s vaccination status. Only French nationals as well as residents of France can travel to the country. The French Interior Ministry has also confirmed that British citizens living in the European Union are allowed to travel through France to return to their homes from the UK. It was a warm evening in February 2012 when two Indian fishermen Ajesh Binki and Valentine aboard St Anthony were killed while they were out fishing in the seas not too far from their home state Kerala. 
 
They were killed as a result of gunshot confrontation with MV Enrica Lexie, an oil tanker which was on its way to Egypt from Singapore, when life changed drastically for four men. 
 Binki and Valentine were shot dead by two Italian marines <keyword id="943601" type="PERSON" weightage="20" keywordseo="Massimiliano-Latorre">Massimiliano Latorre</keyword> and <keyword id="942884" type="UNKNOWN" weightage="20" keywordseo="Salvatore-Girone">Salvatore Girone</keyword>, who have been awaiting trial over the case. While Girone continues to stay at the Italian Embassy awaiting trial, Latorre returned to Italy citing medical grounds, where he reportedly underwent a heart operation in the last few months. He had also suffered a stroke while he was in India, and this was the main reason that prompted Supreme Court to grant him permission to travel to his home country. 
 
This incident has complicated India’s relationship with <a href="http://www.businessinsider.in/searchresult.cms?query=Italy">Italy</a>, ever since the latter country claimed that the marines should be allowed to return to their home country and be tried there instead of India, as the incident had happened in international coastal area. 
 
It also raised concerns about using armed guards on commercial shipping companies. India, at some point, even accused the maritime industry of being responsible for the incident by way of cruising in the high risk area, for piracy, which had extended to the Indian coastline. 
 
The marines Latorre and Girone were detained in judicial custody with charges of homicide pressed against them. Kerala police charged them with murder based on the post-mortem report and also with corroborating evidence provided by ballistic experts. 
 
Two years later, India decided to prosecute Italian marines under SUA Act that came into existence in 1998, with an objective of curbing international terrorism. Italy clearly refused to buy the theory of marines being charged with attempts of terrorism or homicide, since the incident was a result of shooting confrontation, started by St Anthony in which Binki and Valentine were travelling. 
 Since the beginning of the incident, Italy has objected to the arbitering of Indian courts for the reasons that the trial wouldn’t be a fair one with two marines already being charged with homicide and other serious charges. Italy decided to go for <keyword id="1008266" type="ORGANIZATION" weightage="20" keywordseo="international-arbitration">international arbitration</keyword> claiming jurisdiction. Italy felt this was the best measure to be initiated during this time, since it coincided with the United Nations Convention on the Law and of the sea. 
 
This step was much expected since Italy had been inclined towards having the case taken to international court than be decided in India where the laws of land can be difficult to interpret pertaining to the specific case. 
 
The process of international arbitration is yet to find ground. Because, Italy will have to be highly specific as the curiosity had risen about the Italy’s next move on which international body it would be approaching to have the case dealt with. 
 
As expected, <a href="https://www.itlos.org/">International Tribune for the Law of Sea</a> (ITLOS), which was approached by Italy, sent out a directive to Indian Supreme Court, asking the judiciary body to maintain status quo on all the proceedings relating to the case. And, subsequent to this, SC halted all proceedings relating to the case in India. 
 
The case has caused much heartburn to both the countries since the mudslinging has resulted in strained international relations. 
 
International arbitration route could be the best solution possible to end this three year impasse, and move further in terms of mending the fences between both countries. India, which was earlier not too keen on reaching out for international arbitration, stating it would challenge the decision if Italy ever went that way, has now softened its stance, and said it would participate in arbitration proceedings foreseen under a <a href="http://www.businessinsider.in/searchresult.cms?query=UN+convention">UN convention</a>. 
 
This incident had wider fallouts with countries like Rome siding with Italy on the international arbitration route since this could be a trendsetter of sorts for other countries to follow. And this would result in seriously damaging commercial shipping companies’ interests in the long run, affecting all countries equally whenever they have to sail on international high seas. 
 
The arrest of two marines even caused the collapse of India-EU Summit planned during <a href="http://www.businessinsider.in/searchresult.cms?query=Narendra+Modi">Prime Minister Narendra </a><a href="http://www.businessinsider.in/searchresult.cms?query=Narendra+Modi">Modi</a>’s visit to Germany in April this year. 
 
India’s willingness to participate in international arbitration makes one thing clearer than before. India’s international relations with Italy and EU at large are set for a change, and this is definitely headed in the direction of putting the past behind and moving ahead with positivity.

Quagmire of Italian marines’ case: Woebegone to bygone?

<keyword id="19976119" type="General" weightage="20" keywordseo="Zee" source="keywords">ZEE</keyword> Entertainment Enterprises Ltd and <keyword id="19914172" type="General" weightage="20" keywordseo="Sony" source="keywords">Sony</keyword> Pictures Networks India on Tuesday said they have settled their disputes related to the failed USD 10-billion merger and have agreed to withdraw all claims against each other. The settlement stems from a mutual understanding between the companies to independently pursue future growth opportunities with a renewed purpose and focus on the evolving media and entertainment landscape, signifying the definitive conclusion of all disputes, the two companies said in a joint statement. ZEE Entertainment Enterprises Ltd and Culver Max Entertainment Pvt. Ltd. (CMEPL) have arrived at a comprehensive non-cash settlement, amicably resolving all disputes related to the merger co-operation agreement and the composite scheme of arrangement, it said. Under the agreement, the companies have mutually agreed to withdraw all respective claims against each other, in the ongoing arbitration at the Singapore International Arbitration Centre (SIAC), and all related legal proceedings initiated in the National Company Law Tribunal (<keyword id="6355809" type="General" weightage="20" keywordseo="nclt" source="Orion">NCLT</keyword>) and other forums, it added. The companies will also withdraw the respective composite schemes of Arrangement from the NCLT and inform the relevant regulatory authorities. In January this year, Sony had pulled out from the proposed USD 10-billion merger with ZEE Entertainment Enterprises Ltd citing failure to meet certain "closing conditions" by the Indian firm. The deal collapsed after over two years of announcing it. Subsequently, the two parties went to the courts. Zee Entertainment Enterprises Ltd (<keyword id="20115912" type="General" weightage="20" keywordseo="zeel" source="keywords">ZEEL</keyword>), which has already missed the first instalment of around $ 200 million, will not move ahead, industry sources told PTI. The instalment to be paid to Disney Star was part of the $ 1.5 billion investment committed by Sony Group after its merger with ZEEL, said another industry source while confirming the development. Sony Corporation had on Monday announced the termination of the $ 10 billion merger agreement with ZEEL, while seeking $ 90 million for breach of conditions besides initiating arbitration. As per the merger agreement between ZEEL and Sony, the Japanese entity was supposed to invest $ 1.575 billion in the merged entity and have a majority stake. There were no immediate comments from ZEEL over the development. Three days after Sony called off the deal, ZEEL MD &amp; CEO <keyword id="20130441" type="General" weightage="20" keywordseo="punit-goenka" source="keywords">Punit Goenka</keyword> addressed a townhall meeting of around 3,000 employees across the globe, in which he asked them to move forward and chase new opportunities. "Our industry is witnessing rapid changes, and these winds of change are giving us a new shape. We have to mould ourselves to be well-positioned in order to capitalise on the opportunities coming our way. We have been leaders over the last 3 decades and have delivered value to our stakeholders, year on year," he said. On August 30, 2022, ZEEL had announced entering into a strategic licensing agreement with Disney Star for television broadcasting rights of the ICC Men's and Under-19 global events for a period of four years. Disney Star will continue to exclusively stream all ICC tournaments through its digital platform Disney+ Hotstar, a joint statement had said. This was done with the in-principle approval from the International Cricket Council (ICC). Disney Star bagged the broadcast rights of all ICC events for four years from 2024 to 2027 for the Indian market from the sport's global governing body. As per the agreement, ZEEL was supposed to have exclusive television rights for ICC men's events, including the ICC Men's T20 World Cup, which will be played in 2024 and 2026, ICC Men's Champions Trophy (2025), and the ICC Men's Cricket World Cup (2027), along with key ICC U-19 events, it said. ZEEL on Wednesday approached the National Company Law Tribunal (NCLT) to get Sony to honour a $ 10 billion merger deal. Sony had resisted the demand by Subhash Chandra's son Punit Goenka, who was investigated by Sebi over fraud allegations, to stay on after the merger. It has also initiated appropriate legal actions to contest the claims of $ 90 million (Rs 748.5 crore) filed by Sony Group before the Singapore International Arbitration Centre (SIAC).
