What works in its favour is the headroom for growth in the sector and the locations in which the company is active. The country's diagnostics industry is expected to grow at a compounded rate of 16% in three years starting April 2018 and be worth $12.3 billion by March 2020, according to investment advisors in HDFC Securities said in a report. There are very few Pan-India chains, which together have a share of approximately 35 to 40% of the organized diagnostic market.  Aside from the competition and other business risks-- renewal of licences and approvals, technological advancements, potential government pricing controls, reliance on third party services-- there are other risks pointed out by analysts. Potential legal threats There are several outstanding legal proceedings against Metropolis, subsidiaries, directors and promoters. In particular, the company has sought to compound certain offences under the Companies Act, 2013 before the NCLT and the Registrar of Companies. Further, it has been issued a summon cum show cause notice from the Assistant Provident Fund Commissioner, Employees’ Provident Fund Organisation, Ministry of Labour and Employment, and the government of India. It cannot be assured that these outstanding legal proceedings will be decided in Company’s favor or in favor of its Subsidiaries, Directors or Promoters, or that no further liability will arise out of these proceedings. Further, such legal proceedings could divert management’s time and attention and consume financial resources. A sour joint venture Metropolis Healthcare owns a 34% stake in Star Metropolis, a joint venture in the United Arab Emirates with ETA Star Healthcare. However, the two companies have had certain disagreements since 2011 and Star Metropolis stopped providing any information, including financial information. Further, one of the affiliates of the partner in UAE has been using the ‘Metropolis’ brand to market its pathology services in the Gulf Cooperation Council. This may adversely affect the Indian company and its brand. The trademark is yet to be registered The company has applied for a trademark registration of its logo and name 'Metropolis' and is yet to be approved. There are other risks to intellectual property too. "Infringement claims could also arise in the future as patents could be issued on tests or processes that MHL may be performing, particularly in such emerging areas as gene-based testing and other specialty testing. Any of the foregoing could have an adverse effect on its business, results of operations and financial condition," the report said. The brand is key ingredient to the potential success of the company. Pledged stake Nearly 30% of the stake held by the promoters of the company are to pledged with lenders after the share sale. Promoters may pledge more shares in accordance with terms of the loan after the shares are listed. "Any default under the agreements pursuant to which these Equity Shares would be pledged will entitle the pledgee to enforce the pledge over these Equity Shares," according to the report. A promoter group company is also obliged to inform and take consent of some lenders before carrying out certain activities and entering into certain transactions.

Further, the company said it will utilise ₹78 crore from the IPO proceeds to repay/prepayment debt. “The margins of the company have grown significantly on the back of declining debt. The company aims to be debt free post the IPO and is planning for CAPEX (capital expenditure) which will further increase the revenues,” said analysts at Swastika. However, analysts at Choice Broking believe that the sharp spike in growth last year may be a one-off event triggered by the pandemic and the company may find it difficult to maintain the same pace in the future. “There is a respectable import market for the company to capture and also a huge export opportunity arising from the “China plus one” strategy, in case the globe adopts this strategy in the post-Covid period. Thus considering the future growth outlook and the demanded premium valuation, we assign a “Subscribe with Caution” rating for the issue,” the report said. Simply put, the threat of international competition and rising imports is just as valid as the hope of a boom in business for Tarsons. The IPO from Tarsons, a Bengal-based supplier for Dr Lal Path Labs and Dr Reddy’s, gets a unanimous ‘subscribe’ call from the street

The stock listed at ₹700, higher 5.74% on the issue price band of ₹635-662 apiece. Investors were expecting a positive listing despite weak market trends as the fundamentals of the company like becoming debt-free, having strong cash flow looked attractive. “The company has a strong cash flow and it is likely to become debt-free post-IPO [initial public offering] however the valuations look expensive therefore aggressive investors with a long-term view can hold this stock while those who were playing for listing gain should book profit because we are expecting some listing gain of around 20-25% based on subscription figure and grey market trend current GMP 180 (+27%),” said Aayush Agrawal, senior research analyst, merchant banking at Swastika Investmart. Post listing, the market capitalisation of the company stood at ₹3,724 crore, according to BSE data. The shares of Tarsons Products were trading at ₹722, higher by 9% at 10.00 a.m., on November 26. The grey market had indicated a strong listing too as unlisted shares of Tarsons Products were commanding a marginal premium of ₹180 per share. The IPO, which was open between November 15 and November 17, received strong response from investors. It was subscribed 77.49 times on the last day of the bidding. It has a very healthy balance sheet with negative Net Debt/Equity. We believe that the upcoming expansion plan in Bangalore and Chennai can be funded through internal accruals and minimum amount of debt,” Angel Broking said. Analysts at Ventura Securities are bullish about the growth prospects of KIMS, highlighting the presence of the company in Tier I, II and III markets across south India, affordable healthcare, comprehensive infrastructure, and strong brand equity. Stating that they believe there is a potential upside of 55% from the issue price of ₹825, Venture Securities give a thumbs up to KIMS IPO. “We value the stock at ₹1,275. This represents a potential upside of 55% from the IPO price of ₹825 per share (upper band) over the next 24 months,” the research firm said. On the other hand, while the analysts at Choice Broking recommend subscribing to KIMS IPO, they state that the valuation is expensive when compared to the industry average. “We view sustaining margin at these levels (way above industry trend) would remain a challenging task. The retail investors' portion received an overwhelming response and was subscribed 166 times. The portion for qualified institutional buyers was subscribed 3.1 times. The Home Healthcare market in India and neighbouring countries was pegged at ₹20800 crore in 2019, and it is expected to grow to ₹38,900 crore by 2025 at a compound annual growth rate (CAGR) of 11%. “IPO is valued at 5.6x annualized earnings report in 1HFY21, which looks to be attractively valued given the high asset turnover and return ratio of the company,” the report added. There are no listed peers, and therefore the benchmark valuation is difficult to ascertain. Asset light business model helps penetrating new geographies and keeps it capital efficient According to the Axis Securities report, the asset-light business model does not require Nureca to invest heavily in physical assets such as plant and machinery, land and property, which allows them to be capital efficient. The business model is scalable, such that they can expand their geographical reach and distribution capacity and add new products efficiently and at a relatively low cost without disrupting their existing business.
