New Delhi, Feb 3 () As many as four companies, including online travel firm EaseMyTrip and realty firm Puranik Builders, have received markets regulator Sebi's go-ahead to float initial public offerings.
 Construction firm Montecarlo and manufacturer of pharmaceutical chemicals Chemcon Speciality Chemicals are the other companies that obtained clearance from Sebi.
 The companies had filed draft offer documents with the Securities and Exchange Board of India (Sebi) during September-December 2019.
 According to latest update with the markets watchdog, EaseMyTrip and Puranik Builders obtained Sebi's "observations" on January 28, while the same for Montecarlo and Chemcon Speciality Chemicals was obtained on January 31.
 Sebi's observations are necessary for any company to launch public issues such as initial public offer, follow-on public offer and rights issue.
 Going by the draft papers, EaseMyTrip.com plans to float a Rs 510 crore initial public offering (IPO), through which the company's founders Nishant Pitti and Rikant Pitti will each sell shares to the tune of Rs 255 crore through offer-for-sale mechanism.
 EaseMyTrip.com is operated by Easy Trip Planners Private Ltd.
 The IPO of Puranik Builders consists of fresh issue of shares worth Rs 810 crore, besides an offer for sale up to 18,59,620 equity shares by the company's promoters and existing shareholders.
 According to market sources, the IPO size could be estimated at Rs 1,000 crore.
 Montecarlo filed fresh papers with Sebi in September 2019 to launch an IPO comprising fresh issuance of shares worth Rs 450 crore, besides an offer for sale of up to 30 lakh equity stocks by existing shareholder Kanubhai M Patel Trust.
 According to market sources, Montecarlo's IPO size is estimated to be Rs 550 crore.
 In May 2018, Montecarlo had approached Sebi with draft prospectus seeking its approval to raise funds through initial share-sale and secured the market regulator's nod in August last year to float the public issue. However, the company did not launch the IPO.
 Chemcon Speciality Chemicals' IPO comprises of fresh issue of shares worth Rs 175 crore and an offer for sale of 43 lakh equity shares from the promoters.

Mumbai, Feb 4 () Sebi chief Ajay Tyagi on Tuesday said the capital markets regulator has received communication from largest stock bourse NSE for its IPO, and is examining the legal aspects of the same.
 The comments come within a month of NSE chief executive Vikram Limaye having said that the stock exchange intends to launch its initial public offering (IPO) by September.
 "We are examining on legally... soon we will take a call," Tyagi told reporters on the sidelines of an NSE event, when asked about the IPO.
 In an interview to , Limaye had said NSE had approached Sebi for approval for the IPO.
 "We have approached Sebi to seek its approval for the IPO and after that we will start the process of appointing merchant bankers, who will help the exchange in filing draft prospects for the IPO," Limaye had told .
 He said the bourse is hoping to launch the IPO by the third quarter of this calendar year and it is subject to approval from the Securities and Exchange Board of India (Sebi).
 According to him, the entire IPO would be offer-for-sale (OFS), wherein existing shareholders will sell NSE's shares.
 Last month, state-owned lender SBI said it is planning to offload 50 lakh shares representing 1.01 per cent stake in NSE to raise capital. Currently, SBI holds 5.19 per cent stake in NSE.
 In December, IFCI sold its entire 2.44 per cent stake in NSE for Rs 805.6 crore.
 Earlier in December 2016, NSE had filed its draft red herring prospectus with Sebi to launch its IPO. However, the plan was put on hold after investigations began into the co-location case. Sebi examining legal aspects of NSE IPO: Tyagi

New Delhi, Capital markets regulator Sebi on Thursday said it has initiated the third tranche of distribution of nearly Rs 15 crore to 2.58 lakh investors from the disgorged amount in the matter of IPO irregularities observed during 2003-2005. The regulator has already distributed Rs 23.28 crore in April 2010 and Rs 18.06 crore in December 2015, according to a release. The capital markets watchdog has been distributing funds among eligible investors from the money collected by it through disgorgement orders in cases of irregularities in the <keyword id="136443" type="General" weightage="80" keywordseo="initial-public-offerings" source="Orion">Initial Public Offerings</keyword> (IPO). The regulator had investigated certain irregularities in the shares issued through 21 IPOs during the period 2003-2005 before their listing on the stock exchanges. Following the completion of the investigations, the <keyword id="6355630" type="General" weightage="80" keywordseo="securities-and-exchange-board-of-india" source="Orion">Securities and Exchange Board of India</keyword> (Sebi) directed certain persons to disgorge the illegal gains. Under the chairmanship of former Judge of the <keyword id="18524826" type="General" weightage="80" keywordseo="supreme-court-of-india-d-p-wadhwa" source="Orion">Supreme Court of India D P Wadhwa</keyword>, a committee was set up which recommended the procedure of identification of persons who have been deprived in the said IPOs and the manner in which reallocation of shares to such persons should take place. As per the recommendations of the <keyword id="88696" type="General" weightage="50" keywordseo="wadhwa" source="Orion">Wadhwa</keyword> committee, 13.57 lakh persons had been identified as eligible investors for distribution. Of 13.57 lakh investors, 10.02 lakh investors were paid the full eligible amount and 97,657 investors were excluded due to the costs involved. "Sebi has initiated the third tranche for distribution of Rs 14.87 crore to 2.58 lakh investors from the disgorged/recovered amount in the matter of IPO irregularities on August 17, 2023," the regulator said. In the current exercise, Sebi is distributing amounts to those investors to whom partial amounts were paid earlier and are entitled to receive additional amounts. Of 2.58 lakh investors, 1.15 lakh investors would be paid the eligible amount in full and the remaining 1.43 lakh investors would be paid in part. Sebi said that wherever the bank details of the eligible investors are available, the amount is being credited to their bank accounts with an intimation to the investors. In cases where bank details are not available, payment warrants are being sent to the last known address of the investors.

IPO irregularities: Sebi initiates third tranche of distribution of disgorged amount to 2.58 lakh investors

New Delhi, Feb 10 () Markets regulator Sebi on Monday levied a total fine of Rs 12.05 crore on Tarini International Ltd and its officials for utilising the initial public offering (IPO) proceeds for purposes other than stated in the prospectus. Additionally, they had also concealed crucial information, such as loan taken from Hind Ispat prior to the IPO, from investors. Of the total fine levied by Sebi, Rs 5.05 crore have been imposed on the firm, while its managing director Vakamulla Chandra Shekhar and whole-time director Vakamulla Anu Naidu face a fine of Rs 5 crore each for violating various market norms. The regulator carried out investigation between June 2014 and August 2014 into the IPO of equity shares issued by Tarini International and its subsequent activities related to the trading of shares. The objectives of the IPO in the prospectus were for meeting long-term working capital requirements and renovation of the registered office, among others. However, the firm did not utilise the proceeds for the mentioned objectives and diverted the funds to the group companies. Sebi noted that the firm and its officials have misappropriated the proceeds of IPO aggregating to Rs 11.71 crore and transferred it to its group entities. "It is concluded that the Noticees, by their act, have disturbed the equilibrium of securities market by not disclosing material information to investors and misappropriating IPO proceed for the purpose other than that mentioned in the prospectus," Sebi said. In March 2019, Sebi had passed directions against the firm and its officials for the same set of violations and had directed the company to recover IPO proceeds aggregating to Rs 11.7 crore and also barred them from securities market for four years from the date of completion of recovery of the diverted funds with interest. Last month, the exchange said it has approached Sebi for its IPO. "We are examining NSE IPO request in terms of the orders passed by members last year," Tyagi told reporters after Sebi board meeting here. New Delhi, Jan 6 () The National Stock Exchange (NSE) on Monday said it has approached markets regulator Sebi for its initial public offering and hopes to launch the public issue by September this year subject to approvals.
"We have approached Sebi to seek its approval for the IPO and after that we will start the process of appointing merchant bankers, who will help the exchange in filing draft prospects for the IPO," NSE MD and CEO Vikram Limaye told here.
He further said that the exchange is hoping to float the IPO by the third quarter of a calendar year and the launch is subject to approval from the Securities and Exchange Board of India (Sebi).
 The entire IPO would be offer-for-sale (OFS), wherein existing shareholders will sell NSE's shares.
 The country's largest lender SBI, earlier this month, announced that it is looking to sell 50 lakh shares representing 1.01 per cent stake in the NSE as part of its capital raising exercise. Currently, State Bank of India (SBI) holds 5.19 per cent stake in the exchange.
The NSE has revived its listing plans, which were on the backburner following a probe by Sebi against the exchange and some of its top officials. It was alleged that the exchange misused its co-location facility and gave preferential access to certain trading members. 
In April 2019, Sebi had barred the NSE from accessing the capital markets for a period of six months. It had also asked NSE to "disgorge" more than Rs 625 crore along with 12 per cent interest per annum in connection with the co-location case.
Earlier in December 2016, NSE had filed draft papers with Sebi for its much-awaited IPO. The initial share-sale was expected to garner Rs 10,000 crore.

NSE approaches markets regulator Sebi for IPO

New Delhi, Mar 17 () Regulator Sebi has barred Paramount Printpackaging and its officials from the capital markets for five years for diverting the proceeds of initial share-sale and failing to make true and adequate disclosure in the IPO papers. The officials that have been restrained are the company's chairman and managing director Divyesh Ashwin Sukhadia, whole time director Dharmesh Ashwin Sukhadia and former whole-time director Anuj Vipin Sukhadia. Paramount came out with its Rs 46-crore initial public offer (IPO) in April 2011 and its shares got listed on the exchanges in May, 2011. Sebi noted that Paramount was owned by Sukhadia family and they collectively held 79.38 per cent shares of the company before IPO and post initial share-sale, they owned 40.45 per cent stake. These three officials were in charge of the affairs of the company before and after the shares of the company got listed. A probe by the regulator found that Paramount misutilised the proceeds of the IPO and also diverted the funds to entities that did not provide any service and goods as contracted. "It is concluded that the noticees had a pre-determined plan where under it first raised money from the public through the IPO route by concealing material information, making false/wrong and inadequate disclosures regarding vendors, then transferred the IPO proceeds to pre-decided vendors within a few days and thereby misutilised and diverted the proceeds of the IPO. "I therefore find that the noticees in the present case had misutilised Rs 35 crore and had diverted Rs 34.5 crore," Sebi Whole Time Member Madhabi Puri Buch said in a 64 page order passed on Monday. Accordingly, the Securities and Exchange Board of India (Sebi) has barred Paramount from the capital markets for five years. This is subject to the direction of Bombay High Court or official liquidator appointed by the court in pursuance of the the liquidation or winding up proceedings pending in respect of the company. Further, the regulator had prohibited these three official from the markets for five years. They have also been barred from being associated with any listed company in any capacity. SP ANSANS

New Delhi, Feb 17 () SBI Cards and Payment Services, the credit card unit of the country's largest lender State Bank of India (SBI), has received markets regulator Sebi's go ahead to float an initial public offering. The company, which had filed draft IPO papers in November, obtained "observations" from the Securities and Exchange Board of India (Sebi) on February 11 latest update with the regulator showed. Sebi's observations are necessary for any company to launch public issues including initial public offer, follow-on public offer and rights issue. As per the draft papers, SBI Cards will offer up to 130,526,798 equity shares through offer for sale route. This will include up to 37,293,371 share sale by SBI and up to 93,233,427 shares on offer by Carlyle Group. In addition, the company will also issue fresh equity shares of Rs 500 crore. SBI holds 76 per cent in SBI Cards and rest of the stake is held by Carlyle Group. According to market sources, the IPO size could be estimated at more than Rs 6,000 crore. SBI Cards is the second-largest credit card issuer in India with an 18 per cent market share. Kotak Mahindra Capital, Axis Capital, DSP Merryl Lynch, Nomura Financial Advisory, HSBC Securities and SBI Capital Markets are the book-running lead managers of the issue. Earlier in December, SBI Chairman Rajnish Kumar had said the SBI Cards IPO would be launched in the coming months. Apart from SBI Cards, Mukesh Trends Lifestyle has also received Sebi's go ahead on February 14 to launch its IPO. The Ahmedabad-based company's IPO consists an issue of up to 1 crore equity shares of face value of Rs 10 each and according to market sources, the IPO issue size will be approximately between Rs 70 and 90 crore.
