<ul><li><keyword id="53343" type="General" weightage="20" keywordseo="ruchi-soya" source="Orion">Ruchi Soya</keyword> is likely to announce its share allotment status today.</li><li>The company is one of the leading fast-moving consumer goods (FMCG) brands in India.</li><li>The FPO will be listed on April 8 on exchanges.</li></ul>The fast moving consumer goods (FMCG) company Ruchi Soya Industries — a subsidiary of the Patanjali Group, is likely to announce the allotment status of its follow-on public offering (FPO) today, April 5. The FPO was open for subscription from March 24 to March 28. In the three days of subscription, the follow-on public offer (FPO) was subscribed 3.6 times by investors. However, the firm got caught in a tangle with markets regulator Securities and Exchange Board of India (SEBI), wherein the regulator had allowed investors to withdraw their bids from Ruchi Soya’s FPO. Reportedly during this period, the subscription fell from 3.6 times to 3.4 times. A total of 14,583 applications made in the FPO were cancelled. The company came up with FPO to pay off huge debt and thereby cutting promoter shareholding in the company in compliance with SEBI norms. The company will use the proceeds from the FPO to repay its loans, for working capital needs and general corporate purposes. The price band of the FPO is ₹615-650 per share. Moreover, the grey market premium of the company’s shares showed a premium of ₹25 from the higher end of the price band. Ruchi Soya FPO: Here’s how you can check the allotment status

The promoters of <keyword id="6595587" type="General" weightage="100" keywordseo="patanjali-foods" source="Orion">Patanjali Foods</keyword> on Thursday said they do not foresee any adverse or negative impact on the financial position of the company owing to the instant freeze of promoters' shareholding by the stock exchanges. Earlier, the stock exchanges had put a freeze on the shares owned by the promoters for not meeting the minimum public shareholding (MPS) requirements as specified in the <keyword id="175952" type="General" weightage="50" keywordseo="securities-contracts" source="Orion">Securities Contracts</keyword> (<keyword id="6354397" type="General" weightage="80" keywordseo="scr" source="Orion">SCR</keyword>) (Regulation) Rules, 1957, of the Securities and Exchange Board of India (SEBI). According to a statement of the company, shares were already under lock-in as per SEBI guidelines till April 2023 (one year from the date of listing i.e. April 08, 2023), and instant actions of stock exchanges do not appear to have a negative impact on the functioning of the Company. As per SCR Rules where as a result of the implementation of the resolution plan approved, public shareholding in a listed company falls below 10 per cent then the same shall be increased to at least 10 per cent within a maximum period of twelve months from the date of such fall. In December 2017, the National Company Law Tribunal initiated insolvency proceedings against Patanjali Foods, earlier known as <keyword id="53343" type="General" weightage="80" keywordseo="ruchi-soya" source="Orion">Ruchi Soya</keyword> Industries. And in July 2019, the tribunal approved the resolution plan submitted by <keyword id="6406649" type="General" weightage="80" keywordseo="patanjali-ayurved" source="Orion">Patanjali Ayurved</keyword> for Ruchi Soya. Owing to the allotment of the equity shares made pursuant to the implementation of the resolution plan as duly approved by the National Company Law Tribunal (NCLT), the aggregate shareholding of the promoter and promoter group of the company increased to 98.87 per cent of the total issued, paid up and subscribed equity share capital of the Company. The company was acquired by Patanjali Group pursuant to the approval of the resolution plan submitted by a consortium led by Patanjali Ayurved by NCLT vide its order dated July 24, 2019, read with order dated September 4, 2019, and the same was implemented with effect from December 18, 2019. Follow-on public offer is a way of issuing funds for a stock exchange-listed company from its existing shareholders and investors. As the name suggests it follows up onto the initial public offering (IPO), where the company issues its shares to its public for the first time. FPO is usually done when the listed company needs funds to grow their business or reduce debts. But <keyword id="10281652" type="General" weightage="20" keywordseo="ruchi-soya-fpo" source="Orion">Ruchi Soya FPO</keyword> is not usual as the company is coming up with an FPO majorly to cut down its promoter holding and raise public shareholding, which is currently not in line with market regulator’s, Securities and Exchange Board of India (SEBI), norms. According to the regulator, the minimum requirement for a public shareholding in a listed company should be 25%. Currently, Patanjali owns 98.9% in Ruchi Soya while public shareholders own 1.1%. Post the FPO, Patanjali's shareholding in the edible oil manufacturer will reduce to 81% while public shareholding will increase to 19%. Hence, the FPO will support Baba Ramdev’s Patanjali to meet the regulatory norms and cut down its shareholding. The process of issuing the FPO is similar to IPO as the company has to submit a red herring prospectus (RHP) to SEBI for its approval. The issue will open on March 24 and will be available for bidding till March 28, 2022. Ruchi Soya plans to utilise net proceeds from the FPO for repayment of certain borrowings, incremental working capital requirements, and general corporate purposes. The company is yet to announce the issue price of the FPO. Supreme Court to resume physical hearing of cases from April 4, says CJI N V Ramana

Holding the three Rajasthan discoms guilty of contempt of its August 31, 2020 order, a <keyword id="6354977" type="General" weightage="50" keywordseo="supreme-court" source="Orion">Supreme Court</keyword> bench led by Justice Vineet Saran had on February 25 asked the top brass of the Rajasthan discom to be personally present before it for framing of charges if they failed to pay <keyword id="76451" type="General" weightage="20" keywordseo="adani" source="Orion">Adani</keyword> Power its dues, as directed. The Supreme Court gave four weeks to the discoms to make a payment of Rs 3,048.63 crore to Adani Power, along with the interest. Sources said that in the last hearing on March 31, Adani Power had informed the apex court that Rajasthan discoms made a payment of Rs 3,000 crore to the company on March 30. The officials, who the court said would need to be personally present before it if the latest order is not complied with, are Rajasthan Urja Vikas Nigam Chairman Subodh Agarwal and its MD Bhaskar Atmaram Sawant, Jaipur Vidyut Vitran Nigam MD Navin Arora, Ajmer Vidyut Vitran Nigam MD V.S. Bhati and Jodhpur Vidyut Nigam MD Avinash Singhvi. Adani Power had signed an agreement with the Rajasthan discoms in March 2008 to set up a 1,200 MW coal-based power project near Kawai in Baran district at a cost of Rs 6,000 crore. As per the agreement, the state had to facilitate the supply of coal either from the Central government or other sources. Since it failed to do so, the company procured imported coal to supply power. The company claimed higher costs from the Rajasthan Electricity Regulatory Commission (RERC). The RERC in 2018 ordered in favour of Adani Power and directed payment of compensation by the discoms. The discoms moved the Appellate Tribunal for Electricity (Aptel), which upheld the Commission's order. The matter moved to the Supreme Court as the discoms argued that Adani Power was responsible for the fuel arrangement. Adani Power receives ₹3,000 crore dues from Rajasthan government

At 9:48 a.m., Zomato's shares were trading at ₹83.7, which is 2.9% lower than the previous day's close at ₹86.2. The food delivery firm currently sits on a market cap of ₹66,084 crore ($8.7 billion). This is nearly half of the ₹100,000 crore, or $13 billion, market cap the company reached within a few hours of its debut in the stock market. Zomato’s shares have fallen over 33% since its listing in July 2021. <div type="javascript" title="Custom" contenttype="Image"><cdata><![CDATA[]]></cdata></div> India’s anti-monopoly watchdog on Monday ordered a probe into food delivery businesses Zomato and Siggy over alleged unfair pricing practices and several other issues flagged by the restaurant association last year. The National Restaurants Association of India (NRAI) accused Zomato and Swiggy of indulging in deep discounting, data masking, imposing price parity terms on restaurants that worked with them and imposing high commission. The association, which represents over 500,000 restaurants, alleged that these practices were actually eating into these businesses. Now the CCI has asked its director-general to submit a report on this matter in the next 60 days. “The Commission is of the view that there exists a prima facie case with respect to some of the conduct of Zomato and Swiggy, which requires an investigation by the director general (DG), to determine whether … (they have) resulted in contravention of the provisions of Section 3(1) of the Act read with Section 3(4) thereof,” the anti-monopoly watchdog said in its order dated April 4. Zomato stock dips nearly 3% after CCI’s probe order

<ul><li>A total of 75 component makers have been approved by the government for incentives under the auto component PLI scheme.</li><li>Maruti Suzuki, Hero MotoCorp, Toyota, Motherson Sumi are among companies that have been approved for the scheme.</li><li>Auto company shares were among the outliers performing well in the weak market on Tuesday.</li></ul>About 75 auto component makers have been approved by the government for incentive under the production linked incentive (PLI) scheme. Maruti Suzuki, Hero MotoCorp, Toyota, Motherson Sumi, Bosch, Mitsubishi Electric and Tata Autocomp are among the list of companies that have been approved for the scheme. PLI is a form of incentive from one entity to another, such as from the government to industries. It provides incentives to domestic industries to boost local production. The auto PLI scheme is aimed at giving a push to advanced automotive technologies and manufacturing of electric vehicles in India. The government said that the PLI scheme for the auto sector envisages to overcome the cost disabilities of the industry for manufacture of advanced automotive technology products in India. The incentive structure will encourage industry to make fresh investments for indigenous global supply chains of advanced automotive technology products. Reportedly over 100 companies had applied for the PLI scheme. A report by CNBC-TV18 said that incentives in the range of 8-13% would be given to companies that are making components for safety, flex fuels, compressed natural gas (CNG), liquefied natural gas (LNG), emission control, passenger convenience, fuel efficiency, and sensors, while a higher range of incentives — 13 to 18% would be given to companies making components for hydrogen and electric vehicles.
