New Delhi, Dec 18 () Yoga guru <keyword id="6355107" type="UNKNOWN" weightage="20" keywordseo="Baba-Ramdev">Baba Ramdev</keyword>'s <keyword id="6406649" type="UNKNOWN" weightage="20" keywordseo="Patanjali-Ayurved">Patanjali Ayurved</keyword> on Wednesday made its first big acquisition when it paid Rs 4,350 crore to take over soya food brand Nutrela-maker Ruchi Soya through an insolvency process. The acquisition will help Patanjali acquire edible oil plants as also soyabean oil brands such as Mahakosh and Ruchi Gold. Sources said Patanjali settled Rs 4,350 crore of dues Ruchi Soya had towards financial creditors by infusing Rs 1,100 crore equity and arranging another Rs 3,250 crore via debt.
 The acquisition of Ruchi Soya by Patanjali Ayurveda has been completed, sources said, adding that the amount has been transferred to an escrow account and disbursals to financial creditors are in process.
 When contacted, Patanjali Ayurveda spokesperson S K Tijarewala said: "We have completed all the formalities and the entire amount of debt and equity has been deposited. Now, officially Ruchi Soya has become Patanjali group firm."
 In December 2017, the National Company Law Tribunal (NCLT) ordered start of insolvency proceedings against Ruchi Soya on application of Standard Chartered Bank and DBS Bank. Shailendra Ajmera, part of consultancy firm EY, was appointed as resolution professional (RP).
 Ruchi Soya is the second big insolvency case to be completed this week. World's largest steel maker ArcelorMittal together with Japan's Nippon Steel on Monday completed the acquisition of Essar Steel for Rs 42,000 crore.
 Both the companies were taken to insolvency court over unpaid dues of lenders. Their bankruptcy proceedings had been pending for two years. Their resolution will help lenders such as State Bank of India clear a good part of bad loans, sources said.
 Japyee Infratech, which built the country's first road expressway that is wide enough to land fighter jets during emergency, is also headed towards resolution with lenders on Tuesday accepting the offer of state-owned NBCC Ltd. The deal is slated to close in coming months.
 In April 2019, Patanjali Ayurved had received approval of financial creditors to acquire Ruchi Soya. The NCLT gave its nod to the resolution plan in early September.
 But later, the Singapore-based DBS Bank became a dissenting creditor and approached the NCLAT challenging the distribution of proceeds from the bid submitted by Patanjali Ayurveda.
 Earlier, Ruchi Soya had informed in a regulatory filing that resolution applicant Patanjali group will infuse Rs 204.75 crore as equity and Rs 3,233.36 crore as debt.
 The amount will be infused in a special purpose vehicle 'Patanjali Consortium Adhigrahan Pvt Ltd', which will be later amalgamated with Ruchi Soya.
 Another Rs 900 crore would be infused by the Patanjali group through subscription of non-convertible debentures and preference shares in the SPV. It will also provide credit guarantee of nearly Rs 12 crore.
 Out of the Rs 4,350 crore offered by Patanjali group, Rs 4,235 crore would be utilised to pay creditors while Rs 115 crore would be used for capital expenditure and working capital requirements of Ruchi Soya.
 As per the filing, Rs 4,053.19 crore would be paid to secured financial creditors, Rs 40 crore to unsecured financial creditors, Rs 90 crore to operational creditors, Rs 25 crore to clear statutory dues, Rs 14.92 crore to workmen/employees and Rs 11.89 crore to provide counter bank guarantee.
 Patanjali won the bid to acquire Ruchi Soya after Adani Wilmar, which sells edible oil under the Fortune brand, withdrew from the race citing significant delays in resolution process that led to deterioration of assets.

Acharya Balkrishna appointed Ruchi Soya CMD, Swami Ramdev to be director on new board

New Delhi, Nov 29 () Baba Ramdev-led Patanjali Ayurved on Friday said it has already tied up loan worth Rs 3,200 crore from a consortium of lenders led by State Bank of India to fund its acquisition of Ruchi Soya through insolvency process.
 In September, the National Company Law Tribunal (NCLT) approved the resolution plan of Patanjali Ayurved to acquire debt-laden Ruchi Soya.
 "The company has already secured required total debt from a consortium of banks led by State Bank of India," Patanjali Ayurved Managing Director Acharya Balkrishna said in a statement.
 Patanjali also said it has got loans of Rs 1,200 crore from SBI, Rs 700 crore from Punjab National Bank, Rs 600 crore from Union Bank of India, Rs 400 crore from Syndicate Bank and Rs 300 crore from Allahabad Bank.
 Ruchi Soya went into the insolvency in December 2017.
 NCLT had admitted the insolvency plea filed by two lead financial creditors Standard Chartered Bank and DBS Bank. However, later, Singapore-based DBS Bank became dissenting creditor and approached the National Company Law Appellate Tribunal challenging the distribution of proceeds from the bid submitted by Baba Ramdev-led Patanjali Ayurveda.
 Ruchi Soya told the NCLT that resolution applicant Patanjali group will infuse Rs 204.75 crore as equity and Rs 3,233.36 crore as debt.
 The amounts will be infused into a special purpose vehicle (SPV), Patanjali Consortium Adhigrahan Pvt Ltd, which will be later amalgamated with Ruchi Soya.

Patanjali secures Rs 3,200 cr loan from banks to buy Ruchi Soya

New Delhi, Jan 24 () Haridwar-based Patanjali group, which has acquired debt-ridden Ruchi Soya, is expecting Rs 25,000 crore turnover this fiscal, and aims to become the country's largest FMCG company in coming years, Yoga Guru Ramdev said on Friday.
The company will register a joint turnover of Rs 25,000 crore in the current fiscal ending March 2020, in which around Rs 12,000 crore would be contributed by Patanjali group firms and Rs 13,000 crore will come from Ruchi Soya, he said.
"In next five years, we would have a turnover of around Rs 50,000 crore to Rs 1 lakh crore and will become the largest FMCG company, replacing HUL," Ramdev said.
Patanjali, which acquired Ruchi Soya in an Corporate Insolvency Resolution for around Rs 4,500 crore, is also looking to expand its product line.
"We will launch three new products under Nutrela brand targeting the health conscious people, targeting the people suffering from diseases such as heart, cholesterol and high blood pressure," he said.
These products will include premium Oil Nutrela Gold, Nutrela Honey and Nutrela Protein Atta.
"We are expecting three times growth from Ruchi Soya in coming years," Ramdev said, adding it will also lessen burden of import of edible oil from other countries and make India self dependent in this sector.
Patanjali will also continue to have Bollywood actress Madhuri Dixit as the brand ambassador for Ruchi Soya's Mahakosh range of products.
HUL, a market leader in the FMCG segment had reported a revenue of over Rs 38,000 crore in FY 2018-19 and this is expected to go up further with the merger with GSK Healthcare business.
Ramdev also said that over the next two years, 25 per cent shares of Ruchi Soya will have to be liquidated as per Securities and Exchange Board of India (Sebi) guidelines.
Commenting on the acquisition, Ramdev said the products of Ruchi Soya would not clash with Patanjali's product and add value to the customers.
With Ruchi Soya, it also aims to double its reach in next five years to 50 crore people from the existing 25 crore.

Patanjali group eyes Rs 25k crore turnover in FY20

New Delhi, Jan 24 () Haridwar-based Patanjali group, which has acquired debt-ridden Ruchi Soya, expects to have a turnover of Rs 35,000-Rs 40,000 crore in the next financial year and to become the largest company in the FMCG sector in the coming years replacing market leader HUL, said Yoga Guru Ramdev here on Friday.
 The company is expected to register a joint turnover of up to Rs 25,000 crore in the current financial year, in which around Rs 12,000 crore is likely to be contributed by Patanjali group firms and Rs 13,000 crore may come from Ruchi Soya, he said.
 After the acquisition of Ruchi Soya, Ramdev-promoted Patanjali expects threefold growth of the company and to become a major player in the edible oil category and take a lead in the domestic production of soyabean oil, sunflower oil and palm oil.
 Besides, it would also reduce India's dependency on imports in the edible oil segment and save foreign exchange reserve through self-reliance on palm oil.
 "This fiscal, Patanjali along with Ruchi Soya would have a turnover of around Rs 25,000 crore and expects to grow up to around Rs 35,000 crore-Rs 40,000 crore by the next fiscal year (FY21)," Ramdev said.
 He further said, "In next five years, we would have a turnover of around Rs 50,000 crore to Rs 1 lakh crore and will become the largest FMCG company, replacing HUL."
 Hindustan Unilever Ltd (HUL), market leader in the FMCG segment, had reported a revenue of Rs 38,224 crore in 2018-19 and this is expected to go up further with the merger with GSK Healthcare's business.
 When contacted, HUL spokesperson said, "As a policy, we do not comment on competition."
 Patanjali had acquired Ruchi Soya in a corporate insolvency resolution process for around Rs 4,350 crore after contesting with Adani Group.
 In the next two years, 25 per cent shares of Ruchi Soya will have to be liquidated as per the Securities and Exchange Board of India (Sebi) guidelines, said Ramdev.
 The company expects a higher growth coming from Ruchi Soya, where it is aiming multi-fold growth and is introducing new products by extending its existing popular brand Nutrela.
 "We will launch three new products under Nutrela brand targeting the health-conscious people and the people suffering from diseases such as heart ailments, cholesterol and high blood pressure," he said.
 These products will include premium Oil Nutrela Gold, Nutrela Honey and Nutrela Protein Atta.

 Both Patanjali and Ruchi Soya would integrate its products by leveraging their strengths and would enhance the respective production capacity and increase market share, he added.

 Moreover, on being asked whether there would be competition between some products of Ruchi Soya and Patanjali Ayurved, Ramdev said the products of Ruchi Soya would not clash with Patanjali's product and will add value to the customers.
 With Ruchi Soya, it also aims to double its reach in the next five years to 50 crore people from the existing 25 crore.
 "We have target to expand our reach to 50 crore people in the next five years," he said adding that the Patanjali group is now providing employment opportunities to around two lakh people and a similar number of farmers and would continue to add the numbers in its fold.
 On being asked about the slowdown in the FMCG segment, Ramdev said it was a temporary phase, companies selling luxury products were mainly impacted and companies selling regular household consumption goods such as Patanjali Ayurved and Ruchi Soya were not impacted.
 "Our turnover and brand equity have actually increased. Our market share has also increased," he said adding that there is no plans for listing of Patanjali Ayurved. KRH HRS

Patanjali group eyes to be 40,000-crore company in 2020-21, aims to be largest FMCG firm

New Delhi, Dec 18 () A total of 49 merger and acquisition deals worth USD 1.5 billion were recorded in November, demonstrating an impressive growth rate of 75 per cent in terms of volume, according to a report.
 However, absence of any big-ticket transaction lead to a 48 per cent drop in the total deal value at USD 1,496 million in November compared to USD 2,885 million in November 2018, Grant Thornton's monthly M&amp;A Dealtracker said.
 Total M&amp;A deals in volume terms were 49 last month against 28 transactions in the same month of last year, the report said.
 "While the question of 'recession or no recession' continues to be debated, November 2019 reported 49 transactions aggregating to USD 1.5 billion. M&amp;A deal volumes in both domestic and cross-border categories exceeded the November 2018 levels. However, absence of large ticket transactions dragged down the deal values in November 2019," said Pankaj Chopda, Director, Grant Thornton India LLP.
 This included only four deals valued over USD 100 million each, together totalling to USD 1 billion and accounting for 67 per cent of the total M&amp;A deal values, the report added.
 According to the report, NCLT approval for Patanjali Ayurved's bid (USD 613 million) for Ruchi Soya was the largest transaction of the month.
 Retail, consumer, banking and financial services were the key sectors which attracted maximum M&amp;A traction. Start-ups continued to be the favourites for M&amp;A in deal volume terms, it added.
 The year-to-date (YTD) deal activity failed to match up to the levels seen in previous years with values falling by more than half of YTD 2018 with just one month remaining in the year and volumes declining by 15 per cent.
 M&amp;A in YTD 2019 recorded a significant fall in deal values on account of 14 marquee billion-dollar deals witnessed in YTD 2018 compared to only four witnessed this year, the report said.
 Manufacturing, energy, start up pharma, banking, IT, infra, retail, consumer and e-commerce sectors led the deal values in YTD 2019, capturing 91 per cent of the total overall deal values.
 On the other hand, start up and IT sectors continued to drive deal volumes capturing 36 per cent of the total deal volumes.
 "As the year ends, the long vacation period towards the end of the month does not promise too much action on the deals front. However, it does provide the impetus to come back fresh in the new year to revisit the opportunities left incomplete. Further, with several new opportunities untapped, we expect 2020 to be more exciting on the deals front," Chopda added. SUM MR

Tesco, but here’s where Mukesh Ambani brings true value to its investors – its enterprise value to EBITDA (earnings before interest, taxes, depreciation, and amortization) ratio is double than Walmart, and triple than that of Tesco. The higher the EV/EBITDA ratio, the more value the investor sees in the company. But what makes for Reliance Retail’s high EV/EBITDA ratio? Arvind Singhal, Chairman and MD of consulting firm Technopak, explains that most Indian companies enjoy a much higher EV/EBITDA ratio than their competitors in the US and Europe. “There are two factors. Firstly, the perception of investors is that India will show more growth in consumer product industries compared to mature markets where the consumers are spending less on merchandise and more on services. Retailers like Tesco or Walmart, they have to grow by taking a share of the market from someone. The demography of India is such that people will spend on merchandise consumption, therefore you can support higher multiples,” he said. Singhal also believes that Reliance Retail also enjoys the stance of being part of a conglomerate as opposed to other listed peers within India like DMart, Trent or a Shoppers Stop. “When Reliance Retail does go on to list, the valuation will be higher because of the limited number of ‘good’ companies in India and that too of a certain scale. So, when a global investor comes looking at investments in India, they are going to put their money on those few companies,” he said. Grocery at the centre stage for all three From Reliance to Walmart and even Tesco, grocery is at the centre stage of their e-commerce bets, a business that has only accelerated due to the coronavirus pandemic. Reliance in its first-quarter earnings of FY21 reported that grocery alone saw a 21% growth year-on-year in the operational business of grocery in the first quarter. Ambani’s e-commerce bet, JioMart clocked in big numbers during the lockdown – the company claimed it received over 4 lakh orders on a single day. And now, expansion plans for JioMart are underway. According to a <a href="https://www.financialexpress.com/industry/rils-jiomart-to-sell-half-of-all-online-grocery-in-india-facebook-to-help-put-mukesh-ambani-on-top-goldman/2036073/">Goldman Sachs report,</a> JioMart is poised to sell half of all online grocery in India, which is expected to see 5 million orders every day by 2024. It also helps that global tech players like Facebook and Google have invested billions in Jio and backed Ambani’s digital plans. Meanwhile, Walmart has nearly doubled its e-commerce sales during the April-June quarter, thanks to the rising demand in online grocery. And at the other end, Tesco continues to remain the leader in the British market, even with Amazon being bullish about its e-commerce grocery sales in the region.
