After all, <a href="https://medium.com/r/?url=https%3A%2F%2Fwww.quora.com%2FWhat-percentage-of-ALL-start-ups-raise-angel-seed-VC-funding">less than 1% of startups end up raising money from a VC.</a> 
 
(…and I know what it feels like to be part of the 99%.) 
 
You may even be forgiven for thinking that VCs have no interest in actually financing a company. 
 
If you have received yet another rejection from a VC, do take a few minutes out to read this post before you judge yourself unfairly or let your (uncensored) opinions go wild. 
 
1. It is a Numbers Game 
 <keyword id="592787" type="UNKNOWN" weightage="20" keywordseo="raising-funds">Raising funds</keyword> from a VC isn’t an ordeal just for the 99%.

The monopsonistic nature of the VC-Entrepreneur market puts entrepreneurs at an unambiguous disadvantage. 
 
No wonder the odds are so overwhelmingly against them. 
 
2. A ‘No’ can become a ‘Yes’… 
 
Here is a rather interesting and unusual observation : 
 
Nearly two-thirds of all fresh investments we have done at Kae Capital since the beginning of 2016 (Most of which haven’t been announced at the time of this writing) were companies we had rejected in the past. 
 
While it might be a <a href="https://medium.com/r/?url=https%3A%2F%2Fen.wikipedia.org%2Fwiki%2FSampling_bias">sampling abberation</a>, the power of this empirical evidence suggests that a ‘No’ from a ‘VC’ can indeed become a ‘Yes’. 
 
There might be several plausible explanations for this. Here are just a couple: 
 
The overwhelming effect of the Numbers Game can lead to (as much as we VCs hate to admit it) a hasty decision (<a href="https://medium.com/r/?url=https%3A%2F%2Ftechcrunch.com%2F2015%2F06%2F08%2Flessons-from-a-study-of-perfect-pitch-decks-vcs-spend-an-average-of-3-minutes-44-seconds-on-them%2F%23.ols2kx%3AJsiz">Studies show that the average time VCs spend on each slide is 12 seconds</a>). A second, or even a third look, when backed by greater rigor, or a stronger gut-feel, can lead to a reversal in the decision 
 
Time offers several luxuries, including those which allow entrepreneurs room for a well-suited pivot, a more refined business model or approach, or simply, traction that becomes hard to ignore — All of which are very desirable from a VC’s standpoint. 
 
There is a catch though. 
 
3. …But only if you are worthy (Otherwise it can become “Hell No!”) 
 
To give credit where it is due, the vast majority of entrepreneurs I meet are very polite and gracious when it comes to accepting rejection. 
 
Ever so often though, I receive a response such as 
 
“What makes you think you know how to pick a good investment ?” (The answer to which is, “Nothing at all. I am just another dude with an opinion”) 
 
or 
 
“You will regret this. We are going to be a Billion/Trillion dollar company !” (Wouldn’t be the first time we have missed a company that went on to be valued at over a Billion dollars. As for the Trillion dollars, leaving <a href="https://medium.com/r/?url=http%3A%2F%2Fwww.telegraph.co.uk%2Fbusiness%2F2016%2F05%2F01%2Fsaudi-aramco-how-do-you-put-a-price-tag-on-the-worlds-most-impor%2F">Saudi Aramco</a> aside, the world is still waiting for its first Trillion Dollar company, so I wish you the best.) 
 
If as an entrepreneur, you see a clear disconnect with a VC, or are that sure of building a Billion dollar company, surely starting petty squabbles isn’t the most productive use of your time ? 
 
But such an outburst is likely to prevent the VC from ever revisiting an investment, and negative word-of-mouth is likely to poison future fund-raising prospects further. 
 
Speaking of which… 
 
4. Don’t underestimate the power of goodwill and referrals 
 
Of all the sources that result in a flow of deals to a VC, the most precious are undoubtedly those that come through high-quality referrals from close-knit networks. 
 
At Kae Capital, our recent history shows that referrals have accounted for a majority of our investments (Including those we had rejected in the past). 
 
What, perhaps, is underappreciated though, is that when the referral is from a fellow VC, it implies that the company was rejected during their own evaluation and yet, was deemed good enough to be referred to other VCs. 
 
We have also referred a few deals to other VCs. Over time, some of them have gone on to do rather well and raised significant external funding. 
 
As bittersweet the competitive nature of the VC industry might be, it always feels good to see a company that you had referred do well, even if it means you missed out on the deal.

Here's what you should do when investors say no

Once an <keyword id="6359301" type="POSITION" weightage="80" keywordseo="Entrepreneur">entrepreneur</keyword> has exhausted his <keyword id="6357455" type="EVENT" weightage="80" keywordseo="Funding">funding</keyword> sources, he needs to turn towards raising <keyword id="6391506" type="COMPANY" weightage="80" keywordseo="Equity">equity</keyword> from private equity players. It is important to select a good private equity partner since this investor will stay with you through thick and thin till he is able to find an exit. 
 
As a promoter, one’s passion is to build a strong brand and a resilient company that will survive over the years. On the other hand, a private equity player is in the business of making money and therefore, very rightly, he has interest in only one thing – how soon he can get the desired return and exit from the company. 
 The best way to approach private equity players is by appointing a good <keyword id="6355120" type="ORGANIZATION" weightage="80" keywordseo="investment">investment</keyword> bank that specialises in raising money for the industry you are in. The i-bank will work with you to prepare an Information Memorandum and introduce you to potential investors. 
 Even if there is considerable pressure on <keyword id="6356305" type="UNKNOWN" weightage="80" keywordseo="funds">funds</keyword>, the promoter should ask the private equity player some important questions such as how long the life of the fund is, what the exit time horizon is and most importantly, what the investor will bring to the company other than money. It is better to ask such questions before the funding than to find out later, after the investment has been made. 
 
Unless the private equity partner shares your dreams, there will be contrarian positions between the two partners at most board meetings, which will prove dysfunctional for the company’s business. It is also important for both partners to agree upon the time frame for the exit of the private equity investor. I have seen a lot of companies being pushed into an initial public offering (IPO) very early in their lifecycle although the promoter felt that the timing was early. 
 
Discussions with the potential investor will mostly involve valuation of the company, investment amount and the percentage of dilution. Terms such as pre-money and post-money valuation must be understood by the promoter. 
 
Once there is agreement with the private equity player on the terms of the investment, it is critical to get this incorporated into a term sheet. For most promoters, it is recommended that they get good lawyers who can help them understand the legalese in the hundreds of pages of those agreements. The promoter must understand the key provisions in great details. It is also essential to read the agreements carefully with specific reference to the rights and responsibilities of a promoter. 
 
Watch out very carefully for the IRR percentages that are being built into the Default Clause and Liquidity Preference Clause of the agreement that you will sign. Sometimes innocuous numbers that initially seem to be very reasonable can come back to bite you after a few years when you suddenly realise that a large chunk of your own equity has been diluted because of the IRR guarantee that you have signed in the investment agreement. 
 
Set up monthly review mechanisms with the investor and make sure that you record the minutes of the meetings very carefully. Copies of minutes should be sent to the investor to guard against future denial of what was discussed in those meetings in the event your business runs into a problem. 
 
As an investor in your company, the private equity investor is as responsible as the promoter to work towards the growth of the firm. I have seen several instances where companies were underperforming and the PE investor attempted to step in, and then made a complete mess of an already challenging situation. 
 
Raise private equity, but with caution and with your eyes open.

Besides, the carrier plans to issue equity shares on preferential basis consequent upon conversion of outstanding liabilities into equity shares of the company, subject to applicable regulatory approvals, according to a filing to the <keyword id="35140" type="General" weightage="50" keywordseo="bse" source="Orion">BSE</keyword>. Both plans will be taken up by the board of directors during its meeting scheduled for February 24. Specific details about the proposals could not be immediately ascertained. In December last year, SpiceJet Chairman and Managing Director <keyword id="6357826" type="General" weightage="50" keywordseo="ajay-singh" source="Orion">Ajay Singh</keyword> told shareholders that the company is engaged with investment bankers to raise up to USD 200 million in order to achieve its future plans. He had also said the increase in the <keyword id="9254513" type="General" weightage="50" keywordseo="emergency-credit-line-guarantee-scheme" source="Orion">Emergency Credit Line Guarantee Scheme</keyword> (ECLGS) to Rs 1,500 crore will go a long way in providing the much-needed stability to the sector. "The infusion of additional funds will help SpiceJet normalise its obligations, unground its fleet and induct new planes into our fleet... we have also completed a series of settlements with most of our major partners including manufacturers and lessors setting the stage for our seamless growth and expansion," he had said. On Tuesday, shares of the airline declined nearly 2 per cent to Rs 37.60 apiece in the afternoon trade on the BSE.

SpiceJet board will meet to consider fund raising funds, conversion of outstanding liabilities into equity

“In the early 1980s we were the only one doing this,” says Sharany. “We basically invented what everyone now knows as cause marketing; conscious consumers buying products and services because they want to help their local community.” 
 
While the company grew tremendously – partnerships with <a href="http://www.verizonwireless.com/">Verizon</a> and <a href="https://www.creditkarma.com/reviews/credit-card/single/id/first-usa-bankone-credit-card">First USA</a> followed – without the technology in place for tracking consumer purchases, shopping behavior and where contributions were going, the methodology plateaued. 
 
“In 2008 I participated in the YPO Harvard President’s Program,” says Sharany. “I suddenly had a vision of how the power of technology and social media could dramatically expand our platform.” 
 
Sharany was particularly inspired by Harvard Professor <a href="http://www.hbs.edu/faculty/Pages/profile.aspx?facId=326229">Michael Norton</a>’s case study based on his book, <a href="http://www.amazon.com/exec/obidos/asin/1451665067/benedelmanhom-20">Happy Money: The Science of Smarter Spending</a>. The thesis, “Can money buy happiness?” suggested that spending money on other people has a more positive impact on happiness than spending money on oneself. 
 
“Incentivizing people to engage by giving back to charity gives people moments of happiness,” says Sharany. “When employees feel engaged by giving back, they work harder and remain loyal and that impacts your bottom line. When you do the same for your customers, it increases your bottom line again. Loyalty, pride and higher performance come from your company creating the perfect balance between doing well and doing good.”

The rights entitlement ratio entails 1 equity share for every 14 equity shares held by eligible shareholders as on the record date. The terms of payment of issue price, envisage 25 per cent on application and balance in two more additional calls as may be decided by the Board or committee of the Board based on the company's requirements within an overall time-horizon of 36 months, Airtel said. "The promoter and promoter group of the company would collectively subscribe to the full extent of their aggregate rights entitlement," it said adding "they will also subscribe to any unsubscribed shares in the issue". The board has constituted a 'Special Committee of Directors' to decide the other terms and conditions of the issue including issue period and the record date. The Board of Directors at the meeting reviewed the industry scenario, business environment, financial and business strategy of the company and approved the the plan to raise further capital, Airtel said. Airtel’s board approves raising funds of up to ₹21,000 crore

"The Board of Directors of the company on February 9, 2021 has approved the proposal of increasing the limit of raising of funds through various options including by way of issuance of debt securities, non-convertible debentures etc, through permissible routes," the company said in a regulatory filing. The fund would be raised in the in the onshore or offshore market and by public issue or on private placement basis. Shares of IRB Infra were trading at ₹111.20, higher by ₹2.15 or 1.97 per cent from its previous close. IRB Infrastructure share price rises 2% as board raises fund-raising limit to ₹5,500 crore

Debt-ridden private telecom company <keyword id="1553175" type="COMPANY" weightage="20" keywordseo="Vodafone-Idea">Vodafone Idea</keyword> on Saturday posted a lower consolidated loss of Rs 7,319 crore for the first quarter ended on June 30, 2021, against Rs 25,460 crore loss in the same quarter a year ago. The consolidated revenue from operations of Vodafone Idea (<keyword id="634808" type="ORGANIZATION" weightage="20" keywordseo="VIL">VIL</keyword>) declined by about 14 per cent to Rs 9,152.3 crore during the reported quarter from Rs 10,659.3 crore in the corresponding quarter of 2020-21. The total gross debt (excluding lease liabilities and including interest accrued but not due) as of June 30, 2021 of VIL stood at Rs 1,91,590 crore, comprising of deferred spectrum payment obligations of Rs 1,06,010 crore and adjusted gross revenue (AGR) liability of Rs 62,180 crore that are due to the government. Cash and cash equivalents of the company at the end of reported were Rs 920 crore and net debt stood at Rs 1,90,670 crore. "We continue to focus on executing our strategy to keep our customers ahead, and our cost optimization plan remains on track to deliver the targeted savings. We are in active discussion with potential investors for fund raising, to achieve our strategic intent," VIL MD and CEO Ravinder Takkar said in a statement.
