The promoters of <keyword id="6595587" type="General" weightage="100" keywordseo="patanjali-foods" source="Orion">Patanjali Foods</keyword> on Thursday said they do not foresee any adverse or negative impact on the financial position of the company owing to the instant freeze of promoters' shareholding by the stock exchanges. Earlier, the stock exchanges had put a freeze on the shares owned by the promoters for not meeting the minimum public shareholding (MPS) requirements as specified in the <keyword id="175952" type="General" weightage="50" keywordseo="securities-contracts" source="Orion">Securities Contracts</keyword> (<keyword id="6354397" type="General" weightage="80" keywordseo="scr" source="Orion">SCR</keyword>) (Regulation) Rules, 1957, of the Securities and Exchange Board of India (SEBI). According to a statement of the company, shares were already under lock-in as per SEBI guidelines till April 2023 (one year from the date of listing i.e. April 08, 2023), and instant actions of stock exchanges do not appear to have a negative impact on the functioning of the Company. As per SCR Rules where as a result of the implementation of the resolution plan approved, public shareholding in a listed company falls below 10 per cent then the same shall be increased to at least 10 per cent within a maximum period of twelve months from the date of such fall. In December 2017, the National Company Law Tribunal initiated insolvency proceedings against Patanjali Foods, earlier known as <keyword id="53343" type="General" weightage="80" keywordseo="ruchi-soya" source="Orion">Ruchi Soya</keyword> Industries. And in July 2019, the tribunal approved the resolution plan submitted by <keyword id="6406649" type="General" weightage="80" keywordseo="patanjali-ayurved" source="Orion">Patanjali Ayurved</keyword> for Ruchi Soya. Owing to the allotment of the equity shares made pursuant to the implementation of the resolution plan as duly approved by the National Company Law Tribunal (NCLT), the aggregate shareholding of the promoter and promoter group of the company increased to 98.87 per cent of the total issued, paid up and subscribed equity share capital of the Company. The company was acquired by Patanjali Group pursuant to the approval of the resolution plan submitted by a consortium led by Patanjali Ayurved by NCLT vide its order dated July 24, 2019, read with order dated September 4, 2019, and the same was implemented with effect from December 18, 2019. Patanjali's promoters say shareholding freeze won't impact company's financial position

Diversified FMCG company <keyword id="181951" type="General" weightage="20" keywordseo="ruchi-soya-industries" source="Orion">Ruchi Soya Industries</keyword> has raised ₹1,290 crore from anchor investors ahead of its follow-on public offering (<keyword id="46435" type="General" weightage="80" keywordseo="fpo" source="Orion">FPO</keyword>) that opens for public subscription on Thursday. A follow-on offering is the issuance of additional shares made by a company after an initial public offering (IPO). The upcoming FPO is going to be only a fresh issuance of equity shares to public investors without any offer for sale component, a statement said on Wednesday. The company informed the exchanges that the price band for its FPO has been set at ₹615 per equity share (at the lower end of the price-band) to ₹650 per equity share (at the higher end of the price-band). On Wednesday, it informed the bourses that 19,843,153 equity shares have been allocated to anchor investors at the upper-end of the price-band against the applications from various anchor investors. Societe Generale, BNP Paribas, The Sultanate of Oman - Ministry of Defence Pension Fund, Yas Takaful PJSC (an Abu Dhabi-based insurance company), MK Cohesion, UPS Group and Alchemy were among the foreign investors that received allocation under the anchor investor portion of the FPO, the statement said. Currently, <keyword id="3040166" type="General" weightage="20" keywordseo="patanjali-group" source="Orion">Patanjali Group</keyword> owns about 98.9 per cent stake in <keyword id="53343" type="General" weightage="100" keywordseo="ruchi-soya" source="Orion">Ruchi Soya</keyword>, while public shareholders own about 1.1 per cent stake. Post the FPO, Patanjali Group's holding in Ruchi Soya will come down to about 81 per cent, and the public shareholders would hold about 19 per cent. The entire proceeds from the follow-on issue will be used for furthering the company's business by repayment of certain outstanding loans, meeting its incremental working capital requirements and other general corporate purposes, the company had said recently while announcing the FPO. For Balkrishna, this is not the first time that he has been caught on the wrong side of things. Patanjali’s Acharya Balkrishna is the biggest loser on Hurun’s Rich List of Indian billionaires

New Delhi, Dec 18 () Yoga guru <keyword id="6355107" type="UNKNOWN" weightage="20" keywordseo="Baba-Ramdev">Baba Ramdev</keyword>'s <keyword id="6406649" type="UNKNOWN" weightage="20" keywordseo="Patanjali-Ayurved">Patanjali Ayurved</keyword> on Wednesday made its first big acquisition when it paid Rs 4,350 crore to take over soya food brand Nutrela-maker Ruchi Soya through an insolvency process. The acquisition will help Patanjali acquire edible oil plants as also soyabean oil brands such as Mahakosh and Ruchi Gold. Sources said Patanjali settled Rs 4,350 crore of dues Ruchi Soya had towards financial creditors by infusing Rs 1,100 crore equity and arranging another Rs 3,250 crore via debt.
 The acquisition of Ruchi Soya by Patanjali Ayurveda has been completed, sources said, adding that the amount has been transferred to an escrow account and disbursals to financial creditors are in process.
 When contacted, Patanjali Ayurveda spokesperson S K Tijarewala said: "We have completed all the formalities and the entire amount of debt and equity has been deposited. Now, officially Ruchi Soya has become Patanjali group firm."
 In December 2017, the National Company Law Tribunal (NCLT) ordered start of insolvency proceedings against Ruchi Soya on application of Standard Chartered Bank and DBS Bank. Shailendra Ajmera, part of consultancy firm EY, was appointed as resolution professional (RP).
 Ruchi Soya is the second big insolvency case to be completed this week. World's largest steel maker ArcelorMittal together with Japan's Nippon Steel on Monday completed the acquisition of Essar Steel for Rs 42,000 crore.
 Both the companies were taken to insolvency court over unpaid dues of lenders. Their bankruptcy proceedings had been pending for two years. Their resolution will help lenders such as State Bank of India clear a good part of bad loans, sources said.
 Japyee Infratech, which built the country's first road expressway that is wide enough to land fighter jets during emergency, is also headed towards resolution with lenders on Tuesday accepting the offer of state-owned NBCC Ltd. The deal is slated to close in coming months.
 In April 2019, Patanjali Ayurved had received approval of financial creditors to acquire Ruchi Soya. The NCLT gave its nod to the resolution plan in early September.
 But later, the Singapore-based DBS Bank became a dissenting creditor and approached the NCLAT challenging the distribution of proceeds from the bid submitted by Patanjali Ayurveda.
 Earlier, Ruchi Soya had informed in a regulatory filing that resolution applicant Patanjali group will infuse Rs 204.75 crore as equity and Rs 3,233.36 crore as debt.
 The amount will be infused in a special purpose vehicle 'Patanjali Consortium Adhigrahan Pvt Ltd', which will be later amalgamated with Ruchi Soya.
 Another Rs 900 crore would be infused by the Patanjali group through subscription of non-convertible debentures and preference shares in the SPV. It will also provide credit guarantee of nearly Rs 12 crore.
 Out of the Rs 4,350 crore offered by Patanjali group, Rs 4,235 crore would be utilised to pay creditors while Rs 115 crore would be used for capital expenditure and working capital requirements of Ruchi Soya.
 As per the filing, Rs 4,053.19 crore would be paid to secured financial creditors, Rs 40 crore to unsecured financial creditors, Rs 90 crore to operational creditors, Rs 25 crore to clear statutory dues, Rs 14.92 crore to workmen/employees and Rs 11.89 crore to provide counter bank guarantee.
 Patanjali won the bid to acquire Ruchi Soya after Adani Wilmar, which sells edible oil under the Fortune brand, withdrew from the race citing significant delays in resolution process that led to deterioration of assets.

Patanjali Ayurved completes acquisition of bankrupt Ruchi Soya for ₹4,350 crore

<keyword id="6406649" type="COMPANY" weightage="20" keywordseo="Patanjali-Ayurved">Patanjali Ayurved</keyword>, promoted by yoga guru <keyword id="6369109" type="PERSON" weightage="20" keywordseo="Ramdev">Ramdev</keyword>, may announce an investment of Rs 1,600 crore shortly for setting up a herbal food park in Noida in the poll-bound <keyword id="6357713" type="COMPANY" weightage="20" keywordseo="Uttar-Pradesh">Uttar Pradesh</keyword> to meet its domestic as well as global demand. 
 "It is almost finalised now. You may see an announcement by <keyword id="6356684" type="UNKNOWN" weightage="100" keywordseo="patanjali">Patanjali</keyword> Ayurved for an investment of around Rs 1,600 crore in Noida for setting up a food processing plant around <keyword id="188" type="ENTERTAINMENT" weightage="20" keywordseo="Diwali">Diwali</keyword>," a senior UP government official privy to the development told <keyword id="6367495" type="COMPANY" weightage="20" keywordseo="PTI">PTI</keyword>. 
 
"As far as investments in the state are concerned, the Uttar Pradesh government is fair and transparent for promoting industrialisation which will create jobs." 
 
There were speculations that Patanjali will announce its investment in Uttar Pradesh after the assembly polls in March next year. However, the company officials have also confirmed the development, saying the procedure for identification of the land is at an advanced stage and the unit can be near <keyword id="6359591" type="COMPANY" weightage="20" keywordseo="Yamuna-Expressway">Yamuna expressway</keyword>. 
 
A Patanjali Ayurved official told the news agency, "It would be an international food park, which would be for exports and domestic markets as well." 
 He further said Patanjali CEO <keyword id="669583" type="UNKNOWN" weightage="20" keywordseo="Acharya-Balkrishna">Acharya Balkrishna</keyword> has held meetings with the CEO of <keyword id="80359" type="COMPANY" weightage="20" keywordseo="Yamuna-Expressway-Industrial-Development-Authority">Yamuna Expressway Industrial Development Authority</keyword> (YEIDA) in this regard. 
 
"The state bureaucracy is also involved in this project under the instructions of the chief minister of UP. It would be a major investment boost for UP and employment generation," he added. 
 
Asked how soon Patanjali could start manufacturing at the proposed plant, the official said: "We would make the unit operational within 12-18 months of allotment of land." 
 He added: "The food park will manufacture all major products. As it is located in the <keyword id="53426" type="CITY" weightage="20" keywordseo="NCR">NCR</keyword> region, which has proximity to the airport and dry ports, it will act as a hub." 
 
When the plant runs to its full capacity, it would have a capacity to produce goods worth Rs 25,000 crore annually, the official claimed, adding that around 10,000 direct jobs could be provided benefiting 50,000 families. 
 Patanjali is also in the process of setting units in <keyword id="6355554" type="COMPANY" weightage="20" keywordseo="Madhya-Pradesh">Madhya Pradesh</keyword>, <keyword id="6354915" type="CITY" weightage="20" keywordseo="Assam">Assam</keyword>, Maharashtra and <keyword id="6357972" type="COMPANY" weightage="20" keywordseo="Jammu">Jammu</keyword> and <keyword id="6354495" type="CITY" weightage="20" keywordseo="kashmir">Kashmir</keyword>, besides another plant in the drought-hit area of <keyword id="6368366" type="PERSON" weightage="20" keywordseo="Bundelkhand">Bundelkhand</keyword> region of UP. 
 
"For Bundelkhand regional plant, we are discussing for the special package and incentive with the state government. We are working on that," the company official said.

Few weeks into the launch, and the noodles is already getting into trouble, just like the man himself. 
 
According to Zee News reports, bugs were found in a packet of <a href="http://www.businessinsider.in/searchresult.cms?query=Patanjali+Atta+noodles">Patanjali’s Atta noodles</a> in Jind, Haryana. These bugs were spotted inside a sealed pack and the customer is reportedly gearing up to sue the company. 
 
Also, India’s food regulator, the <a href="http://www.businessinsider.in/searchresult.cms?query=FSSAI">Food Safety and Standards Authority of India</a> (FSSAI) has said that <a href="http://www.businessinsider.in/searchresult.cms?query=Baba+Ramdev+">Ramdev</a>’s company <a href="http://www.businessinsider.in/searchresult.cms?query=Patanjali+Ayurved">Patanjali Ayurved</a> didn’t have approvals for instant noodles before it’s launch. Patanjali officials however said it is not required to get a product specific approval to launch instant noodles. They argue noodles falls under the ‘pasta’ category, and they had a license for the same. 
 
While many dismiss these initial reports, there is no denying that incidents like these could snowball into a bigger controvery. Patanjali noodles has huge potential in a market where people are increasingly looking for quick and easy meal. While a sizeable chunk of the pie is hooked onto <a href="http://www.businessinsider.in/searchresult.cms?query=Maggi">Maggi</a>, <a href="http://www.businessinsider.in/searchresult.cms?query=Patanjali+Ayurved">Patanjali</a>’s low prices give it the edge in an increasingly crowded market. The <keyword id="6357713" type="COMPANY" weightage="20" keywordseo="Uttar-Pradesh">Uttar Pradesh</keyword> government has approved yoga guru Ramdev-promoted <keyword id="6356684" type="UNKNOWN" weightage="100" keywordseo="patanjali">Patanjali</keyword> Ayurveda's (PAL) Rs 2,000 crore food park in <keyword id="6356788" type="COMPANY" weightage="20" keywordseo="Greater-Noida">Greater Noida</keyword> and around 450 acres of land on the <keyword id="6359591" type="COMPANY" weightage="20" keywordseo="Yamuna-Expressway">Yamuna Expressway</keyword> will be allocated for the unit, according to a news by the agency. 
 "Earlier this week, the <keyword id="512165" type="UNKNOWN" weightage="20" keywordseo="Uttar-Pradesh-cabinet">Uttar Pradesh Cabinet</keyword> has approved PAL's Rs 2,000-crore project in the state, which includes an agro-processing plant entailing an investment of Rs 1,500 crore in Greater Noida," a source privy to development said. 
 
"Around 450 acres of land have been identified, which will be allocated to the Greater Noida plant. The land will be bought by PAL." 
 The state <keyword id="6355513" type="ORGANIZATION" weightage="20" keywordseo="cabinet">Cabinet</keyword> approval comes amid speculation that Patanjali will announce its investment in Uttar Pradesh after assembly polls in March next year. However, the Uttar Pradesh government has been proactive in facilitating this investment on its terms only to encourage investors and create jobs.

The Greater Noida plant will be an international food park that will cater to overseas and domestic markets as well. 
 Patanjali CEO Acharya Balkrishna has held a series of meetings with CEO of the <keyword id="80359" type="COMPANY" weightage="20" keywordseo="Yamuna-Expressway-Industrial-Development-Authority">Yamuna Expressway Industrial Development Authority</keyword> (YEIDA) in this regard.  The consumer goods brand, which was founded by celebrity yogi <keyword id="6355107" type="UNKNOWN" weightage="20" keywordseo="Baba-Ramdev">Baba Ramdev</keyword> in 2006, is looking to hire as many as 50 <keyword id="690083" type="PERSON" weightage="20" keywordseo="salesmen">salesmen</keyword> in each district of India. With more than 700 districts, that culminates in a total hire of 35,000 people. In addition, the company also plans to get between 50 to 100 young people onboard in each district for the purpose of home delivery. The last date for registration for the four-day selection and training camp is 22 June, tomorrow. The company, which is known not to pay its employees very well (terming their efforts as “seva”) is offering a maximum monthly salary of ₹15,000. A return to growth The ad reflects the “urgency” of Patanjali Ayurved’s pan-Indian growth ambitions.
