OYO to roll out comprehensive ethical hacking and bug bounty programs

<keyword id="2808667" type="General" weightage="20" keywordseo="oyo" source="Orion">OYO</keyword>'s parent firm Oravel Stays has refuted all 'allegations' made by <keyword id="2232457" type="General" weightage="20" keywordseo="zostel" source="Orion">Zostel</keyword> Hospitality, which had requested the markets regulator Sebi to reject the draft red herring prospectus filed by OYO for its initial public offering. In a letter to the Securities and Exchange Board of India on October 11, 2021, Zostel had said "the IPO is non-maintainable as Oravel's capital structure is not final" and accordingly "Oravel's filing of the DRHP (Draft Red Herring Prospectus) in the circumstances, is illegal..." The DRHP is replete with material omissions and blatant misstatements, intended to mislead the public to invest in Oravel's shares without an appreciation of the risks involved, it had added. In a letter to Zostel, accessed by PTI, OYO said, "...we deny in toto all the allegations levelled by you against us in the Complaint. The Complaint is replete with patently false statements and self-serving half-truths, and is a deplorable attempt to adversely impact the proposed Offer and coerce the Company into granting Zostel's shareholders an entitlement to shareholding in the company that they failed to obtain in the arbitration proceedings between Zostel, its founders and shareholders and the company and the arbitral award dated March 6, 2021, issued by the sole arbitrator, Justice AM Ahmadi (Retd.)". The company has made adequate disclosures required under the applicable law in the DRHP filed with Sebi. No reasons or grounds, whatsoever, have been made out by you, warranting consideration of rejection of the DRHP or suspension of the proposed offer, it added. "The capital structure of the Company is firm and accurately reflected in the DRHP. As on date, there are no shares due to be issued to Zostel's shareholders as the Award does not direct issuance of the Company's shares to the shareholders of Zostel," the letter said. All outstanding litigation required to be disclosed in accordance with the ICDR Regulations and the materiality policy adopted by the board of directors of the company in relation to outstanding litigation, involving the company, its subsidiaries, its promoters and its directors have been disclosed in the DRHP, it added. Further, this matter has been disclosed in the section "Outstanding Litigation and Material Developments - Litigation involving our Company - Material litigation against our Company" of the DRHP. A risk factor in relation to the matter has also been disclosed in the DRHP, OYO said. "...the DRHP contains adequate disclosures of all pending litigations, in compliance with the disclosure obligations under the ICDR Regulations," it added. The DRHP or the proposed offer do not infringe upon or violate the terms of the Award or any judicial or quasi-judicial pronouncements. Adequate information and disclosures have been provided in the DRHP for the potential investors to make an informed decision in respect of investment in the equity shares and the proposed offer, OYO said. Comments from Zostel Hospitality Pvt Ltd could not be obtained at the time of filing the story. Zostel and OYO are involved in a legal battle over a deal between the two companies in 2015. OYO writes to SEBI, denying all allegations raised by Zostel

<ul><li>The Indian hospitality unicorn <keyword id="2808667" type="PERSON" weightage="20" keywordseo="OYO">OYO</keyword>’s founder <keyword id="1670338" type="PERSON" weightage="20" keywordseo="Ritesh-Agarwal">Ritesh Agarwal</keyword> wants to buy back shares worth $1.5 billion, according to reports. </li><li>Agarwal holds 9.43% in the hospitality startup, while SoftBank, the Japanese investment firm, controls 45.69% of the company. </li><li>According to OYO’s clauses, SoftBank cannot take up more than 49.99% in the company without approval from Agarwal and his early investors. </li></ul>In an unprecedented move in the Indian startup ecosystem, OYO founder Ritesh Agarwal is looking to buy back shares worth $1.5 billion according to an <a href="https://economictimes.indiatimes.com/small-biz/startups/newsbuzz/oyo-founder-in-talks-to-buy-back-1-5-billion-shares/articleshow/70121644.cms">ET report.</a> The report cited sources to say that the founder is looking buy shares from its early investors like Sequoia and Lightspeed Venture Partners, to have greater control of his company. In an email response, an OYO spokesperson said, “As a company policy, we don’t comment on speculations. We have no further comments.” Agarwal reportedly wants to raise his stake in the firm to over 30%. Currently, Agarwal holds 9.43% in the hospitality startup, while SoftBank, the Japanese investment firm, controls 45.69% of the company. The report further says that the founder is looking to raise $2 billion of secured debt through investors in India, Japan and Europe. Meanwhile, early investor Lightspeed has 13.4% stake, while Sequoia Capital has 10.24%. According to information sourced by paper.vc, Article 21.6 of Oyo’s Articles of Association prohibit Softbank from, directly or indirectly, acquiring more than 49.99% of the fully diluted share capital of the company, without the consent of Ritesh Aggarwal, Greenoaks, Lightspeed and Sequoia Capital. SoftBank has been an investor in OYO since a long time now. It was Softbank's investment that led OYO into the Indian unicorn club with a $5 billion valuation in September 2018, a huge jump from the $900 million valuation it had until then. Reports say that OYO is once again looking at raising funds through debt and primary, secondary transactions, which could take its valuation to over $10 billion. The Indian hospitality unicorn has been spreading its business fast across the world. It recently became China’s largest hotel chain. OYO said that it will invest $300 million to expand its footprint in the United States – into cities like New York, Los Angeles and San Francisco. It already has 50 hotels across 15 states in the US. It recently launched services in Vietnam.  Incentivising and giving wider tax breaks to early stage <keyword id="6362513" type="ORGANIZATION" weightage="20" keywordseo="Startups">startups</keyword> will encourage budding entrepreneurs while many think the government’s 3-year tax break is a short-sighted move.

Here is how the upcoming budget might affect startups: 
 
• Lower holding period for long-term capital gains The primary matter of concern for startups in India has been <keyword id="6383566" type="PERSON" weightage="20" keywordseo="Taxation">taxation</keyword>. 
The DIPP has proposed that the period for long-term capital gains for unlisted securities should be reduced from the current limit of 24 months which can lead to higher investments. 
 
• Taxation of ESOPs during sale 
The DIPP has proposed that the employee stock option plans (ESOPs) for startups should be taxed at the time of sale of these stocks. Larger startups can now rejoice since this would provide them with transparency from a valuation perspective as well as further boost their liquidity from a tax outflow perspective. 
 
• Tax holiday period 
The tax concession period currently spans three years and there is a demand to increase this to between five and seven. If this demand is accepted then it could mean that there will be a huge increase in a number of start-ups.

What
should Indian startups hope for in Budget 2017

A Mozilla study on Thursday claimed that in nearly 80 per cent of the apps reviewed on <keyword id="6355629" type="General" weightage="100" keywordseo="google" source="Orion">Google</keyword> Play Store, it found the data privacy labels were false or misleading based on discrepancies between the apps' privacy policies and the information apps self-reported on Google's <keyword id="847216" type="General" weightage="80" keywordseo="data-safety" source="Orion">Data Safety</keyword> Form. The researchers said that the system fails to help consumers make more informed choices about their privacy before purchasing or downloading one of the store's 2.7 million apps. The study uncovers serious loopholes in the Data Safety Form, which make it easy for apps to provide false or misleading information. "Consumers care about privacy and want to make smart decisions when they download apps. Google's Data Safety labels are supposed to help them do that. Unfortunately, they don't. Instead, I'm worried they do more harm than good," said Jen Caltrider, <keyword id="11154104" type="General" weightage="50" keywordseo="project-lead" source="Orion">Project Lead</keyword>, Mozilla. "When I see Data Safety labels stating that apps like Twitter or TikTok don't share data with third parties, it makes me angry because it is completely untrue. Of course, Twitter and TikTok share data with third parties. Consumers deserve better. Google must do better," he added. For example, Google exempts apps sharing data with "service providers" from its disclosure requirements, which is problematic due to both the narrow definition it uses for service providers and the large amount of consumer data involved. The study said that Google absolves itself of the responsibility to verify whether the information is true stating that apps "are responsible for making complete and accurate declarations" in their Data Safety labels. For the study, Mozilla compared privacy policies and labels of the 20 most popular paid apps and the 20 most popular free apps on Google Play Store. It found that 16 out of 40 apps, or 40 per cent, received a "Poor" grade, including Minecraft, Twitter, and Facebook. Around 15 apps, or 37.5 per cent, received a middle grade, "Needs Improvement", including YouTube, Google Maps, Gmail, <keyword id="691301" type="General" weightage="50" keywordseo="whatsapp-messenger" source="Orion">WhatsApp Messenger</keyword>, and Instagram. Just six of the 40 apps received an "OK" grade. These apps were: <keyword id="1739317" type="General" weightage="50" keywordseo="candy-crush-saga" source="Orion">Candy Crush Saga</keyword>, Google Play Games, Subway Surfers, Stickman Legends Offline Games, PowerAmp Full Version Unlocker, and League of Stickman: 2020 Ninja. Three apps, UC Browser, League of Stickman Acti, and Terraria did not fill out the form at all. "Google Play Store's misleading Data Safety labels give users a false sense of security. Positive on ITC despite surge in NCCD Despite a 16% increase in national calamity contingent duty (NCCD) for certain cigarettes, analysts are positive the higher duty will not impact volumes much. “We believe the surge in NCCD will not have a material impact on overall cigarette volume growth for the industry as it implies only a 1-2% price rise. We are positive on ITC and expect the volume growth for the company to remain stable, going ahead, “ said Preeyam Tolia, senior research analyst, FMCG &amp; retail at Axis Securities. Auto sector has lots to celebrate Further, the auto industry also has a reason to celebrate since the budget has removed custom duty on capital goods imported for the manufacturing of lithium-ion batteries used in electric vehicles (EVs). The move is to reduce the cost of EVs in the country. A proposed reduction of basic customs duty rates on goods other than agriculture and textiles from 21% to 13% is seen as another positive, while the relief in taxes is also expected to boost consumer spending by salaried consumers. Also, the finance minister said that more funds would be allocated towards scrapping old vehicles by the central government. "In addition to the vehicle scrappage policy announced in Budget 2021-22, more funds have been allocated now to support efforts to scrap old vehicles under the central government. States will also be supported to help them scrap old vehicles and old ambulances," said Sitharaman in her budget speech. This is seen boosting the commercial vehicles industry. The significantly higher capex allocation will support the commercial vehicles industry and will be positive for multi-axle vehicles and tippers, said Crisil. “Increase in spending on infrastructure, setting up of 50 new airports and heliports, creation of 100 transport infrastructure projects are welcome moves, in addition to the central support for replacing old vehicles. All of these should drive consumption and overall demand of vehicles," said Banwari Lal Sharma, CEO, consumer business at CarTrade Tech. Hotel stocks are among favourites Shares of hotel companies rose on Wednesday after the finance minister announced that the government will promote tourism in the country. "Promotion of tourism will be taken up on mission mode with the active participation of states, the convergence of government programs &amp; public-private partnerships," said Sitharaman in her budget speech. There is a large potential to be tapped in tourism. The sector holds huge opportunities for jobs and entrepreneurship for youths, she added. “There is a huge thrust on the tourism sector in the budget. 50 domestic destinations will be selected and uplifted. Domestic tourism will be promoted as an alternative to international tourism. We have seen Samhi Hotels, Oyo, Ixigo planning their IPO in 2023. If you look at Easemytrip, which got listed in 2021 has created huge wealth for investors (and is) also announcing high growth in topline and bottomline,” said Manish Khanna, co-founder at Unlisted Assets. The special push to the tourism sector is expected to bring more companies from the tourism sector to the listed space. “We would see many companies in this sector going in for IPO from the unlisted space. Some of the burn companies like Oyo are also expected to be operationally profitable in FY23, which is a huge positive coming out from covid downturn,” said Khanna. Budget Impact: 10 stocks that stand to gain from FM’s announcements

<ul><li>Software-as-a-service (SaaS) platform <keyword id="2645087" type="General" weightage="20" keywordseo="rategain" source="Orion">RateGain</keyword> intends to raise ₹1,335 crore through this IPO.</li><li>RateGain is seeking a valuation of ₹4,537 crore (about $600 million) at the upper end of the price band.</li><li>RateGain’s grey market premium (GMP) was at ₹85 on December 6.</li></ul>The initial public offering (IPO) of RateGain Travel Technologies will be launched tomorrow, December 7, and it is something that retail investors can get a scoop of, several stock brokerages have suggested. The software-as-a-services (SaaS) platform, which solely focuses on the travel and hospitality segment, intends to raise ₹1,335 crore through fresh as well as offer for sale (OFS). The price band has been set at ₹405-₹425. The lot size has been fixed at 35 shares, meaning a retail investor will have to shell out ₹14,175 to buy the shares. RateGain’s grey market premium (GMP), premium at which investors are comfortable buying the shares before it gets listed on a stock exchange, was at ₹85 on December 6. RateGain is seeking a valuation of ₹4,537 crore (about $600 million) at the upper end of the price band. The stock brokerages, who have previously raised concerns of valuation of digital businesses like Paytm and Zomato, too seem to be comfortable with the valuation being accorded to RateGain. “While there is no listed peer available for a direct comparison to RateGain in the domestic market, its valuations at ~50% discount to unicorns like Zomato and Paytm give comfort on the valuation front. In the new era of internet and AI [artificial intelligence]-based software services, we believe the premium valuation of the company is likely to sustain,” Reliance Securities said in its latest report. A unicorn, in startup parlance, is a firm valued at or over a billion dollars. The brokerage has also recommended retail investors to subscribe to RateGain’s IPO as there is “high growth potential, unique business proposition with minimal competition and valuation comfort.” The company, however, still is under threat of COVID-19 as well as any situation that may disturb the global travel scenario. Arihant Capital has noted that the company has been making a loss since fiscal year 2019 and aggressive investors can subscribe to the IPO for listing gains. The company counts Lemon Tree, OYO, InterContinental Hotels Group, Kessler Collection, and several other hotels and online travel aggregators (OTAs) as its clients. It also works with online ticketing platforms like GroupOn and distribution companies like Sabre GLBL Inc. “RateGain’s profitability has not been encouraging over the years, due to the acquisition of loss-making entities and higher depreciation (impairment of goodwill),” Reliance Securities added. The company was profitable till FY2019. 2016 was much of euphoria for tourism industry. But in a knee jerk reaction to <keyword id="6354642" type="PERSON" weightage="20" keywordseo="modi">Modi</keyword>'s demonetization move in November last year, the industry has been left with no choice but to make losses. In the last few years, the tourism in India has witnessed a major boom. In comparison to inbound travel, India has seen a major growth in the outbound sector, thanks to the disposable income of the <a href="http://www.businessinsider.in/heres-how-budget-2017-will-be-a-game-changer-intourism-industry/articleshow/56628238.cms">millenials</a>. Here are a few reasons, why India’s tourism hasn’t achieved much in comparison to <a href="http://www.businessinsider.in/heres-how-budget-2017-will-be-a-game-changer-intourism-industry/articleshow/56628238.cms">China</a>. Infrastructure While domestic<a href="http://www.businessinsider.in/heres-how-budget-2017-will-be-a-game-changer-intourism-industry/articleshow/56628238.cms"> travellers</a> have quadrupled, Indian tourism didn’t see much development in its infrastructure. While roads may have become better, and a lot of online travel portals have born, what went missing is a massive blue print of infrastructure to take India’s tourism to a new high. In India there has hardly been any addition to new hotels. Compare this to China and you would be surprised to find <keyword id="1333" type="LOCATION" weightage="20" keywordseo="beijing">Beijing</keyword> has as many star-category hotel rooms as all of India. India till 2015 has just a little over 100,000 star rated hotel rooms, compared to Beijing’s 130,000 alone. Also lack of supply of hotel rooms has aggravated the demand thereby making the travel in India far expensive in India. The rooms that cost $400 a night in Delhi or Mumbai would cost hardly $100 dollars in most part of China.

 Market size Another primary reason for China’s growth in tourism market is its size. China is far larger than our country, packed with tonnes of tourist attractions. Also many foreign visitors coming to India prefer cultural and natural destinations and tend to stay away from the cities. However in China, cities are also major draws. Expenses Tax disparity in independent travel purchase is a major flaw in Indian travel ecosystem. There are just too many taxes, which makes travel expensive. Communication The quality of transportation infrastructure in China is light-years ahead of India, there's simply no comparison, according to a <keyword id="274437" type="UNKNOWN" weightage="20" keywordseo="Quora">Quora</keyword> post. It is far easier and more comfortable for tourists to get around China than it is for them to get around India. China's air, rail, and road networks are all faster, safer, and more modern than India's.

There are tourist traps as well that make the country unsafe for travellers. There is very little for travellers to worry about in China. Violent crime and rape are almost unheard of. You can walk down dark city streets at night in China and have nothing to worry about. The Government has rightly identified Tourism as a pillar of growth in the economy and with improved road infrastructure, regional air connectivity and better budget accommodation, we expect that we will unlock this sector and improve our share of the global tourism market. We are expecting the 2017 budget to adopt a lenient tax structure which further promote the tourism industry.
