Softbank-backed <keyword id="19901637" type="General" weightage="20" keywordseo="OYO" source="keywords">OYO</keyword> is set to refile its much-awaited <keyword id="19898327" type="General" weightage="20" keywordseo="IPO" source="keywords">IPO</keyword> as the global travel tech player is close to finalising its refinancing plans to raise up to USD 450 million via sale of dollar bonds, sources said. JP Morgan is the likely lead banker for the refinancing through the sale of dollar bonds at an estimated interest rate of 9 to 10 per cent per annum, a source said. In preparation for the refinancing, OYO has already moved its application with markets regulator <keyword id="19901201" type="General" weightage="20" keywordseo="SEBI" source="keywords" meta.keywordsubtype="org" meta.entityname="SEBI" meta.hostid="153" meta.entityid="SEBI">SEBI</keyword> to withdraw its current draft red herring prospectus (<keyword id="19914966" type="General" weightage="20" keywordseo="DRHP" source="keywords">DRHP</keyword>). The company intends to refile an updated version of the DRHP, after the bond issuance. Oravel Stays Ltd, OYO's parent company, had in November prepaid a significant chunk of its debt amounting to Rs 1,620 crore through a buyback process. The buyback involved repurchasing 30 per cent of its outstanding Term Loan B of USD 660 million. The move brought down its outstanding loan amount to around USD 450 million. A source closely involved in the company's IPO plans told PTI, "The refinancing will result in material changes to OYO's financial statements. Hence as per existing regulations, it will need to revise its filings with the regulator". "Since the decision for refinancing is at an advanced stage, it doesn't make sense to continue pursuing IPO approval with the current financials. So it's prudent to withdraw the current application," he added. The refinancing will extend the repayment timeline to five years -- versus the repayment of the remaining TLB due in 2026 -- the source said. The bond issuance would significantly lower the current effective interest rate of 14 per cent on its existing USD 450 million Term Loan B (TLB) facility. "The refinancing is expected to result in annual interest savings of USD 8-10 million (Rs 66.4-83 crore) in the first year, after accounting for the costs associated with the bond issuance. The company anticipates annual savings of USD 15-17 million (Rs 124.5 -141.1 crore) thereafter, almost all of which would get added to its net profits. Post the debt refinancing, the company is open to contemplating an equity round, to reaffirm investor confidence before a public listing to fortify its financial strength," the source said. In September 2021, OYO had filed preliminary documents with the Securities and Exchange Board of India (Sebi) for a Rs 8,430 crore IPO. The launching of the IPO was delayed due to the then volatile market conditions making the company prepare to settle for a lower valuation at around USD 4-6 billion instead of the USD 11 billion it was targeting initially. <ul><li>It has been a dull year for initial public offerings (IPOs) this year because of several concerns including the Russia-Ukraine war, rising inflation, higher interest rates and a strong US dollar.</li><li>However, the last few months of 2022 saw a pick up in IPOs.</li><li>The number of IPOs launched and the funds raised through them so far in 2022 have halved from last year.</li><li>Analysts believe the <keyword id="402627" type="General" weightage="20" keywordseo="ipo-market" source="Orion">IPO market</keyword> could witness recovery in the coming months thanks to a strong pipeline and the recent successes of IPOs.</li><li>Popular garments and furnishings retailer Fabindia, Sachin Bansal-founded Navi Technologies and Biba Fashion are among companies that may list next year.</li><li>Currently, there are 61 companies looking to collectively raise ₹92,403 crore via public listing.</li></ul>The primary markets have turned optimistic since September, compensating for a lull in initial public offerings (IPOs) for a greater part of this year. Most of the 15 companies that listed on the bourses in the last quarter of 2022 have rewarded investors. Several concerns – the Russia-Ukraine war, rising inflation, higher interest rates and a strong dollar – led to a halving in the number of IPOs launched and the funds raised through them so far in 2022 compared to last year. So far this year, ₹55,101 crore has been raised through 32 IPOs (as of December 6), down from ₹1.18 lakh crore raised through 64 IPOs in 2021, shows data from Prime Database. In fact, nearly 40% of the amount raised this year has been through one IPO – that of insurance behemoth Life Insurance Corporation (LIC), which garnered over ₹21,000 crore from the public. “Between last year and this year there has been a slowdown in the IPO market. The difference is even more noticeable if you remove LIC, which contributed to a lion’s share of the amount this year. Primary market always follows the secondary market, albeit with a lag. Last year, markets were extremely bullish with a lot of liquidity floating around, which resulted in a huge number of IPOs,” Pranav Haldea, managing director of Prime Database told Business Insider India. The last few months, however, have seen an increase in the number of companies taking the IPO route. Issuances seen across sectors, except new-age tech A report by EY on IPO trends highlights that the end of Q3 (July-September) has seen an uptick in IPOs, after a slowdown post Q2. Technology, banking, capital markets, media and entertainment were the most active sectors in the IPO market in Q3, says the report “Issuances are happening across sectors, except for new-age tech companies. Now, companies have also been asked for additional disclosures, so it may be a while till we see a new-age tech company launch its IPO,” added Haldea. Hotel chain OYO, Snapdeal and condom manufacturer Mankind Pharma are among companies awaiting the regulator’s nod. This strong pipeline augurs well for the IPO market in 2023, despite predictions of volatile global markets and other external pressures, analysts say. “While volatility in the overall global markets and other macro factors will continue to affect investor sentiments, the pipeline of IPOs and momentum created by successful IPOs towards the end of Q3 2022 could lead to a recovery in the market,” said Adarsh Ranka, financial accounting advisory services leader, partner with an Indian member firm of EY Global. IPOs pick up steam in last three months of 2022 – Strong pipeline likely to propel listings in 2023

As hospitality major <keyword id="2808667" type="General" weightage="20" keywordseo="OYO" source="Orion">OYO</keyword> firms up plans for its initial public offering (<keyword id="6354763" type="General" weightage="20" keywordseo="IPO" source="Orion">IPO</keyword>), financial services company <keyword id="151304" type="General" weightage="50" keywordseo="jefferies" source="Orion">Jefferies</keyword> says that while the company saw one of the strongest first quarters in many years, there are some challenges that it needs to address to maintain growth momentum. According to the report the two major factors that have helped OYO improve unit economics as it turned EBITDA (adjusted) positive in the first quarter of FY23 is the broad-based improvement in travel trends and business restructuring by the company. Even though OYO faces stiff competition from traditional hotel companies, short-term vacation rental companies, other online travel agencies (including <keyword id="3658983" type="General" weightage="50" keywordseo="super-apps" source="Orion">Super Apps</keyword> hosting peer OTAs) and competition from search engines in attracting, engaging and retaining customers on platform, the Covid-induced downturn gave OYO an opportunity to rethink the scale, size and cost of operations and shifted its focus on refining the hotel footprints by increasing profits per hotel according to Jefferies. Its revenue shows steady momentum across all segments in Q1FY23. "OYO's ability to provide customers with access to a broad range of high-quality storefronts at a compelling price point, coupled with brand strength and attractive loyalty and referral programs, provide organic and repeat demand for storefront bookings, resulted in increased Gross Booking Value (GBV) for the company," quotes the report. The Gross Booking Value (GBV) per hotel per month modestly recovered in FY22 and has seen a sharp jump in 1QFY23 after bottoming out in FY21. The report also highlighted that the number and variety of storefronts is a measure of width and reach of the platform and is a key value proposition to the customers. Therefore, growth in patron base and storefront footprint globally will be critical for the organisation. It will also have to keep the focus on growing the gross bookings value (GBV) per storefront -- organically, including from various loyalty programs to incentivize bookings from new customers and drive growth. The report also referred to OYOs asset-light, technology-driven business model that has enabled it to scale business globally and provided it with a competitive advantage in the short-stay accommodation space, besides accelerated development and adoption of technology/products to reduce operating costs and reposition its offerings. OYO's adjusted Gross Margin improved from 9.7 per cent in FY20 to 33.2 per cent in FY21 and 40-41 per cent in FY22/1QFY23. In FY22, Adjusted EBITDA losses narrowed to Rs 4.7 billion from Rs 17.5 billion losses in FY21, and the company turned profitable on EBITDA (Adjusted) in 1QFY23. In addition, the company's Contribution profit improved from 5.1 per cent in FY20 to 22-23 per cent in FY22 and 1QFY23. OYO's employee expenses decreased by 63 per cent YoY in FY21 (grew 7 per cent YoY in FY22) driven by rationalisation of employees, centralisation of key functions in strategy, better revenue management, moving corporate support teams from a country level to a regional level, rationalisation of non-core businesses and increased automation led operational efficiency. However, the report also pointed out that OYO is presently focused in India, Indonesia, Malaysia and <keyword id="28249" type="General" weightage="50" keywordseo="europe" source="Orion">Europe</keyword> since they are more mature in terms of the scale of storefront footprints and unit economics. These markets together account for 90 per cent of its storefronts globally. The Delhi High Court on Monday nixed a plea filed by hostel chain <keyword id="2232457" type="General" weightage="20" keywordseo="zostel" source="Orion">Zostel</keyword> (Zo Rooms) seeking to restrain OYO Hotels and Homes from proceeding with its initial public offering (IPO) process, claiming that the former has seven per cent shareholding in the tech hospitality major. Justice C. Hari Shankar dismissed the plea of Zostel, seeking an interim order to restrain or injunct OYO from modifying its shareholding structure or cap table including by way of an Initial Public Offering (IPO). The dispute between OYO and Zostel dates back to 2015 when they had begun negotiations for a merger but the talks fell through. This eventually led to the arbitration. The two companies were at loggerheads over the arbitration award. OYO's contention that the Arbitration Tribunal adjudicating the dispute between the two entities has granted no specific relief to Zostel in terms of receiving ownership in the hospitality major. This was a result of OYO calling off its acquisition of Zostel Rooms citing the inability to reach an outcome to identify potential value in the latter's business after due diligence. Zostel had said that its shareholders are entitled to seven per cent mirror-image shareholding in the OHHPL (Oyo Hotels and Homes Private Ltd) as per the terms of the scheme of demerger of OYO's (Oravel Stays Private Ltd) "Indian Business" into the OHHPL, approved by the NCLT Ahmedabad. So, any market offer should only follow the implementation of this scheme. Oyo also sought in the High Court a stay on an earlier order from a Supreme Court-appointed arbitrator who had said that Oyo was in breach of its agreement with smaller rival Zostel over the proposed acquisition.
