New Delhi, <keyword id="18648559" type="General" weightage="20" keywordseo="online-gaming-and-sports-company" source="Orion">Online gaming and sports company</keyword> Nazara Technologies on Monday said it plans to raise Rs 100 crore from <keyword id="18647120" type="General" weightage="20" keywordseo="Kamath-Associates" source="Orion">Kamath Associates</keyword> and <keyword id="18647121" type="General" weightage="20" keywordseo="NKSquared" source="Orion">NKSquared</keyword> to meet growth and funding requirements. In its board meeting held on September 4, Nazara approved a proposal for issuance of 7,00,280 preferential shares each to Kamath Associates and NKSquared valued at Rs 99.99 crore, a regulatory filing said. "Nikhil Kamath symbolizes success in India's tech arena, and this fund raise holds immense value for us at Nazara as we continue to build a diversified gaming platform in India. Beyond the funds raised, his investment stands as a resounding vote of confidence in Nazara," Nazara Technologies CEO Nitish Mittersain said in a statement. The funds will be used for making strategic acquisitions and investments in various companies, meeting growth and funding requirements of its subsidiaries, associates and joint ventures etc, the filing said. "Gaming in India is poised for strong growth in the years to come and Nazara has built a well-diversified, profitable gaming platform well suited to take advantage of opportunities in the years ahead. India recorded only 89 deals, valuing $1.8 billion in February, which dropped by 54% in terms of volume, and 60% in terms of value, as compared to last year. Investors continue to tread cautiously amid macroeconomic uncertainties, according to <keyword id="16790181" type="General" weightage="20" keywordseo="Grant-Thornton-Bharats-Dealtracker-February-2023" source="Orion">Grant Thornton Bharat’s Dealtracker February 2023</keyword> report. This also marked the second-lowest deal volumes and lowest values recorded since 2014, the report said. The report highlighted that activity in the merger and acquisitions witnessed a significant downtrend — declining by 48% in terms of volume, and 47% by value compared to February 2022. February 2023 clocked in 24 deals at a total value of $755 million. “US economic data has been pointing towards a slowdown; however, the recession is not confirmed yet. China has seen an accelerated reopening, and that has provided a boost to the commodity market. On the domestic front, the policy review also acknowledges that domestic economic activity is expected to remain resilient, aided by the sustained focus on capital and infrastructure spending in the Union Budget 2023-24,” said Shanthi Vijetha, partner- growth at Grant Thornton Bharat. Funding winter for PE investments The private equity investment trend also witnessed a drop both in terms of deal values and volumes with only 65 deals worth $1 billion taking place during the month. The year 2023 also witnessed the continued funding winter in terms of both PE deal volumes and value. The report shares that the decline in PE funding was largely due to uncertain market conditions and the wait-and-watch approach adopted around the Budget 2023-24. “While the deal activity is subdued, the Indian market is still considered to provide good opportunities for deals/investments. As a result, the Union Budget 2023 avoided populist measures in the pre-election year and prioritised long-term growth,” added Vijetha. Paper Boat Apps is the publisher of Kiddopia, an edutainment app which has over 2.5 million downloads and 100,000 paying users. “Kiddopia addresses the concern where young children are found to consume digital content through their parent’s devices. Kiddopia offers a positive alternative while bringing high quality, curated educational content packaged within an entertaining framework that keeps both kids healthy and parents happy. Kiddopia will be leveraged to over 100 million users through the Nazara network,” Nitish Mittersain, founder and MD, Nazara Technologies said. But this acquisition is only one of the series of investments by Nazara this year. In September 2019, Nazara acquired majority stake in Sports Unity, the creator of multiplayer quiz called Qunami, for ₹7.5 crore. In August, Nazara also bought 67% stake in Sportskeeda for ₹44 crore. Analysts at GEPL capital agree as they said that while the growth has come at the expense of EBITDA (earnings before interest, taxes, depreciation, and amortisation) margins and return ratios, the pivot was an essential strategy to foray into diverse lucrative opportunities, leveraging an ecosystem of partners and creating business moats. “All these acquisitions were funded through internal accruals. As the synergies and growth from these investments kick in, the margin profile and consequently return ratios will return back to a path of steady growth,” said the GEPL capital report. Nazara’s CEO Agarwal told Business Insider that their growth has come from their fundamental knowledge of the Indian gaming market and knowledge of the consumer trends. The company, backed by <keyword id="10108243" type="UNKNOWN" weightage="20" keywordseo="ace-investor-rakesh-jhunjhunwala">ace investor Rakesh Jhunjhunwala</keyword>, is popularly known for its games on World Cricket Championship, Chhota Bheem and Motu Patlu series. <keyword id="242260" type="COMPANY" weightage="20" keywordseo="Nazara">Nazara</keyword>'s public issue will see sale of 52,94,392 equity shares by the promoters and existing shareholders. Those selling shares in the IPO include Mitter Infotech LLP, a promoter of the company, IIFL Special Opportunities Fund, Good Game Investment Trust, IndexArb Securities and Azimuth Investments. The offer includes a reservation aggregating up to Rs 2 crore for purchase by the company's employees. At the upper end of the price band, the IPO is expected to fetch Rs 583 crore. Explaining the rationale behind the IPO, the company said that listing of equity shares will enhance its brand name and provide liquidity to the existing shareholders. The listing will also provide a public market for equity shares in India. The equity shares are proposed to be listed on BSE and NSE. ICICI Securities, Nomura Financial Advisory and Securities (India) Private Limited, Jefferies India Private Limited and IIFL Securities have been appointed as the merchant bankers to manage the company's initial public offer. In January, WestBridge Ventures II Investment Holdings, a fund managed by WestBridge Capital, exited from Nazara by selling shares worth over Rs 500 crore to Plutus Wealth Management LLP and its associates. The Indian stock market is witnessing high level of volatility affected by global cues as markets all across showing weak trends. HUL was the biggest gainer in early hours of trade on Nifty50 while other stocks like ONGC, ITC, HCL were the other better performers.
