The Bank of Russia said Tuesday the move is aimed at mitigating risks for retail investors. Western sanctions led to millions of Russian investors seeing their holdings in foreign securities frozen. Starting on October 1, brokerages will no longer execute orders from non-qualified investors to buy securities from "unfriendly countries" if their portion of a portfolio exceeds 15%, <a href="https://www.cbr.ru/eng/press/event/?id=14137">the bank said in a statement </a>Tuesday. The threshold will be lowered to 10% of a customer's portfolio on November 1, and to 5% on December 1. Beginning on January 1, brokers must suspend any orders from retail investors seeking to increase their stakes in foreign issuers from unfriendly countries. "This decision is aimed at minimizing the infrastructure risks faced by non-qualified investors, since foreign financial institutions maintaining the record of such securities may block the opportunity to dispose of purchased assets without any warning," the Bank of Russia said. "Over five million investors have already become victims of such blocking. It is very difficult to protect the rights of holders of these securities after the fact, as the solution of the problem is beyond the scope of Russian jurisdiction." As of July, 48 countries were on Russia's list of unfriendly countries including the US, European Union nations, Canada, and Japan. Russians held roughly $14 billion in US-listed shares as of the end of March, <a href="https://www.reuters.com/article/ukraine-crisis-russia-investors/russia-restricts-retail-investors-access-to-foreign-shares-idUSKBN2Q712X">Reuters reported</a>, citing the central bank. The Bank of Russia had also estimated sanctions on Russia's National Settlement Depository froze access to about 320 billion rubles ($5.26 billion) in foreign shares, the report said.

New Delhi, Dec 3 () The Securities Appellate Tribunal (SAT) on Tuesday suspended further transfer of investors securities that Karvy Stock Broking Ltd had pledged with lenders.
The move comes a day after the market regulator Sebi's directive to NSDL to transfer the investors' securities, held by Karvy Stock Broking Ltd (KSBL), in their respective accounts.
The decision resulted in nearly 83,000 investors getting back their securities that were illegally transferred by the broker to its own account and were even pledged without any authorisation.
With this transfer by National Securities Depository Ltd (NSDL), nearly 90 per cent investors received their securities.
Karvy has taken loans to the tune of Rs 600 crore by pledging securities worth more than Rs 2,300 crore of 95,000 clients with lenders, including Bajaj Finance.
Of these, 95,000 clients, nearly 83,000 of them have got back their securities, which were were illegally transferred by KSBL to its own account.
The latest ruling came following an appeal by Bajaj Finace, which has given given loans to the tune of Rs 345 crore to Karvy against pledged securities.
Bajaj Finance moved the tribunal against a Sebi order passed on November 22, which prohibited transfer of securities from an account of KSBL with immediate effect, saying due to this directive the non-banking finance company could not invoke the pledge.
The regulator, through an order passed on November 22, had barred KSBL from taking new clients in respect of its stock broking activities and also prevented it from using the power of attorney (PoA) given by clients after the broker was found to have allegedly misused clients' securities.
The order was a result of a preliminary report forwarded by the NSE on the non-compliances observed with respect to pledging/misuse of client securities by Karvy.
"In the interim further transfer of securities shall remain suspended from DP account...named Karvy Stock Broking Ltd (BSE)," the tribunal said in an order.
The SAT has asked the regulator to hear "the appellant (Bajaj Finance) on the basis of their representation dated November 23, 2019 and or any other additional representation which they may like to make. If the appellant is desirous to make any additional representation it shall be made latest by December 4, 2019".
It further directed Sebi "to consider the representation(s) of the appellant and, after giving an opportunity for personal hearing, pass an order as per law latest by December 10, 2019".

Karvy case: SAT suspends further transfer of clients' securities

Investors will soon find it easy to apply for Initial Public Offers (IPOs) as <keyword id="6357264" type="ORGANIZATION" weightage="80" keywordseo="capital-market">capital market</keyword> regulator, <keyword id="6355630" type="ORGANIZATION" weightage="80" keywordseo="Securities-and-Exchange-Board-of-India">Securities and Exchange Board of India</keyword> (<keyword id="35210" type="ORGANIZATION" weightage="80" keywordseo="sebi">SEBI</keyword>) is coming up with norms on <keyword id="2302538" type="UNKNOWN" weightage="60" keywordseo="electronic-form">electronic form</keyword> of IPOs. The e-IPOs will allow investors to subscribe to issues online without filling application forms and standing in queues, according to an ET report. 

	Moreover, the e-IPO system will reduce the total IPO investing process for investors to six days from the existing 12 days. 
 

	At present, there are various ways of submitting an application form for a public issue including applying with a cheque. This makes it difficult to reduce the post issue timelines from the 12 days from issue closure to listing and trading of shares. 
 The challenge with the current system is the time taken for clearing cheques of the retail investors. “The proposed e-IPO system is likely to do away with cheques and provide payments through NPCI (<keyword id="394949" type="CITY" weightage="80" keywordseo="National-Payments-Corporation">National Payments Corporation</keyword> of India), brokers besides the current ASBA (Application Support Blocked Amount) mechanism…," Haresh Hinduja, head-primary market, <keyword id="1869539" type="UNKNOWN" weightage="80" keywordseo="Link-Intime">Link Intime</keyword>, told the financial daily. 

	If an investor makes an application through the ASBA route, the applicant's bank account doesn't get debited until shares are allotted to him. But, the system still has some challenges.
 In 2008, the <keyword id="6378893" type="UNKNOWN" weightage="80" keywordseo="market-regulator">market regulator</keyword> had introduced the ASBA mechanism, which is mandatory for institutional and rich investors, while optional for retail investors. At present, 70% of the applications by retail investors are done through cheques. 

	In the current IPO process, implementing ASBA across the country is a challenge. For instance, if investors send ASBA forms of multiple banks, brokers find it tedious to verify all the forms with the banks and clear them within the IPO 12-day period.
 "The proposed e-IPO mechanism has allowed more entities such as depository participants and registrar and transfer agents to accept ASBA forms, besides replicating the OFS (offer for sale) model. The client will make bid application and the clearing corporation will block brokers funds. Thus the whole settlement will be through the secondary market route," CEO of <keyword id="66607" type="CITY" weightage="80" keywordseo="Kotak-securities">Kotak Securities</keyword> Kamlesh Rao told ET. 

	SEBI is also planning to reduce the size of the abridged prospectus further and make it available electronically.

SEBI soon coming up with e-IPO norms

New Delhi, Dec 2 () Markets regulator Sebi's prompt action against Karvy Stock Broking Ltd (KSBL) has resulted in nearly 83,000 investors getting back their securities, which were illegally transferred by the broker to its own account and were even pledged without any authorisation.
 With the latest transfer by National Securities Depository Ltd (NSDL), nearly 90 per cent investors have got back their securities and the remaining ones will get after clearing their dues.
 Karvy has taken loans to the tune of Rs 600 crore by pledging securities worth more than Rs 2,300 crore of 95,000 clients with lenders.
 Of these, 95,000 clients, nearly 83,000 of them have got back their securities, which were were illegally transferred by the KSBL to its own account.
 "As per the directions of Sebi and under supervision of NSE, securities have been transferred from the demat account .... named Karvy Stock Broking Ltd to the demat accounts of respective clients who have paid in full against these securities. The number of such clients who have received securities are 82,599," NSDL said in a circular.
 The timely action assumes significance as any any delay could have led to invoking of pledge by lenders with whom the broker had pledged the clients' securities.
 According to market experts, timely action by Sebi has also averted PMC Bank-like situation.
 Leading stock exchanges NSE and BSE on Monday suspended Karvy's trading licence.
 In an order passed on Friday, Sebi said that Karvy unauthorisedly transferred securities worth Rs 2,300 crore of more than 95,000 clients, into one of its demat accounts, by misusing the PoAs (Power of Attorney) given by its clients.
 The demat account was never disclosed by the firm in its filing with the stock exchanges.
 Sebi also said that forensic audit of KSBL, initiated by the NSE "is in progress and the full magnitude of the mis-utilisation of the clients' securities will be known after completion of the forensic audit".
 The regulator, through an order passed on November 22, had barred KSBL from taking new clients in respect of its stock broking activities and also prevented it from using the PoA given by clients after the broker was found to have allegedly misused clients' securities.
