New Delhi, July 1 () Marico has now fully acquired Beardo, a startup company which operates into the men's grooming market, by buying 55 per cent additional shares, a move which will help FMCG firm to extend its play into the segment. Marico has acquired the remaining 55 per cent share of Zed Lifestyle, Beardo's parent firm, in an all-cash deal, making a step-down company. "The investment makes the investee company (Zed Lifestyle) a wholly-owned subsidiary of Marico Ltd and gives Marico a complete control over the operations of the investee company," said Marico in a regulatory filing. Confirming the move, Venture Catalysts (VCats), an integrated incubator and accelerator platform, also announced a complete exit from Zed Lifestyle after the acquisition of its portfolio company Beardo by Marico. "Sensing the tremendous potential in the segment, Marico acquired an additional 55 per cent equity share in Beardo's parent company Zed Lifestyle Pvt Ltd earlier this week," said a statement from VCats. Marico had made an investment in the company in March 2017, which was equivalent to 45 per cent of the issued and paid-up share capital of Zed Lifestyle. Beardo, which sells beard oils, beard waxes, soaps, and other products for men's facial hair, had a turnover of Rs 78.49 crore in FY 2019-20. GAIL in a statement said “about 30 mmscmd of natural gas supplies into its north-western pipeline network (HVJ system) was immediately shut-off” following the fire. The shares of GAIL and ONGC ended 4% and 3% lower, respectively, yesterday. Tata Consultancy Services (TCS) Tata Consultancy Services (TCS) said it has been hired as a digital transformation partner by women fashion retail chain Maurices. TCS will help the company build its greenfield IT ecosystem with the intent of optimising its 200 existing applications and software components within the next 17 months. RITES The engineering consultancy company, RITES has bagged a ₹206 crore contract to construct four roads over bridges in Andhra Pradesh from Indian Railways. “RITES Ltd has been awarded a turnkey contract for construction of (ROBs) in replacement of existing level crossings on competition basis from Railway Board amounting to Rs 205.85 crore,” the company said in a statement. <ul><li>Speaking at the Business Insider Global Trends Festival 2020, <keyword id="126855" type="PERSON" weightage="20" keywordseo="Harsh-Mariwala">Harsh Mariwala</keyword> said the emergence of digital marketing and <keyword id="35621" type="PERSON" weightage="20" keywordseo="e-commerce">e-commerce</keyword> has made it cheaper and easier for startups to make their mark in the segment. </li><li>Modern trade and e-commerce contribute to 22% of total sales of Marico (as of FY20). </li><li>Mariwala also spoke of brands like the one they have acquired Beardo or others like Mamaearth and Boat, who have made a mark for themselves in the consumer market. </li></ul>Harsh Mariwala, the man who has spearheaded India’s <keyword id="34523" type="CITY" weightage="20" keywordseo="fmcg">FMCG</keyword> (fast moving consumer goods) growth with his 30-year old company, observed how digital and e-commerce has removed the entry barriers into the sector. “In the earlier days, if somebody wanted to launch a new product, they had to have a distribution network which would cater to 2-3 million outlets, which would be very very costly and unless you had a ₹1,000 crore turnover, you won’t be able to afford that,” the maker of iconic hair oil brand Parachute and edible oil brand Saffola said in a conversation at the Business Insider Global Trends Festival 2020. It didn’t end there. The next big expenditure to ensure your brand is known and becomes a household name, companies had to splurge big money in television advertising. “So, for a startup there would be a lot of odds before entering the FMCG sector. But with the emergence of e-commerce, you can prototype your products in these options and also use digital marketing, which is not as expensive as television marketing. We have seen a whole host of new entrepreneurs entering the consumer sectors,” he added. But the $6 billion Marico is not sitting back and watching this space evolve. It is changing its approach too. Marico’s own tryst with e-commerce Marico has been building up a portfolio of e-commerce with Mariwala’s son Rishabh leading the segment. Within the company, they also have a front-end analytics team called Marico Miner League, which leverages Artificial Intelligence and works on “predictive modelling using digital and e-commerce platforms data, enabling the business with right decisions and spend optimisation”. “Marico has significantly enhanced presence in modern trade and e-commerce, with the share of these channels increasing from 12% to 22% over the past two years,” said the company in its annual report of FY20. Marico has an eye for startups entering the space too It is bracing for a game where younger, more agile startups are making a mark, and he is buying out some of them, like Beardo and Mamaearth, too. Marico has also completed the 100% acquisition of the Ahmedabad-based startup Beardo, in which it had first acquired a stake in 2017. Beardo’s strong presence in the online men’s grooming segment is what drew Marico to the startup. Talking about Beardo, Mariwala said, “At some stage of their journey, where they reach a certain level of turnover and when they have to expand it to physical distribution, that time they find it difficult – that’s when they are forced to divest or get into some sort of partnership.” Even during the pandemic, Marico hasn’t been much affected as most of its products fall in the essentials category. India’s FMCG guru and founder of $6 billion Marico, Harsh Mariwala, on how e-commerce has removed entry barriers

<ul><li>As a D2C house of brands that’s going public, Honasa is a new IPO theme for investors.</li><li>HUL, Marico etc. are listed peers but it also has a lot in common with new-age companies like high advertisement expenses.</li><li>Honasa’s capex plans to go offline and customer acquisition cost can dent the profitability of the company, which has posted losses in FY23.</li><li>The company is catering to the premium BPC sector which in turn caters to the changing needs of the urban millennials and GenZs. </li></ul>If you are an investor who is tired of the same old consumer companies, there is a new theme in town. A direct-to-consumer or D2C company that houses several brands, Honasa Consumer, has taken the off-beat path of going public. “It can be a new IPO theme. There have been many D2C brands that were acquired by companies like Marico acquiring Plix, Beardo and Emani with The Man Company. This is the only one to go public,” says Preeyam Tolia, senior research analyst of FMCG &amp; Retail at Axis Securities. This ₹1,701 crore IPO, however, is also an acid test for direct to consumer (D2C) companies dreaming to go public. After the mixed reaction that many new-age digital companies like PayTM, Zomato and Nykaa received from the markets, most digital businesses are met with askance. Who are the peers? As a product creator, the company quotes HUL, Marico, Marico etc. as its peers. However, the company which produces its products via contract manufacturing, shares many traits with new-age companies. Honasa is one of the first-movers in the sector, and grew at a breakneck speed of 80% compounded annual growth rate (CAGR) for the last two years. In the crowded online BPC market, it managed to gain a market share of 5.4%, as per Redseer. It’s also in the most alluring businesses of the times. The BPC sector itself is expected to grow at a CAGR of 10% between 2022-27, the consulting firm says. It’s also establishing exclusive brand outlets (EBOs). But, it’s primarily a digital company that’s true to its nature. “We follow and listen to consumers and use the data to create new products. For example, our onion-based hair care products are based on the advice that most people receive as an antidote for hair fall. But people also pointed out that it’s tough to extract and use. That’s how we created it,” explained Varun Alagh, founder and CEO of Honasa Consumer at the company’s IPO press conference. In addition to its flagship, it has expanded its portfolio by incubating three brands and acquiring two more. It now has The Derma Co, Aqualogica, Ayuga, Dr Sheth’s and BBlunt (salons and products) – all catering to the new-age Indians who love tailor-made products. The ad-burn conundrum Honasa had to spend a lot of money to market the uniqueness of its varied products to the right consumers via online and offline channels. Its ad expenses stood at 34.99% of its revenue from operations as of June end. Experts say that it’s normal for a D2C company like itself. “D2C brands require a lot of advertising and promotional spends. They do need to invest in scaling up brands and they have been able to because of PE funds. But in a listed environment, it’s too early to comment on how they will fare,” comments Tolia. A large chunk of the net proceeds raised from the fresh issue will go towards ad expenses. It intends to spend more towards physical presence like more EBOs and BBlunt salons. That’s good for the brand in terms of customer acquisition cost, but in the long run. “As the brand scales, the company is looking to connect consumers offline. A large part of the revenue decline is concentrated in its D2C website and app, where CAC (customer acquisition cost) is considerably high. As consumers shift to the offline mode, CAC needs will also reduce,” said a report by Emkay. According to a Redseer report, most investors into new-age companies are confused about their business models. They’re unsure of which bucket a company falls into, especially when they go online to offline. They’re positioned online but grow offline. These are different models cost and growth-wise, it said enumerating investor concerns on startup listings. Moreso, the company had taken an impairment hit due to its subsidiary Momspresso in FY23, dragging it into losses to the tune of ₹150.9 crore. It had posted a profit of ₹14.4 crore in FY22. Its high expenses makes it tough to get back to the profit path, say analysts. “The company's focus on product development and innovation R&amp;D may impact short-term profitability due to high advertising expenses and capital expenditure,” says Prashanth Tapse, senior VP of research at Mehta Equities. What’s in it for the investors? The IPO is a combination of fresh issue and offer-for-sale (OFS). But the size of the fresh issue is much smaller than the OFS by promoters and other selling shareholders who will take a lion’s share of the intended fundraise of ₹1,701 crore. “New investors should be cautious as the IPO includes fresh share issuance of ₹365 crore and a low promoter stake of 37.41%. Conservative investors may wait and watch, while risk-takers can consider long-term investment for potential growth. However, the IPO appears to be overvalued in the current market conditions, and historical listings with high valuations have often faced post-listing challenges,” opines Tapse. Emkay too has broken its opinion on the company into three different scenarios — all based on how much of its past growth it can keep up with. If it’s able to double its turnover in three years, it’s an attractive investment. If it can keep up with its 20% revenue CAGR, it can be defined as ‘fair’, but if its revenue grows under 10%, then it’s an expensive investment. It all boils down to how far and clearly investors can gaze into the crystal ball.

Shilpa Shetty Kundra who stands to make as much as ₹45 crore from the share sale, has purchased the stock at a slightly higher cost. The weighted cost of acquisition for her is at ₹41 per share. The other selling shareholders include Fireside Ventures Fund, Sofina and Stellaris. The IPO stands to raise anywhere between ₹1,635 crore to ₹1,701 crore. The IPO of the parent company of Mamaearth brand will open on October 31 till November 4. The price band for the issue has been fixed at ₹308-324. Investors can bid for a minimum of 46 shares in multiples thereof. The issue is a combination of a fresh issue and an offer-for-sale. Some of its selling shareholders include its celebrity investor and actress Shilpa Shetty, Snapdeal’s Rohit Kumar Bansal and Kunal Bahl; and Rishabh Harsh Mariwala of the Marico family. This is apart from promoters Varun and Ghazal Alagh, Fireside Ventures Fund, Sofina and Stellaris. The company intends to use net proceeds from the fresh issue towards advertisement expenses, to set-up exclusive brand outlets, investment in its subsidiary, BBlunt, general corporate purposes and unidentified inorganic acquisitions. The issue allocates 10% of the offer to retail investors, 15% to non-institutional investors and 75% to qualified institutional buyers (QIBs). Kotak Mahindra Capital, Citigroup Global, J M Financial and J P Morgan are the book running lead managers of the issue and KFIn is the registrar. Loss on account of impairment The company has reported a progressive growth in revenue for the last three years. It slipped back into losses in FY23, after posting profits in FY22. As of June 2023 end, a third of revenues from operations or around 29% of revenues came from these products. “While our dependence on sales of our top 10 products has been declining with increasing contributions from our other products, any decrease in the sales of our top 10 products, whether due to increase in sale of products or market share of competitors with similar products or any other reason, will adversely affect our business, results of operations, financial condition and cash flows,” the company said. Its top products include the Mamaearth brand, the Derma Co, Dr Sheth’s, and Aqualogica brands in the face care and hair care categories. Around 9% of its revenues came from the same two products. Moreoso, the auditor’s report on internal financial controls issued on its standalone financial statements in FY21 contains a disclaimer of opinion. The opinion relates to the auditors’ inability to obtain appropriate audit evidence to provide a basis for opinion on adequate internal financial controls. The company which depends on influencers also sees them as a business risk. “Influencers may use their platforms to communicate directly with our consumers without our knowledge in a manner that reflects poorly on our brands and may be attributed to us,” Honasa said. The company sells its products via its own D2C channel like its brand and mobile websites, and mobile applications. But its third party e-commerce marketplaces bring in the most sales. As of June 2023 end, it derives 64% of its revenue from operations from e-commerce marketplaces. High ad expenses &amp; heightened competition The company’s ad expenses stood at 34.99% of its revenue from operations as of June end. The company is also in a segment that’s extremely competitive. And some of these competitors are larger and have substantially greater resources than them. That gives them the ability to spend more on advertising and marketing and offer substantial discounts, the company says. Then, there is also the threat of new entrants which may have more flexibility in responding to changing business and economic conditions. “As the BPC products space has a fairly low barrier to entry, these new entrants could potentially heighten the competitive landscape, which may lead to intensified competition on pricing,” the company said. It also said that its subsidiaries acquired in the past, including Just4Kids, BBlunt, B:Blunt Spratt and Fusion, have incurred losses for certain historical periods. There is no assurance that these entities will be profitable in the future,” the company cites as its risk factors. The company has undertaken one criminal and three material civil proceedings. It has two tax and two material civil litigations proceeding against it, where the aggregate amount involved is ₹100 crore.

Morgan Stanley has said that the stocks have peaked and the returns may not be as exciting in the next 3-6 months. Rising inflation both in the US and India may hurt Indian stock markets. The analysts at Morgan Stanley said that they expect the Reserve Bank of India (RBI) to increase interest rates in February 2022. Inflation has been a cause of concern for many companies this earnings season including consumer goods giants — including Marico, Nestle, Hindustan Unilever, Britannia and Parle to name a few ⁠— that may have to pass on more price hikes if inflation remains high. In fact, consumer product companies are <a href="https://www.businessinsider.in/retail/news/profit-margin-of-britannia-declines-in-q2-of-fy-2022/articleshow/87600806.cms">unable to hike prices</a> to cover the entire rise in costs and that has led to shrinking margins for many. The risk of a mutant virus that is resistant to vaccines is the biggest downside risk, as it might leave the government no choice but to roll out new mobility restrictions, say analysts at UBS. More restrictions would mean several pockets of the economy would be forced to halt physical operations leading to slowdown in economic activity. What could turn the tide in India’s favour? A correction in the market typically means either a fall in prices or they remain stagnant or rangebound for a while. The latter is also called ‘time correction’. But there could be other factors that could come into play too. For instance, India has been pushing to get its bonds included in the global indices. UBS emerging markets strategist Rohit Arora has said that it is possible in early 2022 while Bloomberg has noted that these decisions are usually announced in September. Small investors ahoy! Global investment banks are telling their clients to take profits from India

Companies like SAP, General Mills, Snapdeal and Marico are scouting for best talent to strengthen their respective technology competencies, especially in mobility, big data and analytics. 
 
They are aggressively hiring techies from India and abroad. SAP plans to add 1,000 engineers in next one year to its lab in India, its second-largest globally. For this, it will increase the intake of graduates from the country's premier engineering colleges. 
 
Due to shortage of niche talent, the company will look for techies overseas, including Silicon Valley and Europe. 
 
Economic Times reported that about 70% of the German software company's 6,500 employees in India are part of its R&amp;D and product engineering, while 20% are in consulting and implementation and the rest in sales and marketing. 
 
"Hires will be largely in R&amp;D and product engineering. In the past 75% of professionals with experience in SAP technology were hired and only 25% hiring was niche skills. This year the ratio will change to 50:50, between conventional SAP hiring and high-end technology-data scientists, research analysts and architects," Anil Warrier, director and India head of talent acquisition at SAP, told ET. 
 
SAP is looking to both groom talent from within and new hires. Apart from offering stocks to attract talent, the company is banking on other benefits. "SAP offers its employees work across the globe. Here, you can easily work in four or five locations. High percentage of our leadership team is people who have joined us as college graduates," Warrier told the financial daily. 
 
India’s online marketplace Snapdeal wants to double the number of people in its technology team by appointing 1,000 people by the end of this year, including talent from Silicon Valley to build a product and engineering leadership team. 
 
"We will bring in the best of talent in the space of technology as technology is the backbone for runining a big enterprise like ours," Saurabh Nigam, Vice President of HR at Snapdeal, told ET. 
 
Meanwhile, Managing Director at General Mills Mainak Dhar said the company intends to up the manufacturing at its Indian plant for which it was required to have more talent around technology. 
 
Marico is looking for experts in cutting edge technologies to further build its consumer product offerings. “We are looking at talent beyond India especially to build our strength around innovation and R&amp;D," Ashutosh Telang, Marico's chief human resources officer, told financial daily.

SAP, Snapdeal aggressively scouting for techies to hire best talent

Deodorants, cars and even cement, Indian advertisement industry has been showing off good looking women showing off their sex appeal in several advertisements, when the products being advertised have nothing to do with them. However, this kind of objectification of women will be stopped now, at least from one brand, which is known to display women willing to do anything to get the attention of its users. 
 
Unilever, which is world's second biggest advertiser and owner of the Axe brand of deodorants, has announced that it will be dropping all kind of sexist stereotypes from its ads around the globe, while adopting a new outlook for its commercials. 
 
"While older advertisements have cast women in pursuit of Axe men, a new Axe campaign - 'find your magic' - represents a world in which genuine connection beats conquest and will be launched in India too," Unilever EVP global marketing, Aline Santos told <a href="http://economictimes.indiatimes.com/industry/services/advertising/no-more-sexy-swooning-women-in-ads/articleshow/52930805.cms">ET</a>. 
 
As per Santos, the new ads will be showing the "modern, relevant, genuine world of attraction - the true magic that happens between two equals". 
 
Does this mean that customers around the globe, and in India, are finally trying to find some sense by not wanting to see women being objectified in advertising? 
 
It was in March this year that Nando’s, a global restaurant chain, ran into trouble when it used 'shock' advertising in one of the ads that read: 'We don't mind if you touch our buns or breasts or even our thighs. Whatever you're into, enjoying any Nando's meal with your hands is always recommended.' Even the headline, which said, “Try something you can grab with both hands” was not far behind when it came to double-meaning objectification. 
 
They had to issue a public apology almost immediately after the ad shook the world and people demanded an explanation behind this. 
 
As per marketers, the need to throw this trend away can be cited to both one’s consciousness and the requirement of this change. "One, there is a degree of voluntary consciousness now about showing often insensitive gender stereotypes across categories. Second, there's the fear of almost immediate backlash on social media. That wasn't the case earlier," said Santosh Desai, MD of Futurebrands. 
 
The trend of not using women in ads just for the sake of glamour has reached to a level that ad agencies are enforcing these new values even if their clients want to put these eye-grabbing tactics to use. McCann Worldgroup Asia Pacific chairman Prasoon Joshi said: "We are instilling into our teams in the early stages of training itself about what's acceptable and what's not. Any kind of insensitive stereotyping - gender-related or otherwise - isn't just acceptable." 
 
Anuradha Aggarwal, CMO at Marico, which acquired Set Wet from Reckitt Benckiser four years ago told ET that "Set Wet in the past did have communication that was chauvinist in nature. Since our acquisition of the brand, there has been a conscious attempt to alter that positioning." 
 
As per concerned officials, Engage, another unisex deodorant brand from the house of ITC, has consistently stood for 'equality' in a man-woman relationship. "The brand has depicted a couple's romantic relationship in a manner that's playful and equal. We have ensured that our communication does not depict women in a manner that is demeaning, objectifying or sexist," said an ITC spokesperson. 
 
As per data, only 2% ads show women as intelligent, something which over 40% women don’t identify with, hence the change is required; because advertisement is an industry that can’t function without appealing to users around the globe. 
 
"It is a journey that will take time to implement across all our brands and markets, and to which we are committed," Santos added.
