New Delhi, Dec 24 () Former Fortis Healthcare promoter Malvinder Singh was arrested on Tuesday in another case related to alleged misappropriation of funds at Religare Finvest Ltd (RFL), the police said.
 Singh is already in judicial custody in another case.
 RFL alleged that Malvinder Singh and his brother Shivinder Mohan Singh in connivance with the employees of Lakshmi Vilas Bank misappropriated two FDs of Rs 400 crore and Rs 350 crore made with the Lakshmi Vilas Bank by the complainant company, the police said.
 The investigation in the case, filed in September, revealed that the duo misappropriated the amount by availing loan from the bank against these FDs in RHC Holdings Pvt Ltd company they owned and further squaring off their abilities, according to the police.
 Malvinder and Shivinder systematically siphoned off and diverted public money in a clandestine manner for their own benefit, they added.
 A Delhi court had on Monday extended the judicial custody of Malvinder Singh and a co-accused by two weeks in a money laundering case related to alleged misappropriation of funds at RFL.
 Besides Malvinder, the court remanded Sunil Godhwani, former CMD of Religare Enterprises Ltd (REL), to judicial custody till January 6 next year
 Earlier, Malvinder, his brother Shivinder, and Godhwani were in judicial custody along with two others -- Kavi Arora and Anil Saxena -- in a case filed by the Economic Offences Wing (EOW) of Delhi Police.
 The five were arrested by EOW for allegedly diverting the money and investing in other companies.
 The EOW registered an FIR in March after it received a complaint from RFL's Manpreet Suri against Shivinder, Godhwani and others, alleging that loans were taken by them while managing the firm but the money was invested in other companies. NIT CK

The Supreme Court on Friday held former Ranbaxy promoters Malvinder Singh and Shivinder Singh guilty of contempt of court for violating its order asking them not to divest their shares in Fortis Healthcare . The apex court earlier asked the Singh brothers to give it a plan as to how they would honour the arbitral award of Rs 3,500 crore granted by a Singapore tribunal against them and in favour of Japanese drug manufacturer <keyword id="85190" type="COMPANY" weightage="20" keywordseo="Daiichi-Sankyo">Daiichi Sankyo</keyword>. A bench comprising Chief Justice Ranjan Gogoi and Justice Deepak Gupta held the former Ranbaxy promoters guilty of contempt of court and said that they had violated its earlier order by which the sale of their controlling stakes in Fortis Group to Malayasian firm IHH Healthcare was put on hold. The apex court said that they would hear the Singhs on the quantum of sentence later. The Japanese firm had filed contempt petition against the former Ranbaxy promoters alleging that execution of their arbitral award had been in jeopardy as the Singh brothers disposed of their controlling stakes in Fortis Group to the Malaysian firm.

He also allocates most of the blame to his brother Malvinder, who was chairman of the Fortis Healthcare over the period when the financial irregularities took place. The feuding ex-billionaire brothers: Shivinder Singh sues Malvinder over alleged mismanagement of Fortis empire

The <keyword id="6354977" type="General" weightage="50" keywordseo="supreme-court" source="Orion">Supreme Court</keyword> on Thursday sentenced former Ranbaxy promoters Malvinder Singh and Shivinder Singh to 6 months imprisonment in a case connected with the sale of shares of <keyword id="89365" type="General" weightage="100" keywordseo="fortis" source="Orion">Fortis</keyword> to Malaysia-based IHH Healthcare. A bench, headed by Chief Justice U.U. Lalit, declined to lift its stay on the open offer by IHH Healthcare Berhad for a 26 percent stake in <keyword id="46994" type="General" weightage="80" keywordseo="fortis-healthcare" source="Orion">Fortis Healthcare</keyword>. It asked the Delhi High Court to issue remand in the case and also ordered a forensic audit of the Fortis-IIH deal. "Everything goes back to the executing court," it said. The former promoters of Fortis Healthcare Ltd were embroiled in a court battle after <keyword id="85190" type="General" weightage="80" keywordseo="daiichi-sankyo" source="Orion">Daiichi Sankyo</keyword>, a Japanese firm, had challenged the Fortis-IHH share deal to recover the Rs 3,600 crore arbitration award that it had won before a Singapore tribunal against the Singh brothers. Due to a legal fight between Daiichi Sankyo and the former promoters of Fortis Healthcare, the IHH-Fortis deal is stuck. The top court also slapped the Singh brothers with a fine in the contempt case filed against them by the Japanese firm. Daiichi Sankyo moved the court to enforce the arbitral award passed by a Singapore tribunal in 2016. The Delhi High Court, in January 2018, ruled that the arbitration award won by Daiichi Sankyo against the Singh brothers for concealing information about the erstwhile Ranbaxy Laboratories, was enforceable in India. In 2018, IHH Healthcare had acquired a 31 percent controlling stake in Fortis, which triggered a mandatory open offer to acquire another 26 percent of Fortis shares from the market. However, the open offer could not move forward due to ongoing legal proceedings with respect to the transaction based on a plea filed by Daiichi Sankyo. SC sends former promoters of Fortis Healthcare to six months jail

New Delhi, Feb 26 () GE Renewable Energy on Wednesday said it has bagged an order from EDF-SITAC joint venture for delivering wind turbines for 300 MW wind farm in Gujarat. The company however did not disclose financial details of the deal. "GE Renewable Energy has received an order from the EDF-SITAC joint venture to supply and install 112 of its 2.7 MW wind turbines with 132m rotor at the Sitac Kabini wind farm in Gujarat," a GE Renewable Energy statement said. According to the statement, the 112 units will be installed and commissioned over the next year and will produce enough green energy to meet the annual electricity requirements of more than 1.3 million people in the country. EDF Renewables and SITAC Group had earlier announced they have secured a 25-year Power Purchase Agreement for the wind farm through a competitive bidding process with state-run Solar Energy Corporation of India (SECI). "The SITAC Kabini project is the seventh wind power project in India for the EDF/SITAC JV. We will build on our execution capability to construct this project and we look forward to working with GE to achieve this important milestone which will further strengthen our market presence," Malvinder Singh, Chairman and founder of the SITAC Group, said in the statement. The 300 MW of Sitac Kabini will also contribute to helping Gujarat reach its Renewable Power Obligations to bring the percentage of renewable sources to 17 per cent of its installed capacity by 2021, versus 10 per cent today. SITAC Group was founded in 1978 and is active in real estate, construction and renewable energy business sectors in several countries across Europe, the Middle East and Asia. GE Renewable bags order to supply turbines for wind farm in Gujarat

The <keyword id="6367820" type="COMPANY" weightage="20" keywordseo="adani-group">Adani Group</keyword> will acquire a prime residential property near <keyword id="150647" type="LOCATION" weightage="20" keywordseo="Mandi-House">Mandi House</keyword> in New Delhi after winning a bid to acquire <keyword id="8075721" type="COMPANY" weightage="20" keywordseo="aditya-estates">Aditya Estates</keyword>. Adani won the bid through an insolvency process for a total deal value of Rs 400 crore. Aditya Estates holds a 3.4 acre of prime residential property near Mandi House. By all accounts, it is a bargain deal as similar properties have fetched a much higher price. The principal bench of the National Company Law Tribunal has approved the resolution plan of Adani Properties to acquire Aditya Estates for Rs 265 crore. Another Rs 135 crore would go towards meeting the statutory charges, taking the total deal value to Rs 400 crore. Aditya Estates's committee of creditors, led by ICICI Bank UK Plc, had already approved by 93.01 percent vote share Adani's Rs 400 crore offer, including an upfront payment of Rs 265 crore. According to the list of applicants submitted in June last year, nine applicants had shown their interests for the property, including NR Narayana Murthy, Malvinder Singh, Anil Rai Gupta, Paras Pramod Agarwal, Dalmia Cement (Bharat), Veena Investments, Welspun Logistics, Adani Properties and Panch Tatva Promoters. However, only two of themï¿½Adani Properties and Veena Investmentsï¿½had submitted their resolution plans. The CoC rejected the Rs 225 crore offer from Veena Investments as it found it to be non-compliant and conditional. Besides, it did not take into account any liability that may arise from New Delhi Municipal Corporation for house tax, sales tax and income tax in the future. Adani gets Mandi House prime property for ₹400 cr

The Committee of Directors (CoD) at the troubled <keyword id="135860" type="COMPANY" weightage="20" keywordseo="Lakshmi-Vilas-Bank">Lakshmi Vilas Bank</keyword> (LVB) has shortlisted three candidates for the post of MD and CEO and the names will be sent to the RBI within a week, an official of the bank said. The lender's chief executive S Sundar and six other directors were voted out by shareholders earlier this week. Post the removal, the Reserve Bank appointed a three-member Committee of Directors (CoD) comprising independent directors Meeta Makhan, Shakti Sinha and Satish Kumar Kalra. "A bank cannot work without a managing director and chief executive officer (MD and CEO). So, we at the board got together and discussed how to move ahead without an MD (for the time being). "The bank had interview for the post... and we have selected three candidates. We will send our recommendations to the Reserve Bank within a week," Sinha told . All the three candidates are from the private sector, he added. He also emphasised that the CoD is running the bank in the capacity of an administrator and there is complete transparency in its functioning. In reply to a question on what could have triggered the shareholders to take such a drastic step, Sinha said apparently they lost confidence in those directors and thus voted them out. The South-based lender has been struggling to raise capital for the last few years. A proposal of merger with non-banking finance company Indiabulls Housing Finance was rejected by the RBI in 2019. Subsequently, LVB had in June 2020 inked a non-binding agreement with the Clix Group for amalgamation. Sinha said the CoD is much very inclined to go ahead the deal with Aion Capital-backed Clix Capital, which is an NBFC. "We want the bank to function normally and we are going ahead with the raising of capital, as planned. They (Clix) are committed to the process of going ahead. The bank remains the same, we hope to get it very soon," he added. For the full year 2019-20, LVB posted a net loss of Rs 836.04 crore, marginally lower from the loss of Rs 894.09 crore in 2018-19 Sinha also said the situation at LVB is akin to what Yes Bank went through earlier this year. "Our troubles are old troubles, these are not fresh troubles. We have big burden of the past. They thought the economy is doing well (in the past) and took a bit of risk. There were three-four bad deals of Rs 300-500 crore and that suddenly changed everything," Sinha said. Troubles at the bank started after it shifted its focus to large businesses from SMEs. It extended nearly Rs 720 crore to the investment arms of Malvinder Singh and Shivinder Singh, former promoters of pharma major Ranbaxy and Fortis Healthcare, against fixed deposits (FDs) of Rs 794 crore made with the bank in late 2016 and early 2017. Last week, the Delhi Police arrested two former employees of <keyword id="167206" type="COMPANY" weightage="20" keywordseo="lakshmi-vilas">Lakshmi Vilas</keyword> Bank for their alleged involvement in misappropriation of fixed deposit receipts worth Rs 729 crore of Religare Finvest Limited. As the bank was incurring losses for the previous 10 quarters, the Reserve Bank of India placed it under the Prompt Corrective Action (PCA) framework in September 2019. Under the PCA, the bank has been asked to bring in additional capital, restrict further lending to corporates, reduce NPA and improve its provision coverage ratio to 70 per cent. "There has been a steady decline in the bank's deposit base since September 2019 and increase in the NPA ratios. The bank's Tier 1 capital ratio has turned negative, at (-)0.88 per cent, as compared to the minimum requirement of 8.875 per cent," LVB's auditor has said in its annual report for FY20. However, the truncated board of LVB has sought to assuage investors, stating that the bank's liquidity situation was comfortable and assured the depositors that their monies were safe. "With Liquidity Coverage Ratio (LCR) of about 262 per cent as on September 27, against minimum 100 per cent required by RBI, the deposit-holders, bond-holders, account-holders and creditors are well safe guarded," the bank had said in a statement on Sunday. Stock of LVB closed 6.7 per cent lower at Rs 18.80 apiece on BSE on Wednesday. It has been advised that the open offer made by IHH Healthcare Berhad to the Fortis shareholders to acquire 26 per cent stake at Rs 170 per share continues to remain in abeyance and would be adjudicated upon in conjunction with the hearing of the contempt petition, Fortis Healthcare said in a BSE filing.
"The Hon'ble Court has issued a suo moto notice of contempt to Fortis Healthcare Ltd for violating the Court order dated December 14, 2018," it added.
The company is currently evaluating the judgement and exploring legal means to address it in an expeditious manner keeping in mind the best interest of all its stakeholders, Fortis Healthcare said.
"The Hon'ble Court has vide the notice sought an enquiry into consummation of the acquisition of healthcare assets from RHT Health Trust by the company," it added.
The court has also sought an enquiry into whether the subscription by IHH to the shares of the company was undertaken after the status quo order was issued on December 14, 2018 and accordingly, if such subscription was in violation of this status quo order, Fortis Healthcare said.
"The company would be appropriately responding to these concerns of the Hon'ble Court by providing cogent evidence," it added.
The company will take this occasion to present facts before the Court that demonstrate that no part of the proceeds from the IHH transaction were paid to Malvinder Mohan Singh, Shivinder Mohan Singh or any of their controlled entities in anyway, Fortis Healthcare said.
The company would also present before the Supreme Court that the IHH transaction was consummated on November 13, 2018 which was more than a month before the status quo order was passed and the same would be adduced before the court during the contempt proceedings, Fortis Healthcare said.
It would also present that the IHH transaction was done through fresh preferential allotment of shares of the company and and due approvals were sought for the same through an extraordinary general meeting of shareholders held on August 13, 2018, the firm said.
On the RHT transaction, which was consummated on January 15, 2019, Fortis said it was undertaken in the best interest of the company and at the time of consummation of the transaction, to the best of the its knowledge the erstwhile promoters or any of their controlled entities were not unit-holders in the RHT Health Trust," it added.
As a result of this transaction, Fortis bought back hospital properties worth around Rs 4,666 crore by acquiring securities in the RHT Trust's Indian entities that had ownership of these properties, the company said.
In an announcement to Bursa Malaysia, IHH Healthcare has also said that, it "remains committed to proceed with the Fortis Open Offer once the stay is lifted by the Supreme Court of India".
The next hearing date for this matter is February 3, 2020. IHH is seeking appropriate legal advice on this matter and will subsequently decide on the future course of action, it added. AKT AKT BAL

Exploring legal options to address contempt notice by SC: Fortis Healthcare

New Delhi, Jan 29 () The Securities Appellate Tribunal (SAT) on Wednesday directed markets regulator Sebi to pass a fresh order in Religare Finvest's fund diversion matter.
 Also, it has asked Religare Finvest Ltd (RFL) to maintain its assets worth Rs 200 crore for a period of three months.
 The order comes following an appeal filed by RFL against an interim order passed by the capital markets watchdog in October 2018 as well as against the confirmatory ruling of Sebi in March 2019.
 RFL is a subsidiary of the Religare Enterprises (REL). Shivinder and Malvinder Singh were promoters of REL.
 The issue pertains to the affairs of Fortis Healthcare Ltd (FHL), which were being managed by the erstwhile promoters -- the Singh brothers. It was alleged that the Singh brothers siphoned off the funds of Fortis Healthcare to promoter related entities through layers of companies which were controlled by them.
 Sebi, in October 2018, had directed Fortis Healthcare to recover Rs 403 crore, along with interest, from RFL and other entities. Also, it had said that RFL was jointly and severally liable to pay this amount along with other entities. Besides, RFL and other entities were also restrained from disposing of the assets pending investigation.
 The regulator had noted that as per the forensic auditor report, RFL had received a sum of Rs 200 crore from three companies -- Best Healthcare, Fern Healthcare and Addon Realty. Thus, RFL was a beneficiary of the Rs 200 crore which they were liable to refund. However, RFL had vehemently contended that the three companies had not transferred the funds to it.
 After giving them an opportunity to present their case, Sebi in March 2019 had said RFL failed to rebut the prima-facie findings and the allegations made against it in the interim order and had asked RFL along with REL to recover over Rs 2,000 crore that were diverted to Singh brothers and 21 other entities.
 "It was observed that funds amounting to Rs 2,315.09 crore had been diverted from the books of RFL for the utilisation of promoters and promoter group entities of REL," the regulator had said in the order.
 Further, Sebi had said that the detailed investigation in the matter was still in progress which was supposed to reveal all the layers of the alleged fraud as well as expose the specific role of each entity.
 It was contended by RFL that in one order Sebi directed the company to refund Rs 200 crore and in another ruling it had asked RFL to recover over Rs 2,000 crore from the same companies and, therefore, urged that contradictory orders have been passed without considering the material and evidence provided by it.
 However, Sebi justified its interim order on the grounds that the objections raised by RFL were considered. The regulator's counsel further contended that the second order passed by Sebi was in relation to another investigation against another entity.
 "Whereas in the impugned order the order was passed in relation to the affairs of the FHL and the second order of the same date was passed in the matter of REL and, therefore, the issue relates to two different, distinct companies even though some of the entities may be common," Sebi contended.
 After hearing both parties, the tribunal said, "the WTM (Whole time member) has passed two orders which appears to be contradictory to each other. In the impugned order, the appellant (RFL) is required to refund a sum of Rs 200 crore which is alleged to have been paid by the three companies. In another order the WTM has directed the appellant to recover more than Rs 2,000 crore some of which from two of the companies mentioned in the impugned orders".
 "The impugned orders cannot be sustained and are quashed in so far as it relates to the appellant. The matter is remitted to the WTM to pass a fresh order if they so desire after giving an opportunity of hearing to the appellant," it added.

Economic Times reported that the current market capitalisation of Religare Enterprises was Rs 5,626.31 crore, down around 15% from May when the sale process was launched. 
 
Meanwhile, Baring Asia and Apollo Management are conducting detailed due diligence. 
 
When contacted, a Religare spokesperson told ET, "As a matter of policy we don't comment on hearsay and market sources. However, as we have stated earlier, basis a clearance from our board last year we are evaluating various strategic alternatives to raise primary capital and also further institutionalize our shareholding to support our future growth trajectory. To comment and arrive at any conclusions beyond this based on your sources would be baseless, speculative and highly presumptuous." 
 
Baring Asia spokesperson did not comment on the issue. 
 
However, an official involved directly told the financial daily that there was no guarantee that the negotiations will translate into a deal. 
Meanwhile, industry experts expressed that Religare could not achieve the goal of becoming an ‘Indian Merrill Lynch. 
 
ET stated that only pockets of Religare's businesses are profitable with the SME focussed NBFC and global asset management arm.
