New Delhi, Jun 10 () Lakshmi Vilas Bank (LVB) on Wednesday said it has appointed B K Manjunath as its non-executive and independent director. The bank's board of directors at its meeting on Wednesday co-opted B K Manjunath as additional director, LVB said in a regulatory filing. Manjunath has been classified as non-executive and independent director, it said. Manjunath is a member of the Institute of Chartered Accountants of India and practising as a chartered accountant. He has an experience of over 30 years in audit, accountancy, taxation, finance, business management and administration. He had also served as an independent director of the bank between 2008 and 2015, and as its part-time chairman during the June 2017-June 2020 period, LVB said. KPM HRS

According to the <a href="https://www.business-standard.com/article/finance/rbi-sounds-out-pnb-on-acquisition-of-beleaguered-lakshmi-vilas-bank-120092901633_1.html">Business Standard</a>, RBI told the public sector bank to be ready to take over Lakshmi Vilas Bank in case the proposed deal with Clix Capital doesn’t materialise. The crisis at Lakshmi Vilas Bank On Monday, they threw out seven of the bank’s ten directors. According to the Investor Advisory Services (IIAS), these directors lacked accountability. Now, its day-to-day operations are being looked after by a panel of three independent directors approved by the Reserve Bank of India (RBI). “With Liquidity Coverage Ratio (LCR) of about 262% as on 27th September 2020, against minimum 100 % required by RBI, the deposit-holders, bond-holders, account-holders and creditors are well safe guarded,” the bank said in its filing on Sunday. What the bank didn’t mention in its press release and why its shareholders are being angsty is because, as of last quarter, its Tier I capital-to-risky asset ratio (CRAR) is a negative 0.88% and its non-performing assets (NPAs) account for a quarter of its advances. Ousting the Lakshmi Vilas Bank’s directors During the annual general meeting (AGM) the week before, on Friday, shareholders voted against the appointment of S Sundar as Lakshmi Vilas’ CEO, a candidate approved by the RBI. Sundar took over as interim CEO on January 1 after Parthasarthi Mukherjee’s resignation a few months earlier. Before taking up the post, he served as the bank’s CFO. The shareholders also voted against the reappointment of six other directors — including N Saiprasad and KR Pradeep, who are also promoters within Lakshmi Vilas. “What we see in smaller, community-driven, private banks is promoters dominating the show. That isn’t desirable of a banking institution handling public money,” sources told <a href="https://www.moneycontrol.com/news/business/lakshmi-vilas-bank-agm-section-of-shareholders-vote-against-re-appointment-of-7-directors-and-auditors-5889341.html">MoneyControl</a> after the dramatic AGM on the condition of anonymity. What’s next for Lakshmi Vilas Bank? Institutional investors <a href="https://www.moneycontrol.com/news/business/lakshmi-vilas-bank-to-raise-rs-1500-crore-to-fund-business-growth-increase-foreign-shareholding-5805231.html">estimate</a> that the bank will need at least ₹1,500 crore of immediate capital to get back on its feet. If it doesn’t happen, the RBI will likely have to step in. It could either accelerate the ongoing Clix-Lakshmi Vilas deal or appoint its representatives to the bank’s board to oversee the day-to-day operations until a solution emerges. It wouldn’t be the first time that the central bank has pushed for the merger of a weaker banking institution with a strong candidate, like ICICI Bank and Bank of Rajasthan merger in 2013. However, Lakshmi Vilas’ did try to merge with Indiabulls and another NBFC in the past. Both deals never got a nod from the RBI. Lakshmi Vilas Bank is down nearly 5% as concerns over Clix Capital merger deepen

New Delhi, Jun 15 () The board of Lakshmi Vilas Bank (LVB) on Monday considered a proposal for capital infusion by Clix Capital. The bank routinely evaluates capital raising options and proposals which are in its best interest, it said in a regulatory filing. "The bank has received preliminary, non-binding letter of intent (LoI) from Clix Capital Services and Clix Finance India dated June 12, 2020, which the Board of Directors of the Bank has considered for further processing in their meeting held today," it said. Under the non-binding LoI, the proposed transaction is subject to completion of due diligence, which the bank and the intending parties will be carrying out and will be subject to regulatory and other customary approvals, it added. "In the event, the discussions between the contracting parties in relation to the proposed transactions are successful and definitive agreements are executed, we will make appropriate disclosures as required under the provisions of applicable law," it said further. The bank has been placed under the prompt corrective action (PCA) framework of RBI since August last year for low capital buffer and higher NPAs coupled with mounting losses. Following LVB's failure to get RBI nod for merger with IndiaBulls Housing Finance and being placed under PCA framework, there were rumours of the bank being shuttered. Top stock movers — Lakshmi Vilas Bank, Tata Motors, DHFL, Wipro, Mahanagar Gas, IIFL Securities, and others

The share price of <keyword id="6363556" type="DOMAIN" weightage="20" keywordseo="indiabulls">Indiabulls</keyword> Housing Finance Ltd depreciated by 14% to 204.40 in the early trade on Thursday, after Reserve Bank of India rejected Indiabulls' proposal to merge with the capital starved private sector lender Lakhsmi Vilas Bank (LVB). The shares of <keyword id="818048" type="DOMAIN" weightage="20" keywordseo="Lakshmi-Vilas-Bank-Ltd">Lakshmi Vilas Bank Ltd</keyword>. were trading 4.82% low at 25.65. Both LVB as well as IBHF informed the bourses late Wednesday evening about the RBI decision, but did not specify the reasons for the same, which however, for many was in the offing given the regulator's stated opposition to corporates and realty-focused entities entering the banking arena. The merger proposal had already received all other approvals, including those from the fair trade watchdog. Since the central bank has been opposed to the idea of bank promoters hailing from real estate and corporate sector for long, the regulatory call on the merger had assumed greater interest. The application for merger was made in May after both the parties agreed to the merger in April. Entering the banking space would have given IBHF access to cheap deposits and saved it from crisis like being faced by the shadow banks now, while the promise of capital infusion would have helped revive the fortunes of the Tamil Nadu based lender which was last month put under the prompt corrective action framework which puts a lot of curbs on its operations. "The Reserve Bank has informed us that the application for voluntary amalgamation of IBHF and Indiabulls Commercial Credit with LVB cannot be approved," LVB informed the exchanges. In a similar exchange filing, IBHF said it has also been informed by the RBI about the same and added that the decision ends the uncertainty of the past five months. To push the prospects of getting the Reserve Bank nod, the IBHF promoters led by Samir Gehlaut and Gagan Banga, had also offered to pare their <keyword id="525588" type="DOMAIN" weightage="20" keywordseo="holdings">holdings</keyword> to the levels of regulatory comfort from day zero of the merger and get it down further eventually and even also eschew Indiabulls branding from the new banking entity. In the run-up to the merger, Indiabulls had sold 15 percent stake in <keyword id="51993" type="DOMAIN" weightage="20" keywordseo="Indiabulls-Real-Estate">Indiabulls Real Estate</keyword> to the Bengaluru-based Embassy Group. IBREL also sold various properties to US-based private equity firm Blackstone as part of its exit plan. They had also promised additional capital infusion along with the merger, to take care of LVB's fragile buffer situation due to the higher bad loans. The low capital buffers had last month prompted the monetary authority to put LVB under restrictions called the prompt corrective action framework, which puts curbs on large size lending and branch expansion. For FY19, LVB's net NPAs stood at 7.49 percent, <keyword id="120758" type="ORGANIZATION" weightage="20" keywordseo="capital-adequacy-ratio">capital adequacy ratio</keyword> was at 7.72 percent and its return on assets was a negative 2.32 percent. It had reported a net loss of Rs 894.10 crore in FY19. The decision to put it under PCA had led to speculation that the RBI has decided to deny the permission, but governor Shaktikanta Das had last week clarified nothing should be read into the move. During the past five months, a complaint was also filed against LVB with the Economic Offences Wing of the Delhi Police for cheating and misappropriation of funds. Separately, IBHF is facing a public interest litigation in the Delhi High Court which had alleged that monies loaned by Indiabulls to various companies were routed back to its promoters through other entities. The group had called such allegations baseless which were leveled with the intent of stopping the merger process. Recently, the South-based lender's managing director and chief executive Parthasarthy Mukherjee had also quit midway through the merger process, leading to question marks over the merger. However, despite these setbacks, both the parties had sounded confident of pulling through. In its statement, IBHF said its board will be meeting next Monday to consider a share buyback. "The company will focus on its growth of the core business of housing finance," IBHF said, adding it will resume with its policy of paying quarterly dividends from here on. It has a networth of approx Rs 19,000 crore, healthy liquidity and cash balances of over Rs 18,000 crore as on date, Indiabulls added. The IBHF counter had closed the session with gains of 2.34 percent at Rs 240.30 on the BSE, while the LVB scrip shed 4.93 percent to close at Rs 27 while the benchmark rallied close to 650 points. Lakshmi Vilas Bank shares plummet as RBI stalls Indiabulls Housing merger

New Delhi, Feb 14 () Private sector lender Lakshmi Vilas Bank, which is under the RBI's prompt corrective action (PCA), on Friday said its net loss has narrowed to Rs 334.48 crore during the third quarter ended December 2019. The bank had a net loss of Rs 373.49 crore in the corresponding quarter of 2018-19. Sequentially also, the losses were down from Rs 357.16 crore in the second quarter ended September 2019. Its total income fell sharply to Rs 585.77 crore during the December 2019 quarter as compared with Rs 762.48 crore a year ago, as the lender has also been directed to restrict lending to corporates. "The Reserve Bank of lndia (RBI) has initiated prompt corrective action vide letter dated September 27, 2019. Certain actions have been prescribed, such as bringing in additional capital, restricting further lending to corporates, reducing NPAs and improving the provision coverage ratio to 70 per cent. "The bank is obliged to carry out the actions prescribed by the RBI," Lakshmi Vilas Bank said in a regulatory filing. The bank has come under the PCA due to high level of bad loans, lack of sufficient capital to manage risks, and negative return on assets for two consecutive years. The return on assets (RoAs) in the third quarter of 2019-20 worsened to (-) Rs 4.40 as compared with (-) Rs 3.90 in year-ago quarter. On the asset quality front, the bank suffered a beating with the gross non-performing assets (NPAs) surging to 23.27 per cent of the gross advances at the end of December 2019 from 13.95 per cent in the corresponding period of 2018-19. In absolute terms, gross NPAs rose to Rs 4,081.06 crore from Rs 3,364.27 crore. Net NPAs were 9.81 per cent (Rs 1,463.93 crore) as against 7.64 per cent (Rs 1,716.22 crore). The bank said it made provisioning for NPAs, including of diminution value of all restructured accounts, of Rs 290.04 crore for the December 2019 quarter, compared with Rs 313.76 crore a year ago. The overall provisions and contingencies were of Rs 314.62 crore as against Rs 413 crore. With regard to the ongoing case in the Delhi High Court against Religare group companies for extending loans up to Rs 794 crore in 2017-18, Lakshmi Vilas Bank said that "the bank holds a contingent provision of Rs 200 crore as on December 31, 2019, on this score". "Further to this, the bank has submitted replies to the clarifications sought by Sebi. As a result, many foreign banks have been forced to shut shop or scale down business in the Indian market. Apart from that, one major roadblock emerged in <a href="https://rbi.org.in/Scripts/bs_viewcontent.aspx?Id=2313">2011 </a>after the global recession: International banks were allowed to either operate through the <keyword id="1919922" type="General" weightage="50" keywordseo="wholly-owned-subsidiaries" source="Orion">Wholly Owned Subsidiaries</keyword> (WOS) model or branch presence. Unlike branches, locally incorporated subsidiaries are separate legal entities. They have their own capital base and board of directors. As they operate on an independent model from their parent country, they are less likely to be affected by global changes. In the case of branches, parent banks are, in principle, responsible for their liabilities. Of the 45 foreign lenders, just <keyword id="978143" type="General" weightage="50" keywordseo="development-bank-of-singapore" source="Orion">Development Bank of Singapore</keyword> (DBS) and State Bank of Mauritius operate as subsidiaries and these two foreign banks have been successfully expanding their presence in the country. Another challenge imposed on foreign banks was related to priority sector lending. As per RBI 2011 rules, international banks were required to allocate at least <a href="https://rbi.org.in/Scripts/bs_viewcontent.aspx?Id=2313">40</a>% of the overall loans to the economically weaker sections. However, international banks set up their branches in metro and Tier I cities, so it was hard for them to follow this ruling. And, on average, the <a href="https://www.rbi.org.in/scripts/NotificationUser.aspx?Id=1424&amp;Mode=0">RBI </a>only issues about 14 branch permits to all foreign banks every year. So, apart from DBS, which was able to set up its local subsidiary in 2017 and expand after its acquisition of Lakshmi Vilas Bank, other foreign retail banks continue to struggle in India. Last but not the least, the global pandemic also worsened the bad loan crisis at Indian banks, especially during 2020-2021. Financial institutions were forced to set aside 'provisions' as many borrowers couldn't repay banks during the second wave, which ate into their profits. In July last year, <a href="https://www.fitchratings.com/research/banks/fitch-affirms-bank-of-india-at-bbb-outlook-negative-22-11-2021#:~:text=Fitch%20Ratings%20%2D%20Singapore%20%2D%2022%20Nov,VR)%20at%20'b%2B'.">Fitch </a>Ratings said that India's struggling banks would need between $15 billion to $58 billion in infusion of fresh funds by 2022. After a failed attempt to acquire distressed Lakshmi Vilas Bank in November last year, it has now set its eyes on another bank ⁠— Suryoday <keyword id="3896843" type="General" weightage="20" keywordseo="small-finance-bank-ltd" source="Orion">Small Finance Bank Ltd</keyword>. The proposed merger, according to a source directly aware of the development who spoke on condition of anonymity, is in advanced stages, with Centrum Capital acting as an advisor to the deal. The development was first <a href="https://www.business-standard.com/article/companies/clix-capital-suryoday-sfb-in-merger-talks-deal-in-advanced-stage-121091300045_1.html">reported</a> by Business Standard on Sep. 13 that said, citing unnamed sources, that both parties were engaged in due diligence for the transaction. Even as the deal would help micro-lender turned banker Suryoday to expand its loan book, the deal comes at a heavy price for Clix Capital. This, as the Gurugam-based non-bank lender will also have to absorb Suryoday’s gross bad loans worth ₹381 crore. That's nearly a quarter of Clix Capital’s own net worth. The cost of the merger, and its own deteriorating asset quality due to the pandemic, will be over and above that. But experts are divided on the benefits of the merger. “There are no visible synergies between Suryoday SFB and Clix Capital, as both have completely different business models,” said <keyword id="12088598" type="General" weightage="20" keywordseo="anand-dama" source="Orion">Anand Dama</keyword>, research analyst at brokerage firm Emkay Global Securities. “The only plausible explanation for the deal is that it would help Clix Capital indirectly acquire a banking license, while Suryoday will be able to diversify its lending portfolio. But a regulatory approval for the deal could be an arduous task,” he said. There are others who believe Clix Capital will benefit from both cheaper capital, thanks to the banking licence, and new set of borrowers. Clix Capital, on the other hand, is mainly into small business and consumer lending that form 82% of its loan book worth ₹4,249 crore. The proposed merger, said Siji Philip, senior research analyst at Axis Securities, may mean a riskier loan book with possible pressure on asset quality metrics, which would need to be resolved over time. “If a deal fructifies, it would also mean that the combined loan book of Suryoday and Clix Capital could face asset quality headwinds and more clarity is awaited on this front. Besides, the merger will create a loan book comprising microfinance from Suryoday, and MSME (micro, small and medium enterprises) and consumer finance from Clix, which have been some of the heavily impacted segments during the pandemic,” she said. As of June 30, Suryoday reported gross non-performing assets at 9.5% of its total advances, while it wrote-off loans worth nearly Rs 79 crore. Its GNPA in the quarter ended March, too, was largely the same at 9.4%. “Delinquency in the portfolio increased due to the impact of the second Covid wave. Collections were difficult in the majority of the places across the country in April and May which led to increased PAR (portfolio-at-risk),” said <keyword id="11017591" type="General" weightage="20" keywordseo="baskar-babu-ramachandran" source="Orion">Baskar Babu Ramachandran</keyword>, managing director and chief executive at the bank during its earnings con-call on Aug. 12. <div type="javascript" title="Custom" contenttype="Image"><cdata><![CDATA[<div class="flourish-embed flourish-table" data-src="visualisation/7252787"></div>]]></cdata></div> Compare that to Clix Capital, which had gross NPA at 3.37% as on March 31, or about Rs 143 crore, as per a June 29 <a href="https://www.careratings.com/upload/CompanyFiles/PR/12072021061939_Clix_Capital_Services_Private_Limited.pdf">note</a> by Care Ratings. Besides helping with loan book diversification, the merger would also help Suryoday improve its digital capabilities and lower its operating costs, said Philip. Whereas Clix, said Hazari, will be able to take advantage of lower cost of funds available to a bank. “At a time when non-bank lenders are struggling with liquidity constraints, a merger would go a long way in bringing down the cost of funds,” he said. <div type="javascript" title="Custom" contenttype="Image"><cdata><![CDATA[<div class="flourish-embed flourish-table" data-src="visualisation/7252363"></div>]]></cdata></div> So far, Suryoday, focused on Maharashtra and Tamil Nadu, has expanded its book into commercial vehicles, affordable housing and small business loans. But since a bulk of its business is unsecured micro-loans, its asset quality has remained weak. Clix, however, managed to shrink its stressed corporate loan book to 18% as of fiscal 2021, compared to 27% in fiscal 2020. But despite being more efficient with its lending, the cost of capital has increased to 4.53% of total assets, as against 1.23% in the previous fiscal. The credit costs, Care Ratings said in its July note, inched up mainly due to higher provisioning costs amid the pandemic that affected the businesses of its underlying MSME and retail borrowers. The deal, said Hazari, is borne more out of need than synergy between the two lenders. “Though the Reserve Bank of India has been conservative in granting banking licences to NBFCs, acquiring or merging with a bank has become a convenient backdoor entry for some. For Clix, this is a similar opportunity, even if it means absorbing the bad loans of another bank,” he said. Clix Capital's urge to be a bank must be too intense for it to merge with Suryoday

New Delhi, Mar 19 () Private sector lender Lakshmi Vilas Bank (LVB) on Thursday said its Independent Director Sanjay Kumar Khemani has resigned from the board with immediate effect. Khemani resigned from the directorship of the bank on March 19, 2020, the bank said in a regulatory filing. In the resignation letter enclosed with the filing, Khemani -- who joined the bank board on January 23, 2020 -- said there were three board meetings since he assumed charge and the committees of the board were reconstituted, naming him in three of the committees. Khemani was named in the Customer Service Committee, CSR Committee and IT Strategy Committee. "Considering the role of these committees, I feel that I do not posses domain expertise required for effectively contributing for furtherance of the objective of these committees and therefore I feel that I would not be able to contribute much to the bank through these committees," Khemani said in his resignation letter to the bank. In view of the above, " I hereby tender my resignation from the office of the director of the Lakshmi Vilas Bank with immediate effect and request that a notice of my resignation be given to the Registrar of Companies and the board of directors be informed at their next board meeting." The bank's Non-Executive Non-Independent Director Anuradha Pradeep had resigned in November without giving any reason, while in October, Independent Director Supriya Prakash Sen had put in her papers, citing personal reasons. Earlier, the Reserve Bank had initiated prompt corrective action (PCA) against the south India-based lender. The central bank had also rejected the merger proposal of Indiabulls Housing Finance and Lakshmi Vilas Bank in October. Lakshmi Vilas Bank was placed under the RBI's PCA framework due to high level of bad loans, lack of sufficient capital to manage risks and negative return on assets for two consecutive years. The merger proposal had received all necessary approvals but the nod from the banking regulator was pending since May. Indiabulls Group has also come under the scanner of probe agencies after the arrest of former Yes Bank co-founder and CEO Rana Kapoor. Post the Yes Bank debacle, LVB had issued a statement reassuring markets and customers about its financial health. "The bank would like to take this opportunity to assure our customers that their deposits are safe in our bank. Mumbai, Apr 17 () To ensure that the repayment moratorium to help individuals and businesses to tide over the coronavirus-triggered disruptions does not land banks in a liquidity crisis, the RBI on Friday lowered the liquidity coverage ratio (LCR) to 80 per cent from 100 per cent with immediate effect. The LCR requires banks to hold enough high-quality liquid assets such as short-term government bonds that can be sold to fund a stress scenario. Banks are required to hold LCR which is 100 per cent equivalent of projected cash outflows during the 30-day stress scenario. Addressing the media via video on Friday, RBI Governor Shaktikanta Das said "to ease the liquidity position at the level of individual institutions, the LCR requirement for commercial banks is being brought down from 100 to 80 percent with immediate effect." The governor said the LCR requirement will be gradually restored back in two phases -- 90 per cent by October 1, 2020 and 100 per cent by April 1, 2021. He said the Reserve Bank has been proactively taking measures to address the systemic liquidity issues through a slew of monetary and market operations. The LCR was introduced as part of the Basel-III reforms following the 2008 global financial crisis and was finalised by the Basel Committee on Banking Supervision in January 2013. The RBI made LCR binding on banks from January 1, 2015 with a transition time where they reached 100 per cent LCR by January 1, 2019. The LCR is calculated by dividing a bank's high-quality liquid assets by its total net cash flows, over a 30-day stress period. Here, high-quality liquid assets include only those which can be converted easily and quickly into cash. Commenting on the LCR reduction, ratings agency Icra said the relaxation will enable banks meet the regulatory LCR requirements in case their reliance on bulk deposits or interbank lines increases. This will help small private banks all the more as they have been witnessing deposit outflows, increasing their reliance on interbank funding. Such interbank funding is included in high run-off while calculating the LCR ratio for banks, the agency added. R K Gurumurthy, treasury head at Lakshmi Vilas Bank, said the relaxation in the LCR requirement to 80 per cent releases the pressure on banks to divert a larger part of their investments in high quality liquid assets. Banks get 20 pc LCR breather till Oct

New Delhi, Nov 19 () Yes Bank on Tuesday reported a lower net profit of Rs 1,084.03 crore for 2018-19 compared to Rs 1,720.28 crore announced earlier due to higher non-performing assets assessed by the Reserve Bank.
 The divergence in net non-performing assets (NPAs) of the bank --the difference in bad loans reported by the bank and the assessment done by the RBI -- stood at Rs 2,299 crore for 2018-19, Yes Bank said in a regulatory filing.
 The private sector lender had reported a net profit of Rs 1,720.28 crore in 2018-19.
 "The adjusted (notional) net profit after tax for the year ended March 31, 2019 after taking into account the divergence in provisioning was at Rs 1,084.03 crore," it said.
 The divergence in provisioning was at Rs 978 crore.
 Additionally, the bank said that it intends to convene a meeting of its board of directors by the end of this month to finalise its capital raise.
 Market regulator Sebi has put in place tighter disclosure norms, directing all listed banks to disclose any divergence in bad loan provisioning within 24 hours of receiving RBI's risk assessment report, rather than waiting to publish the details in their annual financial statements.
 Banks, including Indian Bank, Union Bank of India, Bank of India, Indian Overseas Bank, Central Bank of India and Lakshmi Vilas Bank, have already reported their NPA divergences for last fiscal.
 The disclosures need to be made in case the banks' additional provisioning for non-performing assets (NPAs) assessed by the RBI exceeds 10 per cent of the reported profit before provisions and contingencies, and if the additional gross NPAs identified by the RBI exceed 15 per cent of the published incremental gross NPAs. The All India Muslim Personal Law Board (<keyword id="6374863" type="UNKNOWN" weightage="20" keywordseo="aimplb">AIMPLB</keyword>) said that it will appeal against the special CBI court verdict in the <keyword id="43572" type="COMPANY" weightage="20" keywordseo="Babri-Masjid">Babri Masjid</keyword> demolition case in the high court. AIMPLB Secretary Zafaryab Jilani said that the judgment pronounced on Wednesday by the special CBI court in the case was wrong. "We will appeal against the judgment in the High Court," said the lawyer, who was also part of the Babri Masjid Action Committee. Prominent Sunni cleric and All India Muslim Personal Law Board (AIMPLB) member Maulana Khalid Rasheed Firangi Mahali said everyone knows how the "Babri masjid was demolished in full public view" and the "law of the land was shredded to pieces". "The Muslims, in this country, have always respected court decisions. In the final judgment of the Babri masjid case, the court had clearly said that the Muslims had been wrongly deprived of a mosque that had been constructed well over 450 years ago. Then the Supreme Court also said that it was an unlawful destruction. However, if there was a criminal conspiracy, it had to be decided by the court. Now, Muslim organisations will sit together and decide whether today's judgment has to be appealed against or not," he said.
