The Mumbai and Bengaluru benches of NCLT have approved the scheme, under provisions of the Companies Act, 2013. Both the companies will effectively start functioning as a single entity from November 14, 2022. Mindtree will be delisted and LTI will be renamed LTI-Mindtree. All shareholders of Mindtree will be issued shares of LTI in the ratio of 73 shares of LTI for every 100 shares of Mindtree. The parent company, L&amp;T, will hold 68.73% of the merged entity. The record date to determine the eligible shareholders of Mindtree for issue of equity shares of LTI pursuant to the scheme is fixed as November 24, 2022. “LTI-Mindtree merger will create the sixth largest IT company by revenue and fifth largest by market cap. The IT sector will be affected due to geopolitical tensions and more but the merged entity will be better equipped to stand up to it,” said <keyword id="6698812" type="General" weightage="20" keywordseo="a-m-naik" source="Orion">A M Naik</keyword>, the group chairman of L&amp;T and chairman of LTIMindtree, in a press conference. “The merged entity will have benefits of scale, streamlined delivery and presence across verticals. The work ethics of Mindtree and LTI are consistent and anticipate no HR challenges with integration,” said Debashis Chatterjee, CEO and MD of LTIMindtree. The merged entity will have an employee strength of 90,000. Naik also said that the attrition problem of the IT sector might ease, going ahead. “There has been a war-like situation and war itself. The first thing that companies will cut is overheads that will include IT. The IT industry attrition is around 23-24% and it might come down by 4-5%,” he said without giving a timeline.

San Francisco, <keyword id="10875" type="CITY" weightage="20" keywordseo="IBM">IBM</keyword> is mulling to sell its <keyword id="10795783" type="UNKNOWN" weightage="20" keywordseo="watson-health-business">Watson Health business</keyword> that is generating nearly $1 billion in annual revenue but is not profitable. The <keyword id="6384660" type="COMPANY" weightage="20" keywordseo="wall-street-journal">Wall Street Journal</keyword> reported that IBM is exploring a potential sale of its <keyword id="6411673" type="PERSON" weightage="20" keywordseo="watson">Watson</keyword> Health business, as CEO Arvind Krishna "moves to streamline the company and become more competitive in cloud computing". "Watson was one of IBM's highest-profile initiatives in recent years and a big bet on the growing healthcare sector, though results disappointed in part because physicians were hesitant to adopt artificial intelligence," the report said on Friday. "IBM is studying alternatives for the unit that could include a sale to a private-equity firm or industry player or a merger with a blank-check company," the report added, citing sources. IBM currently has a market value of $108 billion, way behind Cloud-computing rivals like AMAzon and <keyword id="10387" type="COMPANY" weightage="20" keywordseo="Microsoft">Microsoft</keyword>. In its fourth quarter, cognitive applications revenue, which includes Watson Health, came to $1.5 billion, a decrease of 2 per cent year over year. IBM Watson was one of the "strategic imperatives" under former CEO Ginni Rometty. A weak cloud and cognitive software performance saw IBM shares sliding 6.6 per cent after the company missed Q4 revenue estimates, posting its fourth straight quarter of revenue decline. The Q4 (December 2020 quarter) sales totalled $20.4 billion, down 6 per cent (on-year) and slightly below the $20.63 billion consensus. Cloud and Cognitive Software sales dropped 5 per cent to $6.8 billion, below the $7.18 billion estimates. Last quarter, this segment was up 7 per cent. IBM has appointed Martin Schroeter as the Chief Executive Officer of the independent company that will be created following the separation of IBM's Managed Infrastructure Services business ï¿½NewCo'. NewCo will focus on the management and modernisation of IT infrastructure in every industry around the world. The previously announced separation is expected to occur by the end of 2021.
