New Delhi, Jun 3 () Religare Enterprises Ltd on Wednesday said it has raised Rs 300 crore by divesting stake in group firm Religare Health Insurance Company Ltd (RHICL) to Kedaara Capital. Consequent to the capital raising, the company said it has retired previous loan and has become completely external debt free. Earlier in April, Religare Enterprises Ltd (REL) informed about the proposed divestment of part of the investment of the company in Religare Health Insurance Company Ltd (RHICL) to Kedaara Capital Fund II LLP. Kedaara Capital has acquired the stake through its subsidiary Trishikhar Ventures LLP (jointly referred as Kedaara). In this regard, the divestment of part of the investment of the company in RHICL and infusion of primary capital in RHICL by Kedaara was completed on Tuesday, REL said in a regulatory filing. "The total primary capital raised by RHICL from Kedaara is amounting Rs 300 crore. This is in line with Kedaara's additional subscription commitments wherein they had agreed to subscribe for the additional primary capital of Rs 100 crore in addition to their initial commitment of subscribing to primary capital of Rs 200 crore in RHICL," it said. REL said the total investment made by Kedaara to acquire shares of RHICL is Rs 567.31 crore, which comprises primary capital infusion of Rs 300 crore in RHICL and Rs 267.31 crore for the purchase of RHICL shares from existing shareholders, including purchase of 6.39 per cent stake from the company against a consideration of Rs 200 crore. Pursuant to these transactions, the shareholding of REL in RHICL now stands at 72.02 per cent on a paid-up capital basis. Further, it said that consequent to capital infusion by Kedaara, it has settled loan of Axis Bank. "Out of the mentioned consideration received from the divestment of stake in RHCIL, the company has utilised Rs 153 crore towards the payment of the full and final settlement consideration under the consent agreement dated October 1, 2019, entered by the company and its subsidiaries with Axis Bank Ltd," it said. With this, the company said it has become external debt-free. Core investment company REL is engaged into lending, broking and insurance business through its subsidiaries. "The settlement of our financial dues, much ahead of the prescribed time frame demonstrates our commitment to resolve all legacy issues and move forward on the path to revival," said Religare Enterprises Ltd Executive Chairperson Rashmi Saluja. REL Chief Financial Officer Nitin Aggarwal said that while there were many headwinds and legacy issues, we have successfully resolved most of them and others are on the path to resolution. Among them, the Axis settlement stands out as an important milestone as it has made Religare Enterprises external debt-free. He said REL has been on a course correction mode for the past two years and the company is steering the ship to ensure that all businesses perform to their full potential and accelerate growth. After achieving the important external debt-free milestone, the company is well positioned to address all the requirements of other subsidiary businesses as well, REL added. The healthcare insurance business is growing at almost 50 per cent CAGR (compound annual growth rate) over the past three years, and REL expects it to continue to grow at the same rate going forward. The broking business has stabilised and started growing in 2020-21. The company exuded confidence that for a turnaround in the current financial year owing to strong underlying group financial position on the back of long-term measures undertaken by the new board and management. The latest funding would take Lenskart’s valuation up to $1 billion. The report also says that Kedaara’s <keyword id="6355120" type="UNKNOWN" weightage="20" keywordseo="investment">investment</keyword> could be a secondary deal as Premji Invest (Azim Premji’s investment arm) and Chiratae Ventures will sell a part of their shares. Scripting a turnaround story Lenskart is often the centre of many memes for its multiple offers messages it sends to customers, with offers and discounts. In May, it opened its 500th store in the country. However, it hasn’t had a smooth ride. Lenskart had rapidly expanded with multiple stores. However, these huge investments didn’t pay off, leaving it with mounting losses. In 2015-16, Lenskart’s losses were at ₹113 crore. The very next year, they doubled to be ₹262.87 crore. After this, the company took an active step to turn things around. Lenskart turned its focus to Tier 2 and 3 cities. As a result, its revenues jumped by 70% to ₹118.04 crore in 2018, while cutting its losses by 55% losses. It’s own brand – John Jacobs – which seems to have done well for the company will touch ₹500 crore in revenue by 2021, say <a href="https://www.thehindubusinessline.com/companies/john-jacobs-to-clock-500-cr-revenue-by-march-2021/article25985375.ece">reports.</a> In February 2019, Lenskart announced YouTuber Bhuvan Bam as its brand ambassador along with Bollywood actor Katrina Kaif.

Founded in 2010, Lenskart ships over 10 million pairs of eyewear every year and has over 20 million app downloads, 300 home eye test representatives as well as over 1,100 stores across India, Singapore, and Dubai, the company said last year. Abu Dhabi Investment Authority invests $500 mn in eyewear unicorn Lenskart

New Delhi, Feb 7 () Religare Enterprises on Friday said it has entered into a pact with Kedaara Capital for divesting 6.76 per cent stake in its arm Religare Health Insurance Company (RHICL) for Rs 200 crore. "The company has entered into the definitive agreements (share subscription and share purchase agreement and shareholders agreement)...with Kedaara Capital Fund II LLP and Trishikhar Ventures LLP (jointly referred as Kedaara ) for sale of part of the investment in Religare Health Insurance Company Ltd (RHICL), a subsidiary company for a consideration aggregating to Rs 200 crore," Religare Enterprises said in a filing to BSE. The transaction is subject to necessary statutory and regulatory approvals and fulfilment of other conditions precedents, it said. It further said that the primary capital infusion of Rs 200 crore in RHICL by Kedaara pursuant to the said transactions, the company "would have divested part of its investment constituting 6.761 per cent of RHICL". Shares of Religare Enterprises were trading at Rs 45.95 apiece on the BSE in the morning trade, up 2.22 per cent from the previous close. SID MKJ

Religare Enterprises to divest stake in arm RHICL to Kedaara for Rs 200 cr

New Delhi, Feb 7 () Religare Enterprises Ltd (REL) on Friday said it will sell part of stake in its health insurance subsidiary Religare Health Insurance Company Ltd to the Kedaara group for Rs 400 crore. REL has entered into a binding agreement with a Kedaara group entity, Trishikhar Ventures LLP, which is a private equity investment firm for investments in its health insurance subsidiary Religare Health Insurance Company Ltd (RHICL), it said in a release. The company currently holds 88.95 per cent equity share capital in RHICL. This deal will support the growth of the health insurance business and will enable REL to become debt-free after the completion of this transaction and the divestment of its lending business to the TCG Group, it said. "This will, in turn, help the company emerge as a strong financial services company," the firm added. The total deal value is pegged at Rs 400 crore, of which Rs 200 crore would be for the stake sale by REL while another Rs 200 crore would be brought in as primary equity capital by Kedaara. The investor will also have the option of investing another Rs 100 crore. The company said that pursuant to the above transactions, the company "would have divested part of its investment constituting 6.761 per cent of RHICL". "Post consummation of this transaction, REL will hold 76.18 per cent stake in RHICL," it said. Rashmi Saluja, non-executive chairperson of Religare Enterprises Ltd, said, "REL has been going through difficult times in the recent past and the new management has been taking important steps to not only strengthen corporate governance practices and compliances, but also capitalise the businesses for future growth." Saluja also said this transaction will strengthen our position in the financial services business and will help us achieve our aim of becoming a debt-free company by June 2020. In August, $1.6 billion worth of PE transactions took place across 50 deals with buyout deals doubling in value compared to August 2017, according to an EY <a href="https://www.parthenon.ey.com/in/en/newsroom/news-releases/ey-pe-buyouts-lead-investments-in-august-2018">report. </a> KKR’s $530 million buyout of 60% stake in waste management company Ramky Enviro Engineers Ltd was the largest deal in August 2018. Other large buyout deals in 2018 include Kedaara Capital and Partners Group’s acquisition of Vishal Mega Mart for $734 million, and GIC and Abu Dhabi Investment Council’s $450 million in renewable energy company Greenko Energy Holdings. “The Indian PE industry appears to have come of age, with PE backed platforms attracting marquee <keyword id="89429" type="COMPANY" weightage="20" keywordseo="Global-investors">global investors</keyword> like Berkshire Hathaway, which recently announced an investment of ~$300-US$400 million in Paytm,” Vivek Soni, Partner and National Leader Private Equity Services, EY, said in the EY report. Key drivers PE funds have had a good year in terms of fund-raising, increasing their ability to plough in more money in investments. As of the end of August, PE funds had over $40 billion in capital marked for India investments, according to the EY report. Given the tough market to raise loans via traditional banks, many Indian companies are also increasingly turning towards <keyword id="108089" type="PERSON" weightage="20" keywordseo="Private-equity-firms">private equity firms</keyword> for alternative sources of capital and have been willing to forgo stakes in part due to the operational expertise these firms promise in running business in similar sectors. In addition to available capital, PE firms also begun filling in the funding gap for many power and <keyword id="17408" type="DOMAIN" weightage="20" keywordseo="infrastructure">infrastructure</keyword> companies that require large investments, or companies looking to divest ‘non-core’ divisions to shore up capital as they look to grow or turn around.

Even as the developed world is staring at a recession, India is cementing its position as an economic powerhouse. However, their average wealth has decreased by 9.3%. The India Rich List added 273 new entrants and 38 new billionaires over the last year. The number of dollar billionaires also went up to 259, up 38 as compared to last year. “The trends prove that India is a shining moon in a world that is staring at recession. While the China Rich List has dropped 10% for each of this year and last year, both in terms of average wealth and in terms of the number of people that make the list. India is closing the gap,” said Anas Rahman Junaid, MD and Chief Researcher, Hurun India. India has 259 billionaires, up 38 compared to last year. While industrial products, metals &amp; mining added the greatest number of new entrants to the list. Pharma still holds the numero uno position and contributed 133 entrants to the list. “Over the past five years, many entrepreneurs have witnessed extraordinary wealth growth, some experiencing an astonishing 1,000% surge. Construction and engineering emerge as the top gainers in the top 100 list, followed closely by pharmaceuticals which has a cut-off of ₹20,000 crore,” said Anirudha Taparia, co-founder and joint CEO, 360 ONE Wealth. Funding winter &amp; founders’ wealth While 264 in the Indian rich list saw their wealth drop in the last one year, there were as many as 55 dropouts. The most notable of the dropouts is Byju Raveendran. The founder of edtech Byju’s exited the list on the back of investor markdowns. The funding winter and its ripple effects led to startup founders on the list experiencing a collective wealth dip of ₹85,000 crore. Recent policies, like the retrospective GST imposition on gaming companies and the angel tax and so on, could potentially hinder long-term wealth generation by startups, Hurun said. However, a few IPOs that stumbled last year did make a comeback. As new-age internet companies gain in value, entrepreneurs like Deepinder Goyal of Zomato and Yashish Dahiya of PB Fintech have seen their wealth increase by over 70%. Startup wealth creation will persist, albeit within a changing landscape, Junaid said. The IPO stars: Public issues and rich list debuts The stock markets also rewarded many public debuts and made their founders into billionaires. Ramesh Kunhikannan’s Kaynes Technology made a strong stock market debut. And he entered the list with a wealth of ₹8,200 crore. The spectacular listing gains provided by stock market debuts of many companies have pulled their owners into the rich list. Some of them include Jagdish Prasad Chowdhary of Titagarh Wagons, Ranjit Pendurthi of Archean Chemical Industries and Ajay P Thakker &amp; family of Jupiter Life Line Hospitals. Pavan Kumar Bajaj and Karan Bajaj of Electronics Mart India and Harsha Engineers’ Harish Rangwala and Rajendra Shantilal Shah too entered the coveted list of richest Indians after their stocks skyrocketed on debut. But there is money to be made in private markets too. Manish Kejriwal of Kedaara Capital became the first Indian Private Equity fund manager to enter the list.

The company has a strong presence in southern India in the states of Andhra Pradesh and Telangana and now looks to expand in some eastern states primarily through acquisition. The company offers a “one-stop solution” for pathology and radiology testing services through its 80 diagnostic centres and 11 reference laboratories across 13 cities and towns in the states of Telangana and Andhra Pradesh and in the National Capital Region and Kolkata. “We are a debt free company and due to our strong margin we also have liquidity on the balance sheet. We have built up a ₹250 crore cash on the book so priority is to use that corpus for the growth of the business. So we are definitely open for acquisition opportunities in any markets of interest,” said Sunil Chandra Kondapally, executive director at <keyword id="182111" type="General" weightage="20" keywordseo="vijaya-diagnostics" source="Orion">Vijaya Diagnostics</keyword> in an interview with Business Insider. In that sense we are quite different as all our centres offer these services. 93% of our revenue comes from business-to-consumer (B2C) business whereas other players have more of [a] business-to-business (B2B) model,” added Kondapally. Further, the company is in hunt for diagnostics firms that have a similar kind of B2C business model with brand visibility. Vijaya Diagnostic Centre’s IPO is an entire offer for sale (OFS) from existing promoters of 3.56 crore equity shares. The company’s founder Dr. S. Surendranath Reddy will sell 50.98 lakh shares, Karakoram Limited will sell up to 2.94 crore shares and Kedaara Capital will sell partial stake of up to 11.02 lakh shares. The private equity investor and the promoter company are not exiting completely from the firm as post-issue Kedaara Capital will hold 10% stake in the company and the promoter will have 55% shareholding and remaining 35% will be available publicly for investors.
