WhatsApp is the secret sauce in the deal between Facebook and Reliance Jio

(Eds: Adding word in header) New Delhi, Apr 22 () Reliance Industries' telecom arm Jio and social media major Facebook will continue to oppose each other over internet calls and messaging services despite the Rs 43,574-crore investment deal signed between the two companies. Telecom operators, including Reliance Jio, have been demanding "same service same rules" regime which means that mobile applications providing calls and messaging services should also be made to comply with set of rules that are mandatory for mobile service providers. Mobile app companies providing complimentary calls and messages have opposed the same. "Both Facebook and Jio are independent companies. We will have our independent views. There will be areas where we will collaborate and there will be areas where we will differ and compete. There is no change in what we think about business. We don't expect it from Facebook either. So no changes or nothing to really comment on those aspects," Reliance Jio head of strategy Anshuman Thakur told . He was replying to a question that whether there will be change in the stance of the company with Facebook coming on the board of Jio Platforms with 9.9 per cent stake. Facebook too echoed the same thought that differences will continue on the issue of "same service same rules" between both the companies. "As excited as we are about collaborating, I think we also expect that there will be areas where we compete. We are showing alignment on opportunity to work together to have positive impact for small businesses particularly. I do agree that there will be areas where we disagree as well," Facebook India vice president and managing director Ajit Mohan said. Earlier in the day, Facebook announced an investment of USD 5.7 billion (Rs 43,574 crore) to buy a 9.99 per cent stake in the firm that houses Ambani's telecom arm Jio as the social media giant looks to expand presence in its largest market in terms of subscriber base."We have made a minority investments in Jio Platforms. We are excited about that canvas. We do think it will be really good for the ecosystem at large. We also expect that there will be areas where we won't have same point of view," Mohan said.Facebook will get a seat on board on Jio Platforms Ltd, the company it is investing in, along with an observer seat.Once the investment comes in, Rs 15,000 crore will be retained in Jio Platforms Ltd while the rest will be used to redeem OCPS (optionally convertible preference shares) of Reliance Industries Ltd."In that sense, the entire amount does go to reduce the debt of the Group... Jio Platforms Ltd has been valued at an enterprise value of Rs 4.62 lakh crore. The debt in the company is around Rs 40,000 crore. With this investment, Rs 15000 crore will be retained in the company and balance will be used to redeem OCPS investments of RIL in this company," he said.In October, Jio Platforms transferred most of the debt to its parent firm Reliance Industries Limited. The net debt of Jio Platforms will correspondingly reduce because of cash which is retained in the company, Thakur said."Jio Platforms now has very little debt which mostly pertains to spectrum liability and some commercial business," Thakur said. Jio Platforms, Reliance Retail and WhatsApp have also entered into a commercial partnership agreement to further accelerate Reliance Retail's new commerce business on the JioMart platform using WhatsApp. Jio Mart will look at involving local businesses starting with grocery shops before expanding in to other categories like education, health, etc. RIL Chairman and Managing Director Mukesh Ambani after announcement of the deal said that Jio's digital connectivity platform and Facebook's relationship with the Indian people will offer innovative new solutions to all individuals in the country. "In the very near future, JioMart-Jio's Digital new commerce platform and Whatsapp will empower nearly 3 crore small Indian Kirana shops to digitally transact with every customer in their neighbourhood. This means all of you can order and get faster delivery of day-to-day items, from nearby local shops. At the same time small kiranas can row their businesses and create new employment opportunities using digital technologies," Ambani said. Thakur said that the beta version of Jio Mart has already been launched in parts of Mumbai and there is no definite time-line on it becoming completely operational due to uncertainty around the lockdown period. "We have been working on. Beta phase, in fact we have rolled out to a number of merchants in the new Bombay area and few other places. Things have been impacted because of the lockdown. Trials had to be slowed down. One doesn't know how the lockdown will be revoked. For now beta trials are going and they are going good. This will be across categories. Grocery is one segment where we are providing service to," he said. When asked about who will handle the payment part of Jio Mart app as the government has not yet allowed Whatsapp to carry out digital payments, Thakur said that the app leverages a system developed by Reliance Retail. "Jio Mart is Reliance Retail business and Jio mart has its own digital platform on which it is enabling customers and merchants to transact. We will work with Whatsapp to use the Whatsapp platform as a means to bring the merchants and customers more seamlessly," Thakur said.Facebook is also testing alternate technologies to provide internet services. The company tried to start trials for alternate technologies but could not go ahead because of regulatory reasons. Mohan declined to comment on testing those alternate technologies on the Jio network but briefly mentioned that 5G technology will be one of the area where both the entities can collaborate.He said that both the companies are trying to expand the digital ecosystem. "Why we have invested in Jio is that we are excited about what Jio has done in the last four years and what we can do. If we do bring in that energy we can bring new opportunities. Even without payments we think that the collaboration can bring a lot of value to the people," Mohan said. He said that the construct of collaboration around Jio Mart is not an exclusive arrangement between the two companies. The deal signed between the two companies needs only approval of Competition Commission of India but due to uncertainty around lockdown, Thakur said that definite time to close the deal cannot be committed. "This one comes under the automatic route for FDI. RJIL is the only licence business where 49 per cent is automatic. Only approval that we require is from CCI. We will soon approach them with our application and then whatever time it takes. They will settle the transaction and let us know," he said. With this agreement, Facebook has become the largest partner of Jio on board.Jio Platforms houses digital services of the group and Reliance Jio Infocomm Ltd, with 388 million subscribers, is a wholly-owned subsidiary of Jio Platforms.The Facebook deal is part of value unlocking by RIL to cut debt. RIL has been seeking strategic partnerships across its businesses while targeting to deleverage its balance sheet.It has been talking to Saudi Aramco for sale of a 20 per cent stake in its oil-to-chemical business for an asking of USD 15 billion. RIL has already tied up with BP Plc for fuel business as it targets to have a debt-free status by next year.Jio had also been reportedly talking separately to Google but the fate of those discussions is not known.The latest deal is a win-win for both Facebook and Jio. Jio, Facebook to continue opposing each other over internet calls, messages

New Delhi, Apr 22 () Setting a new benchmark in dealmaking, the USD 5.7 billion investment by Facebook in Reliance Industries' Jio Platforms saw a bulk of the active M&amp;A dialogue, including for due diligence and agreement negotiations, happening remotely, bankers and advisors involved in the transaction said. This is one of the biggest deals that has taken place when there is a nationwide lockdown in India while same is the case for most states in the US -- the two countries where the two parties of this deal are based. The deal, which gives unlisted Jio Platforms an enterprise value of close to USD 66 billion, will help its listed parent firm Reliance Industries cut debt and also use Facebook's popular messaging platform WhatsApp as a front-end for creating an Indian e-commerce giant that could rival global giants like Amazon and Walmart. While Bank of America was the exclusive financial advisor to Facebook for this transaction, Morgan Stanley advised Reliance Industries. AZB &amp; Partners and Davis Polk &amp; Wardwell acted as counsels for RIL, while Shardul Amarchand Mangaldas was legal advisor for Facebook. Bankers involved in the deal said the active deal-specific dialogue had been going on for a few months before it became public, but broader discussion between Reliance Industries and Facebook was happening for much longer, which had started on talks for doing something together and then moved on towards getting to know each other and building the trust. "For last two months, much of the discussion, a large part of due diligence, agreement negotiations, etc, all of that have happened remotely. Even some board meetings have happened remotely. Once the active M&amp;A dialogue began, most of that has happened remotely," a top banker said. Traditionally, deals of this magnitude, especially cross-border ones, involve extensive travel and physical visits to offices and facilities by top executives as well as financial and legal advisors from both sides for an all-round vetting, including of books of accounts and financial statements. Another banker said the deal discussions from Facebook's side were mostly driven by the social media giant's finance and M&amp;A teams, while legal teams were also involved actively. The overall business leadership team of Facebook was mostly involved in discussions at the back-end with various top stakeholders of Reliance Industries group, the banker said. Reliance Industries' Chairman and Managing Director Mukesh Ambani said Reliance Jio and Facebook will look to use WhatsApp for delivering goods from local neighbourhood kirana stores to consumers before expanding collaboration into education and healthcare sectors. "The combined power of Jio's world-class digital connectivity platform and Facebook's intimate relationship with the Indian people will offer innovative new solutions to each one of you," Ambani said. "In the very near future, JioMart -- Jio's digital new commerce platform, and WhatsApp will empower nearly three crore small Indian kirana shops to digitally transact with every customer in their neighbourhood," he said. WhatsApp has over 400 million users in India while Jio has 388 million-plus phone subscribers. Facebook itself has about 250 million users in India. The bankers said the deal gives an opportunity to Facebook to establish a broader partnership in India as the country is very important for the global giant and it sees a long growth horizon in Jio, both in terms of mobile and fixed broadband businesses. During the discussions, Facebook was also impressed with the way 'Jio Homes' is connecting houses with fibre broadband and it has become even more important during the ongoing lockdown to have good fibre connection. Besides, Facebook sees a great value in a suite of apps and OTT (over the top) platforms that Jio has created, the bankers said. Facebook is also excited about a proposed collaboration between WhatsApp and Jio Mart, where it sees the messaging platform becoming a front-end technology partner for Jio Mart, among various other long-term growth opportunities. WhatsApp users would be effectively able to shop what they want, using the backend of Jio Mart. Facebook itself is not in the business of setting up stores or warehouses or moving goods etc. The deal can see Facebook and WhatsApp customer in India getting connected to retailers across the country. Another person involved in the deal said it does not put Facebook in direct competition with Amazon, Walmart or Flipkart, but Jio Mart is clearly competing with those e-commerce platforms. He clarified Facebook itself is not creating a new app or platform, but WhatsApp itself is moving towards becoming a tool for e-commerce. The funding will accelerate its expansion in Europe and the US, enabling Addverb to set up the biggest robotic manufacturing facility at a single location. Addverb said that it plans to start an innovation lab with bases in Europe, the US and India to solve the complex problems in the field of human-robotic collaboration. "We deploy 10 per cent of our revenue on R&amp;D which has played a pivotal role in helping us create an extensive product portfolio. With growing urbanisation and the onset of Covid, companies are transforming supply chains across industries and robotics will play a critical role in making these supply chains more agile and flexible," said Sangeet Kumar, CEO and Co-founder, Addverb Technologies. Addverb earlier raised around $11 million led by Jalaj Dani, co-promoter of Asian Paints, making its total funding close to $143 million since its inception in June 2016. "Reliance was already one of our esteemed clients with whom we had co-created and delivered highly automated warehouses for their Jio-Mart grocery business," Kumar informed. "This strategic partnership will help us leverage 5G, battery technology through new energy initiatives, advances in material sciences (carbon fibre) to deliver more advanced and affordable robots," he added. The association will also provide the company an opportunity to deploy robots at scale in omni-channel distribution centres across different segments. "With this round of funding we are planning to deploy our robots across hospitals and airports," the company informed. Addverb Technologies is based in Noida. It has developed highly automated warehouses for brands such as Reliance, Flipkart, HUL, Asian Paints, Coca-Cola, Pepsi, ITC, Marico and others. Addverb has a capacity to manufacture a variety of 10,000 robots of various kinds at its manufacturing facility in Noida that was inaugurated by Niti Aayog CEO Amitabh Kant in March last year. Reliance Retail buys 54% stake in robotics firm Addverb Tech for $132 million

Those were early days for vernacular shows – until then Indian original series across languages mostly premiered on YouTube and were short-form content. This was just before the launch of Netflix’s Sacred Games and Amazon Prime’s Inside Edge. Ever since, there has been no stopping this regional OTT platform, which now caters to over 250 million Bengalis worldwide. The platform claims to be one of its kind with over 100 originals in a single language and more than 2,000 hours of content across web series, movies, shorts, docu-series and more. Moreover, it claims to have turned profitable within five years of its launch in spite of a large number of in-house productions of original films and shows. The OTT player claims that its direct subscriptions grew 50%, with a 20% month-on-month increase in watch time, in the post-lockdown period. “Along with this, hoichoi continues to have one of the highest refresh rates in India for a single language, with close to 5-7 titles, which includes original shows, world premiere movies and Hindi-dubbed originals releasing every month,” the company said. Turu love, Tansener Tanpura, Karagar and Kaiser are some of its top-rated shows on IMDB. Premium-only The secret, Mukherjee says, lies in its pricing strategy. “From the start, we positioned ourselves as a premium product with around ₹1,000 per annum. From day 1, we knew that content had to be protected and had never looked to diversify. We want to tell great stories with a good mix of movies and shows,” he said. In the US, it charges around $10 per month - on par with what OTT giant Netflix charges in the market. The reason is the love for content in the mother tongue, Bengali, which is the second most-spoken Indian language, as per Mukherjee. “Bengalis are deeply rooted to their culture wherever they are,” he said. In fact, almost 40% of hoichoi’s revenues come from international subscriptions, including the US, UK, Australia, Canada, Middle East and Bangladesh. The OTT claims that customer stickiness is high and almost 70-75% of their subscribers renew subscriptions annually. It premiers a new movie every month and that aids its renewals, it claims. “While our monthly active users have increased by 40%, our international user base has also risen by 30%. Not only do these numbers make us ecstatic, but also motivate us to do even better, as we step into our sixth year,” said Vishnu Mohta, co-founder of hoichoi. Content Refresh: 25 new shows announced Hoichoi also claims to go the extra mile with its user experience. “To help some of our elderly subscribers, we send our people to visit personally and demonstrate as and when needed,” says Mukherjee. As India’s first vernacular OTT enters its sixth year, it announced 25 new shows – four from Bangladesh and 21 from India – with top creators and across genres. For its latest series, it also roped in national award-winning creator Srijit Mukherji, who is creating a crime detective show Feluda. Mukherjee attributes hoichoi’s success to Bengal’s wide talent pool of writers, producers, actors, technicians and directors, in addition to its legacy. “We imbibed the discipline of TV and the quality of films into the OTT venture,” he explains. The group’s presence in television helped them maintain the timelines and stick to budgets, which helped contain creative costs. Their targeted marketing also helped contain marketing costs to 20% of the overall revenue — which Mukherjee claims is one of the lowest in the industry. Over the years, hoichoi launched a lot of new faces, but is also now focusing on bringing in bigger actors into its fold. “Naturally production costs will increase but in terms of revenue growth we are doing ok,” he says. Distribution strategy Last year, the platform became a part of Prime Channels – where multiple OTTs can be subscribed to. While it is seeing traction for its Hindi-dubbed library on Prime Channels as well as on MX Player, it wants to remain rooted in Bengali. Its best-performing show on both these platforms was Charitraheen. It has also partnered with Jio, Airtel XStream, Tata Play and Dish TV and is looking at deep integration within and outside India as well. It has tied up with Bangladeshi telecom players Grameenphone, Robi and Banglalink and also Bahrain-based telco Batelco. Also, the player is not too worried about password sharing, which is the blight of its business. “We do not see too many cases of password sharing. We only offer two simultaneous streaming across five devices,” Mukherjee says. In fact, it seemed like the two of them didn’t know each other as well as business partners should, considering the massive amount of money <a href="https://www.businessinsider.in/business/news/mukesh-ambani-gave-google-and-facebook-a-discount-on-reliance-jio-stake-heres-why/articleshow/77032126.cms">Facebook has invested in Jio.</a> Both Ambani and Zuckerberg praised each other and asked questions that, one would suppose, would have been addressed before the investment was made. The chat between <a href="https://www.businessinsider.in/business/corporates/news/microsoft-top-boss-satya-nadellas-conversation-with-mukesh-ambani-asias-richest-man/articleshow/74278962.cms">Microsoft chief Satya Nadella and Ambani</a> was a bit more free-flowing than this one. But, one can't be reprimanded for expecting the ‘architect of the digital network of the world’ (how Ambani described Zuckerberg) and the man turning India into a digital society to be a bit more comfortable with technology given their shared vision of a hi-tech future. The entire transcript of their conversation, which lasted over 40 minutes, was around 11 pages long. We, at Business Insider India, have shrunk the tete-a-tete down to the most important things that you need to know. Here are some of the highlights from the conversation between Ambani and Zuckerberg on December 15: Zuckerberg: [..] So I'm curious from your perspective how is India doing right now? When you expect things are going to return to normal? And, I know that Reliance has taken a number of big steps to help the community in the country. It's been a big year for you. I'm curious to hear how your company adapted to help you move forward in the midst of this pandemic. Ambani: [Ambani spoke a lot about what the government, the Reliance Foundation and his teams had contributed to the COVID relief efforts before answering how he sees the current situation in India.] Mark, sometimes I wonder that if the pandemic had struck India just four or five years earlier, we would have not been in as good a shape as what we are today. With all the connectivity we have, and the credit for that must go to our Prime Minister's Digital India vision, where he motivated the entire industry to roll out broadband in the first five years of his first term. And, during the pandemic. India has attracted the largest foreign direct investment in its history, Mark. We have our own example of how Jio and Facebook concluded our partnership. Right in the middle of lockdown. [..] And, I believe, Mark, that our actions will speak louder than our words in the coming months and years time here. Zuckerberg: One of the big opportunities that I see with this partnership, Facebook and Jio partnership, is the role that we can play together in supporting the millions of small businesses in India especially now with the impact that COVID is having accelerating the move that a lot of businesses have from physical storefronts to digital ones and in this digital future. So, I'm curious — what role do you see technology, playing in this post COVID world? Especially as it relates to all of these small businesses that I know you share a passion with me that is just critical that we serve them. Ambani: Absolutely, Mark. And, let me point out a very unique feature about our partnership. Perhaps, not many people have understood this, but before this partnership I believe that each one of us was mainly a communication platform. Together, we now have become a value creation platform for our customers and small businesses. And, I firmly believe that technology with all the digitization steps that India has taken will democratize wealth and value creation for individuals and small businesses. And, let me explain this very simply, Whatsapp has hundreds of millions of subscribers in India Jio has hundreds of millions of subscribers in India. Jio Mart, which is our retail service, actually has the aspiration of serving tens of millions of small shopkeepers in India, who are the bedrock of employment. So, what does this mean? This means Jio brings digital connectivity. WhatsApp, now with WhatsApp brings digital interactivity and the ability to move to close transactions and create value. And, Jio Mart brings the unmatched online and offline retail opportunity that gives our small shops, which exist in villages and small towns in India, a chance to digitize and be at par with anybody else in the world. [...] Zuckerberg: I'm curious as you look ahead to the future in India — what other technologies or developments are you excited about now? Where do you see the country in the next five to 10 years? Ambani: Well, as I mentioned to you, Mark. I really see India accelerating as a premier digital society. I see us integrating 5G. [...] We also think that compute, and very low latency compute is real.I think that there is a great opportunity for really bringing education and healthcare with the second generation reforms that were done in the last six months, right. [...] And, I think that in a span of 10 years, we can set for ourselves an objective to really reskill India and the talent that you talked about can improve 10x. Today, you're just seeing the creamy layer. But, that's what technology can do to really make a better India in a better world. The same thing we can do in health, and all the emerging technology and integrations where we can make sure that we deliver services and we deliver good proactive healthcare. [..] And, that is why I think that the next two decades are going to be historic in terms of the social and economic transformation. Zuckerberg: It always blows me away that India has more than 60 million small businesses and millions of people around the country rely on them for jobs. That's a big part of what I hope that our partnership can serve here. We support more than 50 million WhatsApp business app users globally every month already and more than 15 million of these are in India. As you said, now, I can’t imagine going through the pandemic 10 years ago or even two decades ago when the internet was still nascent. It would have been a completely different experience. And, technology, of course, is allowing us to make sure that we can get accurate information out to people that has implications on health, education and helping serve people better. I think it shows a lot of the promise for what's ahead and I think we've certainly fared better now than we would have if the pandemic hit us before. Ambani: I couldn't agree more, Mark. [...] I call you the ‘architect of the digital network of the world’. While I have built some connectivity and broadband connectivity in India, you've done that for the world.Please share with us your experience of as the digital architect of the world, how your global Facebook experience has helped people in this crisis and your perspective of the crisis and where you see the world today and where it is going? Zuckerberg: [...] We just launched WhatsApp payments in India last month. So you can send money to your friends and family through WhatsApp as easily as sending a message and that was possible because of the UPI system that has been built in via unified payments interface so it makes it easy for anyone to instantly accept payments across different apps. I think we're working with 140 banks, or it's supported by 140 banks out of the gate. And, India's the first country in the world to do anything like this now. So we're grateful to be able to support this kind of innovation to help to work to create more prosperity and help achieve a more Digital India. In fact, I think that a lot of other places around the world are going to be better off when they follow some of this lead that India has set in creating public goods like this. [...] Ambani: I hope that the rest of the world learns from Indian policy, and what Facebook is able to achieve in India. We as Indians will be very proud if Facebook says we did it first in India, and then took it to 100 countries. I look forward to working with you on that. Mark, all of us would love to know your views on how the world is changing. And, what you and Facebook are thinking about. And what you see the future as. Just give us your perspective, Mark. Zuckerberg: [He spoke about how technology is empowering individuals, not just businesses and how it has been “incredibly democratising”.] We’re now on the next step with now great 4G and coming 5G networks. Video is really becoming the primary way that people share. Anyone can learn and capture something on their phones and then share it or stream it. Increasingly people are able to consume that. Video is just a lot richer of a medium than photos. Even when my daughters took their first steps, I wanted to capture a video of that and share it, not just a photo. But I don't think video is the end of the line. So, a lot of what I'm focused on is creating a helping screen virtual reality and augmented reality, so that way we can share not only the video of an experience, but you can use virtual reality to go into an experience and feel like you're right there. You can have holograms of digital objects that can kind of be as realistic as the physical objects that are there. Meaning in five or 10 years when we're having this conversation, it will just be a hologram version of me sitting on the couch next to you instead of having to do this over a screen. It'll feel a lot more realistic. A big part of why I was excited to partner with you is because there are not many people around the world, who've just gone industry after industry revolutionized them and improve them, and continue to do it and have that hunger to improve the lives of so many people so I just have a deep admiration for that. TCS will help Maurices build its greenfield IT ecosystem with the intent of optimising its 200 existing applications and software components within the next 17 months. Granules India gained 9% Granules India was trading 9% higher after <a href="https://www.moneycontrol.com/news/business/kkr-bain-capital-and-blackstone-in-race-for-majority-stake-in-granules-india-5881931.html">news reports</a> indicate that three global private equity players — KKR, Bain Capital and Blackstone— have shown preliminary interest in acquiring a controlling stake Granules India. Cipla opens 3% higher The shares of pharma giant Cipla surged 3% after the company received USFDA approval for a multiple sclerosis drug. The drug is used for the treatment of relapsing forms of multiple sclerosis, to include clinically isolated syndrome, relapsing-remitting disease, and active secondary progressive disease. Advanced Enzyme Technologies soar 7% Advanced Enzyme Technologies share price soared 7% after the foreign portfolio investor (FPI) bought nearly 4% stake in the agricultural products company via the open market. This came after Nalanda India Equity Fund on Thursday bought 3.75% stake. Tata Coffee and Tata Consumer leaps 4% The share price of Tata Coffee and Tata Consumer surged 4% after <a href="https://www.business-standard.com/article/companies/tata-consumer-products-plans-to-bid-for-coffee-day-s-vending-business-120092401736_1.html">media reports</a> surfaced that the consumer arm of Tata Group, Tata Consumer Products, is planning to bid for the vending machine business of Coffee Day Enterprises. The reports claim that the board of Tata Consumer had approved the proposal to explore an acquisition of the operation from Coffee Day. RIL gains nearly a percent The shares of Mukesh Ambani owned RIL were trading nearly a percent higher on Friday. The company’ telecom arm Jio has partnered AeroMobile to launch mobile services on 22 flights on international routes, with plans starting at ₹499 per day. The partner airlines include Virgin Atlantic, Alitalia, Swiss, Emirates, Etihad Airways, Euro Wings, Lufthansa, Malindo Air and Biman Bangladesh Airlines.
