<ul><li>The Securities Exchange Board of India and the Bombay Stock Exchange is looking for further clarification from Infosys. </li><li>Nandan Nilekani's statement filed with the Securities Exchange Commission (SEC) does not include any disclosures as per Regulation 30. </li><li>Infosys is also under threat of class action lawsuits from US law firms. </li></ul>Infosys filed a statement with the Securities Exchange Commission (SEC) yesterday too soothe its investors. But the Indian regulatory authorities aren't satisfied. The Securities Exchange Board of India (SEBI) and the Bombay Stock Exchange (BSE) are looking for further clarification. "Infosys vide an announcement date October 22, 2019, titled "Statement", submitted statement attributable to Nandan Nilekani, Chairman of Infosys, wherein it is mentioned that Infosys had received whistleblower complaints," said SEBI in a statement. "However, it is observed that Infosys Ltd has not made any disclosures under <a href="https://www.corporate-cases.com/2016/10/regulation-30-of-sebi-lodr-disclosure-of-events-or-information.html">Regulation 30</a> of SEBI (LODR) Regulations, 2015, w.r.t. receipt of whistleblower complaint mentioned in the announcement," it added. While the news of whistleblower complaints became public, day before yesterday on 21 October 2019, these complaints had been filed on September 30. The regulators believe that they should have been notified of such stock sensitive information beforehand. It does not help Infosys' case in this matter that a <a href="https://www.businessinsider.in/stock-market/markets/news/infosys-share-price-signs-of-insider-trading-before-the-complaint-against-ceo-salil-parekh/articleshow/71698615.cms">large bet on a possible </a>fall of stock price as early as October 18. As many as 1.8 million shares were involved in the put option in the futures and options market, which is basically when investors make bets that either a stock would gain or lose in the future. The timing of this put option is so close to the news break, is suspicious. As investors lose billions yesterday, this individual or group could have made million using the insider information which Infosys had failed to disclose in a timely manner. A little better but a little worse Yesterday, Infosys saw its value crash by ₹53,000 crore— its largest ever cap erosion in a single day — closing 16.21% lower at ₹643.30 on BSE. But, the Indian tech giant managed to erase early losses on Wednesday and is currently trading 1.18% up at ₹ 651.15 per share. In addition to addressing the whistleblower complaint, Infosys is also under threat of a class action with two US law firms looking to file a class action lawsuit against the company. Infosys has been in hot water since Monday with a group of whistleblowers accusing the company's CEO and CFO of <a href="https://www.businessinsider.in/business/corporates/news/infosys-whistle-blowers-accuse-ceo-and-cfo-of-concealing-information-from-board-auditors/articleshow/71682975.cms">concealing information</a> from the board.

Here’s why Infosys and Wipro shares fell despite good earnings

New Delhi, Dec 12 () US-based Schall Law Firm has said it will file a class action lawsuit against Infosys Ltd to recover losses suffered by investors in the wake of allegations of "unethical practices" at the Indian IT major.
 In October, Infosys had informed the stock exchanges of having received anonymous whistleblower complaints alleging certain unethical practices by the top management.
 US market regulator SEC has also initiated a probe on the matter, while Rosen Law Firm had said it was preparing a class action lawsuit to recover losses suffered by Infosys investors in the US.
"The Schall Law Firm, a national shareholder rights litigation firm, announces the filing of a class action lawsuit against Infosys Ltd for violations of sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder by the US Securities and Exchange Commission," a statement said.
It asked investors who had purchased the company's securities between July 7, 2018 and October 20, 2019, inclusive (class period), to contact the firm before December 23, 2019.
Infosys declined to comment on the matter. 
Company shares dropped 2.63 per cent on the BSE Thursday.
Infosys Chairman Nandan Nilekani had said the whistleblower complaint dated September 20, as well as an undated complaint had been received by one of the board members on September 30.
In the letter, dated September 20, and signed by ''Ethical Employees'', it was alleged that CEO Salil Parikh as well as Chief Financial Officer Nilanjan Roy engaged in forced revenue recognition from large contracts not adhering to accounting standards.
The complaints were placed before the audit committee on October 10, and to the company's non-executive board members on October 11, also the day when Infosys announced its second quarter results.
Infosys has been investigating the whistleblower complaints. An external law firm has been roped in to conduct an independent investigation into the allegations.
The Bengaluru-based company has said it will share the outcome of the investigation with all stakeholders at the relevant time.
 The Securities and Exchange Board of India (Sebi) had sought additional information from the company, while the National Financial Reporting Authority (NFRA) - part of the corporate affairs ministry - is also looking into alleged accounting lapses at the firm. SR SR MR

Infosys is in more trouble as a class action lawsuits gather steam in the US

New Delhi, Dec 13 () Infosys on Friday said it is not aware of any additional complaints made against the company other than the one it had disclosed to the bourses in October this year.
 The clarification comes amid reports of the US-based Schall Law Firm saying it has filed a class-action lawsuit against Infosys to recover losses suffered by investors in the wake of allegations of "unethical practices" at the Indian IT major.
 Infosys, in a regulatory filing on Friday, said the company is aware of several reports referencing an additional securities class-action lawsuit against Infosys.
 "The company is not aware of any additional complaints, other than the initial complaint, which was disclosed on October 24, 2019," it added.
 Infosys pointed out that it is not uncommon for plaintiffs' lawyers to issue press releases or other media communications asking potential plaintiffs to contact them in order to apply for lead plaintiff status in an existing lawsuit.
 "It appears that the press communications by the Schall Law Firm is soliciting potential lead plaintiff applicants," it said.
 In October, Infosys had informed the stock exchanges of having received anonymous whistleblower complaints alleging certain unethical practices by the top management. US market regulator SEC has also initiated a probe on the matter, while Rosen Law Firm had said it was preparing a class-action lawsuit to recover losses suffered by Infosys investors in the US.
 The Schall Law Firm, a national shareholder rights litigation firm, had announced the filing of a class-action lawsuit against Infosys Ltd, and asked investors who had purchased the company's securities between July 7, 2018 and October 20, 2019, inclusive (class period), to contact the firm before December 23, 2019.
 Stock exchange BSE had sought a clarification from Infosys on reports that the company was facing another lawsuit in the US.
 Infosys Chairman Nandan Nilekani had said the whistleblower complaint dated September 20, as well as an undated complaint had been received by one of the board members on September 30.
 In the letter, dated September 20, and signed by ''Ethical Employees'', it was alleged that CEO Salil Parikh as well as Chief Financial Officer Nilanjan Roy engaged in forced revenue recognition from large contracts not adhering to accounting standards.
 The complaints were placed before the audit committee on October 10, and to the company's non-executive board members on October 11, also the day when Infosys announced its second quarter results.
 Infosys has been investigating the whistleblower complaints. An external law firm has been roped in to conduct an independent investigation into the allegations.
 The Bengaluru-based company has said it will share the outcome of the investigation with all stakeholders at the relevant time.
 The Securities and Exchange Board of India (Sebi) had sought additional information from the company, while the National Financial Reporting Authority (NFRA) - part of the corporate affairs ministry - is also looking into alleged accounting lapses at the firm. SR HRS

Infosys untouchable, ‘not even God’ will find evidence of fraud

<ul><li>Infosys has trouble piling on from all side. </li><li>The company is being investigated by the SEC over whistleblower complaints filed against management and SEBI is looking into Infosys over possible insider tradingas well. </li><li>Infosys plans to ‘vigorously’ defend itself against all allegations. </li></ul>Infosys and its executives have had a tough week with troubles piling on. On one side, the Securities and Exchange Commission (SEC) has started an investigation into US-listed company over whistleblower complaints filed against its management. Back home, the Securities and Exchange Board of India (SEBI) has also asked Infosys to disclose additional information as per Regulation 30. On behalf of Infosys stakeholders, Rosen law firm has filed a class action lawsuit against the company in the US. All this while, it is busy investigating the allegations and its stock has been taking a beating. In the midst of it all the tech giant plans to defend itself against ‘vigorously’ against all allegations, according to a <a href="https://www.sec.gov/Archives/edgar/data/1067491/000106749119000058/exv99w01.htm">company filing</a> with the SEC. The issue with SEBI Laws in India require Infosys to disclose material information with respect to the allegations in the whistleblower complaints. But, there’s no exact definition of ‘material’. SEBI lists out 16 pieces of information that have to be filed but other than that, it’s up to the company to decide what they would consider ‘material’. The sudden stock movement SEBI isn’t just looking into the non-disclosure of information but also possible insider trading. Infosys’ stock crashed by a massive 16% when news of whistleblower complaints came to light. But beforehand, a suspicious futures and options trade was made which on this very crash. The possibility of insider trading also arises since the board members and company were aware of the whistleblower complaints on October 11. It was only on October 20 that the whistleblower sent a copy of the complaint to the media, which caused the stock to take a hit. The company said that they had hired the law firm, Shardul Amarchand Mangaldas and Co to investigate the matter.

Infosys to ‘vigorously’ defend itself against whistleblower allegations

India’s second largest software exporter <keyword id="6354512" type="CITY" weightage="20" keywordseo="Infosys">Infosys</keyword> has appointed David D Kennedy as executive vice president and general counsel for the company. Kennedy will also serve as the executive officer of the IT major for the purposes of SEC reporting (a financial statement submitted to the US securities and exchange commission). 
	 “We are really excited to have David join us at Infosys as our General Council. Having served in leading legal roles at prominent technology companies over a 25 year career, David brings diverse and rich experience to lead this key dimension in the evolution of Infosys as we reshape into a next-generation services company. We wish him great success and look forward to working together,” said <keyword id="6369763" type="PERSON" weightage="20" keywordseo="Vishal-Sikka">Vishal Sikka</keyword>, chief executive officer and managing director of Infosys. 
	 Kennedy previously served US-based software and consultancy firm JDA Software Group as the executive vice president, corporate secretary and chief legal officer. In one of his previous stint, Kennedy has worked for the legal department of a number of <keyword id="10875" type="CITY" weightage="20" keywordseo="IBM">IBM</keyword> business units, which included responsibilities in IBM’s PC, sales, services and networking groups. 
	 
	Kennedy will be working out of Palo Alto, California while with Infosys. 
	 
	The company made the disclosure to the US Securities and Exchange Commission and Bombay Stock Exchange in a letter dated November 4, 2014.

According to JM Financial, the company’s deal wins are likely to keep the momentum going over the next six months. “Infosys remains our top pick in the sector,” said the brokerage’s report. <div type="image" title="Infosys revenue growth (1)" msid="78674159" hostid="261" caption="&amp;lt;p&amp;gt;Infosys revenue growth over the last 2 years&amp;lt;/p&amp;gt;"></div> The company quarterly revenue was up by 4% in constant currency (CC) beating most market estimates. Infosys share price hits fresh 52-week high after highest-ever deal wins of over $3 billion

<ul><li>The Maze <keyword id="6465154" type="UNKNOWN" weightage="20" keywordseo="ransomware-attack">ransomware attack</keyword> on <keyword id="28721" type="CITY" weightage="20" keywordseo="Cognizant">Cognizant</keyword> workers will have an impact on its revenue and operations in the coming year, according to the company filings with the Securities and Exchange Commission (SEC) in the US.</li><li>The attack has put <keyword id="6357549" type="UNKNOWN" weightage="20" keywordseo="Indian-IT-companies">Indian IT companies</keyword> like Infosys, Wipro and Tata Consultancy Services (TCS) on alert to continuously monitor their own systems.</li><li>According to Infosys’ chief operating officer, the ransomware attack had nothing to do with working from home. The same attack could have just as easily occurred even if employees were working from an office.</li><li>Other ways to exploit the systems, like phishing and malware, are a greater risk to a network when working from home.</li></ul>The Fortune 500 company <a href="https://www.businessinsider.in/tech/news/cognizant-hit-by-maze-ransomware-service-disrupted-for-some-clients/articleshow/75234787.cms">Cognizant</a> was the victim of a ransomware attack last week on Friday, April 17. This has put Indian IT companies like Infosys on high alert. Even though cybercriminals seem to have become more active during the coronavirus lockdown, working from home isn’t the primary issue. It’s about ensuring that networks have advanced threat protection and that they’re continuously monitored for breaches. “We have looked at our own networks and found out that our networks are secure. We’ve invested in advanced protection software which has been deployed at all the endpoints and across the networks,” said <a href="https://www.businessinsider.in/business/corporates/news/infosys-earnings-q4-2020-revenue-dividend-profit-and-margins/articleshow/75252356.cms">Pravin Rao</a>, the chief operating officer of Infosys, during the fourth-quarter earnings call on April 20. Tata Consultancy Services (<a href="https://www.businessinsider.in/business/corporates/news/tcs-ceo-says-the-business-model-is-20-years-old-and-its-time-to-go-employee-lite/articleshow/75243124.cms">TCS</a>) has shifted from the concept of offshore development centres (ODCs) to secure borderless workspaces (<a href="https://www.businessinsider.in/business/corporates/news/tcs-ceo-says-the-business-model-is-20-years-old-and-its-time-to-go-employee-lite/articleshow/75243124.cms">SBWS</a>). It is also looking into solutions that can help its employees work from home without compromising on security. However, that was already in the works even before news of the Cognizant ransomware broke. "We rejigged our cyber security posture, and all our project management practices and systems to ensure that proper work allocation, work monitoring and reporting continued, so that the high quality and delivery certainty that our customers have come to expect from us was never compromised," TCS CEO Rajesh Gopinathan explained during the company's earnings call on April 16. The ransomware may hit Cognizant’s revenue, according to company filings made with the US Securities and Exchange Commission (<a href="https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&amp;CIK=0001446811&amp;owner=exclude&amp;count=40&amp;hidefilings=0">SEC</a>). Not only did the attack have an immediate impact, but continues to cause disruption in parts of its business processes. The Maze ransomware has been around for less than a year, but its damage to businesses and government has only escalated. Ransomware attacks don’t have anything to do with working from home Those behind Maze are known to target IT support companies in the past as well. In October last year, it tried to infiltrate a management service provider (MSP) in Italy by impersonating the Italian Revenue Agency via email, according to a report by Proofpoint. Experts believe this may have been an attempt to gain backdoor access to the MSPs, so that the ransomware could be pushed out to their clients. With the coronavirus pandemic, more employees than ever are working from home. Across the board — for Infosys, HCL Technologies, Wipro and TCS — more than 90% of their employees are working from home. However, working from home isn’t what is making the networks weaker. The same could have just as easily occurred even when employees were working from offices, according to Rao. “Whatever has happened with this ransomware threat, it has nothing to do with work from home. If I look at the vulnerability, it could have happened anywhere irrespective of work from home because it exploited a particular version of a product,” Rao said. IT giants are beefing up their own security Ransomware is persistent enough to attack anywhere but that doesn’t mean that there’s a greater risk to a network when working from home. “Work from home may have a higher impact, less from a security perspective, but more from phishing attacks than data leaks. Security breaches can happen even when you’re working from the office,” said Rao. Last week, between April 13 and April 19, hackers attacked businesses over 22 million times, according to data compiled with Atlas VPN. There were at least 2 million attacks on average per day. During the last 30 days, cybercriminals have tried to infiltrate corporate networks nearly 100 million times. Wipro was already a <a href="https://www.businessinsider.in/wipro-phishing-attack-computer-system-hacked/articleshow/68918449.cms">victim of one such phishing attack</a> in April last year when employee accounts were used to gain access to customer information. “Successful ongoing cyber resilience will require the strategic alignment of cyber strategies with incident response, business continuity and disaster recovery planning. We’ve got to involve the entire enterprise — from the front office to back,” said Akhilesh Tuteja, co-leader of global <keyword id="6361948" type="UNKNOWN" weightage="20" keywordseo="cybersecurity">cybersecurity</keyword> at KPMG International. Going forward, businesses will need to invest more in cybersecurity, both on having the right tools as well as the right manpower in place. Business-driven risk scenarios are currently lacking, according to a KPMG report on key cybersecurity considerations for 2020. Companies’ operating model needs to be in line with cybersecurity. Not only is that important for IT service companies to keep their networks and revenues secure but also maintain trust with their clients. Cognizant's ransomware attack is making peers like TCS and Infosys nervous — and they are beefing up security

<keyword id="6354512" type="CITY" weightage="100" keywordseo="Infosys">Infosys</keyword> has hived off its products, platforms and solutions (PPS) business into a fully owned subsidiary called <keyword id="2237108" type="UNKNOWN" weightage="100" keywordseo="Edgeverve">Edgeverve</keyword> Systems. The company’s board has allowed it to implement a business transfer accord with Edgeverve, along with related documents, subject to securing the required consent from the shareholders at the annual general meeting (AGM), to be held on June 14 this year. 
 "Edgeverve was created to focus on developing and selling products and platforms," said a filing with the <keyword id="108474" type="ORGANIZATION" weightage="60" keywordseo="US-Securities-and-Exchange-Commission">US Securities and Exchange Commission</keyword> (SEC). 
 
Edgeverve is the 39th subsidiary of Infosys and was incorporated on February 14, 2014. For some time now, Infosys has been holding discussions on whether to keep PPS, which contributes 5.2% of Infosys' $8.2 billion revenues, within the conventional IT services business or to make it a separate entity. In PPS, it has to envisage market demand and create products and platforms in anticipation of the demand. 
 
"I think that the spin-off is an excellent strategy. The platform company is quite different; it has a different business model, supported by a different people model, a separate sales strategy and investment rhythm. Furthermore, it allows the service company to focus on its core business without the distraction of learning a different business," said Peter Bendor-Samuel, CEO of the IT research firm Everest Group. 
 
Ray Wang, CEO of US-based IT research firm Constellation Research, said, "Product organisations have to build once and scale to many users. Service organisations deliver for one user and can easily make one-offs." 
 
Infosys’ vision, under its 3.0 strategy, has been to lift the contribution of PPS to 33%, but it has failed in its endeavour. On the contrary, contribution from PPS declined to 5.2% in the financial year 2013-14, from 5.7% in 2012-13. 
 When the company’s co-founder NR <keyword id="6355623" type="PERSON" weightage="100" keywordseo="Narayana-Murthy">Narayana Murthy</keyword> returned as the executive chairman in 2013, he brought the emphasis back on the business of application development and maintenance.
