It has filed its draft red herring prospectus (DRHP) with market regulator SEBI to raise funds through an IPO. As per the DRHP, the company plans to raise ₹400 crore from fresh issue of equity shares, and will sell up to 4.68 crore equity shares via an offer for sale (OFS), wherein promoters and shareholders will sell their stake. The shareholders who will sell stake in the company include co-founders of Mamaearth Varun and Ghazal Alagh; Snapdeal founder Kunal Bahl, Bollywood actress Shilpa Shetty Kundra, Sofina Ventures SA, Evolvence, Fireside Ventures, Stellaris Venture Partners among others. The company intends to utilize net proceeds from the IPO towards advertisement expenses to enhance the awareness and visibility of its brands, capital expenditure for setting up new exclusive brand outlets (EBOs), and investment in its subsidiary, BBlunt for setting up new salons. Ghazal Alagh was also a judge on Shark Tank India Season 1, a reality show where entrepreneurs pitch ideas for a business or product to raise money from judges. The unicorn heads for an IPO The company received its unicorn status in January 2022, and was one of the first to achieve the $1 billion valuation for the calendar year. After launching Mamaearth in 2016, the company has added five new brands to its portfolio, namely The Derma Co., Aqualogica, Ayuga, BBlunt and Dr Sheth’s. Its portfolio now includes products across baby care, face care, body care, hair care, colour cosmetics and fragrances. The company has set up a dedicated in-house start-up team called ‘Brand Factory’ that works with founders for end-to-end ideation, incubation and execution of new brands. Further, the company has to constantly follow up on changing consumer preferences, spending patterns, changing beauty and personal care trends to grow in the direct-to-consumer space. The company faces various forms of unfair trade practices, such as the sale of counterfeit, cloned, lookalike and pass-off products. “In the past, we have experienced incidents of passing-off and the sale of counterfeit products. The sale of counterfeit, cloned and pass-off products may result in heightened public reputation risk for us along with possibility of legal and regulatory claims,” said the company. Reliance on celebrities and social media influencers as part of its marketing strategy may adversely affect its business and demand for services, says the company in its DRHP. “We face intense competition which may lead to a reduction in our market share, cause us to increase our expenditure on marketing and promotion as well as cause us to offer discounts, which may result in an adverse effect on our business and a decline in our profitability,” said the company. They will make around ₹38.5 crore each. It Is noteworthy that all these calculations are made at the upper end of the price band. They would also probably be making more profit from the investment than other selling shareholders as their weighted cost of acquisition is at ₹3 per share. Shilpa Shetty Kundra who stands to make as much as ₹45 crore from the share sale, has purchased the stock at a slightly higher cost. The weighted cost of acquisition for her is at ₹41 per share. The other selling shareholders include Fireside Ventures Fund, Sofina and Stellaris. The IPO stands to raise anywhere between ₹1,635 crore to ₹1,701 crore. It will open on October 31 and close on November 2.

<ul><li>As many as 27 startups that appeared on the show secured funds from external investors, says Redseer Consulting.</li><li>Startups on the show cumulatively raised ₹100 crore on <keyword id="1417364" type="General" weightage="20" keywordseo="shark-tank" source="Orion">Shark Tank</keyword> across seasons 1 and 2.</li><li>The biggest shark amongst all is Aman Gupta, the founder of BoAt who invested ₹24.6 crore across 70 deals. </li></ul><keyword id="13108748" type="General" weightage="20" keywordseo="shark-tank-judges" source="Orion">Shark Tank judges</keyword> are indeed sharks who have bargained the best deals — putting in a lot less than what was asked — and making the startup founders dilute a lot more than they intended to. True to their nature, they also picked a lot of winners who were able to gain business, funding along with publicity from screen time – that has helped many D2C brands in particular. Redseer Consulting, in a recently released report, has found that 27 startups that appeared on season 1 of the show secured funds from external investors. ”Most startups that appeared on the show secured deals 6 times greater in value from outside investors within a span of 1.5 years. Their current valuation is also 2.5 times greater than what they were valued on <keyword id="15913368" type="General" weightage="20" keywordseo="shark-tank-season-1" source="Orion">Shark Tank season 1</keyword>,” said Kanishka Mohan, partner at Redseer Consulting. In season 1, as many as 117 pitches were made, out of which 65 of them accepted deals on the show, 20 rejected deals and 32 were not offered a deal at all. All these sections of startups, received a fair amount of interest from external investors. Six startups which were not offered a deal on the show like — On2Cook, Theka Coffee, Good Piggy Bank, Sabjikothi and Nushka were able to secure deals outside. “In all, most startups that appeared on the show fared well afterward, securing better deals and increasing valuations,” the consulting firm said. Who’s the biggest shark? As much as ₹100 crore was invested in startups that pitched their ideas on Shark Tank season 1 and 2 by eight sharks. And the shark with the most appetite is Aman Gupta, the founder of BoAt who invested ₹24.6 crore across 70 deals. He is followed closely by Peyush Bansal, the co-founder and CEO of Lenskart who invested ₹21.5 crore across 67 deals. The most active shark of season 1 who missed the second season is Ashneer Grover, the co-founder of BharatPe, who invested ₹5.3 crore in 21 deals. Shaadi.com founder Anupam Mittal who was recognized as one of India’s best angel investors, as per Hurun, had invested ₹14.4 crore across 50 deals on the show. Sharks loved to invest in startups pertaining to the food and beverage sector . It pays to pitch on Shark Tank – most startups raise external funding at avg 6x the value

Dinner-table conversations have changed since <keyword id="1417364" type="General" weightage="20" keywordseo="shark-tank" source="Orion">Shark Tank</keyword> India started streaming. The show received 62,000 applicants from India, out of which 198 businesses were selected to pitch their ideas to the "sharks". By the end, the programme has made a funding commitment worth nearly Rs 42 crore to 67 budding businesses. The show has garnered a wide following with more people understanding the process of raising equity-based funding. However, unlike the show, Founders have to go through a much longer process to secure funding in reality. It involves multiple iterations, lots of rejections, and a lot of time and effort away from business. Even then, not getting any funding or the desired amount is a real possibility. Traditional capital sources cannot be a frequent solution for entrepreneurs which creates the need for founder-friendly funding alternatives. Keeping up with the ever-growing pool of new companies in innovative segments, the business of funding them is also evolving fast. Newer funding models like Revenue Based Financing (RBF) are becoming popular based on the idea that all businesses do not flourish with traditional equity-based funding. There is a need to offer sustainable capital to Founders without trading ownership. RBF facilitates access to much-needed growth capital customised to a company's revenues. Why should start-ups consider RBF? Today's market is highly dynamic and start-ups cannot afford the long turnaround timelines of traditional funding when raising capital. Raising funds through banks &amp; financial institutions comes with either a personal guarantee or fixed liability that is payable irrespective of your business performance. Since repayments under the RBF model are directly linked to the revenues, the financier is also more like a partner in the growth of the start-up. It is a simple process which does not involve any pledge of collateral and hence is an ideal source of capital for smaller digital start-ups that do not have any physical assets. -- Founder-friendly with no equity dilution -- Fast as companies get funded within days &amp; sometimes hours -- Fair with RBF providers only look at the company's financials removing biases associated with who pitches or how they pitch -- Flexible as brands commit to repayments as a percentage of future revenue and not fixed EMIs -- Frequent with companies unlocking repeat funding with growing revenue What if Founders could trade a share of their revenues instead of equity? The boom in the D2C and SaaS sectors has created a huge opportunity for RBF providers. Out of the 198 businesses that pitched on the show, few of them have already raised RBF rounds with capital platforms like Klub including Wakao Foods, TagZ Foods, Deciwood and more. Even brands that could not secure funding on the show, like JhaJi Store, opted for RBF because of their recurring revenues. Uma and Kalpana Jha, Co-Founders, JhaJi Store, aptly sum up the case for RBF, when they say, "We've worked hard to build a profitable business at JhaJi Store that can generate cash every month. Once we achieved that, Klub's revenue-based financing product was a no-brainer. The funding from Klub literally gives us the fuel to add to the fire that's cooking ever more batches of pickles and chutneys. RBF helps first time entrepreneurs like us to fund our own growth without having to give up any equity." Revenue sharing deals on the show can be a win-win situation for Founders as well as investors when they peg repayments to a brand's performance. Similar to Shark Tank, Canadian reality TV series Dragon's Den featured Michele Romanow as a "dragon" in 2015 and after investing in entrepreneurs pitching on the show, she founded Clearbanc (now ClearCo) to facilitate revenue-linked funding options for Founders. We believe the next season of Shark Tank will start showcasing Revenue Based Financing investments as well. Next season of Shark Tank could be about revenue sharing deals

Both the companies, who work in the ecommerce space, have raised capital at a valuation of over $1 billion. GlobalBees, on December 29, announced that it has raised $111.5 million in a round led by Premji Invest. The round also saw participation from new investor Steadview Capital as well as existing investors SoftBank and <keyword id="1615917" type="General" weightage="20" keywordseo="firstcry" source="Orion">FirstCry</keyword>. The company is valued at $1.1 billion. The company runs on a Thras.io model, which is a New York-based e-commerce player that acquires small merchants and brands listed on Amazon marketplace. After the acquisition of Amazon sellers’ businesses, the brand scales them up. GlobalBees is founded by online baby product retailer FirstCry cofounder Supam Maheshwari and Edelweiss’ former president and group chief investment officer (CIO) Nitin Agarwal. It raised <a href="https://www.businessinsider.in/business/startups/news/globalbees-has-raised-150-million-in-few-months-of-launch-to-acquire-more-businesses/articleshow/84552291.cms">$150 million</a> earlier this year. Mamaearth, on the other hand, is a direct to consumer (D2C) brand that sells its beauty and personal care products both online and offline. The company has raised nearly $80 million (₹589 crore) as per regulatory filings. This appears to be a part of a larger round. According to Entrackr, which first<a href="https://entrackr.com/2021/12/exclusive-mamaearth-turns-unicorn-after-a-new-round/"> reported </a>the development, Mamaearth has raised the latest round at a valuation of $1.07 billion. India is home to 81 unicorns now as Mamaearth, Globalbees make it to the list

However, the massive success of Season 1 turned the skeptics around. “There was a lot of resistance (amongst VCs) initially. How can you take the Shark Tank of the USA and dramatize it for India? Once India embraced it, VCs would come and comment, ‘Oh we also got a call but we didn’t have time’. I’ve heard this so many times,” said Mittal. As per Singh and Thapar, Aman Gupta and Anupam Mittal have embraced their newfound fame with the most ease. They even lauded Gupta’s ‘social media game’. He stated that while the show helped increase brand awareness, Indian customers are far too intelligent to make buying decisions based on popularity alone. “I don’t think sales get impacted. The Indian consumer is very smart - they’ll buy after making their own decision. Yes, brand popularity soars across India. But does it impact sales? I don’t think so. The consumer will still see the product and its value proposition. They won’t buy it because it’s Aman’s product or Peyush’s product. I don’t think that happens in India,” shared Gupta. Bansal echoed Gupta’s statement, adding that it would be wrong to say that someone appears on Shark Tank India to build a personal brand. Jain also backed them stating if the product isn’t good, increased brand awareness won’t help sell it. The massive success of S1 impacted the quality of pitches in the second season. According to the judges, contestants pitching on Season 2 were more informed and far better prepared than their S1 counterparts, and ‘solid stories and entrepreneurs’ from across India appeared this time. “Startups (pitching on the season) with ₹30-₹50 crore revenue, ₹10 crore profits from bootstrapped companies,- families of 2-3 guys doing it. We were shocked, blown out of our brains - from small towns in India, from God knows where,” added Mittal. The average time for a pitch extended to 1.5 hours in S2, as compared to 53 minutes in S1 as the contestants were already prepared with the answers to commonly asked questions and used phrases and words most likely to impress the judges. “They had learned (how to pitch). The answers to our questions were already in their pitches. Many times we had no questions because they’d already shared the information we needed to hear, in the pitch itself,” said Gupta. <cmsannotation type="cmsannotation" annotationid="The funding winter investors" comment="subhead2" text="The funding winter investors">The funding winter investors</cmsannotation> Though detailed, the long-winded pitches often left judges Namita Thapar and Aman Gupta bored, who resorted to playing games like cross and knots and passing chits of paper to while away time — especially when the other panelists questioned the contestants. As the group shared on the podcast, Bansal had the most number of questions to ask, while Mittal had the most ‘gyan’ (wisdom or knowledge) to offer. Making a subtle comment on the ongoing funding winter, Bansal and Mittal even added that Shark Tank was the only place where investments were still taking place. “We’ve made so many investments in this (funding) winter. This is why people will see the show, I believe. Because no one’s investing in the market. So here, the element of hope is very high,” commented Bansal. As of Friday, January 6, 2023, 11 of the 15 pitches from the show have received funding from the sharks. The hosts also asked all the judges if they’d invest in tech magnate Elon Musk, considering the way he’s handled the microblogging platform Twitter after taking over as its CEO. Bansal said that people’s memory is extremely short-lived and if Twitter’s profitable after two years, Musk’s current shenanigans will easily be forgotten. Jain further added that considering Musk’s ‘credible success rate’, he’d definitely invest in Twitter under Musk. Mittal, though, shared that “given all the things going in the world, we need unifying voices.
