According to a Reuters report citing sources it did not name, the financial investigation agency has alleged that after Flipkart got foreign investment, a related party, <keyword id="1556044" type="PERSON" weightage="20" keywordseo="WS-retail">WS Retail</keyword>, started selling goods to consumers via the e-commerce platform. This is prohibited under Indian law. ED has issued show-cause notice to both the companies and its founders last month to explain why they shouldn’t face a penalty of $1.35 billion for allegedly violating India’s foreign direct investment (FDI) policy. Tiger Global, which has been an investor in Flipkart for a decade has also been issued such a notice. Tiger Global declined to comment on the issue. A Flipkart spokesperson told Reuters, the company is "in compliance with Indian laws and regulations…We will cooperate with the authorities as they look at this issue pertaining to the period 2009-2015 as per their notice." One of the sources at Flipkart told Reuters that they have around 90 days to respond to the notice and WS Retail had ceased its operations at the end of 2015. Flipkart was acquired by <keyword id="80487" type="COMPANY" weightage="20" keywordseo="walmart">Walmart</keyword> in 2018, after which Sachin Bansal sold off all his shareholdings but Binny Bansal continues to hold some. The company’s valuation has doubled since then, from $16 billion in 2018 to $37.6 billion now. Last month, the company raised a $3.6 billion round led by Singapore-based GIC, Canada Pension Plan Investment Board (CPP investments), Softbank Vision Fund 2 and Walmart. DisruptAD, Qatar Investment Authority, Khazanah Nasional Berhad, Tencent, Willoughby Capital, Antara Capital, Franklin Templeton and Tiger Global also participated in the round. Flipkart is selling warehouses, which were occupied by <keyword id="1556044" type="UNKNOWN" weightage="20" keywordseo="WS-retail">WS Retail</keyword>, after it cut its dependency on its top seller. 
 <keyword id="2119269" type="UNKNOWN" weightage="20" keywordseo="Flipkart-founders">Flipkart founders</keyword> Sachin Bansal and Binny Bansal partly owned WS Retail but sold their stake and stepped down from the board in 2012. 
 
"They have already spent money on the infrastructure and warehouses are lying empty because WS Retail is not buying goods anymore. They want us to use that infrastructure. They are telling large dealers to move into their warehouses and they say they will guarantee and will give priority on their platform,” 
a top executive of a company that Flipkart had approached for warehouses in the Delhi region and Hyderabad told ET. 
 
Flipkart, reportedly, is also approaching third-party vendors. An eKart spokesperson told ET that it has expanded the warehouse space to 1.5 million square feet and is offering that to sellers.

Flipkart is offering a barter deal to its sellers!

This is why the e-commerce giant is looking forward to new merchants to sell the most popular products. 
 As per the <keyword id="3489921" type="UNKNOWN" weightage="100" keywordseo="changed-FDI-rules">changed FDI rules</keyword>, any single merchant can’t do more than 25% of the total sales for an e-commerce company. In case of <keyword id="18635" type="CITY" weightage="100" keywordseo="Amazon">Amazon</keyword>, up until now, Cloudtail, owned by a JV between Amazon Asia and NR Narayana Murthy, used to be the largest merchant selling most of its popular products. Talking of Amazon, it has added Cart2India Online, Amiable Electronics, Apptronics Retail, E-Mobiles, Okay Enterprises, GreenMobiles and S&amp;S Company as its primary sellers, selling smartphones exclusively available on Amazon. 
 
The move has come at the right time, since the <a href="http://www.businessinsider.in/Ahead-of-festive-season-AmazonIndia-invests-in-six-new-fulfillment-centres/articleshow/53112025.cms">Indian festive season</a> is about to begin, and Amazon would want to be ahead of its <a href="http://www.businessinsider.in/Flipkart-doesnt-want-to-bungle-up-Big-Billion-Day-sale-in-October-many-changes-expected/articleshow/53057734.cms">rivals</a>.

The regulators were not happy with the rules, so the founders sold their WS Retail stake in September 2012. 

	"We have ramped up our sellers and in many categories they (non-WS Retail sellers) have become the largest," said Ankit Nagori, senior Vice-President at Flipkart, adding he does not want to disclose the shares, including WS Retail.
 

	Currently, the e-Commerce company has over 30,000 sellers and wants to increase that number to 100,000 by the end of 2015.
 

	Moreover, the marketplace's gross merchandise volume run rate — expected annual sales based on current sales — is over $4 billion (Rs 25,540 crore). It is targeting to double that by the year end.
 Flipkart is cutting down its dependence on WS Retail, except for the <keyword id="2847653" type="UNKNOWN" weightage="60" keywordseo="electronics-category">electronics category</keyword> as most of the exclusive launches of phones are done with its help, the person familiar with the company's plans told the financial daily.

In the past few weeks, the site has directed several companies and brands, which sell on the site through WS Retail, to sell directly to consumers through its marketplace in the coming months. Originally part owned by Flipkart founders, <keyword id="225032" type="PERSON" weightage="60" keywordseo="Sachin-Bansal">Sachin Bansal</keyword> and Binny Bansal, WS Retail has undergone a change in ownership in 2012. This change in DNA of how Flipkart sells products online comes as a crucial step to encourage more foreign investment flow in the company. 
 While initial players in Indian eCommerce market had retailed directly to the customers, <keyword id="18635" type="CITY" weightage="80" keywordseo="Amazon">Amazon</keyword> changed the game by bringing in the market place model. Following the same suit, Flipkart has changed their strategy. 
 
"These guys have realised that they have to keep increasing the number of warehouses and team members to follow this model. Why take that headache?" the head of a fashion brand that currently sells its products through WS Retail has told the financial daily. 
 
Several large vendors have said that Flipkart has asked them to switch their sales to the marketplace from its WS Retail inventory-led model. Flipkart is known to have informed the companies that they need not hold their inventories in its warehouses; rather the logistics operators will pick up merchandise from sellers to deliver to end-consumers. 
 
As per the ET report, WS Retail's revenue more than doubled to Rs 3,135.3 crore in 2013-14 from the previous financial year. However, WS Retail will continue to sell Flipkart exclusives such as <keyword id="11148" type="CITY" weightage="60" keywordseo="Motorola">Motorola</keyword> and <keyword id="874458" type="COMPANY" weightage="60" keywordseo="Xiaomi">Xiaomi</keyword> mobiles, but other brands will be made available through other sellers as well.

Know how Flipkart is strengthening its position in the Indian e-commerce

WS Retail, the largest seller on India's biggest online marketplace <keyword id="6354742" type="COMPANY" weightage="100" keywordseo="Flipkart">Flipkart</keyword>, nearly tripled its turnover to Rs 10,163 crore in FY15. It is more than the combined sales of top brick-and-mortal retailers such as Shoppers Stop, Future Lifestyle, Tata's Trent and <keyword id="6359480" type="PERSON" weightage="100" keywordseo="Aditya-Birla">Aditya Birla</keyword> Group's Pantaloons. 

	According to industry experts, these numbers offer a sneak peek into Flipkart's likely performance for the year given WS Retail's dominant position on the e-commerce website. 
 The six-year-old company was set up by Flipkart's founders <keyword id="225032" type="PERSON" weightage="100" keywordseo="Sachin-Bansal">Sachin Bansal</keyword> and Binny Bansal because India doesn't allow foreign-backed e-commerce companies to sell directly to consumers. WS Retail was selling nearly 80% of its merchandise to Flipkart but seeing that regulators were not happy with existing government legislation, the Bansals sold their stake to former OnMobile Global COO Rajeev Kuchhal and a clutch of investors three years ago. Their contribution has since declined from 80% to 30% and Flipkart is aiming to more than triple its third-party sellers by the end of this year to reduce its dependence on WS Retail and convert itself into a full-fledged marketplace like <keyword id="541988" type="COMPANY" weightage="100" keywordseo="SnapDeal">Snapdeal</keyword>. 

	"Flipkart has been reducing its dependence on WS Retail in its effort to simplify its business structure. It is expected that such a step and simultaneous addition of new vendors on its website directly shall automatically reduce the trading volume of WS Retail over time," Rakesh Nangia, founder and managing partner at tax and transaction advisory firm Nangia &amp; Co, told ET.
 

	In fact a few months ago, Flipkart informed several companies and brands, who sell on the site through WS Retail, to directly sell their products to consumers. However, WS Retail will continue to be the seller for Flipkart exclusives such as the Motorola and Xiaomi handsets.

But currently, the new service is available only in select cities. The <keyword id="801442" type="UNKNOWN" weightage="100" keywordseo="e-commerce-giant">e-commerce giant</keyword> also offers an assured <keyword id="1972249" type="UNKNOWN" weightage="100" keywordseo="Two-day-delivery">two-day delivery</keyword> for Rs 79 per order but for a limited period, this option is available at Rs 49 per order. 
 Keeping the holiday season in mind (and therefore, the need for <keyword id="1972252" type="UNKNOWN" weightage="100" keywordseo="Express-delivery">express delivery</keyword> as most people buy late and want it delivered fast), that’s definitely a huge initiative to enhance <keyword id="1766716" type="UNKNOWN" weightage="100" keywordseo="customer-engagement">customer engagement</keyword>. For one, it means tougher competition for all <keyword id="1153782" type="UNKNOWN" weightage="100" keywordseo="e-commerce-businesses">e-commerce businesses</keyword> in terms of delivery and customer engagement – a veritable <keyword id="108235" type="ORGANIZATION" weightage="100" keywordseo="logistics">logistics</keyword> war. And that poses an extremely crucial question – will e-commerce firms across India find it necessary to build <keyword id="1972294" type="UNKNOWN" weightage="100" keywordseo="In-house-logistics">in-house logistics</keyword> or pan-India supply chains, and burn a lot more cash in the process? Or will they tie up with last-mile delivery-warehousing solutions providers like Delhivery.com (or big logistics firms) in a bid to contain costs? Both options will play a crucial role in an e-com venture’s lifecycle. 
 Building a large and efficient logistics infrastructure equal to Amazon will certainly result into a lot of cash-burning – an option most of the firms would want to avoid, at least till the time they break even and have a sustainable business model in place. Things are different for Flipkart, though, as it is the most heavily funded e-commerce business in India and has raised around $360 million in the recently concluded fifth round – the single largest amount to be raised by any Indian internet firm. The last round took the total <keyword id="6357455" type="EVENT" weightage="100" keywordseo="Funding">funding</keyword> to over $540 million for the company and its valuation reportedly stands at $1.6 billion, post money. But even then, the company has not been able to come up with any clear-cut USP that makes it stand apart from close competitors like <keyword id="319719" type="COMPANY" weightage="100" keywordseo="Myntra">Myntra</keyword>, <keyword id="6388367" type="COMPANY" weightage="100" keywordseo="Jabong">Jabong</keyword> or <keyword id="541988" type="COMPANY" weightage="100" keywordseo="SnapDeal">Snapdeal</keyword>. 
 On the other hand, Myntra, arguably <keyword id="1972321" type="UNKNOWN" weightage="100" keywordseo="Indias-largest-standalone-fashion-e-tailer">India’s largest standalone fashion e-tailer</keyword>, could be quietly building up a <keyword id="730831" type="UNKNOWN" weightage="100" keywordseo="cash-pile">cash pile</keyword> as Tech czar <keyword id="6419840" type="PERSON" weightage="80" keywordseo="Azim-Premji">Azim Premji</keyword>’s family office, PremjiInvest, is reportedly in talks to lead a $50 million round. Its global promoter, Germany-based <keyword id="1965711" type="COMPANY" weightage="80" keywordseo="Rocket-Internet-GmbH">Rocket Internet GmbH</keyword> (run by the Samwer brothers), is deep-pocketed and burning cash has not been an issue till date. But more importantly, it has been providing third-party logistics services for some time now and already knows about the secret sauce. 
 Snapdeal is not lagging behind either. Just like Flipkart, funding should not be a problem here as the Japanese Internet major <keyword id="163404" type="COMPANY" weightage="60" keywordseo="Softbank">SoftBank</keyword>, eBay and a clutch of <keyword id="34499" type="POSITION" weightage="80" keywordseo="private-equity">private equity</keyword> investors are looking to pump in $150-200 million of fresh funds into the domestic online marketplace, according to a Times of India report. 
 “Burning cash for scaling up is essential for e-commerce firms to survive and Indian companies are only on the threshold,” said <keyword id="1981" type="PERSON" weightage="80" keywordseo="Rahul-Khanna">Rahul Khanna</keyword>, managing director of <keyword id="218907" type="COMPANY" weightage="80" keywordseo="Canaan-Partners-India">Canaan Partners India</keyword> in an earlier interaction. “But thankfully, most companies have realised by now that it’s a cash-intensive business and are doing what is required,” he observed. Going by that, e-com firms will require the kind of money they are raising now – to remain operational and profitable. 
 
Will logistics tie-ups work out? Most e-commerce companies in India heavily depend on <keyword id="1972254" type="UNKNOWN" weightage="100" keywordseo="Logistics-partners">logistics partners</keyword> and outsource the <keyword id="1972327" type="UNKNOWN" weightage="100" keywordseo="Delivery-operations">delivery operations</keyword> instead of investing in a huge supply chain spread over the country. According to industry experts, it is difficult for <keyword id="1073727" type="UNKNOWN" weightage="100" keywordseo="e-tailers">e-tailers</keyword> to handle logistics as an add-on since it requires a certain kind of bandwidth. That’s why even big e-tailers like Myntra or Snapdeal are not focusing on in-house logistics infrastructure right now. 
 Consequently, <keyword id="1474532" type="UNKNOWN" weightage="100" keywordseo="logistics-companies">logistics companies</keyword> have got a huge fillip. Although the new e-tailing segment had very little contribution to their top lines two years ago, it accounts for a huge chunk of money flowing in. As a result, key players like <keyword id="138522" type="CITY" weightage="100" keywordseo="Gati">Gati</keyword>, <keyword id="6359949" type="PERSON" weightage="100" keywordseo="Blue-Dart">Blue Dart</keyword> Express and <keyword id="3966267" type="COMPANY" weightage="100" keywordseo="DTDC">DTDC</keyword> are now going deeper into the country, focusing on tier II and tier III cities and the rural landscape. 
 “One of the weakest links in the e-tailing industry is the last mile of <keyword id="1972328" type="UNKNOWN" weightage="100" keywordseo="Delivery-chain">delivery chain</keyword>. So <keyword id="6362476" type="ORGANIZATION" weightage="100" keywordseo="investments">investments</keyword> by the <keyword id="628157" type="UNKNOWN" weightage="100" keywordseo="logistics-industry">logistics industry</keyword> are expected to grow 3-4 times in the next five years,” Ashvin Vellody, partner at <keyword id="50041" type="CITY" weightage="60" keywordseo="KPMG">KPMG</keyword> told The Economic Times. 
 The <keyword id="1972331" type="UNKNOWN" weightage="100" keywordseo="Organised-logistics-sector">organised logistics sector</keyword> is likely to <keyword id="47916" type="UNKNOWN" weightage="80" keywordseo="invest">invest</keyword> at least Rs 500 crore in the next five years and revenues for logistics companies from e-tailing alone are estimated to grow 70 times to $2.6 billion by 2020, according to KPMG. 
 
That is, indeed, a win-win situation for both the segments and especially benefits the e-commerce firms yet to enter the big league. However, the majority of the e-com businesses in India will have to look sharp and find their niche in the coming months if they want to take on the local and the global behemoths in real earnest.

<ul><li>The <keyword id="6354977" type="ORGANIZATION" weightage="20" keywordseo="Supreme-Court">Supreme Court</keyword> stayed a National Company Law Appellate Tribunal (<keyword id="6396355" type="ORGANIZATION" weightage="20" keywordseo="nclat">NCLAT</keyword>) order that made way for a probe against the e-commerce giant for alleged abuse of dominant position. </li><li>The Chief Justice of India Sharad Arvind Bobde-led bench has sought a reply from the Competition Commission of India (CCI).</li><li>The NCLAT order from March had allowed the CCI to launch a probe against the e-commerce giant.</li></ul>Some relief came in for Indian e-commerce giant <keyword id="6354742" type="COMPANY" weightage="20" keywordseo="Flipkart">Flipkart</keyword> as the Supreme Court stayed a National Company Law Appellate Tribunal (NCLAT) order that made way for a probe against the e-commerce giant for alleged abuse of dominant position. According to Bar &amp; Bench, the Chief Justice of India Sharad Arvind Bobde-led bench has sought a reply from the Competition Commission of India (CCI). During the court <a href="https://www.devdiscourse.com/article/technology/1358278-sc-stays-nclat-order-for-cci-probe-against-flipkart">proceedings</a> on December 2, 2020, Senior Advocate Harish Salve representing Flipkart said that Amazon being a competitor, is not a dominant player, which means that predatory pricing doesn’t apply to Flipkart as well. He said, “predatory pricing is an issue to be considered against the dominant player as a case of abuse of power but his client has not been held as a dominant player.” Salve added that the “CCI didn’t look at the findings of the Government and instead relied on the tax department findings, thus misread the findings of the tax tribunal.” The NCLAT order from March had allowed the CCI to launch a probe against the e-commerce giant. The order was based on the allegations made by All India Online Vendors’ Association (AIOVA). The Indian e-commerce giant has often come under scrutiny, along with its US-based rival Amazon, for predatory pricing, deep discounts and more, from India’s various trade associations. An e-commerce policy from the Indian government is still in the works to regulate India’s booming e-commerce sector. The case so far: Flipkart vs AIOVA The AIOVA had moved the CCI in March 2018 and stated that “that small vendors have become allies of the big vendors and suppliers to leading sellers such as Cloudtail, WS Retail etc. on the Flipkart and Amazon platforms, rather than selling directly to consumers through the online e-commerce marketplace sites.” CCI had then absolved Flipkart of any such allegations. “...looking at the present market construct and structure of online marketplace platforms market in India, it does not appear that any one player in the market is commanding any dominant position at this stage of evolution of the market,” the order had said then. Following the plea to CCI, the AIOVA had moved the NCLAT in January 2019.

Breather for Flipkart as Supreme Court stays order for CCI probe over alleged abuse of dominant position

In a written complaint to the <keyword id="97393" type="ORGANIZATION" weightage="20" keywordseo="Competition-Commission-of-India">Competition Commission of India</keyword>, a group on online sellers have alleged that <keyword id="6354742" type="COMPANY" weightage="20" keywordseo="Flipkart">Flipkart</keyword>'s WS Retail and <keyword id="18635" type="CITY" weightage="20" keywordseo="Amazon">Amazon</keyword>'s <keyword id="2682122" type="UNKNOWN" weightage="20" keywordseo="Cloudtail">Cloudtail</keyword> are offering heavy discounts when selling private label products. This in turn is damaging their business. 
 
These vendors have alleged that WS Retail and Cloudtail offer phones, gadgets and appliances at ‘rock-bottom prices’. 
 The retailers of private labels AmazonBasics and Flipkart SmartBuy have been tendered special benefits that haven't been disclosed publicly, the All India Online Vendors' Association, a group of 2,000 sellers on various online platforms, contended in a letter to the <keyword id="47183" type="ORGANIZATION" weightage="20" keywordseo="CCI">CCI</keyword>. The letter dated March 2, 2017, was reviewed by <keyword id="77091" type="COMPANY" weightage="20" keywordseo="The-Economic-Times">The Economic Times</keyword>. 
 "Flipkart has always conducted its business with transparency, integrity and in full compliance of all applicable laws,” a company spokesperson told The <keyword id="6474066" type="COMPANY" weightage="20" keywordseo="economic-times">Economic Times</keyword>. "Our private label, Smart-Buy, has enjoyed rapid success primarily due to the superior quality of products. We've shared the success of the brand and empowered sellers by licensing it to them but only after they meet our rigorous quality checks. The popularity of SmartBuy and the increased business has led to tremendous gains for sellers.” 
 
When Indian start ups are complaining against predatory pricing of foreign players, it’s ironic to see, the same ecommerce company indulging in predatory pricing and destroying the ecommerce ecosystem of the country.

Smaller e-commerce companies angry with Amazon and Flipkart’s heavy
discounts

Even after waiting for a month to discuss things with the working committee appointed by the <keyword id="6361265" type="ORGANIZATION" weightage="100" keywordseo="Central-Board-of-Excise-and-Customs">Central Board of Excise and Customs</keyword> (<keyword id="117272" type="ORGANIZATION" weightage="100" keywordseo="CBEC">CBEC</keyword>), online marketplaces are still not clear about the final set of rules that the goods and services tax (GST) Council has announced on Saturday. While on one hand the marketplaces and sellers are relieved because of the increase in input tax credit, there lies abundant confusion over about taxation structure for returns, even as GST is set to be rolled out in less than a month. Sellers registered on online marketplaces <keyword id="6354742" type="COMPANY" weightage="100" keywordseo="Flipkart">Flipkart</keyword> and Amazon India say that these companies have asked brands to take back their stocks from fulfilment centres since GST will be revamping the taxation structure, and they might face an additional tax liability. However, since sellers are not clear about transitional gains and losses under GST, they are forced to clear their stocks through discounts. "Despite the input tax credit, we will have to shell out 7% of the tax from our pockets," an online seller told <a href="http://economictimes.indiatimes.com/small-biz/startups/gst-return-policy-sends-online-marketplaces-into-a-tizzy/articleshow/58994239.cms">ET</a>. "The brands have been supportive with whom we have exclusivity for certain online marketplaces. They will help us in billing the goods to sister entities of online marketplaces through which they can be sold," he pointed out, adding that he has sold old stock to WS Retail and Cloudtail India, largest sellers on the online marketplaces Flipkart and Amazon India, respectively. "The finance secretary also added that for sellers who don't have an excise invoice but have a credit transfer document from manufacturer where the goods can be identified through model number, will get 100% input tax credit where value is more than Rs 25,000. In case of items attracting GST of 18% and above, the deemed credit is increased from 40 to 60%. These steps will help curb the return of consumer durables and FMCGs back to brands ahead of GST," said <keyword id="367317" type="PERSON" weightage="100" keywordseo="Sachin-Menon">Sachin Menon</keyword>, national head of indirect tax at <keyword id="50041" type="CITY" weightage="100" keywordseo="KPMG">KPMG</keyword> India. The GST Council has also made easier the process of filing return across industries, which has been done by letting go of a few controversial fields on the GST returns form through application programming interface. This has been done a few weeks after digital service providers like Google, <keyword id="6354427" type="CITY" weightage="100" keywordseo="Apple">Apple</keyword> and <keyword id="141088" type="COMPANY" weightage="100" keywordseo="Amazon-Web-Services">Amazon Web Services</keyword> jointly petitioned Nasscom to make the process of filing returns across industries easier. GST return policy is still confusing India’s online marketplaces

Indian e-commerce players such as <a href="http://www.businessinsider.in/searchresult.cms?query=flipkart&amp;sortorder=effectivedate">Flipkart</a>, <a href="http://www.businessinsider.in/searchresult.cms?query=amazon&amp;sortorder=effectivedate">Amazon</a> will not be able to comply with few of the <a href="http://www.businessinsider.in/searchresult.cms?query=fdi+in+marketplaces&amp;sortorder=effectivedate">government’s new guidelines for the marketplaces</a>. 
 
They will not be able to meet the recent regulation to cap any vendor on their platforms at 25 per cent of total sales. 
 
"It is an accounting issue that normally has to be collated at the end of the fiscal year. The 25 per cent data can be given over a period of time and not immediately," ET quoted sources as saying.

The 25 per cent rule has left many startup owners in lurch, especially those who have over 25 per cent threshold on their portfolio. 
 
For instance, Amazon India’s one of the largest vendors is Cloudtail. 
 
"We would not like to speculate on the share of Cloudtail or any other seller till we close our books for the year and given how recent the Press Note 3 is. We will put a process in place to inform sellers in case they are close to or likely to breach the 25 per cent guidance," an Amazon India spokesperson said in an emailed reply to ET. 
 <keyword id="6354742" type="COMPANY" weightage="40" keywordseo="Flipkart">Flipkart</keyword> is reported to trim the contribution of WS Retail in next one year to meet the new guidelines. 
 Meanwhile, <keyword id="541988" type="COMPANY" weightage="40" keywordseo="SnapDeal">Snapdeal</keyword> is meeting the 25 per cent norm. 
 
"Snapdeal has nearly 300,000 sellers from across India. Given the span and depth of our seller base, even the bigger ones account for much less than the 25 per cent threshold mandated for any single seller," Snapdeal spokesperson told ET.
