Set to open on Friday, the IPO for aggregating Rs 14,624.00 lakh through fresh issue of Equity Shares &amp; 82,94,118 equity shares under Offer for Sale by the Promotor, <keyword id="287401" type="General" weightage="80" keywordseo="ramveer-singh" source="Orion">Ramveer Singh</keyword>. The company's issue will open for the anchor portion on Thursday, 7th September 2023, and will close for the public on Tuesday, 12th September 2023. At the upper price band, the company's IPO size would be Rs 320-321 crore. Proceeds from the fresh issue will fund working capital requirements and other general corporate purposes. Khambatta Securities Limited is the sole Book Running Lead Manager to the Issue, while KFin Technologies Limited is the Registrar to the Issue. The company already completed the pre-IPO placement of 16,00,000 equity shares at an issue price of Rs 211, aggregating Rs 33.76 crore. Accordingly, the size of fresh issue was reduced to Rs 146.24 crore and an offer for the sale of 82.94 lakh shares by promoter Ramveer Singh. At present, Singh holds a 97.81 per cent stake in the company. With a net margin of around 20 per cent, the company expects to continue focusing on only high-margin integrated projects. The company also undertakes Operations and Maintenance mandates for the projects it has executed. EMS Ltd's 100 per cent projects are works related to tenders floated by government or semi-government agencies funded through the World Bank. The company has executed 67 projects over the past 13 years and has an order book of Rs 1,745 crore, comprising 18 ongoing projects across WWTPs, WSSPs, EPS, and HAM segments. Most of its projects have been executed across Bihar, Uttarakhand, Madhya Pradesh, Rajasthan and Haryana. The company's total revenues from operations stood at Rs. 538.16 crore for FY2022-23 against Rs. 359.85 crore for FY2021-22. The EBITDA for FY2022-23 stood at Rs 149.01 crore (against Rs 112.51 crore in FY2021-22), and PAT stood at Rs 108.62 crore (against Rs 79.04 crore in FY2021-22).

Anand Rathi Research recommends subscribing to this IPO from a long-term perspective, noting that the issue appears fully priced. "At the upper band, the company is valued at 37.9x its FY24 earnings, along with being valued at 46.3x if we annualize FY25 earnings. Following the issuance of equity shares, the company's <keyword id="19930507" type="General" weightage="20" keywordseo="market-capitalization" source="keywords">market capitalization</keyword> stands at Rs 1,70,261.8 million, with a market cap-to-sales ratio of 1.34 based on its FY24 earnings. Retail investors, who are being offered about 35% of the total issue pie, can bid for a minimum of 1 lot, which includes 9 shares, taking the minimum investment amount to Rs 13,527. With the listing set for Monday, October 28, 2024, the company has set a price band of Rs 1,427 to Rs 1,503 per share. However, prior to the stock's debut on the bourses, the company's <keyword id="19931032" type="General" weightage="20" keywordseo="gmp" source="keywords">GMP</keyword> (grey market premium) has been scaling fresh highs. In just 3 years, the company has exponentially increased its manufacturing capacity, from 2 GW in FY21 to 13.3 GW in FY24. Waaree will be utilizing the proceeds from the issue to set up a 11.4 GW integrated manufacturing facility. Out of this, a 5.4 GW solar cell manufacturing facility will be operational in Chikhli next year. Another 6 GW establishment in Odisha, which is expected to be functional by FY27, will produce ingots, wafers, and solar cells. The company has recently also been awarded orders worth Rs 19 billion under the government's PLI (Production-Linked Incentive Scheme). The company's bottom line, i.e., financials, have also been going from strength to strength over the past few years. Waaree's revenue from operations stood at Rs 1,13,976.09 million as of FY24, up from Rs 28,542.65 million in FY22. Its PAT (<keyword id="142274" type="General" weightage="20" keywordseo="Profit-after-tax" source="Orion">profit after tax</keyword>) also took a massive jump, from Rs 796.5 million in FY22 to Rs 12,743.67 million in FY24. The company also reported PAT margins of 2.70% in FY22, 7.29% in FY23, 10.96% in FY24, and 11.47% in the first quarter of FY25. During these years, WEL's basic EPS (earnings per share), a measure of the company's profitability, also inched up 3.84 in FY22 to 48.05 in FY24. However, the company is not without its share of risks. The most prominent of them is its heavy reliance on its top 10 customers and export revenue. As of FY24, they contributed 56.77% and 57.64% to the total revenue, respectively. <h2>Subscribe for the long-term</h2>Experts are largely recommending subscribing to this IPO for the long term. Per InCred Equities' IPO note, "In 1QFY25, the company’s revenue was at Rs 34 billion (+2% YoY), while EBITDA and PAT stood at Rs 5.5 billion (+18% YoY) and ~Rs 4 billion (+19% YoY), respectively. Based on FY25F annualized financials, the IPO’s higher band implies an EV/EBITDA of~18x and a P/E of~27x, which is at a discount to its peers, in our view. We recommend subscription to the IPO, given the strong financials, strong industry tailwinds with long-term opportunities in the solar industry, robust order backlog, and further expansion plans." Bajaj Broking also shares these views, albeit it notes that the issue appears to be fully priced rather than being on discount. "If we attribute FY25 annualized super earnings to its post-IPO fully diluted paid-up equity capital, then the asking price is at a P/E of 26.91, and based on FY24 earnings, the P/E stands at 44.36. The issue relatively appears fully priced. We recommend subscribing to this IPO for the long term," it continued. Per Anand Rathi Research, the company's offer is reasonably priced with a PE of 26x (per FY25 earnings) and a market cap of Rs 4,31,786 million. "We believe that, with solar energy emerging as a key global theme in the transition to renewable energy, WEL is well placed to capitalize on the growing opportunity given its leading market share, strong financials, and continued focus on innovation and sustainability with capacity expansion through backward integration. We recommend "subscribing” to this IPO issue," it explained.

Bids can be made in a lot size of 7 shares or multiples of 7 shares. The IPO opens on October 15 and will close on October 18. While the allotment will be finalised on October 18, the shares will be listed on the stock exchange on October 22. At the upper end of the price band, Hyundai Motor India will be valued at $18 billion (approx. ₹1.6 lakh crore), which is around 40% of its parent company, Hyundai Global’s $45 billion valuation. As it is entirely an OFS, the company won’t receive any funds and all the funds raised will go to Hyundai Global. However, the company has said that part of the funds will be allocated towards research and development, especially in electric vehicles (EVs) and hybrid technologies. The company has reserved 7.78 lakh shares with a value of ₹131 to ₹138 crore for employees. The issue will open for subscription to the public on April 3 and close on April 5. Bharti Hexacom provides telecom services in Rajasthan and the North East. The issue, which intends to raise as much as ₹4,275 crore, is a complete offer-for-sale — wherein the company will receive no proceeds from the sale. Telecommunications Consultants India will offload 15% of its equity as a part of the issue. Ahead of the stake sale, Telecommunications Consultants India holds a 30% stake, with 70% held by Bharti Airtel. SBI Capital Markets, Axis Capital, BOB Capital Markets, ICICI Securities, and IIFL Securities are the book running lead managers of the public issue. Financials &amp; risk factors While the revenue of the company has been rising steadily, its profits have been wavering in the last three years. In FY21, its revenue and profitability were impacted by low average revenue per user (ARPU). It was addressed by a tariff hike in November 2021 by the company. “Further, our restated profit in FY22 is significantly attributable to exceptional items (net) amounting to ₹1,951 crore, which comprises gain on account of a commercial settlement with a service provider, settlement with a strategic vendor, and charge on account of levies,” the company said. In the nine months of FY24 ending December, its revenue from operations was at ₹5,220 crore, which is 7.8% higher than the ₹4,846 crore it reported in the same period of FY23. Apart from its business continuity depending on its ability to rebid and acquire spectrum, its revenues face the risk of regulatory ceilings on pricing, pricing pressure, a reduction in ARPU and more. As of December 31, 2023, its total outstanding borrowings stood at ₹3,771 crore. Not only can this limit its ability to undertake certain types of transactions, it also makes its business vulnerable to fluctuations in interest rates. “We require significant capital to fund our capital expenditure and if we are unable to raise additional capital, our business, financial condition and results of operations could be adversely affected,” the company said in its RHP. Without Bharti &amp; Airtel trademarks In spite of it being promoted by Bharti Airtel, Bharti Hexacom does not own the Airtel trademark. It is registered in favour of its promoter. They have entered into a trademark license agreement with the promoter, where they have been granted a non-exclusive, revocable, conditional license. It also does not own the Bharti trademark. The company is also engaged in a long-standing legal issue related to Adjusted Gross Revenue (AGR) demand by the government. Bharti Hexacom and Bharti Airtel have filed a review petition against the Supreme Court order dated July 23, 2021. The Apex court had dismissed clarification / modification applications filed by the telecom service providers for correction of errors in the AGR demands. The matter is pending adjudication before the Supreme Court. They have also filed a curative petition in the AGR matter against the orders dated October 24, 2019 and January 16, 2020 of the Supreme Court. It is also pending adjudication before the Supreme Court. It has already provided for the aggregate demand of ₹1,817 crore. “So any adverse outcome in this matter would not have any adverse impact on our financial condition,” the company said. The Company responded to the pre-show cause notice and stated that the Company believes that as per regulations, GST is not applicable to these expenses. "Additionally, as per a recent Circular (circular number 210/4/2024 dated June 26, 2024) issued by the Central Board of Indirect Taxes and Customs on the recommendations of the <keyword id="19994390" type="General" weightage="20" keywordseo="gst-council" source="keywords">GST Council</keyword>, services provided by the overseas branches to Indian entity are not subject to GST," said the company. The clarification from Infosys came post news articles published on Wednesday for non-payment of GST towards expenses incurred by the overseas branches of the Company. In its first ever raids in the Union Territory of <keyword id="19905190" type="General" weightage="20" keywordseo="Ladakh" source="keywords">Ladakh</keyword>, the <keyword id="19895344" type="General" weightage="20" keywordseo="Enforcement-Directorate" source="keywords" meta.keywordsubtype="org" meta.entityname="Enforcement Directorate" meta.hostid="261" meta.entityid="Enforcement Directorate">Enforcement Directorate</keyword> on Friday conducted searches as part of its <keyword id="19899231" type="General" weightage="20" keywordseo="money-laundering" source="keywords">money laundering</keyword> probe linked to a cryptocurrency fraud case in which investors lost more than Rs 7 crore worth of deposits, officials said. The agency's zonal office here raided at least six premises in Leh town of Ladakh, Jammu in J-K and Sonipat in Haryana in the case against A R Mir and others. It is alleged that 2,508 investors deposited more than Rs 7.34 crore in a fake cryptocurrency business in the name of "<keyword id="22638371" type="General" weightage="20" keywordseo="Emollient-Coin-Limited" source="keywords" meta.keywordsubtype="org" meta.entityname="Emollient Coin Limited" meta.hostid="261" meta.entityid="Emollient Coin Limited">Emollient Coin Limited</keyword>". They, however, did not get any returns or currency back, and these funds were laundered by the business' promoters to purchase land assets in Jammu. The money laundering case stems from a March 2020 FIR registered in Leh and some other complaints filed in the Union Territory (UT) of Jammu and Kashmir (J-K) against Mir and Ajay Kumar Choudhary. Police in Leh in their FIR stated that an inquiry was conducted by a committee formed by the local district magistrate against Mir and his agents who were running the "fake" cryptocurrency business (Emollient Coin Limited) from a office located at the Anjuman Moin-Ul-complex, opposite SNM Hospital, in Leh. The committee sealed this office during inquiry on charges of "cheating many innocent individuals by assuring them to double their investment", according to the FIR. The accused lured people of the UT of Ladakh and some other places to purchase "Emollient Coin" using cash or transferring money into bank accounts, according to Enforcement Directorate (ED) officials. The depositors were also duped in the name of "Bitcoins" with the assurance of returns up to 40 per cent with a lock-in period of 10 months, the probe agency said. Investors were dished out a commission of up to seven per cent of the investment made by the people on their reference in the business, thereby forming a multi-level marketing chain, the ED found. A total of 2,508 people invested Rs 7,34,36,267 in the investment plan offered by Mir and the company (Emollient) floated by him that was incorporated in September 2017 and had its registered office in London. A man, Henry Maxwell, living in the UK capital, was its director. The company had two promoters in India -- Naresh Gullia and Channi Singh. The company was "deliberately" dissolved in March 2019, and Mir along with Choudhary launched a real estate business and acquired lands in Jammu from the funds generated by the fake cryptocurrency trade, according to the ED. ED undertakes first-ever searches in Ladakh in crypto fraud case

New Delhi, <keyword id="20730654" type="General" weightage="20" keywordseo="mukka-proteins" source="keywords">Mukka Proteins</keyword>, which manufactures fish meal, fish oil, and fish soluble paste, on Monday fixed a price band of Rs 26-28 apiece, for its Rs 224 crore <keyword id="19913114" type="General" weightage="20" keywordseo="initial-public-offering" source="keywords">Initial Public Offering</keyword> (IPO). The company's maiden public issue will open for subscription on February 29 and conclude on March 4. The issue is entirely a fresh issue of up to 8 crore equity shares aggregating to Rs 224 crore at the upper end of the price band, with no Offer For Sale (OFS) component, Manguluru-based company said. Of the total proceeds, Rs 120 crore will be used towards working capital requirements and up to Rs 10 crore for investment in its associate, Ento Proteins, for funding its working capital requirements. Besides, a portion will be used for general corporate purposes. Investors can bid for a minimum of 535 equity shares and in multiples of 535 equity shares thereafter. Mukka Proteins is one of the key players in India's fish protein sector. Furthermore, fish oil has diverse applications, including pharmaceuticals (particularly in EPA-DHA extraction for nutraceuticals), soap making, leather treatment, and paint manufacturing. In the fiscal year 2023, the company contributed between 25 per cent and 30 per cent of the Indian fish meal and fish oil industry's revenue, estimated to be between Rs 3,200 crore and Rs 4,100 crore, as per a <keyword id="19898320" type="General" weightage="20" keywordseo="crisil" source="keywords">Crisil</keyword> report cited in the RHP (Red Herring Prospectus). Mukka Proteins distributes its products both domestically and internationally, serving over 10 countries such as Bahrain, Bangladesh, Chile, Indonesia, Malaysia, Myanmar, Philippines, China, Saudi Arabia, South Korea, Oman, Taiwan, and Vietnam. At present, the company has six manufacturing facilities, with two held through its foreign subsidiary, <keyword id="20730655" type="General" weightage="20" keywordseo="ocean-aquatic-proteins-llc" source="keywords">Ocean Aquatic Proteins LLC</keyword>, based in Oman, and four situated in India. Additionally, it operates five storage facilities and three blending facilities strategically located along the Indian coastline. On a consolidated basis, Mukka Proteins' revenue from operations surged 53 per cent to Rs 1,177.12 crore in fiscal 2023 from Rs 770.50 crore in fiscal 2022, and profit after tax jumped 84 per cent to Rs 47.52 crore in fiscal 2023, from Rs 25.82 crore in fiscal 2022. Fedex Securities Private Limited is the sole book-running lead manager to the offer. The equity shares are proposed to be listed on the BSE and NSE.

The poor health of state discoms may lead to delays in payments to renewable energy projects that they finance. Certain discoms that purchase electricity from its borrowers sought revision in the terms of their existing power purchase agreements (PPAs). A downward revision in the tariffs could negatively affect its borrowers, impacting their repayment capabilities. Its NPAs may increase due to force majeure events, delay in project implementation and more, it said in its risk factors. A lot of its NPAs are concentrated around biomass power and cogeneration, hydro power and wind power projects. Apart from that, interest rate volatility, inherent risks in renewable projects, vagaries of nature, and highly competitive environment are listed as risk factors in its DRHP.
