New Delhi, Dec 10 () Non-compliance of the government's directive with regard to dividend declaration by 53 CPSEs resulted in a shortfall of Rs 9,417.75 crore to the exchequer in 2017-18, according to a CAG report tabled in Parliament on Tuesday.
 As per the norms, all profit-making central public sector undertakings (CPSUs) are required to declare a minimum dividend on equity of 20 per cent or a minimum dividend payout of 20 per cent of after-tax profit, whichever is higher, subject to availability of disposable profits.
 However, the government as majority shareholder could seek higher dividend from public sector undertakings (PSUs) with large disposable profits or healthy cash reserves. A higher or special dividend may also be considered.
 According to the Comptroller and Auditor General of India's (CAG) General Purpose Financial Report of CPSEs, investment by the government in equity of CPSEs registered a net increase of Rs 35,038 crore and loans outstanding increased Rs 5,978 crore during 2017-18 as compared to the previous year.
 The CAG also pulled up the government for including the income from investment in SUUTI as part of the disinvestment proceeds leading to overstatement of Rs 1,400 crore.
 "Government companies and corporations declared dividend of Rs 70,562 crore during the year 2017-18. Out of this, dividend received/receivable by GoI amounted to Rs 42,229 crore which represented 11.83 per cent return on the total investment by the GoI (Rs 3,57,064 crore) in all government companies and corporations," said the report.
 Government companies under the Ministry of Petroleum and Natural Gas contributed Rs 28,859 crore, representing 40.90 per cent of the total dividend declared by all government companies and corporations.
 There were 184 government companies and corporations with accumulated losses of Rs 1,42,309.28 crore as on March 31, 2018. Of these, the net worth of 77 companies had been completely eroded by their accumulated losses.
 As a result, the aggregate net worth of these companies became negative to the extent of Rs 83,122.38 crore as on March 31, 2018. Only 12 out of these 77 companies earned a profit of Rs 1,344.45 crore during the year 2017-18, said the report.
 The audit watchdog also reviewed corporate governance in 52 listed CPSEs and found some significant departures from the prescribed guidelines.
 The report revealed that in two CPSEs, the non-executive directors constituted less than 50 per cent of the total strength of the board of directors. There was no woman director on the board of MMTC Ltd.
 Besides, representation of independent directors in 24 CPSEs was below the required number and there was no independent director on the board of directors of three CPSEs.
 Total spend on corporate social responsibility (CSR) activities by 82 CPSEs in 2017-18 was Rs 3,338.60 crore. The petroleum sector spent the highest amount of Rs 1,416.12 crore towards CSR, the report found.

<ul><li>The CII analysed the annual reports of 1,522 companies and determined that ₹89 billion worth of funds were disbursed for the purposes of <keyword id="6354502" type="ORGANIZATION" weightage="20" keywordseo="CSR">CSR</keyword> in fiscal 2017. </li><li><keyword id="6355445" type="UNKNOWN" weightage="20" keywordseo="education">Education</keyword> and <keyword id="6354525" type="UNKNOWN" weightage="20" keywordseo="healthcare">healthcare</keyword> accounted for a bulk of the spending, with nearly 33.5% of funds going towards education and skill development programs, while 25.2% of funds were allocated to health and sanitation projects. </li><li>The report found that 420 companies did not meet the 2% spending requirement.</li></ul>A report released by the Confederation of Indian Industry (CII), last week, shows that the expenditure by Indian companies on <keyword id="113603" type="ORGANIZATION" weightage="20" keywordseo="corporate-social-responsibility">corporate social responsibility</keyword> (CSR) increased by 9% in fiscal 2017, despite a slowdown in earnings growth. This marked a decline from fiscal 2016, when CSR spending was 27% higher as more companies started following the law in its second year of implementation. The CII’s Annual CSR Tracker analysed the annual reports of 1,522 companies that are traded on the Bombay Stock Exchange and determined that ₹89 billion worth of funds were disbursed for the purposes of CSR. This equates to 92% of the amount that should have been spent based on these companies’ cumulative profits. This is a significant improvement from fiscal 2015, when only 80% of CSR funds were spent. Education and healthcare accounted for a bulk of the spending, with nearly 33.5% of funds going towards education and skill development programs, while 25.2% of funds were allocated to health and sanitation projects. In fact, 75% of all companies assessed in the report invested in education and skill development. Further down the list, 11.2% of the funds were spent on rural development, while 9.7% was spent on environmental preservation activities. India is one of the few countries in the world that mandates a minimum spending requirement for CSR activities. Under Section 135 of the Companies Act, which was enforced on April 1st, 2014, a company has to allocate 2% of its average annual net profit in the preceding three years to CSR. However, the policy only applies to companies of a certain size - those with a net worth of ₹5 billion or more, those with an annual turnover of ₹10 billion or more or those with an annual net profit of at least ₹50 million. The CII was only able to assess the companies that published their annual reports by early December 2017. As a result, around 80 other companies, including India’s public sector banks, on the <keyword id="35140" type="CITY" weightage="20" keywordseo="BSE">BSE</keyword> were left out. Public-sector banks, which are governed by the RBI, are exempt from the requirement since their actions don’t fall under the purview of the Companies Act. Rather unsurprisingly, the tracker showed that a bulk of the total amount spent on CSR came from a few large firms. While 49 public-sector enterprises accounted for 28% of all the funds spent (₹24.9 billion), almost 90% of this figure came from 13 firms. Meanwhile, 50% of the total funds spent by the private sector (₹64.1 billion) was accounted for by 16 firms. Here are some other key findings from the report:- <ul><li>Sports development and national heritage are fast-rising segments: The report showed that the funds allocated towards sports development activities surged 192% to ₹1.7 billion, while spending on the preservation of national monuments and gender equality projects went up by 153% and 115% to ₹2 billion and ₹2.4 billion, respectively. More notably, among the larger segments, CSR funds for environmental activities went up by 66% to ₹8.6 billion.</li><li>Few takers for slum development and the Prime Minister’s Relief Fund: Less than ₹10 million was invested in slum development while 45 companies allocated a cumulative total of only ₹230 million to the Prime Minister’s Relief Fund. The fund received four times as many contributions in fiscal 2016.</li><li>As a state, Maharashtra was the most popular CSR destination: Almost 40% of the companies analysed invested in CSR projects in Maharashtra, India’s richest state. Gujarat,Tamil Nadu and Karnataka also proved to be popular draws, with 23%, 19.9% and 19.4% of companies allocating CSR funds to these states. Only 135 companies had CSR projects all over India. Unfortunately, very few companies invested in projects in the the Northeast of India. </li><li>Energy and software companies proved to be the major contributors: An industry-wise breakdown showed that oil and gas companies accounted for 19.4% of total CSR funds spent, or ₹17.2 billion, in 2016-17, while software and services firms contributed 12.2%. Rounding up the top five were metals and mining, with 7.4%, the banking sector, with 7.33%, and automobile industry, with 6.3%.</li></ul> The CII noted that companies were beginning to disclose information regarding the impact of their CSR activities, something that is not currently mandated under the existing law. In fiscal 2017, 189 of the 1,522 companies assessed disclosed the results of their activities. In the education and skill development segment, 35,129 school structures and facilities were built or renovated, based on the reports of 161 companies, and more than 4 million people directly benefited from such activities. In the health and sanitation segment, data from 135 companies showed that 169,041 infrastructures (toilets, health camps, drinking water facilities, mobile vans, hospitals) were created or upgraded, which impacted the lives of 14.3 million people. On a more sobering note, the report found that 420 companies did not meet the 2% spending requirement. While 118 companies said that they “did not find the right project”, 95 companies did not mention a reason while 58 said that they required more to time to plan. While the CII report highlights the progress made by companies in increasing their CSR spending ever since the law took effect, there still remains a lot more work to be done in terms of compliance and demonstrating the effectiveness of such spending. In order to make sure that there are less violations of the CSR law, the Ministry of Corporate Affairs is setting up <a href="https://timesofindia.indiatimes.com/business/india-business/govt-appointed-panel-to-review-csr-enforcement-under-companies-law/articleshow/63699792.cms">a 12-member committee</a> to assess and improve the enforcement of its provisions. The panel will also formulate a mechanism for monitoring the CSR activities of companies and sanctioning the ones that do not fulfill their spending requirements. While this is a step in the right direction, it’s hard to see why the government has waited four years after the implementation of the law to do this.

Nearly 60% of India’s funds for corporate social responsibility are spent on education and healthcare

During the last three decades, there has been significant changes globally regarding advancement of technology, globalization of markets, globalization of production, and growth of enterprises. Despite all these so-called achievements, the gap between developed and other economies is widening. The gap between wealthy and poor is growing. The environmental degradation is becoming a bigger challenge for the future generations. 
 
However, the majority of the countries address these challenges by relying on voluntary actions of the large corporates as well as populist measures by the government. There have been little efforts to collaborate and strategize the action plan for these issues or setup the outcome driven metrics for performance assessment as to what has been achieved, what not, and why? 
The launch of global initiatives like MDGs followed by SDGs however signifies a gradual recognition and acceptance of the social and environmental inequalities. The governments and corporates have started talking about collaborative actions, strategic CSR, metrics and assessment as a way forward. 
 India has mandated Corporate Social Responsibility (CSR) activity for the corporates by introducing the CSR law on 1 Apr 2014. The first objective of CSR law is to raise the consciousness and motivation among the corporates to undertake social and environmental action as the core of the business model rather than a fringe activity. This is needed to achieve significant impact at the grassroots level. The second objective is to encourage the social and environmental impact measurement and reporting. During 2014 Independence Day, The Prime Minister of India, Sh. <keyword id="6354477" type="PERSON" weightage="20" keywordseo="Narendra-Modi">Narendra Modi</keyword> put emphasis on "walk together, we move together, we think together, we resolve together, and together we take this country forward." 
 
The new CSR law mandates long-term orientation of social and environmental initiatives having better accountability and responsibility by the corporates. To be precise, there is an attempt to make a shift from pure capitalism towards a socially responsive mode of capitalism. This implies enabling a change in focus from checkbook charity based model to socially responsible, engaged and embedded business model where companies invest their time, capital and manpower on the long-term basis for sustainable social and environmental interventions. 
 
India, as a country represents a land of extremes and contrasts. One aspect of India highlights the country as a modernizing economy, which is dynamically becoming a force for social innovation. India is known as one of the largest emerging economies having a population of more than 1.25 billion. This represents 1/6th of the world's people. The majority of this population lies at Base of the Pyramid (BoP). India is also one of the fastest growing economies having an average GDP growth rate of around 7% (2011-15). According to UN Report, India has the world's largest youth population of 356 million (10-24 years old). Another contrasting aspect of India involves low rating on Human Development Index (HDI) and Social Progress Index (SPI) calculated by UNDP and Social Progress Imperative respectively. HDI 2015 ranks India at 130 among 180 nations while SPI 2015 ranks India at 101 among 133 countries. HDI ranks the countries on the basis of three dimensions – to lead a long and healthy life, ability to acquire knowledge, and ability to achieve a decent standard of living. SPI measures the social progress of a nation on the basis of three dimensions – basic human needs, foundation of well-being, and opportunity. The majority of the population in India lives in the rural areas; lacks access to the formal market ecosystem for the fulfilment of their basic needs and transacts in an informal economy. Around two-third of the population in India earns less than $2/day (USD 1990 PPP level) and lives and transacts in an informal economy. 
 
Traditionally, large Indian corporates have contributed to social and environmental issues by undertaking convenience based philanthropic initiatives at random, which are not necessarily integrated into the core of the business. However, this approach has created a limited impact on the society and environment. The basic needs and challenges faced by the underserved segment in India require systemic solutions, which are scalable, replicable, integrated and sustainable over a long term. These solutions need to have top management buy-in and involve continuous monitoring with proper impact assessment and evaluation. The companies need to integrate the social and environmental focus areas into the core of their business model, something which had been missing from the social and environmental initiatives of the majority of the companies before the introduction of CSR law. 
 There exist many examples in India where social and ecological focus areas are getting integrated into the core business model of the company. In FMCG, companies like <keyword id="165043" type="COMPANY" weightage="20" keywordseo="hll">HLL</keyword> have engaged the rural women as “Shakti Ammas” for selling its products in the villages. This is a shift from the traditional wholesaler-to-retailer distribution and delivery model. The rural women get trained in the sale of daily use products like soaps, detergents etc. door-to-door. At one end, this leads to last-mile channels for creating awareness and delivery thereby generating volumes. At another end, this creates viable income opportunities for rural women. In agriculture, companies like Mother Dairy have brought together the marginal farmers and milk producers to bring their products like fruits, vegetables, and milk to the market. The marginal farmers get transparent pricing for their products being sold to Mother Dairy besides getting market exposure, training and consultancy on improving the quality of their offerings. In Telecom, <keyword id="15491" type="COMPANY" weightage="20" keywordseo="Airtel">Airtel</keyword> has launched "Apna Choupal", a voice-based value added service for delivering information on day-to-day activities like agriculture, job, education, weather and health to the customers in rural and semi-urban areas. In inter-state bus transport, redBus has created a multi-sided technology platform, which provides a real-time interface between the unorganized small bus operators and bus travellers regarding seat availability and booking. redBus has eliminated the information asymmetry between bus operators and inter-state bus passengers thereby reducing the high bargaining power of travel agents. The small bus operators no longer depend on travel agents for selling their seat inventory. The bus passengers no longer depend on travel agents for booking their tickets. Then, there are other companies like <keyword id="45224" type="CITY" weightage="20" keywordseo="Mahindra">Mahindra</keyword> group, which have created a digital platform – “Spark the Rise” to stimulate social innovation by crowd-sourcing the best ideas from the individuals and groups related to energy, technology, agriculture and rural development issues. 
 
What acts as a differentiator in the above examples is the willingness of the companies to view the social and environmental issues from the same angle as the need for economic growth and financial performance. That implies getting CEO and top leadership on board to be a part of social and environmental initiatives, integrating the social and ecological focus areas into the core of the business as well as ensuring that appropriate social and environmental impact metrics are identified, assessed and reported to all the stakeholders in a similar manner as financial performance. 
 However, to enable large scale adoption of <keyword id="2875288" type="UNKNOWN" weightage="20" keywordseo="shared-value">shared value</keyword> philosophy and compliance with CSR law, there is a need for systemic focus and concerted efforts of the government, consulting organizations and other social institutions towards awareness building and behavior change orientation among the corporates. Creating Shared Value is indeed a strategic approach for the corporates, who are aiming to make a sustainable social and environmental contribution to the needs of the underserved segment after the introduction of the new CSR law in India.

How is CSR Law driving the Corporates towards Shared Value Approach?

<ul><li><keyword id="472014" type="General" weightage="20" keywordseo="green-jobs" source="Orion">Green jobs</keyword> or jobs in the ESG space, can be found in a wide range of industries, from renewable energy, and clean technology, to sustainable agriculture, and waste management. </li><li>March 2023 saw approximately 19,379 active job postings for ESG roles. </li><li>December 2022, and January 2023 saw the highest number of such jobs closed in India. </li><li>Organizations are looking for applicants with qualifications in energy, social environment, sustainable business management and environmental studies. </li></ul>The Future of Jobs Report 2023, by the World Economic Forum, did strike a warning note saying that 26 million jobs will be wiped out globally by 2027. However, a macrotrend listed in the report deserves attention. According to the report, businesses expect that the greatest net job creation impact will come from investments that support the green transformation of businesses, the wider adoption of ESG standards, and the localization of supply chains. While this is a broader trend that will change the future job landscape as much as AI will, now is perhaps the best time ever to build a career in ESG. “ESG as an industry or segment is growing and in India while we are late at it, I think in India the main reason for ESG growth is largely because you now have the government initiatives and the target of being net zero by 2070,” says says Munira Loliwala, business head, TeamLease Digital, a tech staffing solutions firm. Growth in <keyword id="14096025" type="General" weightage="20" keywordseo="esg-jobs" source="Orion">ESG jobs</keyword> ESG jobs are employment opportunities centered around Environmental, Social, and Governance (ESG) factors. These roles involve responsibilities related to sustainable business practices, impact investing, corporate social responsibility, environmental preservation, social justice, diversity and inclusion, ethical governance, and related areas. According to TeamLease Digital, between 2021 and 2022, <keyword id="17432479" type="General" weightage="20" keywordseo="esg-hiring" source="Orion">ESG hiring</keyword> and new demands grew almost by more than 147%, as compared to 2020-2021, wherein the post Covid year marked almost 85% of growth in hiring by organizations in India. March 2023 saw approximately 19,379 of active job postings for ESG roles, while December 2022, and January 2023 saw the highest number of jobs closed. The average number of ESG jobs posted stood at 12,400 between December 2022, and March 2023, while the average number of closed positions were 14,136. The average number of active ESG related jobs were 24,000. Organizations embracing ESG “ESG plays an important role if India has to attract global investments. ESG increases the chances of investments or chances of the acquisitions that most of the Indian companies today are looking at,” says Loliwala. Both big and small corporations in India have embraced ESG. Reliance Industries, for example, has integrated ESG into their business models. Led by their chief financial officer, their ESG team is a multi-disciplinary group responsible for all of Reliance’s environmental sustainability, stakeholder engagement and regulatory compliance activities. In order to enhance their commitment to ESG principles, HDFC Bank has formed an ESG committee. This committee consists of senior members from key departments within the bank and is chaired by a member of the senior management team. The ESG committee is responsible for developing and implementing the bank's ESG strategy, as well as establishing a roadmap to achieve the set targets. They report to the Corporate Social Responsibility (CSR) committee of the Board of Directors, providing updates on the bank's ESG strategy and progress. kindlife, a beauty and wellness platform which launched in 2020, has a strong ESG focus. “Our ESG goals are only achievable with a strong team who works tirelessly to bring our vision to life. Talent in demand ESG jobs do not necessarily require skills in the sustainability domain. “Green jobs or jobs in the ESG space, can be found in a wide range of industries, from renewable energy and clean technology to sustainable agriculture and waste management. There are three categories of green jobs based on their degree of dependence on green skills,” says Manu Saigal, director, general staffing, Adecco India. Jobs that require green skills: These are jobs that cannot be performed without specialized knowledge of environmental sustainability. Examples include renewable energy technicians, environmental engineers, and sustainability consultants. Jobs with significant potential to create and hone green skills: “These are jobs that are not necessarily focused on environmental sustainability but have the potential to develop green skills,” says Saigal. Examples include architects and construction workers who build energy-efficient buildings and farmers who use sustainable agriculture practices. Jobs that do not require green skills: “These are jobs that are not specifically related to environmental sustainability but may contribute to sustainability indirectly,” says Saigal. Examples include accountants who work for green businesses and marketing professionals who promote environmentally friendly products. The crucial aspect of ESG is now focused on proper data analysis, collection, reporting, investigation, and filing. The typical structure involves using various frameworks to collect and analyze data, which requires hiring individuals at entry-level and mid-level positions with backgrounds in computer science, mathematics, or engineering. ESG data is considered a type of alternative data that can be utilized in the analysis of companies. As a result, investors and hedge funds are utilizing it to identify investment opportunities with lower risk by assessing a company's favourable environmental and ethical factors. Organizations are also looking to appoint applicants who have qualifications in energy, social environment, sustainable business management and environmental studies, wind and solar energies. And one important subject could also be economics and law. A lot of certification courses are available in this space today. With the monsoon session of the Indian Parliament all set to begin on Monday, September 14, we took a look at some of the crucial highlights of the Bill that will be tabled for legislation. “This Bill is a net positive, these are good steps and will enhance the ease of doing business,” Tarun Gulati, senior advocate, Supreme Court, told Business Insider. For example, it suggests doing away with jail time for offences which involve shareholder rights or reduction in shares, among others. It also suggests converting 23 compoundable offences which involve imprisonment, into a civil wrong with civil penalties. According to Gulati, this will improve ease of doing business and benefits startups and small companies which don’t have large teams to check compliance. It is worth noting that only those offences which are minor, technical, and do not involve fraud or affect public interest are proposed to be decriminalized. In addition to this, the government has also proposed removing penalties for certain offences and reducing penalties for others. Direct overseas listing and exclusion from listed companies The government has proposed to allow a certain class of companies to list directly in foreign jurisdictions, allowing them to raise capital easily. In addition to this, it has also proposed allowing companies to list debt securities on stock exchanges without having to list the company itself. This will allow companies to raise debt funds without attracting the compliance burden of listed companies. Set-off of excess corporate social responsibility (CSR) spending Companies that have a net worth, turnover, or profits above a specified amount are required to spend 2% of their average net profits of the last three years towards CSR in a financial year. If companies spend more than 2%, the excess amount does not count towards their past or future obligations. However, the government has now proposed that any excess amount over 2% of the current CSR obligation will be allowed to be carried forward and set off against future CSR obligations. This is likely to encourage companies to better spend on their CSR obligations instead of restricting themselves to the 2% target. Setting up of benches of National Company Law Appellate Tribunal (NCLAT) The government has proposed setting up benches of NCLAT to ease the burden and speed up the resolution of pending cases. Further, the maximum limit on the number of members in NCLAT, which is currently 11, is proposed to be dropped. Overall, Gulati believes that these proposed amendments will help in reducing the compliance burden on companies and allow them to focus on their business. It remains to be seen how effective the government’s execution is, though. Key proposals of Companies Amendment Bill 2020 include decriminalising offences, direct overseas listing and more

(Eds: Adding more details) New Delhi, Mar 4 () Aiming further improvement in ease of doing business, the Cabinet on Wednesday approved 72 changes to the companies law with focus on decriminalisation of various provisions and permitting direct overseas listing of Indian corporates. Reduction in penalties for certain offences as well as in timeline for rights issues, relaxation in CSR compliance requirements and creation of separate benches at the National Company Law Appellate Tribunal (NCLAT) are among the raft of other proposed changes in the Companies Act, 2013. Briefing reporters, Corporate Affairs Minister Nirmala Sitharaman said the priority is to "decriminalise" provisions in the Act. There would be 72 changes resulting in amendments to 65 sections of the Act and the aim is to ensure greater ease of doing business as well as living. Sitharaman, who is also the finance minister, said 23 offences would be recategorised out of 66 compoundable offences under the Act. Besides, seven compoundable offences would be omitted, she said. She also said penalties would be reduced in case of various compoundable offences. Generally, compoundable offences are those which can be settled by paying certain amount of money. According to the corporate affairs ministry, there are 52 proposals that would result in 48 amendments for greater ease of doing business for law abiding corporates by way of "removing criminality totally in respect of 35 procedural and technical defaults". Besides, imprisonment would be removed from 11 penal provisions and quantum of penalties in respect of six defaults which had been decriminalised earlier in 2019 would be reduced. With respect to greater ease of living, there are 20 proposals that would result in 17 amendments to the Act. "The amendments are expected to significantly enhance the confidence of Indian corporates on the government's resolve to provide greater ease and accord highest respect to honest wealth creators in the country and reduce the burden on the justice system," the ministry said. These proposals also come at a time when economic growth has turned sluggish and global uncertainties are on the rise. Amendment would be carried in Section 23 of the Act for including an enabling provision to allow direct listing of securities by Indian public companies in permissible foreign jurisdictions. This would provide alternative source of capital for domestic companies and also broaden their investor base. Regarding CSR, the government has proposed permitting eligible companies to claim credit for CSR spend in excess of the 2 per cent obligation in a particular year against its obligation for the subsequent financial years. Further, companies with CSR obligation to spend Rs 50 lakh or less will not be required to constitute a committee in this regard. Under the Act, certain class of profitable companies are required to shell out at least 2 per cent of their three-year annual average net profit towards CSR (Corporate Social Responsibility) activities. Other changes include those pertaining to providing adequate remuneration to non-executive directors in case of company having inadequate profit and relaxation in certain compliance requirements for corporates operating in IFSC Gift City, Gujarat. Incentivising compliance in filing annual returns and financial statements, enabling power to require large unlisted companies to submit periodic financial returns so that periodic economic data is made more scientific and creating separate benches at NCLAT have also been proposed. The NCLAT benches would deal with cases under the companies law, the Insolvency and Bankruptcy Code (IBC) and the Competition Act. Among others, companies would be able to file prosecution against their employees at the place of location of property. Another amendment is to ensure that imprisonment shall not be ordered by a court on an officer/ employee of the company for wrongful possession of dwelling unit, if the company has not paid certain dues to that officer/ employee. New Delhi, Mar 6 () Finance Minister Nirmala Sitharaman on Friday said she was confident that Parliament would pass pass the amendments to the companies law with focus on decriminalisation of various provisions. Earlier this weak, the cabinet approved 72 changes to the companies law as the government aims further improvement in the companies law. "I am sure Parliament in its wisdom will pass it...," the minister said at the inaugural session of colloquium on 'Judicial Sensitisation on Insolvency Law and Associated Best Practices' organised by National Company Law Appellate Tribunal (NCLAT). Sitharaman, who is also the Corporate Affairs Minister, further said it is the commitment of the government that wealth creators - small, medium, big or large - will be treated with respect. "...there shall be trust of the government in these entrepreneurs," she added. The amendments in the Companies Act, 2013, also aims at reduction in penalties for certain offences as well as in timeline for rights issues, relaxation in corporate social responsibility (CSR) compliance requirements and creation of separate benches at the NCLAT. Sitharaman further said India made a big difference to itself by passing the Insolvency and Bankruptcy Code (IBC) three years ago. "In passing this legislation, one thing was kept in mind and also made sure was that associated, related institutions were simultaneously quickly placed on ground. "...So if you really want to talk about India crossing that threshold of being nimble at bringing in legislations and related institutions also, IBC is a classic example," the minister said. But, there is a peculiar situation in India, where the car makers and the dealers can’t agree whether the sales in the month of November were good or not! The recovery of this segment of industry is important because it employs a large number of people, many unskilled or less-skilled ones, and as per the panel’s estimate, 345,000 people have already lost their jobs. These are major items recommended by the Parliamentary Standing Committee: <ul><li>Consider wages paid to contract workers as charity: The committee recommended that the expenditure incurred by automakers for making payments to the temporary and contract labour during the lockdown period should be eligible as corporate social responsibility (CSR) expense. This move will help the automaker from tax paid on salaries. </li></ul><ul><li>Give more time to pay suppliers and vendors: It also recommended that the condition to avail ITC (Input Tax Credit) requiring payment of invoice to the supplier within 180 days of invoice to be done away with, till the situation returns to normal. Or at least should be provided with a waiver of interest which is charged from the date of invoice of the supplier, as most payments to the vendors will be deferred in the present scenario. The input credit helps the automaker to reduce the already paid raw material tax at the time of paying tax on output. </li></ul><ul><li>Reduce need for testing and regulatory approvals: A provision should be made for acceptance of self-certification by OEMs, instead of testing and approval by Government agencies for meeting regulatory requirements. Also a prioritised attention should be given to new approvals of alternate materials/parts identified for testing for compliance and validation purposes and fast track approvals by testing agencies. </li></ul><ul><li>Double the waiver on demurrage charge: Instead of 50%, 100% waiver on demurrage charges to be provided at the Airports/Seaports and rail yards until 1 month post resumption of full commercial production. </li></ul><ul><li>Reduce depreciation on value of vehicles: To make up the lost sales in March 2020 vehicles purchased till May 30 be permitted to enjoy 6 months depreciation in FY 2019-2020 — which will help in stimulating sales. </li></ul><ul><li>Discount on research and development: The government should also give a temporary exemption on import/export taxes and a 50% discount in testing prices in National Automotive Testing and R&amp;D Infrastructure Project (NATRIP) facilities.</li></ul><ul><li>More loans for dealers, but with less collateral: The Committee also recommended that the collateral norms for regular loan products for Auto Dealers should be moderate for availing required finance. It addressed that though banks have been facing various challenges because of bad loans, however, they should not look at all financial lendings with the same eye as the recovery rate is very high in the <keyword id="46265" type="PERSON" weightage="20" keywordseo="Auto-sector">auto sector</keyword>.</li></ul><ul><li>Financial incentives in the Scrappage Policy: The committee said that in addition to setting of Automotive Vehicle Scrapping Facility (AVSF) centres across the country, the government should make provisions for upfront financial incentives in the Scrappage Policy to boost demand for purchase of new vehicles. </li></ul><ul><li>GST reduction: To mitigate this cost increase, the Committee said the reduced GST rate to 18% from 28% at the moment. It said it will bring down a sizable amount in vehicle price creating more demand for newer vehicles.
