<p><div class="KonaFilter image-container display-table"><div><div class="image on-image"></div><p></p></div></div>The Obama administration on Monday <a href="http://www.businessinsider.com/treasury-inversions-action-2014-9" target="_blank">announced moves to curb so-called tax inversions</a>, the maneuver by which companies <span>either acquire rivals or merge with them to relocate their headquarters to a foreign country with lower corporate tax rates.</span><span><br /></span></p>
<p><span>The Treasury Department is attempting to limit inversions through two main methods, senior administration officials said Monday - making inversions substantially less economically rewarding, and moving to prevent inversions from going forward in the first place.</span></p>
<p><span>To make inversions less economically appealing, here are the changes the Treasury Department is making:</span></p>
<p style="padding-left: 30px;"><span>  <strong><strong>Preventing inverted companies from restructuring a foreign subsidiary in order to access the subsidiary's earnings tax-free.</strong></strong> This action, under Section 7701 of the tax code, will treat a new foreign parent company as <span>owning stock in the former U.S. parent, rather than the controlled foreign corporation (CFC). It would limit the benefits of the so-called "de-controlling" strategy, by which a new foreign parent could access the deferred earnings of the CFC without ever paying taxes on them.</span><br /></span></p>
<p style="padding-left: 30px;"><span><span>  <strong>Preventing "hopscotch" loans. </strong>The administration has moved to reduce the benefits of these loans, by which companies avoid taxes on profits of their CFCs by having the CFC make a loan to the new foreign parent, instead of the U.S. parent.</span></span></p>
<p><span><span>And here's how the Obama administration is moving to prevent inversions from the start:</span></span></p>
<p style="padding-left: 30px;"><span><span>  <strong>Closing an important loophole. </strong>This action is taken under a subsection of Section 304 of the U.S. tax code. It will, officials said, prevent an inverted company from transferring cash or property from a CFC to the new parent to completely avoid U.S. tax.</span></span></p>
<p style="padding-left: 30px;"><span><span><strong>  Strengthening the requirement that former owners of the U.S. entity own less than 80% of the new, combined entity. </strong>Under current law, companies can engage in an inversion as long as the U.S. company has a 79% stake in the new entity and the foreign acquirer has at least a 21% stake in the new, combined entity. </span></span></p>
<p style="padding-left: 30px;"><span><span>This action, under Section 7874 of the tax code, would limit the ability of companies to count so-called "passive assets" toward the 80% rule; prevent U.S. companies from reducing their size through dividends; and block so-called "spinversions," a method by which companies transfer a portion of its assets to a newly formed corporation and then spinning off that corporation to shareholders. Under current law, it allows the companies to avoid U.S. taxes.<br /></span></span></p>

<p>On a conference call with reporters Monday evening, Treasury Secretary Jack Lew said the administration was taking executive action since it had become clear Congress would not address the issue this year. He said the steps would make companies "think twice" about the maneuver.</p>
<p>"We've recently seen a few large corporations announce plans to exploit this loophole, undercutting businesses that act responsibly and leaving the middle class to pay the bill, and I'm glad that Secretary Lew is exploring additional actions to help reverse this trend," President Barack Obama said in a statement.</p>
<p>The new regulations will go into effect immediately, senior administration officials said Monday. Lew said on the call that they are aimed at reducing the benefits of and, "when possible," stopping inversions. </p>

Here's How The Obama Administration Is Acting Alone To Stop Inversions

The water tank is different from conventional tanks as it has a very high surface area so maximum air can interact with the tank walls and get cooled. It could be an alternative to air conditioners in the future,” Sahashranshu said. <br /><br />The water is heated and passively circulated keeping the inner wall relatively cool, reducing the air temperature and the need for air cooling systems. According to Sahashranshu, ACs contribute to about 35 per cent of total household electricity consumption and produces 1.5 tonnes of carbon every year. <br /><br />The benefits of colling system would include no CFC and carbon emission, minimal electricity usage and a whopping 50 per cent reduction in cooling cost.<br /><br />"For a basic set up, an initial investment would be about a lakh of rupees. The design would evolve depending on the architecture," he said. According to the founders, water is key to addressing the issues raised by the usage of conventional air conditioners. <br /><br />“Water has a high heat capacity, so it can resist any major temperature change by absorbing heat. If we install our water tanks in the walls of the buildings, we can make it resistant to major temperature changes. Also, the heat absorbed will be continuously removed from the system by daily household use of water,” they added.<br /> <br />With the use of air-conditioners on the rise, amidst concerns of global warming, initiatives such as these can pave the way for sustainable technological innovation.<br />

Additionally, UFG will also be monitored by the Neutral Nations Supervisory Commission to ensure compliance with the two Korea's armistice agreements.</p><p>The joint-exercise involves approximately 50,000 South Korean troops, 25,000 US servicemembers, and additional forces from Australia, Canada, Columbia, France, United Kingdom, Italy, Denmark, New Zealand, and the Philippines. One Chinese city built more skyscrapers in 2016 than the US and Australia combined

<p><div class="KonaFilter image-container display-table"><div><div class="image on-image"></div><p></p></div></div>The Obama administration may score its first major victory in its solo battle against a rising trend of corporate inversions, if the Chicago-based AbbVie follows through and <a href="http://www.businessinsider.com/r-abbvie-says-to-reconsider-recommendation-for-shire-acquisition-2014-10" target="_blank">abandons plans to take over drug-maker Shire</a>.</p>
<p>AbbVie, the research-based pharmaceutical company, said late Tuesday it was reconsidering an original plan to buy Shire, which makes drugs to combat attention deficit hyperactivity disorder (ADHD).</p>
<p>AbbVie had offered <span>to buy Shire for about $55 billion and proposed </span>moving the merged company's base of operations to London, in a move that would allow it to pay fewer taxes under a <a href="http://www.businessinsider.com/treasury-inversions-action-2014-9" target="_blank">scheme known as an inversion</a>. The deal could have been the largest inversion in US history.</p>
<p>But late last month, the Treasury Department announced <a href="http://www.businessinsider.com/treasury-inversions-action-2014-9" target="_blank">executive moves to attempt to curb inversions</a>. The Obama administration said it was acting unilaterally because it could no longer wait for Congress to address the growing trend legislatively.</p>
<p>In an SEC filing Tuesday night, AbbVie specifically cited the Treasury's actions as a reason for reconsideration of the merger. </p>
<p><span>"AbbVie's Board will consider, among other things, the impact of the US Department of Treasury's proposed unilateral changes to the tax regulations announced on Sept. 22, 2014, including the impact to the fundamental financial benefits of the transaction," the company said in the filing.</span></p>
<p><span><span>The Treasury Department is trying to limit inversions through two main strategies, administration officials said last month. It wants to make inversions less economically attractive and financially rewarding, something at which AbbVie hinted in its statement. It also wants to make it more difficult for the transactions to occur in the first place.</span></span></p>
<p><span>AbbVie said its board of directors will meet next week to consider whether to withdraw or modify its recommendation that the company's stockholders vote to adopt the merger.</span></p>

<p>The financial benefits of the deal that AbbVie was reconsidering weren't specifically detailed. But the Obama administration moved to make inversions less financially appealing through two main ways last month:</p>

<p><span>Britain was an attractive option as a potential tax base for AbbVie because the UK government recently introduced new tax breaks for research-and-development companies. </span></p>
<p><span>The Obama administration has said halting inversions is necessary to prevent an erosion of the US corporate tax base. But Republicans and Democrats disagree about how to legislatively fix the problem, with Democrats preferring a standalone solution immediately and Republicans preferring to wait to include a fix in a broad reform of the nation's tax code.</span></p>
<p><span>The Treasury Department did not respond to a request for comment. But senators who have taken up inversions as a pet issue painted the new development as the first major victory for the Obama administration's new rules. </span></p>
<p>"I'm encouraged by reports that AbbVie will reconsider its decision to move its tax address out of the United States," said Sen. Dick Durbin (D-Illinois), the second-ranking Democratic senator. "When corporations choose to invert and don't pay their fair share of taxes, they leave the rest of us to pick up the tab. That isn't right, and I hope that more companies will see the light."</p>
<p>"The Obama Administration has taken action to help curb this practice," he added.</p>

Each box can hold up to 20 kg. Morrisons will provide a wholesale supply service to Amazon, allowing Amazon's customers access to a wide range of Morrisons ambient, fresh and frozen products."</span></span></span></span></p><p><span><span><span><span><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span>Ocado</span></p></div><p></p></div></div>This seems pretty threatening for Ocado considering Morrisons has been its jewel in its crown since it signed a </span></span></span></span><span><span><span><a href="http://www.theguardian.com/business/2013/may/17/ocado-deal-morrisons-online-waitrose" class="u-underline" data-link-name="in body link" data-component="in-body-link">25-year deal </a>two years ago <span>to sell food online through Ocado's online service.</span></span></span></span></p><p><span><span><span><span>In fact, it's a huge deal. <a href="http://www.amazon.co.uk/" target="_blank" title="" class="skimwords-link" data-skimwords-id="1974447" data-skimlinks-editor="0" data-skimwords-word="amazon" data-group-id="0" data-skim-creative="300001" data-skim-product="1974447" data-skim-node-id="6:Amazon_4">Amazon</a><span></span><span></span><span></span><span></span><span> is a multi-billion dollar global giant, whereas Ocado has yet to expand outside the <keyword id="6354868" type="COUNTRY" weightage="60" keywordseo="UK">UK</keyword>. </span></span></span></span></span></p><p><span><span><span>Last year, the Guardian reported </span></span></span><span><span><span><span>Duncan Tatton-Brown, Ocado's finance director, saying: "Ocado is the exclusive provider of online grocery services for </span>Morrisons<span>. That is the terms of the deal for the remaining 23 years. The contract will prevent [Morrisons launching another service. </span></span></span></span></p><p><span>"If [Morrisons] want coverage elsewhere in the UK they have to come through us. We are happy to have that discussion. The decision is theirs. Who provides it is us."</span></p><p><span>However, under the arrangement, Morrisons can technically provide its products to others - such as Amazon in this case. Waitrose does the same thing with Ocado. For Morrisons own online offering, it would have to go through Ocado.</span></p><p><span>Business Insider asked Ocado for comment but it declined to comment on the Amazon deal.</span></p><p>Maybe anticipating the potential reaction from the markets over the deal, <a href="http://www.investegate.co.uk/ocado-group-plc--ocdo-/rns/in-principle-agreement-with-morrisons/201602290700133900Q/">Ocado also released a statement about an agreement in principle for Morrisons</a> t<span class="ag">o share some of the capacity of Ocado's customer fulfilment centre - or warehouse - which is still under currently under construction in Erith, south east London.  </span></p><p><span class="ag"><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span>Ocado/Tulchan Group</span></p><p class="caption">Duncan Tatton Brown, CFO at Ocado.</p></div><p></p></div></div>"Under these terms Ocado will also provide Morrisons with the software necessary to fulfil online orders from its stores, primarily intended to enable online services in areas not currently serviced by a CFC. </span>The Erith CFC is due to go-live at the end of 2017 and is expected to have capacity of 210,000 orders per week," Ocado said.</p><p>But as highlighted above - there is no guarantee this deal will go ahead.</p><p>Ocado has an incredible tech outfit. <a href="http://uk.businessinsider.com/ocado-and-cambridge-consultants-ocado-smart-platform-launch-2016-2">The warehouses it is creating are almost fully automated</a>. But they still haven't been built and Amazon is hot on its heels for  a share of the grocery market.</p><p>So for now, it looks like Amazon went for Ocado's biggest client with its online grocery and tech business and when markets open, we'll see what the investors think.</p><p>However, it's not looking pretty. "That's what our campaign is all about."</span></p><p><span>Marinelli, a 31-year-old activist, announced in a 1,600-word statement on Monday that he would return to California after spending just over a year in Russia's fourth-largest city, Yekaterinburg, with his wife Anastasia. </span></p><p><span>Marinelli spearheaded the Calexit campaign for nearly two years <a href="http://www.businessinsider.com/calexit-leader-louis-marinelli-russia-2017-4" target="_blank" rel="noopener noreferrer">before deciding to settle in Russia</a> permanently in April. He withdrew his petition for a referendum at that point in favor of the "new happiness" he'd found in Yekaterinburg. </span></p><p><span>The organization relaunched in August, this time as "a movement" rather than a political action committee, Marinelli said Monday. It also has a new president: cofounder </span><span>Marcus Ruiz Evans, who previously served as the organization's vice president.</span></p><p><span>Evans closed the Moscow "embassy" Marinelli had established in December, calling it "a distraction, a point of contention, and a source of division among supporters of California independence."</span></p><p><span><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span><a href="https://www.youtube.com/watch?v=VVh58vuxkN4">Screenshot/YouTube</a></span></p><p class="caption">Louis Marinelli</p></div><p></p></div></div></span></p><p><span>In his statement on Monday, Marinelli claimed it was never really an embassy at all. </span></p><p><span>"I hyped it up, printed a vinyl banner, and called it an embassy - that was a mistake," he wrote.</span></p><p><span>Marinelli characterized the initiative differently back in December, telling Business Insider that the "Embassy of the Independent Republic of California" was part of the group's outreach to countries that were likely to recognize and support California's independence.</span></p><p><span>He described Russia's Anti-Globalization Movement - far-right Russian nationalists who enjoy Kremlin support while promoting secessionist movements in Europe and the United States - as a "partner," and said Yes California aimed to "rock the boat and ruffle feathers."</span></p><p><span>Now, Marinelli says he "never sought to have Russia as a partner in the Calexit campaign in the first place."</span></p><p><span>"Pursuing their recognition of our independence after the fact is not endorsing our Calexit campaign," he said.</span></p><h2><span>'See #CalExit'</span></h2><p>The link among Julian Assange, WikiLeaks, and Russia has always been murky. The US intelligence community believes the three worked together to undermine Democratic nominee Hillary Clinton during the 2016 election, while Assange has staunchly denied that Russia was its source for hacked emails from the Democratic National Committee and the Clinton campaign.  </p><p><span>But as</span> journalist and Russia researcher Casey Michel <span><a href="https://thinkprogress.org/assange-catalonia-independence-0a83cd016972/" target="_blank" rel="noopener noreferrer">has written</a></span>, the Kremlin has not exactly been an unbiased observer of Western independence movements. Marinelli's former "partner," the <span>Anti-Globalization Movement of Russia, </span><a href="http://anti-global.ru/?p=19373">issued a statement</a><span> last month supporting Catalonia's secession push.</span></p><p>Assange turned his attention to Spain around the same time, <span>becoming <a href="http://www.businessinsider.com/julian-assange-catalonia-independence-movement-and-referendum-spain-2017-9" target="_blank" rel="noopener noreferrer">the de-facto international spokesman</a> for Catalan separatism.</span></p><p><span>He taught young Catalans how to use encrypted chat apps and evade detection from federal police ahead of the October 1 independence referendum, and he used his Twitter account <a href="http://www.businessinsider.com/julian-assange-catalonia-independence-movement-and-referendum-spain-2017-9" target="_blank" rel="noopener noreferrer">to relentlessly pump out</a> a pro-separatist narrative aimed at villainizing the Spanish central government and celebrating Catalan nationalism.</span></p><p><span>Asked whether he would support a similar independence referendum for Texas or California, <a href="https://twitter.com/JulianAssange/status/906966526665871360" target="_blank" rel="noopener noreferrer">Assange said</a>: "Yes. There will likely be a plebiscite in 2018 for California, see #<a href="https://twitter.com/hashtag/CalExit?src=hash" data-query-source="hashtag_click">CalExit</a>."</span></p><p><span><div class="KonaFilter image-container display-table"><div><div class="image on-image"><p class="source"><span><a href="https://www.youtube.com/watch?v=nMRDvXb-Qu4">Screenshot/YouTube</a></span></p></div><p></p></div></div>It's not clear whether the government would recognize such a plebiscite as legitimate. <a href="http://www.reuters.com/article/us-usa-trump-california-secession/more-californians-dreaming-of-a-country-without-trump-poll-idUSKBN1572KB" target="_blank" rel="noopener noreferrer">A Reuters/Ipsos poll</a> conducted after President Donald Trump won the election found that 32% of Californians said they would support independence (another 15.5% said they "don't know").</span></p><p><span>Asked if he'd "welcome" it if Assange took similarly aggressive measures in support of the Calexit campaign, Marinelli said: "While I stand by my previous statement about Julian Assange and his vocal support for California Independence, the spokesperson for this campaign should be a Californian."</span></p><p><span>He added, however, that if Assange "has constructive criticism then we should be welcoming constructive criticism and feedback and suggestions on how to run a better campaign." </span></p><p><span>He also said he </span><span>was "appreciative" of anyone willing to expose what he perceives as corruption within the national Democratic and Republican parties, </span>which he called "criminal" organizations.</p><h2>'If supporters of CalExit love what Assange is saying, I can't control that'</h2><p><span>The group's current president, meanwhile, said he is "not a super big fan of Julian Assange."</span></p><p><span>"I will never coordinate with Assange on CalExit - ever," Marcus Ruiz Evans said in an interview on Monday. But he said he's "cool with anybody who's not a racist saying that members of a democracy should have the right to discuss and vote on issues" that affect them.</span></p><div>He added that he <span>can't control who Assange tries to appeal to, and whether he succeeds. </span></div><p><span>"There are four separate CalExit groups," Evans said. "I'm part of the oldest and largest one, as is Louis [Marinelli]. The other three don't have Louis on their team and kind of reject him. But because the movement is an idea, no one really has control.
