Mumbai, Billionaire Sajjan Jindal-led <keyword id="19971670" type="General" weightage="20" keywordseo="jsw-steel" source="keywords">JSW Steel</keyword> on Thursday reported a close to five-fold rise in its net profit for the October-December quarter of the current financial year, driven by robust domestic demand. The consolidated net profit of the company surged to Rs 2,415 crore for the third quarter, from Rs 490 crore in the same quarter of the previous fiscal. The steel maker's revenue from operations went up 7.2 per cent to Rs 41,940 crore. The company's EBIDTA (earnings before interest, depreciation, tax and amortisation) shot up by 57.9 per cent to Rs 7,180 crore. On Wednesday, <keyword id="19950204" type="General" weightage="20" keywordseo="tata-steel" source="keywords">Tata Steel</keyword> had reported that it has swung back into profit on the back of a strong domestic performance, which offset the losses of the company's business operations in <keyword id="19897269" type="General" weightage="20" keywordseo="europe" source="keywords">Europe</keyword>. The demand for steel in <keyword id="19895063" type="General" weightage="20" keywordseo="india" source="keywords">India</keyword> has picked up at a robust pace, as the government has been making massive investments in large infrastructure projects to spur economic growth. These projects in the highway, port and railway segments have generated a strong demand for steel and cement, which is having a multiplier effect on growth. There has also been an uptick in the housing sector which has further strengthened the demand for steel.

New Delhi, Feb 17 () The National Company Law Appellate Tribunal (NCLAT) on Monday gave JSW Steel Ltd immunity from all criminal investigations after its takeover of Bhushan Power &amp; Steel Ltd, whose assets were sought to be attached by the Enforcement Directorate (ED) over alleged bungling by former management. A two-member NCLAT bench headed by Justice S J Mukhopadhaya also declared attachment of assets of insolvent Bhushan Power &amp; Steel Ltd (BPSL) by the ED as "illegal and without jurisdiction". Billionaire Sajjan Jindal-led JSW Steel had moved the appellate tribunal seeking to extinguish all present and future liabilities on account of criminal investigations against Bhushan Power &amp; Steel, contending that an absence of any such protection would jeopardise the feasibility and viability of its resolution plan. JSW Steel had made the highest bid of Rs 19,700 crore for the takeover of BPSL. While the government had in December amended the insolvency law to ring-fence a corporate debtor, after its takeover in a bankruptcy auction, from criminal proceedings arising from offences committed by the previous management, the ED argued that immunity is not retrospective in nature and does not cover companies whose resolution plan was approved prior to the law. The bench rejected ED's contention that recent amendments in the Insolvency &amp; Bankruptcy Code (IBC) by the government by inserting section 32A would not apply to JSW retrospectively and said that the ordinance was clarificatory in nature and it was "ex facie evident" that it must be made "applicable retrospectively". The government had in December amended the IBC and inserted Section 32A, which mandates that once management or control of a debt-ridden company changes after the completion of the corporate insolvency resolution process (CIRP), it would not be liable for any offences committed prior to the commencement of the insolvency resolution process. The ED had contended that the new law came into force on December 28, 2019, and it had attached the property of BPSL on October 10, 2019, which was earlier. "We hold that the assets of the corporate debtor (BSPL) of which JSW Steel Ltd is a 'Successful Resolution Applicant' is immune from attachment by the Directorate of Enforcement," said the NCLAT. The government had unequivocally stated that after the completion of CIRP, there cannot be any threat of criminal proceedings against the Corporate Debtor, or attachment or confiscation of its assets by any investigating agency, after approval of the 'Resolution Plan', the NCLAT observed. "Accordingly, it is clear that subsequent promulgation of the Ordinance is merely a clarification in this respect. Therefore, it is ex facie evident that the Ordinance being clarificatory in nature, must be made applicable retrospectively," said the NCLAT. The NCLAT order came over a batch of petition filed against the order passed the Principal Bench of the National Company Law Tribunal (NCLT) on September 5, 2019 approving billionaire Sajjan Jindal-led JSW Steel for a Rs 19,700-crore takeover of BPSL. However, the NCLT had not granted it certain reliefs to JSW related to proceedings against the erstwhile management of BPSL and it was challenged before the NCLAT. Besides, Sanjay Singha former promoter group and some creditors along with the state of Odisha had also approached the appellate tribunal. Allowing, JSW's plea, the NCLAT vacated its stay over the acquisition of BPSL by JSW Steel and upheld the order passed by NCLT with modifications as suggested by it. "The impugned Judgment dated September 5, 2019 passed by the NCLT approving the plan submitted by JSW Steel is approved with aforesaid modification/ clarification as made above. The order of stay of implementation of the plan stands vacated," said the NCLAT while allowing the appeal filed by JSW Steel. Moreover, over the profits earned by BPSL during the insolvency (CIRP EBITDA), the NCLAT said that it should be given to JSW Steel. "We hold that the distribution on the profit made during the 'Corporate Insolvency Resolution Process' should be made in terms of an addendum to the RFP," it added. It also rejected ED submissions that JSW steel is a connected party with the erstwhile Promoter of BPSL as they are shareholders holding 24.09 and 49 per cent equity respectively in a Joint venture company namely Rohne Coal Company and hence "The Directorate of Enforcement (ED) has not been empowered under IBC to decide the question," said the NCLAT adding that JSW Steel has already shared this information in its resolution plan. "Even if the stand taken by the ED is accepted that JSW Steel is a related party of BPSL, the ED cannot decide whether JSW Steel is ineligible under Section 29A or Section 32A (1) (a) which can be determined by the 'Committee of Creditors'/ Adjudicating Authority," it added. The NCLAT also rejected the plea by Sanjay Singhal, which has contended that JSW steel was barred from section 29A and is ineligible to file any resolution plan as it is an associate company, a JV partner and a related party of BPSL. Rejecting it, the NCLAT said, "We find no merit in this appeal. The appeal preferred by Sanjay Singal is dismissed." In its 103-page-long judgment, the NCLAT observed that section 238 of the IBC mandates that insolvency has an overriding effect over anything inconsistent there within any other law. The NCLAT said the ED "failed to show that the Appellant (JSW Steel) does not meet the criteria under Section 32A (1) (b) of the I&amp;B Code". The tribunal also observed that other investigative agencies as the Central Bureau of Investigation and Serious Fraud Investigation Office has not alleged any act of money laundering or other acts against JSW Steel or its management. Bhushan Steel and Power Ltd was dragged to insolvency by lenders led by PNB after the company failed to pay loans within the stipulated time-frame. It had 47,158 crore of admitted claims. BPSL was in the first list of 12 companies by the RBI, against whom the banking regulator had directed banks to file insolvency in the NCLT. It was auctioned to recover Rs 47,158 overdue loans. Bhushan Power & Steel takover: NCLAT gives JSW Steel immunity from criminal investigations

Mumbai, Apr 25 () At least 328 entities across sectors, including state-owned and those backed by big conglomerates, have opted for availing the Reserve Bank's three-month moratorium on their debt repayments, rating agency Icra said on Saturday.The list of entities, rated by it, include Air India Express, ONGC Petro Additions, entities from Tata Group, JSW Group and GMR Group.On March 27, the RBI had given borrowers a three-month moratorium on debt repayments for the March-May period due to the COVID-19 pandemic. This is a voluntary measure and interest keeps accruing on the loan during the period of moratorium, and experts have opined that such a move would generally elongate the loan repayment period.Icra said it is disclosing the names of the entities as per a mandate received from Sebi, and made it clear that missed payment by these entities even in the case of pending formal approval from the lending institutions prior to the original due date, is not considered an instance of default.Air India Express having a debt of Rs 1,301 crore, and ONGC Petro Additions - which had debt of Rs 33,180 crore and USD 155 million in foreign borrowings, have opted for the moratorium on its loans, the agency said.Interglobe Hotels, with debt of Rs 811 crore, and having its outlook on rating revised to negative earlier this month due to worries on the hospitality sectors, has also opted for the moratorium, it said, adding that other hospitality sector companies, including Lemon Tree Hotels, and Barbeque Nation Hospitality have also sought relief.Among the financiers, city-based Centrum Financial Services, Creditaccess Grameen, Indostar Capital Finance, Madhura Micro Finance and Spandana Sphoorty Financial have opted for delays in their repayment of their debt commitments - like on commercial paper borrowings, even as banks are yet to arrive on whether to accord the relief to the NBFCs.Entities in the GMR Group, including GMR Ambala Chandigarh Expressways (Rs 240 crore debt) and GMR Hyderabad Aviation SEZ (Rs 58 crore) have opted for the moratorium provided by the RBI, it said.Similarly, three entities in the Sajjan Jindal-led JSW Group also seem to have opted for the moratorium, including JSW Steel (Rs 71,952 crore debt), the unlisted JSW Paints (Rs 160 crore), the agency said.Tata Group entities, including Tata Power (Rs 7,231 crore debt), Taj GVK Hotels and Resorts (Rs 195 crore), and Tata Power Renewable Energy, have opted for the relaxations, it said.Billionaire Ajay Piramal-led companies, including the flagship Piramal Enterprises and Piramal Capital and Housing Finance (nearly Rs 30,000 crore debt) have also opted for the relaxation offered by the central bank, as per the data disclosed by Icra.Kalyan Jewellers having an outstanding debt of Rs 3,555 crore as of September 2019, and private sector milk operator Parag Milk Foods, which had a debt of Rs 390 crore, have decided for opting for the leeway on debt repayments, the agency said. (Eds: ADDS DETAILS) New Delhi, Feb 17 () Billionaire Sajjan Jindal-led JSW Energy on Monday said it will buy GMR Energy Ltd's 1,050 MW thermal power plant in Odisha for Rs 5,321 crore. JSW Energy signed a share purchase agreement to acquire 100 per cent of GMR Kamalanga Energy Ltd, which owns and operates a 1,050 MW (3x350 MW) thermal power plant in Odisha, for Rs 5,321 crore (subject to working capital and other adjustments), the company said in a statement. "Post-acquisition, the total installed power generation capacity of the company will increase to 5,609 MW," it said. The buyout will expand JSW Energy's presence in the eastern region of the country and further diversify its fuel mix and offtake arrangements. The transaction is subject to customary regulatory and other approvals for its completion. Of the Rs 5,321-crore enterprise value of GKEL, JSW Energy will pay promoters Rs 755 crore in upfront cash and another Rs 615 crore on achieving different milestones. The balance Rs 3,951 crore is on account of GKEL debt that JSW Energy is taking over. GMR Kamalanga Energy Ltd (GKEL), a subsidiary of GMR Energy, owns and operates 3 units of 350 MW at Dhenkanal in Odisha. JSW Energy, as part of its strategy for expansion and consolidation in the power sector, has been scouting for strategic assets. "Consequent to the acquisition, GKEL will be a 100 per cent subsidiary of JSW Energy," it said. The deal is subject to the approval of the Competition Commission of India (CCI) and GKEL lenders. Also, Haryana, which buys power from Kamalanga, also has to approve of the power purchase agreement. GKEL had a revenue of Rs 2,195 crore in FY2019. It sells 263 MW of electricity generated to Odisha for Rs 3.11 per unit and another 283 MW to Bihar at Rs 3.39 a unit. To Haryana, it sells 334 MW at Rs 2.89 per unit. Explaining the rationale for the acquisition, JSW Energy said GKEL was an optimal fit with the company's strategic framework of acquiring assets with low power generation cost, thus minimising receivable risk. Besides, helping the company to expand its portfolio and diversify its fuel mix, geographical spread, and off-take arrangements, GKEL has been operating a power plant with 5 years of satisfactory operational history, it said. Also, substantial offtake security with about 84 per cent capacity tied-up under long-term PPA with 3 states. GKEL had adequate fuel security of 3.64 million tonnes per annum of coal that was sufficient to meet the generation requirement for the entire power purchase agreement. Strategic location in the coal-rich belt of Talcher ensures low variable cost, it said the acquisition would increase EBITDA. New Delhi, Mar 30 () Reliance Industries' chief Mukesh Ambani on Monday committed a further Rs 500 crore to the Prime Minister's COVID-19 fund, topping up over the multi-crore initiative of India's first coronavirus hospital, meals to the needy, and fuel to emergency vehicles.In addition to the financial contribution to the PM's Fund, Reliance Industries has also provided contribution of Rs 5 crore each to the governments of Maharashtra and Gujarat to support their fight against COVID-19, according to a company statement."Reliance Industries Ltd (RIL) today announced a donation of Rs 500 crore to PM CARES Fund in response to the call by the Prime Minister to support the nation's fight against the coronavirus onslaught," RIL statement said.RIL continues its round-the-clock, multi-pronged, on-the-ground effort to do its bit to ensure the nation remains prepared, fed, supplied, safe, connected and motivated to fight and win against the unprecedented challenges brought upon by the coronavirus pandemic, the statement added.The company said it has already deployed the strengths of the Reliance Family on this action plan against coronavirus, and that RIL and its team have stepped up across cities and villages and pressed additional capabilities into the service of the nation."We are confident that India will conquer the coronavirus crisis sooner rather than later. Reliance Industries announces Rs 500 crore contribution to PM CARES Fund

Some of the big companies in India are keen on buying a team in the Indian Premier League (<keyword id="6354312" type="CITY" weightage="80" keywordseo="IPL">IPL</keyword>) after the <keyword id="6354977" type="ORGANIZATION" weightage="80" keywordseo="Supreme-Court">Supreme Court</keyword> banned Chennai Super Kings (CSK) and <keyword id="13802" type="CITY" weightage="80" keywordseo="Rajasthan-Royals">Rajasthan Royals</keyword> (RR) on Tuesday from participating in the game. 

	This move provides room for the induction of two more teams in the next edition of IPL, reported ToI.
 

	The IPL is the richest of the world's Twenty20 cricket leagues.

	Moreover, the valuations of the IPL teams have come down considerably due to a series of corruption. According to experts, the new teams are likely to be bought for less than $100 million.
 Venugopal Dhoot, one of the key sponsors of Mukesh Ambani-owned <keyword id="13880" type="COMPANY" weightage="80" keywordseo="Mumbai-Indians">Mumbai Indians</keyword>, is also keen on buying a team. "We will definitely look at bidding for an IPL franchise as and when BCCI calls for bid. We spend crores in branding exercise and owning an IPL team would be a great idea," he said. 

	The Board of Control for Cricket in India (BCCI) might want to revive the Pune and Kochi teams. However, launching a new team for Ahmedabad may not be ruled out, according to sources. 
 

	In that case Gautam Adani may be a key contender to buy the Ahmedabad team as the billionaire businessman had once dreamt of owning an IPL team for his home state. 
 "The idea of having an Ahmedabad team would be great as it would draw lots of interest from corporates for being the home state of Prime Minister <keyword id="6354477" type="PERSON" weightage="100" keywordseo="Narendra-Modi">Narendra Modi</keyword>," said an industry leader. 

	Sajjan Jindal is another top contender to own an IPL team. "Cricket is the number one sport in our country so there is an idea to acquire a team... an IPL team. But, I cannot comment which team would it be," Jindal, JSW group chairman said earlier this month.
 He did not confirm or deny if he wanted to buy <keyword id="12643" type="ORGANIZATION" weightage="80" keywordseo="Royal-Challengers">Royal Challengers</keyword> Bangalore (RCB), owned by liquor baron <keyword id="14678" type="PERSON" weightage="80" keywordseo="Vijay-Mallya">Vijay Mallya</keyword>. 

	JSW Sports, a JSW Group owned firm, is the owner of Bengaluru FC, one of the I-league teams led by Indian football team's captain Sunil Chhetri.
