New Delhi, Apr 30 () Markets regulator Sebi has penalised two persons after finding them guilty of releasing unpublished price sensitive information related to financial results of Ambuja Cements through WhatsApp messages prior to official announcement by the company.In an order, the regulator levied a fine of Rs 15 lakh each on Neeraj Kumar Agarwal and Shruti Vishal Vora.Earlier, the regulator penalised them for releasing unpublished price sensitive information (UPSI) related to financial results of Bajaj Auto through WhatsApp messages.Some news reports had referred to the circulation of UPSI in various private WhatsApp groups about certain companies ahead of their official announcements to the respective stock exchanges.Against this backdrop, Sebi initiated a preliminary examination in the matter during which search and seizure operation for 26 entities of WhatsApp group were conducted and about 190 devices, records, among others, were seized.WhatsApp chats extracted from the seized devices were examined further and while scrutinizing the chats, it was found that earnings data and other financial information of around 12 companies were leaked in WhatsApp messages.Ambuja Cements was one of the firms whose quarterly financial results for the third quarter of 2016-17 closely matched with the messages circulated in WhatsApp chats.Accordingly, the regulator carried out an investigation in the matter of circulation of UPSI through WhatsApp messages with respect to Ambuja Cements to ascertain any possible violation of the PIT (Prohibition of Insider Trading) Regulations during the period January1, 2017 and February 20, 2017.Sebi probe found that Agarwal communicated the UPSI related to Ambuja Cements pertaining to revenue and profit after tax (PAT) for the quarter ended December 2016, to Vora through WhatsApp messages. Vora, further, forwarded these messages to two other persons.It was observed that the financial figures of Ambuja Cements pertaining to revenue and and PAT circulated through WhatsApp closely matched with those disclosed subsequently by Ambuja Cement on stock exchanges.Hence, the message related to Ambuja Cements would fall under UPSI and such circulation of financial figures through WhatsApp has been considered as communication of unpublished price sensitive information (UPSI)."The noticees (Agarwal and Vora) being insiders had communicated the UPSI relating to Ambuja Cements Ltd, to other person(s) through WhatsApp messages, which is in violation of the provisions of ...PIT Regulations, 2015, for which the noticees are liable for monetary penalty," Sebi said in an order passed on Wednesday.As per the PIT norms, any person who is in possession of UPSI is regarded as an insider. <keyword id="105382" type="COMPANY" weightage="100" keywordseo="Ambuja-Cements">Ambuja Cements</keyword> has received Rs 20 crore from <keyword id="6356830" type="CITY" weightage="100" keywordseo="Nestle-India">Nestle India</keyword> to burn packets of Maggi noodles. 
 
The two-minute noodles were found harmful after excess lead and MSG was found in the packets. Nestle India has withdrawn all Maggi packets from the market. 
 
A Nestle India spokesperson told news agency PTI that Gujarat Ambuja Cements was helping them to destroy the Maggi noodles being withdrawn by us from the market. 
 
“In addition to the value of stocks being destroyed there will be additional costs to take into account, for example bringing back stock from the market, transporting the stock to the destruction points and destruction cost etc,” the spokesperson told the news agency. 
 
Nestle India recently had informed that Maggi noodles worth Rs 320 crore will be destroyed as it was banned by FSSAI.

Nestle is paying Ambuja Cements Rs 20cr to destroy thousands of Maggi packs

New Delhi, Jul 10 () Ambuja Cement is "optimistic about its future" despite disruptions caused due to the coronavirus pandemic, a senior company official said on Friday. Terming the impact of COVID-19 on its business as "temporary", Ambuja Cements Director Martin Kriegner said the company, which is part of the LafargeHolcim group, is positive about its growth. Several recent initiatives announced by the government for infrastructure and rural sectors are expected to boost the demand from those quarters, he added. "The company is optimistic about its future despite the COVID-19 situation. The recent initiatives by the government will help resurgence of rural demand and infrastructure projects, including affordable housing," said a company statement quoting Kriegner. He was addressing shareholders at the company's annual general meeting (AGM) through video-conferencing. Ambuja Cements also got shareholders' approval for the appointment of Neeraj Akhoury as its managing director and chief executive officer, it said. The company's greenfield expansion project at Marwar Mundwa in Rajasthan is progressing as per schedule and expected to commence operations by next year, it added "This project will add about three million tonne of clinker to produce 4.5 million tonnes more of cement," it said. Highlighting Ambuja Cement's performance in 2019, Kriegner said the company's net sales increased 3.4 per cent to Rs 11,353 crore. "Currently, all Ambuja Cement plants and grinding units are operating while continuing to maintain strict health and safety protocols," the statement said. Ambuja Cement is a debt-free company and has sufficient cash reserves to meet its financial obligations, with a comfortable liquidity position, it added. It has a cement capacity of 29.65 million tonnes per annum with five integrated cement manufacturing plants and eight cement grinding units across the country. KRH HRS

Optimistic about future despite COVID-19 situation: Ambuja Cement

<keyword id="183823" type="General" weightage="50" keywordseo="ambuja-cements-ltd" source="Orion">Ambuja Cements Ltd</keyword>, a part of Adani Cement on Thursday said it has been declared as the 'preferred bidder' for the <keyword id="16547676" type="General" weightage="100" keywordseo="uskalvagu" source="Orion">Uskalvagu</keyword> limestone block in <keyword id="6357961" type="General" weightage="80" keywordseo="odisha" source="Orion">Odisha</keyword>. An e-auction was conducted by the Odisha government for the block, situated in Malkangiri district, <keyword id="105382" type="General" weightage="80" keywordseo="ambuja-cements" source="Orion">Ambuja Cements</keyword> said in regulatory filings. The <keyword id="6367820" type="General" weightage="50" keywordseo="adani-group" source="Orion">Adani Group</keyword> firm has not disclosed the bid amount for the block but said it is spread over an area of 547 hectares with an estimated limestone resource of about 141 million tonnes. "The company shall get the statutory licences and permits related to mining operations to be declared a 'successful bidder' and subsequently enter into a 'Mine Development and Production Agreement (MDPA)' with Government of Odisha to commence the mining operation," it said. Preferred bidders are those who are selected by the vendor with the intention to sell the business or award a contract, subject to the completion of terms and conditions. Ambuja Cements with its subsidiary ACC Ltd has a capacity of 67.5 million tonnes with 14 integrated cement manufacturing plants and 16 cement grinding units across the country.
