The company reported a loss of ₹18 crore in the first five months of the financial year April to August, 2021. And all these ATMs needed to be recaliberated so that was also a massive job. So first no cash then cash available but cannot be used. Then we have a first pandemic with massive lockdown but ATM being an essential service, our team in the field has done a remarkable job,” added Goyal. The company earns 75% of its revenue from the payment solutions segment and only 15% from digital initiatives. While the entire ₹680 IPO is an offer for sale by existing promoters and shareholders, the company’s chairman is selling shares worth ₹677 crore. Out of the ₹677 crore IPO proceeds of Goyal ₹650 crore will be used to pay half of the company’s debt. Currently, the company’s debt is at ₹1,100 crore debt after the 650 IPO proceeds, it will halved to ₹550 crore Goyal indirectly owns 97.61% of AGS Transact with 55% through direct equity ownership and 42% through Vineha Enterprises, which is also a firm held by him and his wife. While Goyal is selling shares worth ₹677 crore, among others VC Gupte, Shailesh Shetty, Rakesh Kumar, Nikhil Patiyat and Rajesh Harshedrai Shah will sell the remaining ₹2.42 crore worth of shares. Further, analysts recommend avoiding the IPO because of increasing digital payments in the country that could have an adverse effect on AGS Transact’s business. “The company is one of India's leading Omni-channel payment solution providers with a strong network. However, the government's focus on digital payments will further decrease the use and availability of cash can have an adverse effect on business activities,” said analysts at Swastika Invest while recommending a ‘avoid’ rating to the IPO. “AGS has high client concentration with top three customers accounting for 33.6% of revenues and has reported a loss for the first five months of FY22. Given premium valuations, high client concentration and losses in the first five months we have a neutral recommendation on the IPO,” said Jyoti Roy, DVP - equity strategist at Angel One. With only one month to go, the deal-making activity is unlikely to reach 2022 levels for the full year, let alone surpass it, as per <keyword id="131240" type="General" weightage="20" keywordseo="grant-thornton" source="Orion">Grant Thornton</keyword>. The calendar year so far has seen 1,321 deals amounting to $45.9 billion. That’s 62% lower in value, and 29% lower in volume as compared to the same period last year. “The prevailing economic factors, including rising inflation, soaring gold prices, and escalating interest rates, suggest a challenging environment. The strength of the dollar and more stringent global financial conditions pose additional threats affecting capital flows and investor risk sentiments,” says Shanthi Vijetha, partner at Grant Thornton Bharat. November makes its mark with big deals In November 2023, 132 deals were sealed, amounting to $6.5 billion. This is the second best month of the year, after August. Thanks to big ticket deals, November’s deal value went up 143% on a month-on-month basis, even as volumes fell 21% from October. “This month set a record for the highest mergers and acquisition values in 2023, reaching a remarkable four-billion-dollar mark in a single month,” said Vijetha. The biggest deal of the month is Siemens AG increasing its stake in Siemens to 69% for $2.28 billion. This transaction alone was responsible for 35% of the month’s overall values. The other top deals include transactions in the financial sector – like AU Small Finance Bank’s acquisition of Fincare Small Finance Bank for $529 million. Zurich Insurance also acquired a controlling stake in Kotak General Insurance for $494 million. The inbound space drove the values with a 63% contribution while continuing the trend. Domestic deals dominated in terms of deal volumes with a 78% contribution. While there was a 28% decline in PE volumes compared to October 2023, the values stood unchanged – indicating that big deals are back. The average deal size for November 2023 reached $26 million, marking an increase compared to the preceding months. Three of the top five PE deals were above $200 million – including Blackstone acquiring a stake in Quality Care, undisclosed investors buying a stake in PhamEasy and Alta Capital’s acquisition of Capella Eduinfra. Prior to this, the company had made several attempts to go public. In 2015, it filed draft papers to raise ₹1,350 crore and then in 2018, it filed to raise ₹1,000 crore through an IPO. Reports say it had received the regulator’s nod, but did not go ahead with the plan. The company offers cash and digital payment solutions and automation technology. It provides customised products and services comprising ATM outsourcing and cash management, as well as online payment systems including payment provider for merchants, transaction processing services and mobile wallets. According to the DRHP, as of March 2021, it is the second largest company in India in terms of revenue from ATM managed services under the outsourcing model, and revenue from cash management and number of ATMs replenished. During the same period, it deployed more than 2.07 lakh payment terminals and was one of the largest deployers of POS (point of sale) terminals at petroleum outlets in India, having rolled out integrated payment solutions (IPS) at more than 16,000 petroleum outlets with 28,986 terminals in India. It serves industries such as banking, retail, petroleum, toll and transit, cash management and fintech in India and other select countries in Asia. Millions of retail investors wanted a part of the boom in Asia’s best performing stock market, and a lot of IPOs benefited from the frenzy. That kind of unbridled enthusiasm is unlikely in 2022, according to Ajay Saraf, head of investment banking and institutional equities at ICICI Securities in an interview to Business Insider. Saraf is not alone. Srinivas Rao Ravuri, chief investment officer at PGIM India Mutual Fund also <a href="https://www.moneycontrol.com/news/business/markets/daily-voice-2022-would-be-a-challenging-year-for-investors-and-companies-planning-ipos-says-srinivas-rao-ravuri-of-pgim-india-mf-7856261.html">reportedly</a> believes that 2022 would be a challenging year for investors and companies planning IPOs. But that’s not entirely a bad thing. If the cautious mood makes good companies, who need to raise money, tone down the pricing it may leave more profit on the table for small investors. There were 63 initial public offerings (IPO) in 2021 and they raised a cumulative <a href="https://www.businessinsider.in/stock-market/news/list-of-upcoming-ipo-in-year-2022-in-india-ags-transact-adani-wilmar-prudent-corporate-advisory/slidelist/88492728.cms">₹1.18 lakh crore from investors</a> [hyperlink]. global interest rates, tapering, central bank prioritising inflation over growth and increasing interest rate earlier than expected, which might make the market volatile and IPOs may not be as smooth and great as 2021,” said Saraf. If the market mood is uncertain, then the companies planning IPOs are likely to be less confident in seeking high valuations. Startups like <keyword id="143842" type="General" weightage="20" keywordseo="mobikwik" source="Orion">Mobikwik</keyword> are already waiting patiently before they launch the IPO to get the best price. Founder Upasana Taku told Business Insider that she is <a href="https://www.businessinsider.in/business/startups/news/mobikwik-founder-says-they-are-not-selling-any-shares-in-the-ipo/articleshow/88392998.cms">waiting for the market conditions to improve</a> even though she has the SEBI approval to launch the IPO. Legendary investor Warren Buffet has said in the past that he has never invested in an IPO. “The idea of saying the best place in the world where I can put money is something where all the selling, and their commissions are higher, the animal spirits are rising, that’s going to be better than a thousand other things I can where there is no similar selling enthusiasm, and the desire to get the deal done and earn some commissions. That’s the best thing to buy in a single day?,” Buffett <a href="https://www.cnbc.com/video/2019/05/06/warren-buffett-on-why-hes-never-bought-an-ipo.html">asked in an interview</a> in May 2019. In 2022, the animal spirits will be lower i.e. the emotional trigger for investments will be contained and therefore the valuations may be cheaper. “Valuation will become a bit more in favour of investors and that is the trend which we will see (next year),” said Saraf. If the IPOs are priced cheaper, it is likely that the headroom for profit is higher for investors, particularly for those who invest for the longer term. While this is general wisdom, it may so happen that the excitement may be lesser for some companies and higher for others. “Consumer tech and BFSI will lead the overall IPOs in terms of sector concentration in 2022,” said Saraf.
