Zee Entertainment Enterprises Limited launches Marathi Music Channel Zee Vajwa

New Delhi, Nov 25 () Media mogul Subhash Chandra has resigned as chairman of his flagship company Zee Entertainment Enterprises Ltd (ZEEL), with immediate effect.
 While accepting his resignation, the board said this is in line with the Sebi Listing Regulations that prohibit chairperson of the board from being related to the managing director or the chief executive officer of the company, ZEEL said in a regulatory filing on Monday.
 The firm also said its board has been reconstituted and three new independent directors R Gopalan, Surendra Singh and Aparajita Jain have been appointed in lieu of two independent and one nominee directors of Essel Group, promoter of Zee Entertainment.
 The reconstituted board consists of six independent directors and two members from the Essel Group.
 "The reconstitution of the board was to strengthen and induct independent members with varied experiences to build value and provide a strong signal to the existing and new institutional investors who have recently reposed their faith in the intrinsic value of the company, by investing Rs 4,770 crore," ZEEL said in a regulatory filing.
 In September, the group had sold 11 per cent stake in ZEEL to Invesco-Oppenheimer fund for over Rs 4,224 crore and then retired debt worth Rs 4,000 crore.
 Atlanta-based Invesco already held 7.74 per cent stake in ZEEL since 2002.
 Chandra will remain the company's non-executive director, which he founded in 1992, it added.
 "The board accepted his resignation and noted that this is in line with the requirements of Regulation 17(IB) of SEBI Listing Regulations, which inter alia mandates that the chairperson of the board shall not be related to the managing director or the chief executive officer of the company," the firm said.
 His resignation comes at a time when debt-ridden Essel Group is looking to further divest promoters' stake in the company to repay the debts.
 Promoter and promoter group shareholding in the company went down to 22.37 per cent in the quarter ended September 30, from 35.79 per cent in the quarter ended June 30.
 The Subhash Chandra-led cash-starved Essel Group on November 20 said it is planning to sell 16.5 per cent stake in its flagship ZEEL to financial creditors to meet its loan repayment obligations.
 In a related development, ZEEL's board also accepted the resignation of two independent directors Neharika Vohra and Sunil Sharma, with effect from November 24 as part of the process.
 It has also accepted the resignation of its company secretary M Lakshminarayanan and appointed Ashish Agarwal.
 "In view of changes in the promoter shareholding in the company and reconstitution of the board (being intimated separately), M Lakshminarayanan, has resigned as chief compliance officer and company secretary and the key managerial personnel of the company, with effect from the close of business on November 25, 2019," it said.
 Gopalan, 67, is a former bureaucrat and the country's former finance secretary. While Surendra Singh, 63, is a retired police officer and Aparajita Jain, 39, is a contemporary art professional.
 "The board also intends to onboard members who would bring additional skill sets including digital transformation," said ZEEL adding the reconstituted board "conducted their first meeting today, which was chaired by Gopalan".

Punit Goenka writes an open letter to shareholders, charts a strategic roadmap for ZEE 4.0

New Delhi, Jan 21 () Media and entertainment firm Zee Entertainment Enterprises on Tuesday reported a 38 per cent fall in its consolidated net profit for October-December quarter at Rs 348.60 crore, mainly on account of decline in advertising revenue.
 The company had posted a net profit of Rs 562.76 crore in the same period a year-ago, Zee Entertainment Enterprises Ltd (ZEEL) said in a filing to the BSE.
 Its total income stood at Rs 2,119.60 crore during December quarter as against Rs 2,252.75 crore in the corresponding quarter last year. 
 "Third quarter is normally a strong growth period for us, however, the tough macro-economic environment led to a decline in our ad revenues," ZEEL MD and CEO Punit Goenka said.
 Most of our advertisers are going through a slow growth period and that has led to a cut in advertising spends, he added.
 "I believe that the worst phase is behind us and we will start seeing an improvement from the next quarter," Goenka said.
 Despite the slowdown, the company continues to make investments in businesses where it sees potential for growth, he added.
 ZEEL's advertisement revenue during the third quarter declined to Rs 1,230.82 crore from Rs 1,426.57 crore a year ago, the company said.
 Shares of Zee Entertainment Enterprises on Tuesday closed 4.86 per cent higher at Rs 283.95 per scrip on the BSE. AKT RVK

Zee Group in crisis shuts DNA newspaper's Delhi edition

New Delhi, Apr 7 () Media and entertainment firm ZEE Entertainment Enterprises Ltd on Tuesday committed to offer financial relief from the coronavirus pandemic to over 5,000 daily wage earners who are working directly or indirectly for the company in its overall production ecosystem.Gauging the unprecedented impact caused to all daily wage earners due to the lockdown, ZEE has taken this step ensuring that the families of daily wage earners do not get impacted during the ongoing challenging phase, ZEE Entertainment Enterprises Ltd (ZEEL) said in a statement.The company also said it is seeking voluntary contributions from its 3,500 employees towards PMCARES Fund through an intranet portal and it will match the corpus collected from the employee contribution and the collective amount will be donated to PMCARES Fund.Commenting on the initiative, ZEEL Managing Director and CEO Punit Goenka said: "We stand committed to financially support all the daily wage earners working in our production ecosystem."The company said in order to keep viewers informed and sensitized about safety and precautionary measures, it had implemented an initiative titled as #BreakTheCoronaOutbreak under which content across over 40 channels was paused for a 30 second break throughout the day, encouraging viewers to wash their hands.In line with the decision undertaken by Indian Broadcasting Foundation (IBF), television channel Zee Anmol was also made available free of cost to all viewers across all DTH platforms and cable TV networks for a period of two months, it said. ZEEL’s ad revenue sees an uptick by 20.1% in Q2FY22; PAT rises 187.3% to Rs 270.2 crore

New Delhi, Dec 22 () Zee Entertainment on Sunday clarified that all its television channels in Tamil Nadu are fully operational across leading cable and DTH operators.
 No changes have been made in the consumer price (MRP) of the individual channels or channel packs whatsoever, Zee Entertainment Enterprises Ltd (ZEEL) said in a statement.
 "The viewers have expressed their disappointment for not being able to view their favourite ZEE Channels, despite having paid for the same. Zee Entertainment Enterprises Ltd (ZEEL) wishes to clarify that all of its television channels in Tamil Nadu are fully operational across leading cable and DTH operators, including Tamil Nadu Arasu Cable TV Corporation Ltd, SCV and V K Digital," it said.
 The channels are also available across all leading DTH operators viz. Airtel Digital TV, Tata Sky, Dish TV, d2h, and Sun Direct, it said adding there has been no change in the consumer price (MRP) of the individual channels or channel packs whatsoever.
 Zee Prime Tamil SD pack, competitively priced at Rs 10 only, is the best value pack in Tamil Nadu market, when compared to other similar bouquets available in the same market.
 ZEEL has issued all the required communications to its esteemed viewers informing and urging them to approach their respective cable operators with a request to reactivate the channels, for which they have already paid Rs 10, as part of their monthly subscription, it said.
 "This communication is purely issued in the interest of all our viewers, since ZEEL has received several complaints and requests through emails and social media platforms, wherein the consumers have mentioned that their cable operators have removed the ZEE Bouquet from their channel packs, without any communication or reason," the statement said. The settlement stems from a mutual understanding between the companies to independently pursue future growth opportunities with a renewed purpose and focus on the evolving media and entertainment landscape, signifying the definitive conclusion of all disputes, the two companies said in a joint statement. ZEE Entertainment Enterprises Ltd and Culver Max Entertainment Pvt. Ltd. (CMEPL) have arrived at a comprehensive non-cash settlement, amicably resolving all disputes related to the merger co-operation agreement and the composite scheme of arrangement, it said. Under the agreement, the companies have mutually agreed to withdraw all respective claims against each other, in the ongoing arbitration at the Singapore International Arbitration Centre (SIAC), and all related legal proceedings initiated in the National Company Law Tribunal (<keyword id="6355809" type="General" weightage="20" keywordseo="nclt" source="Orion">NCLT</keyword>) and other forums, it added. The companies will also withdraw the respective composite schemes of Arrangement from the NCLT and inform the relevant regulatory authorities. In January this year, Sony had pulled out from the proposed USD 10-billion merger with ZEE Entertainment Enterprises Ltd citing failure to meet certain "closing conditions" by the Indian firm. Zee and Sony amicably settle disputes over their failed merger, withdraw claims

New Delhi, Jan 22 () Shares of Zee Entertainment Enterprises on Wednesday shed over 4 per cent after the company reported a 38 per cent decline in net profit to Rs 348.60 crore for December 2019 quarter.
The stock slumped 4.05 per cent to trade at Rs 272.45 on the BSE.
On the NSE, the scrip lost 4.25 per cent to Rs 272.

The Group seeks to sell up to 16.5% stake in ZEEL to financial investors, in order to repay loan obligations to certain lenders of the Group for whose benefit such shares are currently encumbered (and who have consented to such share sale by the Group). Out of the aforesaid, the Group seeks to sell 2.3% stake in ZEEL to OFI Global China Fund, LLC and/or its affiliates. Pursuant to the aforementioned transactions, the post-transaction overall holdings of the Group in ZEEL will be 5%, out of which encumbered holdings of the Group will reduce to 1.1% of ZEEL. This development reaffirms the Group's positive progress on its overall asset divestment approach, undertaken to generate adequate liquidity for the repayment process. The Group is also working actively on further divestments including its media/ non-media assets and remains confident to complete the same.

Chairman Subhash Chandra has revealed that five companies ranging from the west coast of the US to Europe, India, and as far east as Japan are in talks to pick up a stake in Zee Entertainment Enterprises. The Chairman of Essel Group <a href="https://economictimes.indiatimes.com/news/company/corporate-trends/objective-is-to-repay-everyones-money-and-that-too-happily-says-essel-group-chairman-subhash-chandra/articleshow/68983331.cms" data-type="tilCustomLink" target="_blank">told the Economic Times</a> that non-binding term sheets will be ready latest by first week of May. "You might get surprised with the names," he added. Subhash Chandra, with a net worth of $2.5 billion as of March 2019 <a href="https://www.forbes.com/profile/subhash-chandra/#371a82d8be6f" data-type="tilCustomLink" target="_blank">according to Forbes</a>, was one of the country's leading industrialists before the sky came crashing down. Some wrong bets, which he was not willing to let go in good time, led to significant pile up in group debt.  The market was abuzz with rumours that one of the suitors was Sony before it pulled out. Chandra did not confirm or deny the specualtion, and instead said, "I would maintain the same stance. One really can’t say anything at this stage." Zee Entertainment, run by Chandra's sons Punit and Amit, has 76 channels reaching 1.3 billion viewers in 173 countries. Is Chandra willing to give up control of Zee, or will he sell a smaller stake? "It all depends on the respective business preferences of the shortlisted players. It is (more) complicated than it seems and we will collectively arrive at a decision which is best suited for the company and for its stakeholders," Chandra said. NOT JUST ZEE The Essel Group has interests in amusement parks, packaging, infrastructure, a cruise business under the brand Jalesh and lotteries. Stakes in almost all these businesses are on the block. "If you look at the sale of assets of our infra business, I believe it will be completed between July and September. With that ₹15o-160-billion debt of operating companies and ₹3,000 crore of corporate debt will get cleared off. So overall about Rs 200 crore of debt will easily get wiped off. Rest will be taken care of by the stake sale in Zee," Chandra said. As we all know, TV subscribers commonly use the word ‘Cablewala’ to refer to distribution partners. With this campaign, we would like to change this perception and emphasize that women partners and women employees in our partner organizations are equally instrumental in delivering entertainment to every viewer household.
