"The mandate (of the Assembly polls) was in favor of abrogation of Article 370 because we (BJP) got 26 percent votes against NC's 23 percent," Sham Lal Sharma argued, framing the election results as support for the Centre’s 2019 decision to revoke Article 370. Meanwhile, Deputy Chief Minister Surinder Choudhary defended the resolution, emphasizing the need to restore special status. In presenting the resolution, Choudhary declared, "This Assembly reaffirms the importance of the special status and constitutional guarantees, which safeguarded the identity, culture, and rights of the people of Jammu and Kashmir, and expresses concern over their unilateral removal." The resolution also called for the Government of India to initiate a dialogue with the elected representatives of Jammu and Kashmir for the restoration of special status and constitutional guarantees and to devise constitutional mechanisms to achieve these ends. "This Assembly emphasises that any process for restoration must safeguard both national unity and the legitimate aspirations of the people of Jammu and Kashmir," the document added. <keyword id="116273" type="PERSON" weightage="20" keywordseo="cyberattacks">Cyberattacks</keyword> are increasing in frequency and severity, but nearly 80 per cent of Indian organisations struggle to provide adequate education to their leaders and employees regarding <keyword id="6361948" type="UNKNOWN" weightage="20" keywordseo="cybersecurity">cybersecurity</keyword>, according to a survey released on Tuesday. Despite increasing cyberattacks, budgets on cybersecurity have remained stagnant and executive teams continue to underestimate the level of damage threats can do to organisations, revealed the survey by global cybersecurity firm Sophos. The survey identified that in <keyword id="3658" type="LOCATION" weightage="20" keywordseo="India">India</keyword>, the executives assume that their organisation will never get attacked. This was followed by the assumption that even though their organisation may be compromised, there is nothing they can do to stop it. "At a time when data breaches and sophisticated cyberattacks like ransomware are growing at an alarming rate, cybersecurity preparedness is paramount. While businesses are waking up to take note of such attacks and working to secure their organisations, it is vital for them to educate their leaders and employees about the seriousness of cyberattacks," said Sunil <keyword id="445" type="COMPANY" weightage="20" keywordseo="Sharma">Sharma</keyword>, MD - sales, at Sophos India and <keyword id="8470" type="COMPANY" weightage="20" keywordseo="SAARC">SAARC</keyword>, in a statement. "It is high time that cybersecurity is seen as adding value to the overall business and not as a cost. Business leaders should understand that their stakeholders, including customers, will trust them more if they know they are dealing with an organisation that follows best cybersecurity practices and that their data is safe," he added. The findings also showed 56 per cent of Indian organisations weren't running up-to-date cybersecurity protection at the time of the most significant attack they suffered in the past year. "Organisations need to be more vigilant, educating their employees and leaders about cyber hygiene along with having the right cybersecurity tools, people and processes in place to minimise the impact," Sharma said. Despite surge in cyber attacks, 80% companies in India struggle with cybersecurity awareness among employees and executives

State Road Transport Corporation bus services between <keyword id="68884" type="ORGANIZATION" weightage="20" keywordseo="Telangana">Telangana</keyword> and <keyword id="37102" type="COMPANY" weightage="20" keywordseo="Andhra-Pradesh">Andhra Pradesh</keyword> will resume from Monday night, after a gap of more than seven months, as the two Telugu states signed an agreement in this regard. The two neighbours finally resolved their differences on the operation of government bus services in each other's territory. Telangana State Road Transport Corporation (<keyword id="3108254" type="PERSON" weightage="20" keywordseo="TSRTC">TSRTC</keyword>) Managing Director Sunil Sharma and Andhra Pradesh State Road Transport Corporation (APSRTC) MD Krishna Babu signed the Memorandum of Understanding (MoU) in Hyderabad in the presence of Telangana's Transport Minister Puvvada Ajay Kumar. Under the MoU, TSRTC buses will operate on 1,61,258-km routes in Andhra Pradesh while APSRTC buses will cover 1,60,999 km in Telangana. Before the lockdown, APSRTC operated its buses on 2.5 lakh route km in Telangana while TSRTC used to run buses on 1.5 lakh route km in Andhra Pradesh. Ajay Kumar told reporters that though there was some delay, the two have reached an agreement. He said that during the lockdown the two states realised that they have no formal agreement on bus operations. The interstate bus services have been suspended since March 25 when the nationwide lockdown was imposed to check the spread of COVID-19. Though the two corporations resumed bus services within their respective states following relaxation of lockdown norms in May, the interstate services could not be restored due to the differences. Telangana insisted parity in bus operations but several rounds of talks between the officials of two state-owned transport bodies failed to resolve the differences. With the signing of MoU, the number of APSRTC's bus services in Telangana will come down to 638 per day from 1,009 before lockdown. TSRTC, which earlier used to operate 750 services per day, will now run 820 services. Ever since Telangana came into existence following bifurcation of Andhra Pradesh in 2014, the interstate passenger bus services were operated on the basis of ad hoc provisions under Clause 72(1) of the Andhra Pradesh Reorganisation Act 2014. Telangana felt that the arrangement was heavily loaded in favour of APSRTC due to various factors, including travel by more passengers from Andhra to Telangana, especially Hyderabad. APSRTC operates majority of its bus services to Hyderabad from Vijayawada, Guntur, Visakhapatnam, Rajahmundry, Anantapur, Kurnool and other destinations.

The discussion was taken in order to repay loan obligations to certain lenders of the Group. Earlier this year, Essel Group had also sold 11% in Zee Entertainment to Invesco Oppenheimer Developing Markets Fund for ₹4,224 crore. Subhash Chandra’s son, Punit Goenka, will continue being the CEO and MD of ZEEL.

Subhash Chandra quits as Chairman of ZEEL

New Delhi, Nov 25 () Media mogul Subhash Chandra has resigned as chairman of his flagship company Zee Entertainment Enterprises Ltd (ZEEL), with immediate effect.
 While accepting his resignation, the board said this is in line with the Sebi Listing Regulations that prohibit chairperson of the board from being related to the managing director or the chief executive officer of the company, ZEEL said in a regulatory filing on Monday.
 The firm also said its board has been reconstituted and three new independent directors R Gopalan, Surendra Singh and Aparajita Jain have been appointed in lieu of two independent and one nominee directors of Essel Group, promoter of Zee Entertainment.
 The reconstituted board consists of six independent directors and two members from the Essel Group.
 "The reconstitution of the board was to strengthen and induct independent members with varied experiences to build value and provide a strong signal to the existing and new institutional investors who have recently reposed their faith in the intrinsic value of the company, by investing Rs 4,770 crore," ZEEL said in a regulatory filing.
 In September, the group had sold 11 per cent stake in ZEEL to Invesco-Oppenheimer fund for over Rs 4,224 crore and then retired debt worth Rs 4,000 crore.
 Atlanta-based Invesco already held 7.74 per cent stake in ZEEL since 2002.
 Chandra will remain the company's non-executive director, which he founded in 1992, it added.
 "The board accepted his resignation and noted that this is in line with the requirements of Regulation 17(IB) of SEBI Listing Regulations, which inter alia mandates that the chairperson of the board shall not be related to the managing director or the chief executive officer of the company," the firm said.
 His resignation comes at a time when debt-ridden Essel Group is looking to further divest promoters' stake in the company to repay the debts.
 Promoter and promoter group shareholding in the company went down to 22.37 per cent in the quarter ended September 30, from 35.79 per cent in the quarter ended June 30.
 The Subhash Chandra-led cash-starved Essel Group on November 20 said it is planning to sell 16.5 per cent stake in its flagship ZEEL to financial creditors to meet its loan repayment obligations.
 In a related development, ZEEL's board also accepted the resignation of two independent directors Neharika Vohra and Sunil Sharma, with effect from November 24 as part of the process.
 It has also accepted the resignation of its company secretary M Lakshminarayanan and appointed Ashish Agarwal.
 "In view of changes in the promoter shareholding in the company and reconstitution of the board (being intimated separately), M Lakshminarayanan, has resigned as chief compliance officer and company secretary and the key managerial personnel of the company, with effect from the close of business on November 25, 2019," it said.
 Gopalan, 67, is a former bureaucrat and the country's former finance secretary. While Surendra Singh, 63, is a retired police officer and Aparajita Jain, 39, is a contemporary art professional.
 "The board also intends to onboard members who would bring additional skill sets including digital transformation," said ZEEL adding the reconstituted board "conducted their first meeting today, which was chaired by Gopalan".

The bill has been a point of contention since it was released as corporates would have to restructure the way they work. In spite of the many pain points, experts believe that the bill is the need of the hour.. “Our research showed that 63% of Indian businesses are concerned about being exposed to cyber threats due to employee error. The bill comes at a time when data breaches have cost Indian firms dearly and IT managers having to deal with cyberattacks coming from all directions, that too with a limited budget, outdated technology and a dearth of security expertise,” said Sunil Sharma, managing director sales, Sophos India &amp; SAARC. The bill dictates that personal data that is collected must be processed only for purposes that are clear, specific and lawful - and that makes it a powerful law. “As per the new Data Security Council of India (DSCI) report, India has been the second most cyber-attacks affected country from 2016 to 2018. With this law, we hope to see that corporates will use the personal data of citizens in a responsible, fair and reasonable manner that respects the privacy of the data principal,” said Neelesh Kripalani, Sr. VP and Head – Center of Excellence (CoE), Clover Infotech. The bill also plans to levy heavy penalties for those who violate the norms. Entities which violate sensitive data are liable for a penalty of up to ₹15 crore or 4% of the total worldwide turnover, whichever is more. If non-sensitive personal data safeguard terms are violated, then the penalty will be up to ₹5 crore or 2% of the annual turnover, whichever is more. The bill also puts the user first. “Till now we needed to accept the company’s terms and conditions, where the company used to only state about the usage of the data. But with this bill now it will be mandatory for companies to explain, how the data will be processed or used by them which will make the data handling a transparent process. With this protection bill we will have full self-control of the data,” said Prathamesh Sonsurkar - Cyber security expert &amp; Ethical Hacker. Misconfiguration is the most common reason for data breach A recent survey by Sophos, ‘Exposed: Cyberattacks on Cloud Honeypots’, revealed that cloud servers in Mumbai were subjected to 13 attempted attacks per minute, per instance. And experts say more often than not, there is a simple reason for these breaches – misconfiguration. “Cloud is as secured as you configure it to be. Clouds are secure, but organizations are often not using them securely. Misconfiguration has been the most common reason behind a cloud data breach,” said Prateek Bhajanka, Sr Principal Analyst, Gartner. He added that just having bought cloud storage will not solve all the problems but an organization should also understand how to keep it configured in a secured manner throughout its lifecycle. Secure your data on cloud Organizations have to take active measures to secure their data even after it is transferred to the cloud. These measures come in over and above the security standards offered by the <keyword id="2422175" type="PERSON" weightage="20" keywordseo="cloud-service-provider">cloud service provider</keyword>. “For example, organizations can implement different levels of security solutions for data protection based on regulatory mandates, business criticality and scenarios such as whether data is at rest or in transit,” said Neelesh Kripalani, Sr. VP and Head – Center of Excellence (CoE), Clover Infotech. Buying space on cloud servers is not enough to secure data say cyber security experts

New Delhi, Nov 27 () Two former directors of Zee Entertainment - Subodh Kumar and Neharika Vohra - who resigned from its board, had raised concerns over several issues, including Rs 2,200 crore film advance given in 2018-19, according to a regulatory filing by the firm.
They also had flagged issue of no action on large outstanding from group firms Dish TV and Siticable for content.
The company, however, said its Board of Directors have noted that all of the issues raised by the resigning directors have been duly discussed, deliberated and acted upon from time to time in the previous committee/ board meetings in which the said directors were also present.
On Monday Zee Entertainment Entrprises Ltd (ZEEL) had announced that Independent Directors Neharika Vora and Sunil Sharma along with Non-Independent Director Subodh Kumar have resigned.
ZEEL said Sharma had informed that his resignation followed the sale of shares by the promoter group and reconstitution of the board.
On the other hand, Vohra and Kumar raised many issues and cited them as reasons for their resignation from the board.
According to a BSE filing by ZEEL, the two directors flagged the issue of "film advances given in 2018-19 to the tune of Rs 2,200 crore", to which the company responded by saying the information has already been disclosed in its annual report and clarified in various investor interactions.
Kumar and Vohra also raised the matter of "a scheduled bank" appropriating "Rs 200 crore of the company's fixed deposits towards promoter loans and the management did not take legal action".
ZEEL, however, said issues pertaining to the wrongful revocation of the bank guarantee stand resolved with the company having being secured by the promoter companies and appropriate legal notices were sent to the bank at the relevant time.
The two directors also stated that no action was taken on large outstanding from Dish TV and Siticable for the content supplied by ZEEL.
The company, however, said, "the same have been secured by definitive plan and situation is being strictly monitored as instructed by the Board and also discussed in various analyst calls".
They also raised the issue of non-implementation of certain decision of the board meeting held on October 17, 2019 relating to treasury operations, to which ZEEL said it is "exploring options to withdraw these deposits in a phased manner without effecting the long term relationship with these banks".
Vohra and Kumar also alleged "laxity in spending of CSR amounts given to a related party foundation/trust" but the company said CSR funds have been allocated in compliance with law and necessary certification was obtained.
The two directors also brought up the matter of a bank writing to all directors in October 2019, that a subsidiary of the company had guaranteed the repayment of certain loan given by the bank to a related party.
ZEEL said it has a "legal opinion to state that the Company is not liable and in any event there has been no enforcement of the 'guarantee' by the bank, other than to write letters, including to all the directors".
In their reasons for resignation, Vohra and Kumar also highlighted a matter relating to a "letter received from a PMS (Portfolio Management Services) entity holding preference shares of the company raising questions regarding build up of related party balances and advances for content acquisition".
To this, ZEEL said, "Audit of the issues pertaining to related party transactions and advances is underway by auditors".
In the regulatory filing, ZEEL said the company, "while accepting the resignations and intimating the exchanges about the same, has discussed the same in detail in the board meeting held on November 25, 2019".
The issues raised by the resigning directors have been duly discussed, deliberated and acted upon from time to time and disclosed in the public domain in financial statements and investor calls which are available on the company website, ZEEL said. RKL BAL
