Looking to raise Rs 11,327.43 crore from the markets, Swiggy has set a price band of Rs 371 to Rs 390 per share. The company is targeting a valuation of $11.3 billion, around 25% down from its initial target of $15 billion. The issue comprises Rs 4,499 crore worth of fresh issue, with the remaining Rs 6,828.43 crore coming via <keyword id="19951016" type="General" weightage="20" keywordseo="OFS" source="keywords">OFS</keyword> (offer for sale), with stakeholders like <keyword id="20294899" type="General" weightage="20" keywordseo="Prosus" source="keywords" meta.keywordsubtype="org" meta.entityname="Prosus" meta.hostid="261" meta.entityid="Prosus">Prosus</keyword> offloading about 5.2% of their stakes, which could translate into proceeds worth $510 million. The offer will conclude on November 8, and listing is tentatively scheduled for November 13, 2024. Other stakeholders who will be participating in the OFS at the present valuation include <keyword id="20064356" type="General" weightage="20" keywordseo="Accel" source="keywords" meta.keywordsubtype="org" meta.entityname="Accel" meta.hostid="261" meta.entityid="Accel">Accel</keyword>, which will sell around $60 million worth of their stake. Elevation Capital and Tencent's stake sale could earn them up to $30-35 million each. Swiggy's CEO <keyword id="20304807" type="General" weightage="20" keywordseo="Sriharsha-Majety" source="keywords">Sriharsha Majety</keyword> and co-founder Nandan Reddy are also expected to offload their shares. Currently, they hold 6.23% and 1.76% stakes in the company, respectively. The sale of around 0.1% stake by each is expected to earn them about $14 million in total. Notably, the company does not have any identifiable promoters, as per SEBI ICDR Regulations and the Companies Act 2013. From funds raised via IPO, the company plans to allot Rs 1,648 million for repaying borrowings made by its subsidiary, Scootsy. The app, which operated independently of Swiggy, offered <keyword id="20299302" type="General" weightage="20" keywordseo="food-delivery" source="keywords">food delivery</keyword> services from a selected list of high-end bakeries and restaurants in the city. Notably, Swiggy had acquired Scootsy in 2018 at a reported valuation of Rs 50 crore. However, Swiggy's foray into the premium-food delivery segment did not pan out well, and the company decided to shut Scootsy in 2020. However, per the company's RHP (red herring prospectus), Swiggy is planning to reinvest and revive Scootsy for extending their dark store network and making lease/license payments for the same. About Rs 11,787 million would be utilised for expanding Swiggy's dark store network for its quick commerce wing, <keyword id="20255906" type="General" weightage="20" keywordseo="Instamart" source="keywords">Instamart</keyword>. Swiggy has also allocated Rs 11,153 million for enhancing the brand's visibility and outreach. <h2>Negative cash flows from operations</h2>The company has only incurred net losses since its inception in 2014. However, the company's annual losses as a percentage of its revenue from operations has come down in the recent years. From 63.61% in 2022 to 20.90% in 2024, the losses as part of its revenue from operations further narrowed to 18.96% for the quarter ended June 30, 2024. Moreover, Scootsy is yet to receive requisite registrations and approvals for each of the dark store it intends to set up. It does not help that Scootsy has not run into greens over the past 2-3 years. The subsidiary had incurred losses worth Rs 2,953.5 million, which have burgeoned to Rs 4,239.72 million in FY24. Swiggy also lags behind its rival Zomato in terms of monthly transacting users (MTU), along with many other key financial and operational metrics. Zomato has a wider, pan-India presence, commanding a 57% <keyword id="20038792" type="General" weightage="20" keywordseo="market-share" source="keywords">market share</keyword> in FY24. Compared to this, Swiggy's market share stood at 43% during the same period. As of FY24, Swiggy's MTUs, at 12.7 million, are about 31% lower than Zomato's MTU of 18.4 million.

The latest platform will enable Indians to start their own businesses without any additional investors, the Walmart-owned company said. “With the ability to influence their local network and fulfill their aspirations, users of Shopsy will be able to share catalogues of a wide selection of 15 crore products offered by Flipkart sellers,” the company said in a statement. The catalogue will include products across fashion, beauty, mobiles, electronics and home among others. Users can register on the Shopsy app using their phone numbers and start earning by sharing their handpicked catalogue with their network. The user will earn commissions on every order they place on the customer’s behalf. The commission percentage will vary depending on the category of products being ordered. This is not the first time Flipkart has experimented with its social commerce play. Last July, the company had started experimenting with video commerce as well, with its refurbished goods platform 2Gud. 2GudSocial (social.2Gud.com), which is no longer accessible, was live for mobile phones around the same time last year. It allowed content creators to make short videos to sell certain products ranging from fashion, retail, mobile, electronics and accessories. The launch of Shopsy has put Flipkart’s platform in a full circle, which not only allows sellers to sell online, but allows customers to promote their favourite product and earn through it. Online delivery platform <keyword id="6358977" type="General" weightage="100" keywordseo="swiggy" source="Orion">Swiggy</keyword> has sold its Cloud Kitchen business to Kitchens@, a leading player in the rapidly growing cloud kitchen industry, for an undisclosed sum, as the growth rate for food delivery slows down. The online food aggregator will become a stakeholder in Kitchens@ through the all-equity transaction of Swiggy's <keyword id="60938" type="General" weightage="80" keywordseo="access" source="Orion">Access</keyword>. Swiggy pioneered the Cloud Kitchen model with the launch of <keyword id="5980102" type="General" weightage="50" keywordseo="swiggy-access" source="Orion">Swiggy Access</keyword> in 2017. The Swiggy Access programme allows restaurant partners to establish kitchen spaces in neighbourhoods where they do not currently operate, with the goal of offering more variety and shortening delivery times for consumers. "The addition of Swiggy's Access kitchens will bolster the reach and operations of Kitchens@'s in four cities across 52 locations and more than 700 kitchens, providing customers with more convenient and efficient food delivery options," <keyword id="16683930" type="General" weightage="50" keywordseo="junaiz-kizhakkayil" source="Orion">Junaiz Kizhakkayil</keyword>, CEO of Kitchens@ said. By leveraging Swiggy's analysis of local demand and selection of high-performing partners, Kitchens@ said it can diversify food options and meet customers' needs in specific areas. "Swiggy Access was started with the aim to bridge hyperlocal gaps in restaurant supply and solve for variety, quality, and convenience of food. The current transaction enables a combined annual GMV of $65 million (Rs 520 crore) for Kitchens@. The company aims to reach $100 million in revenue within the next 6 months and has already secured Letters of Intent with over 40 national and international brands to partner with it using a Master Franchise Model. To cut costs, Swiggy in January said it was laying off 380 employees. "The growth rate for food delivery has slowed down versus our projections (along with many peer companies globally). This meant that we needed to revisit our overall indirect costs to hit our profitability goals," Sriharsha Majety, Co-founder and CEO, said in an email to employees. The company also said that it will be shutting down its meat marketplace very soon as the company was not able to achieve product-market fit despite their iterations. The online food delivery platform's losses doubled to Rs 3,629 crore in FY22 compared to Rs 1,617 crore in the last fiscal year. Swiggy sells Cloud Kitchen biz to Kitchens@ as food delivery growth slows down

<ul><li>While QSRs have been growing aggressively in the last two years, few have been concentrating on dine-in experiences.</li><li>Only McDonald’s run by <keyword id="15483921" type="General" weightage="20" keywordseo="Westlife-Foodworld" source="Orion">Westlife Foodworld</keyword> in India has gained from the trend as it focussed on omnichannel strategy.</li><li>The pizza category – where the product is designed for delivery – suffered the most as dine-ins gained popularity.</li></ul>Indians are wanting to step out for their meals, and that’s hurting quick-service restaurants (QSRs) as well as delivery apps equally. So much so that Swiggy has recently announced that it’s integrating its dine-out offerings onto its platform across 24 cities, allowing users to access discounts as they book via the app. While QSRs have been growing aggressively in the last two years – with a large number of new store openings – few of them have been concentrating on dine-in experiences. And only one chain – McDonald’s run by Westlife Foodworld in India – has gained from the trend as it focussed on the post-pandemic retail trend of an omnichannel strategy. “McDonald’s (Westlife) reported a 20% y-o-y same-store sales growth (SSSG), largely driven by higher guest count and average order value, due to its meals and omnichannel strategy,” said a report by BNP Paribas on the company’s third quarter results. A Credit Suisse report had said last month that McDonald’s offers more meals – across breakfast, coffee and chicken apart from burgers and sides. A larger menu is best suited to bring in footfalls through the day. “Westlife/McDonald’s reiterated their preference for the larger-size, longer-lease store model, which they have successfully figured out; the rest of the listed universe has pivoted to a smaller -store format,” said Credit Suisse. Pizzas: Undelivered growth The pizza category – where the product is designed for delivery – suffered the most. The franchises that run Pizza Hut – Sapphire and <keyword id="142256" type="General" weightage="20" keywordseo="Devyani-International" source="Orion">Devyani International</keyword> – saw a sequential fall in SSSG by 4% and 6%, respectively. Jubilant that runs Domino’s showed almost flat SSSG growth sequentially. “Softer demand continued in the pizza category owing to larger delivery salience, relatively higher penetration and elevated competitive intensity. Pizza Hut posted a q-o-q (quarter-on-quarter) decline in sales, while Domino’s reported flat like-for-like growth of 0.3% y-o-y,” said BNP Paribas. Like-for-like or LFL growth is a metric that indicates revenues of stores with similar characteristics, omitting outliers. KFC witnessed a decline in its ADS (average daily sales per store) both sequentially and year-on-year (y-o-y) due to weak consumer spending and incremental store additions in non-metro cities that typically have lower ADS. While 35% of sales for Domino’s comes from on-premises, for McDonald’s that percentage stands at 52%, for Pizza Hut it’s 41% and for KFC it’s 54%. Moreover, almost all QSRs have been expanding their store numbers but reducing store sizes to make them delivery friendly. So much so, even Pizza Hut, which had started off as a dine-in brand, had changed its strategy to focus on delivery in the last few years to catch up with its closest competitor Domino’s. <div type="image" title="QSR report" msid="98201473" hostid="261" sizebytes="29596"></div> Then there is the slowdown… Apart from changing preferences, Indians also seem to be re-thinking their discretionary spends – which is also eating into <keyword id="6517640" type="General" weightage="20" keywordseo="QSR" source="Orion">QSR</keyword> business. “The slowdown in discretionary consumption, especially post Diwali, has dampened the strong demand sentiment that QSR players witnessed in the past few quarters. This is attributed to rising inflationary pressures, a cut in household expenses and consumers’ down-trading behaviour,” said a report by BNP Paribas. Moreover, the growth that a majority of consumer companies have foreseen might turn out to be a mirage. “The growth rate for food delivery has slowed down versus our projections (along with many peer companies globally). Owing to the demand and margin softness, street earnings estimates have come off in the last few weeks,” said BNP Paribas. Moreover, there are other challenges dogging them too – rising wheat and cheese prices have been biting into their margins. Muted sales also give them little room for price hikes, which could further pressure sales and margins.
