Budget carrier SpiceJet on Monday said its subsidiary <keyword id="6866514" type="General" weightage="20" keywordseo="SpiceXpress" source="Orion">SpiceXpress</keyword> and Logistics will receive USD 100 million investment from a UK-based group. SpiceJet, which is facing financial headwinds and an insolvency plea by an aircraft lessor, had recently hived off SpiceXpress. Also, last week, the airline said it has no plans to file for insolvency and would invest USD 50 million to revive 25 grounded planes. The United Kingdom-based SRAM &amp; MRAM Group will invest USD 100 million in SpiceXpress. Both sides have signed a Memorandum of Understanding (MoU) as part of the investment deal, the airline said in a release on Monday. The MoU also comes after a debt restructuring agreement between the carrier and aircraft lessor Carlyle Aviation Partner wherein the latter bought a stake in SpiceXpress at an anticipated future valuation of USD 1.5 billion (Rs 12,422 crore). SpiceJet Chairman and Managing Director Ajay Singh said the USD 100 million investment should help SpiceXpress to grow further and expand and provide a more streamlined and efficient service to its customers. SRAM &amp; MRAM Group has interests in agricultural and agro-food products, neural networks, artificial intelligence, hedge fund management, hospitality services and solutions, media and publishing, among other areas. So far this month, lessors have sought deregistration of five SpiceJet planes, a development that also comes against the backdrop of crisis-hit rival Go First shuttering operations and going for resolution proceedings under the insolvency law. SpiceJet subsidiary SpiceXpress to get USD 100 mn from UK group

SpiceJet Ltd on Monday said it has hived off its cargo and logistics business <keyword id="6866514" type="General" weightage="20" keywordseo="SpiceXpress" source="Orion">SpiceXpress</keyword> into a separate entity -- SpiceXpress and Logistics Pvt Ltd, from April 1. The move results in a one-time gain of Rs 2,555.77 crore for SpiceJet, substantially reducing its negative net worth, the company said. It also paves the way for SpiceXpress to raise funds independently, SpiceJet said. The decision to hive off SpiceXpress is in sync with the company's long-term business plan and will unlock significant valuation of the logistic business, SpiceJet Ltd Chairman Ajay Singh said. Singh further said "the separation of our cargo and logistics arm is a stepping stone in our growth story which shall unfold in the times to come". SpiceXpress reported a net profit of Rs 51.4 crore for the April-December period of FY23. "In a bid to boost the growth of its cargo business and provide a more streamlined and efficient service to its customers, SpiceJet Ltd has completed the hive off of its cargo and logistics division 'SpiceXpress' into a separate entity, SpiceXpress and Logistics Private Limited," the company said. The consideration for the slump-sale will be discharged by SpiceXpress by issuance of securities in the combination of equity shares and compulsorily convertible debentures to SpiceJet for an aggregate amount of Rs 2,555.77 crore which will also strengthen the balance sheet of SpiceJet, it said. According to Singh, "SpiceXpress will provide greater and differentiated focus to cargo and logistics business and will allow the possibility of raising capital for the business to accelerate its growth". Both SpiceJet and SpiceXpress have great potential and will complement each other well, he added. He also said that the hive off will not only enable SpiceXpress to raise cash independently, it will significantly reduce SpiceJet's negative net worth. "Having restructured over USD 100 million, outstanding dues to Carlyle Aviation Partner last month, the hive off will further strengthen and deleverage our balance sheet," Singh said. SpiceJet hives off cargo & logistics biz into separate entity from Apr 1

Holding that <keyword id="158803" type="General" weightage="50" keywordseo="spicejet-ltd" source="Orion">SpiceJet Ltd</keyword> has failed to establish a <keyword id="2079279" type="General" weightage="20" keywordseo="Safe-air" source="Orion">safe air</keyword> service due to degradation of safety margin in wake of several incidents since April 1, regulator, the Directorate General for Civil Aviation (DGCA), issued a show cause notice to the <keyword id="34984" type="General" weightage="20" keywordseo="airline" source="Orion">airline</keyword>. Tweeting the show cause notice, Civil Aviation Minister <keyword id="1046896" type="General" weightage="50" keywordseo="jyotiraditya-m-scindia" source="Orion">Jyotiraditya M Scindia</keyword> said: "Passenger safety is paramount. Even the smallest error hindering safety will be thoroughly investigated &amp; course-corrected". Pointing to several instances of <keyword id="6358032" type="General" weightage="100" keywordseo="spicejet" source="Orion">SpiceJet</keyword>'s aircraft returning to its originating station or landing at the destination with degraded safety margin, the DGCA, in its notice, said these are due to "poor internal safety oversight and inadequate maintenance actions". The Indian aviation sector regulator said as per the financial assessment carried out by it in September 2021, SpiceJet has been on a 'cash and carry system' by its vendors as they were not being paid on regular basis resulting in shortage of spares. SpiceJet gets showcause notice from regulator for failing to establish 'safe air' service

It also comes at a time when competitor and cash-starved Go First has cancelled flights and has filed for voluntary insolvency resolution proceedings. Aircraft lessor <keyword id="2632765" type="General" weightage="20" keywordseo="aircastle" source="Orion">Aircastle</keyword> (Ireland) Ltd has filed the petition against SpiceJet for initiating insolvency resolution proceedings. The plea was filed on April 28 and it is to be heard by the NCLT Principal Bench on May 8, according to an update on the tribunal's website. A SpiceJet spokesperson said presently, there are no aircraft from this lessor in the airline's fleet and that the development will in no way affect its operations. "All aircraft from this lessor have already been returned by SpiceJet... "We are confident of resolving the matter without court proceedings and we are in discussions with their senior leadership team for the same," the spokesperson said in a statement. Further, the airline spokesperson said the comments provided here are without prejudice to the airline's rights and in no way should be deemed as admission of any liabilities. Shares of SpiceJet declined 2 per cent to close at Rs 31.93 apiece on the BSE on Friday. According to the NCLT website, two more petitions for insolvency resolution proceedings against SpiceJet are pending. NCLT to hear insolvency proceedings plea filed against SpiceJet next week

The court, while disposing of Sharma's petitions, directed her to file appeal before the Deputy Commissioner of Sales Tax (Appeals) within a period of four weeks. Under the Act, when a person files appeal, he or she will have to deposit 10 per cent of the tax amount levied by the department. As per the Sales Tax department, Sharma was the "first owner of copyrights" on her performances at awards functions or stage shows, and, therefore, liable to pay sales tax when she received income from them. The court said all the issues raised by Sharma in her petitions can be decided by the appellate authority. "The authority will go into all the issues and conduct a detailed inquiry. If we sit to decide this, then every <keyword id="16987535" type="General" weightage="20" keywordseo="mvat-act" source="Orion">MVAT Act</keyword> matter will come here," the court said. The department had sought for the petitions to be dismissed and cost be imposed on Sharma as she had an alternate remedy available under the MVAT Act. According to Sharma's petitions, during the concerned period she performed in films and at award ceremonies as part of a tri-party agreement with her agent <keyword id="15841112" type="General" weightage="50" keywordseo="yashraj-films-pvt-ltd" source="Orion">Yashraj Films Pvt Ltd</keyword> and producers/event organisers. The assessing officer levied sales tax not on film consideration but on product endorsements and anchoring at award functions, holding that Sharma had transferred her performer's rights, her petitions said. For Assessment Year 2012-13, the sales tax demand, inclusive of interest, was Rs 1.2 crore on Rs 12.3 crore consideration and for 2013-14, it was Rs 1.6 crore on a consideration of Rs 17 crore. The sales tax department passed the orders between 2021 and 2022. Sharma is known for her roles in films like "PK", "Rab Ne Bana Di Jodi", "Sultan" and "Zero", among others.
