New Delhi, Nov 28 () The Competition Commission on Thursday said it has given approval to the acquisition of 37.4 per cent shareholding and joint control by Total Group in Adani Gas.
The proposed combination represents an investment opportunity for Total along with its subsidiaries and affiliates (Total Group) given the future of natural gas business in India.
 "Total Group believes in the initiatives taken by the Government of India to increase the reliance on natural gas instead of petroleum-based products," the Competition Commission of India (CCI) noted.
It further noted that the deal would contribute towards bridging the energy deficit and augment supply of natural gas in India and further enable Total Group to provide services in a cost-efficient manner and meet the country's long-term need for cleaner energy.
 Total Holdings is a 100 per cent subsidiary of Total S.A. The Total Group is engaged in every sector of the oil and gas industry, including upstream and downstream. Besides, it is also involved in the renewable energy and power generation sectors, CCI said.
 "Adani Gas Ltd is engaged in the wholesale supply of natural gas and downstream (retail) supply of natural gas through city gas distribution networks to industrial, commercial, domestic and automotive customers in India," it added.
 In a separate release, the fair trade regulator announced approving the acquisition of Primetals Technologies by Mitsubishi Heavy Industries (MHI).
Currently, MHI holds 51 per cent shareholding in Primetals Technologies (PT) through its solely controlled subsidiary Mitsubishi-Hitachi Metals Machiner Thee deal involves acquisition of remaining 49 per cent stake from Siemens AG .
"Accordingly, MHI will own 100 per cent of the registered share capital of Primetals Technologies and PT would be solely owned and controlled by MHI (as opposed to the existing joint control exercised by both MHI and Siemens AG)."
 Additionally, as per another media release, a deal involving acquisition of 49 per cent of the voting and non-voting equity shares of Future Coupons Pvt Ltd by Amazon.com NV Investment Holdings LLC has also received the regulator's approval.
 "The proposed combination consists of certain other constituent steps involving Future Coupons Pvt Ltd, Future Corporate Resources Pvt Ltd, and Future Retail Ltd," it noted. SRS MR

Siemens is buying a software company under pressure from activists for about $4 billion

<keyword id="46324" type="COMPANY" weightage="100" keywordseo="GVK-power">GVK Power</keyword> and Infrastructure will sell 33 per cent of its stake in Bangalore International Airport Ltd to <keyword id="2948644" type="UNKNOWN" weightage="100" keywordseo="Fairfax-India">Fairfax India</keyword> for Rs 2,149 crore, a deal that will trim the groups debt burden by more than Rs 2,000 crore. 
 
The transaction, expected to be completed by mid-2016, would also help the diversified entity save around Rs 300 crore annually on interest costs. 
 Bangalore International Airport Ltd (BIAL) owns and operates the Kempegowda International Airport <keyword id="6354321" type="CITY" weightage="100" keywordseo="Bengaluru">Bengaluru</keyword>. The airport started operations in May 2008. 
 
In BIAL, GVK Group holds 43 per cent stake, Siemens Project Ventures GmbH 26 per cent and Flughafen Zurich AG Ltd 5 per cent while state-owned entities Airport Authority of India and Karnataka State Industrial Investment &amp; Development Corporation Limited hold 13 per cent each. 
 
GVK Power &amp; Infrastructure today said it would divest 33 per cent stake in BIAL to Fairfax India Holdings Corp through their wholly-owned subsidiaries in Mauritius for an aggregate investment of Rs 2,149 crore. 
 
"Upon completion of this transaction, there would be reduction of debt burden of around Rs 2,000 crore and would also result in savings of interest costs to the extent of Rs 300 crore per annum," the company said in a release. 
 
Grappling with substantial debt burden, GVK Power has been exploring avenues, including possible IPO of its airport business, to raise funds. 
 
GVK Airport Developers, a wholly-owned subsidiary of GVK Power, had initiated a financing process last year to reduce its debt obligations. 
 
According to GVKs Founder Chairman and Managing Director G V K Reddy, the deal is an important and successful milestone in deleveraging the balance sheet. 
 
"All proceeds from this stake sale shall be used to bring down our debt obligations to our lenders. We chose Fairfax as a partner in BIAL as we have a long standing relationship with its chairman, Prem Watsa and we would look forward to partnering with them in developing Kempegowda International Airport through its next stage of expansion as we develop a new world-class Terminal 2 and a new runway," Reddy told PTI. 
 
The transaction is subject to customary closing conditions and third party approvals including lender consents, and is expected to be completed by mid-2016. 
 
As per the release, multiple offers were received and out of them, Fairfax Group was selected. "GVK shall remain a long term investor and pioneer in airport assets in India. GVK is bullish on the airport sector in India and shall continue to build iconic assets for the country," it added. 
 
Fairfax Indias Chairman Prem Watsa said it would work closely with all stakeholders to manage the stake in BIAL going forward. 
 
G V Sanjay Reddy to continue to lead the management team as Managing Director (MD) of BIAL and G V K Reddy would remain as Co Chairman, he added.

With only one month to go, the deal-making activity is unlikely to reach 2022 levels for the full year, let alone surpass it, as per <keyword id="131240" type="General" weightage="20" keywordseo="grant-thornton" source="Orion">Grant Thornton</keyword>. The calendar year so far has seen 1,321 deals amounting to $45.9 billion. That’s 62% lower in value, and 29% lower in volume as compared to the same period last year. “The prevailing economic factors, including rising inflation, soaring gold prices, and escalating interest rates, suggest a challenging environment. The strength of the dollar and more stringent global financial conditions pose additional threats affecting capital flows and investor risk sentiments,” says Shanthi Vijetha, partner at Grant Thornton Bharat. November makes its mark with big deals In November 2023, 132 deals were sealed, amounting to $6.5 billion. This is the second best month of the year, after August. Thanks to big ticket deals, November’s deal value went up 143% on a month-on-month basis, even as volumes fell 21% from October. “This month set a record for the highest mergers and acquisition values in 2023, reaching a remarkable four-billion-dollar mark in a single month,” said Vijetha. The biggest deal of the month is Siemens AG increasing its stake in Siemens to 69% for $2.28 billion. This transaction alone was responsible for 35% of the month’s overall values. The other top deals include transactions in the financial sector – like AU Small Finance Bank’s acquisition of Fincare Small Finance Bank for $529 million. Zurich Insurance also acquired a controlling stake in Kotak General Insurance for $494 million. The inbound space drove the values with a 63% contribution while continuing the trend. "Historically there was a size parameter that often drove it," he said, of private equity firms seeking capital from each other to cover a large equity check. "Today, I think that's probably less so the case."Recent examples of firms working with limited partners, rather than other private equity firms, are in no short supply.
