Droom files for ₹3,000 crore IPO ⁠— the online car dealer wants ₹400 crore for acquisitions

Online marketplace <keyword id="6357066" type="UNKNOWN" weightage="100" keywordseo="ShopClues">ShopClues</keyword>, which recently joined the <a href="http://www.businessinsider.in/ShopClues-raises-Series-E-at-a-valuation-of-1-1-Billion/articleshow/50547081.cms">billion-dollar</a> valuation club, has acquired Bengaluru-based startup <a href="http://www.businessinsider.in/Shopclues-eyeing-Momoe-for-acquisition/articleshow/51391246.cms">Momoe </a>in a bid to build a payments business. This deal will mark ShopClues’s entry in Bengaluru, the start-up capital of the country. 
 All five <keyword id="2683896" type="UNKNOWN" weightage="100" keywordseo="Momoe">Momoe</keyword> founders are also joining the senior management team of ShopClues, in several functions like design, corporate development and technology. 
 
As per ET reports, the deal is valued at $10-12 million, to be paid in both cash and stock; however, the deal size was not confirmed by Sanjay Sethi, ShopClues CEO. 
 
Momoe, which was founded by Utkarsh Biradar, Karthik Vaidyanathan, Ganesh Balakrishnan, Neelesh Bam, and Aiman Ashraf, has been in business for two years now. 
 
Biradar will be joining <a href="http://www.businessinsider.in/Shopclues-goes-local/articleshow/51681993.cms">ShopClues </a>as VP, heading design and product on the merchant side; Balakrishnan will lead platform monetisation and services; Bam will head merchant acquisition helping ShopClues expand base in South India; Ashraf will head technology for payment and Vaidyanathan will work on strategic initiatives along with ShopClues cofounder <a href="http://www.businessinsider.in/The-glorious-rise-of-Radhika-Aggarwal-Indias-only-Woman-Startup-founder-in-the-Unicorn-Club/articleshow/51309145.cms">Radhika Aggarwal</a>. 
 
"Momoe comes with a working merchant base, PCI compliance which would have taken us 8-12 months to obtain and banking relationships. Building a payments business requires a different DNA," said Sethi. 
 
Using Momoe's technology, ShopClues will be able to build payments solutions for its merchant base, for them to use it for not only online transactions but also for offline payments.

ShopClues acquires mobile payment start-up Momoe to expand business

<keyword id="6357066" type="UNKNOWN" weightage="100" keywordseo="ShopClues">Shopclues</keyword>, which recently entered the coveted <a href="http://www.businessinsider.in/ShopClues-raises-Series-E-at-a-valuation-of-1-1-Billion/articleshow/50547081.cms">billion-dollar valuation club</a>, is busy talking to the payments start-up <keyword id="2683896" type="UNKNOWN" weightage="100" keywordseo="Momoe">Momoe</keyword> for in order to achieve its <a href="http://www.businessinsider.in/Shopclues-wants-to-achieve-its-billion-dollar-dream-eyes-raising-Rs-1320-crore-through-funding-IPO/articleshow/49813967.cms">growth plans</a> via acquisitions. The development was shared with ET by three people aware of the matter. 
 
If Shopclues acquires Momoe, its payments backend for its fast-growing merchant base would be strengthened. Because a major part of Shopclues’ merchant base is based in India's <a href="http://www.businessinsider.in/ThisIndian-E-Commerce-Website-Is-Targeting-Smaller-Towns-And-Cities/articleshow/32838032.cms">small cities and towns</a>, this payment backend would help people who don’t have strong internet connection. 
 
However, Momoe has multiple term-sheets and is in talks with other potential suitors too. When contacted, Momoe CEO Utkarsh Biradar disclosed that the companies have not yet reached an agreement. 
 
Bengaluru-based Momoe was founded in April 2014 by Biradar along with Karthik Vaidyanathan, Ganesh Balakrishnan, Neelesh Bam and Aiman Ashraf. Customers can use the mobile app to make payments while dining out, shopping or commuting at more than 3,000 brick-and-mortar merchants in Bengaluru and Pune. 
 Momoe is different than other payment apps like <keyword id="6357120" type="UNKNOWN" weightage="100" keywordseo="PayTM">Paytm</keyword> and <a href="http://www.businessinsider.in/One-wallet-to-pay-for-them-all-MobiKwik-ties-up-with-Zomato-OYORooms/articleshow/49324049.cms">Mobikwik</a>, which facilitate cashless payments with a virtual wallet that stores a fixed amount of money, since it works by linking credit and debit cards and net banking.

The company is exploring listing opportunities in both India and the US. However, it is reluctant for a special purpose acquisition company (SPAC) option. SPAC is a company with no commercial operations that is formed strictly to raise capital through an initial public offering (IPO) for buying out an existing firm. Interestingly, the company has no presence in the US as of now and no plans to expand into the territory in the next year or so. Yet, it is pursuing a dual-track plan for the IPO. The company previously noted that it plans to be listed either on US-based NASDAQ or in India in 2022. <div type="ExtQuote" text="“We started Droom seven years back, and it is clearly a new age company, a high growth company. We went to use a decent amount of capital to build a formidable scale. These [new age] companies were not rewarded in Indian stock exchanges. Droom wants a global footprint CEO Aggarwal, in an interaction with Business Insider, highlighted that the company will be using these funds to aid its growth and expand into international markets. The company has shortlisted 10 countries in Southeast Asia, including Indonesia, Vietnam, Philippines, Cambodia and Laos. It also looks at six countries in the Middle East such as the United Arab Emirates (UAE), Qatar, Oman, Turkey and Lebanon. <div type="javascript" title="Custom" contenttype="Video"><cdata><![CDATA[ ]]></cdata></div> Droom had already set up three offices in Singapore, Thailand and Malaysia before the pandemic hit.. However, it decided to hold off the international expansion plan beyond that due to travel restriction and capital conservatism during COVID-19. It has decided to take up this plan once again. Droom’s India expansion plans A bulk of the capital Droom raises would be invested into the Indian market, Aggarwal said. The company is looking to strengthen its presence in the top 100 Indian markets over the next couple of years. Aggarwal noted that Droom has 0.56% share in India’s automobile market and even a three-fold increase to 1.3% share could generate $7-$10 billion in gross merchandise value (GMV) for the company in the next two and a half years. The company claims that its current annual run-rate is $1.7 billion in gross merchandise value (GMV) and $54 million for net revenue. In order to expand its presence in the Indian market, Droom is currently running a pilot programme in New Delhi to test out a new product called Droom velocity. It is a last mile delivery service that will deliver the bought cars to the end customers. The company is also looking to acquire companies that will accelerate its international expansion and cut short the timeline. Aggarwal highlighted that even though they are going big on the international market, India will continue to be its biggest market. Droom was founded in 2014 by Aggarwal, who had cofounded e-commerce portal Shopclues. Droom is a tech and data science-driven online automobile marketplace, which offers an e-commerce platform as well as technology solutions for buying and selling automobiles in India. The company claims that it will turn operationally profitable by later this year or by June next year.. “We became contribution margin positive in September of last year and in our parlance it’s called contribution margin-3… As a two-time founder of an e-commerce company, trust me, reaching there in the seventh year of operations is [difficult],” he added. Contribution margin positive is when the company’s net revenue is able to cover operational expense, marketing cost and other variable expenses. Droom founder explains why he is considering a US IPO and where he intends to spend the money

<ul><li>A recent directive from the Indian government on the extended lockdown allowed the ecommerce platforms to deliver non-essential items as well, starting April 21.</li><li> However, now the government has issued a new order that excludes ecommerce platforms from selling non-essential items from its revised guidelines that allow relaxation.</li><li> As a result, you will not be able to order electronics, mobile phones and other such items till May 3, when the current lockdown is scheduled to be lifted.</li></ul>If you have been waiting to order a new phone or any other electronic like a TV or a laptop, you will have to wait a little longer. While delivery of non-essential items was expected to resume after April 20, the government has issued a new notification that prohibits the sale of non-essential items on <keyword id="18635" type="CITY" weightage="20" keywordseo="Amazon">Amazon</keyword>, <keyword id="6354742" type="COMPANY" weightage="20" keywordseo="Flipkart">Flipkart</keyword> and other e-commerce platforms till the lockdown is lifted. It is a one-sided and unjust decision and against the larger interest of the traders and will create an imbalance in the country.” “Today, we have written a letter to PM Modi, asking him to intervene in the matter and reconsider the decision," CAIT’s secretary-general Praveen Khandelwal said. Indian e-commerce players Paytm Mall and Snapdeal welcome the move, saying they were already in talks with brands and their e-commerce partners. Amazon, Flipkart cannot deliver non-essential items like mobile phones, TVs during lockdown

Companies and startups are ready to raid engineering and <a href="http://www.businessinsider.in/searchresult.cms?query=B-school+">B-school</a> campuses across India this placement season, adding to the fierce war for talent already raging between large e-Commerce companies and established old-world recruiters. 
 
The startups which are looking for fresh talents include ShopClues, LocalOye, Urban-Clap, PropTiger, Indus Insights, MyRefers, CodeNation, Embibe, Jombay, Lybrate and ShadowFax. 
 
Moreover, a survey of 11 startups suggests they will step up overall <a href="http://www.businessinsider.in/searchresult.cms?query=campus+hiring+">campus hiring</a> to 770 students from the Class of 2016 compared with only 250 that they hired from the last batch. 
 
Bulk of this hiring will be across top engineering colleges and B-schools, including Indian Institutes of Technology, National Institutes of Technology and Indian Institutes of Management. 
 
Don’t be disappointed if you are not studying in the above mentioned institutes as a handful will also recruit at leading undergraduate colleges including Shri Ram College of Commerce, Lady Shri Ram College and St Stephen's, and design schools such as National Institute of Design and National Institute of Fashion Technology. 
 
Now comes the most interesting part- salary! Average salaries offered by these startups range between Rs 12 lakh and Rs 18 lakh at engineering colleges and B-schools, say campus sources. Prop-Tiger, for instance, is paying upwards of Rs 15 lakh plus benefits at tech schools; CodeNation will pay around Rs 24 lakh. 
 
At least three of these startups — Lybrate, LocalOye and ShadowFax — are first-timers on campus while others, at the very least, are doubling last year's numbers. In some cases, hiring targets are going up five-fold or even 16-fold compared with last year. 
 
The strategies behind the hiring are discussed below: 
1. Depending on the kind of institutes, students are being hired for a variety of roles: from <a href="http://www.businessinsider.in/searchresult.cms?query=software+development+engineers">software development engineers</a>; core management &amp; data scientists; product, operations and marketing; merchant acquisition and servicing, to human resource management, product and graphic designers and even entrepreneurs in residence. Sanjay Mehta, a Mumbai-based angel investor who participated in and led 11 angel deals in 2015, says the reason why startups are so gung-ho about <keyword id="511161" type="UNKNOWN" weightage="80" keywordseo="campus-hiring">campus hiring</keyword> is because they want to put this talent to work on cutting-edge technology and new delivery models. Not surprisingly, several institutes where placements have started, including Birla Institute of Technology &amp; Science-Pilani and <keyword id="75110" type="ORGANIZATION" weightage="80" keywordseo="NITs">NITs</keyword>, are seeing these startups go head-to-head with <a href="http://www.businessinsider.in/searchresult.cms?query=traditional+recruiters+">traditional recruiters</a> to hire talent. At other B-schools and <keyword id="49737" type="COMPANY" weightage="100" keywordseo="IITs">IITs</keyword> where pre-placement offers (PPOs) have started flowing in, it is again the startups that are leading the pack. 
 
2. Much high in numbers: The numbers speak for themselves. If ShopClues is revising its hiring intake from around 100 last year to 180-250 this time, realty portal PropTiger is doubling its target to 50. Even five-month-old B2B (business-to-business) hyperlocal delivery startup ShadowFax, which raised $300,000 from <a href="http://www.businessinsider.in/searchresult.cms?query=Snapdeal">Snapdeal</a>'s founders and others in August followed by a $8.5-million Series A round by Fidelity's proprietary investment arm Eight Roads Ventures barely a month later, is looking to hire from IITs, <keyword id="46923" type="ORGANIZATION" weightage="100" keywordseo="IIMs">IIMs</keyword> and other leading management institutes for its technology, data science and operations teams. 
 
3. Tapping more institutes: In the process, these companies are reaching out to many more institutes this year. "If there is a campus that attracts bright minds of the country, we want to be there. This includes other engineering colleges as well as top colleges in economics and commerce," says Saurabh Sharma, founder &amp; chief executive officer of Indus Insights. The Big Data firm made 40 offers last year, mostly at the top IITs (Bombay, Delhi, Madras). This year, it plans to make 100-plus, including at NITs (Trichy, Warangal, etc), SRCC, LSR, Christ College and Indian School of Business. 
 Similarly, Delhi-based mobile services marketplace UrbanClap, which hired 30 business development and operations specialists from <keyword id="6360099" type="ORGANIZATION" weightage="80" keywordseo="Delhi-University">Delhi University</keyword> last year, is extending its reach to several new institutes, including <keyword id="6431668" type="ORGANIZATION" weightage="100" keywordseo="IIT-Delhi">IIT-Delhi</keyword> and IIM-Ahmedabad as it gears up to take on 80-100 this year. 
 
Salaries apart, the other drawing factors include the opportunity to work on challenging problems. "We don't have any glass ceilings. Freshers could be running entire teams within six months of joining," says Aditi Avasthi, founder and CEO, Embibe. "Students are opting for startups aggressively as some of the roles offered by them are quite challenging and inclined with their aspirations," sums up Rahul Katyal, placement manager at IIT-Bombay.
