Private sector bank, <keyword id="6355975" type="CITY" weightage="20" keywordseo="Axis-Bank">Axis Bank</keyword> Limited, has re-appointed <keyword id="6356453" type="PERSON" weightage="20" keywordseo="Shikha-Sharma">Shikha Sharma</keyword> as the bank’s managing director and CEO for a period of three years up to May 2018. Sharma will resume her chair on June 1, 2015. 
 
“The Board of Directors of the Bank at its meeting held on January 16, 2015 has reappointed Shikha Sharma as managing director and CEO of the Bank for a further period of three years from June 1, 2015 to May 31, 2018. The re-appointment is subject to approval of the Reserve Bank of India and the shareholders of the Bank,” said the company in a letter to the National Stock Exchange (NSE). 
 Sharma, is an award-winning banker and has been the managing director and CEO of the bank since 2009. Previously, she worked with <keyword id="6653" type="CITY" weightage="20" keywordseo="ICICI-bank">ICICI Bank</keyword> and has expertise in areas such as project finance, retail banking and investment banking. She has also served as the managing director and CEO of the insurance arm of ICICI, ICICI Prudential Life Insurance.

Axis Bank Reappoints Shikha Sharma As MD and
CEO

<ul><li>RBI fined Axis Bank ₹30 million for fudging accounts during Sharma’s tenure as Axis Bank chief. </li><li>RBI asked Axis Bank to reconsider extending Shikha Sharma’s tenure urging a review. </li><li>Sharma is now an independent director at four companies-- Tech Mahindra, Dr Reddy’s Labs, <keyword id="148911" type="COMPANY" weightage="20" keywordseo="Tata-Global-Beverages">Tata Global Beverages</keyword> (which operates Starbucks chain in India) and Ambuja Cement.</li></ul> It is very uncharacteristic of Reserve Bank of India (RBI) to give ‘advice’ to banks on their leadership. After her exit , the stock of Axis Bank has gained over 48% in the last one year. Since she left the bank last December, Sharma isn’t sitting home reading Mills &amp; Boons, her favourite <a href="https://www.business-standard.com/article/opinion/lunch-with-bs-shikha-sharma-110021600095_1.html">pastime</a>. She is now an independent director at four companies, and the latest to add her is IT major Tech Mahindra after Dr Reddy’s Labs, Tata Global Beverages (which operates Starbucks chain in India) and Ambuja Cement. Private Equity firm KKR appointed her as an adviser for their alternate investments. This is very good progress for someone who claims to have a<a href="https://www.business-standard.com/article/opinion/lunch-with-bs-shikha-sharma-110021600095_1.html"> ‘permanent inability to sell herself’</a>. This trait kept her away from landing a job on the very first day of recruitment at IIM Ahmedabad. The Benefit of Friends Yet, Sharma has many high-profile friends in the system. She had worked with Kalpana Morparia, the CEO of J P Morgan at ICICI, who is a part of Nomination and Remuneration Committee (NRC) at pharma major Dr Reddy’s Labs. The company also has former Tata Power Managing Director Prasad Menon who was a part of Axis Bank board of directors until recently. She is also part of the board of Tata Global Beverages, which operates Starbucks chain in India. An independent banking analyst Hemindra wrote a report questioning the corporate governance practices of companies which have employed her. “The irony of publicly owned and listed blue-chip companies eagerly seeking Sharma for the prestigious position of independent director on their boards is that she had a poor track record and an unceremonious exit as chief executive officer of Axis Bank,” said a report by banking analyst Hemindra, who wrote a report on her. However, companies have defended their decision to have Sharma on board. Tech Mahindra’s statement on June 14 said, “She has rich experience in banking, insurance and an excellent track record and led the bank on a transformative journey from being primarily a corporate lender to a bank with a strong retail deposit franchise and a balanced lending book.” Hazari disagrees with Tech Mahindra’s take. Though her stint at ICICI-- her first job since she was recruited from Indian Institute of Management (IIM) -- had many successes including building the India’s largest private sector bank’s insurance business, her leadership at Axis Bank had a lot left to desire. E-mails sent to Tech Mahindra, Dr Reddy’s Labs and Tata Global Beverages did not elicit any response, while Sharma did not respond to a request for a call. The Cover-up Sharma’s plan for growth at Axis Bank’ was to increase large-sized corporate lending, that included a bunch of loans to infrastructure companies. Like all bad plans, it worked until it didn’t. The unrelenting chase for growth landed them in a bad soup with a large chunk <a href="https://economictimes.indiatimes.com/industry/banking/finance/banking/boxing-on-or-boxed-in-indian-banks-are-splintering-gadfly/articleshow/59788487.cms">of toxic loans</a>. What angered investors and the regulator alike is how the bank tried to sweep it under the carpet. So much so, the banking regulator Reserve Bank of India (RBI) <a href="https://www.businesstoday.in/current/economy-politics/rbi-penalises-axis-bank-indian-overseas-bank-non-compliance/story/271996.html">had fined them</a>-- even though a measly ₹30 million-- for fudging accounts. The regulator’s version of their non-performing loans is 156% higher than what was admitted by the bank in the year 2016-17. Right after demonetization in 2016, the Enforcement Directorate unearthed a scam where<a href="https://timesofindia.indiatimes.com/business/india-business/demonetisation-case-ed-files-first-chargesheet-involving-axis-bank-staff/articleshow/56959891.cms"> Axis Bank staff</a> was passing on unaccounted money into the system. According to Hazari, these are due to poor operational risk controls and other lapses which were prevalent in the bank. He also said that the bank <a href="https://economictimes.indiatimes.com/industry/banking/finance/banking/ex-axis-bank-executive-alleges-wrongful-termination/articleshow/49283008.cms" data-type="tilCustomLink" target="_blank">persecuted whistleblowers with draconian clauses</a>, which can terminate an employee without giving any reason. “Incorporating such harsh measures effectively silences any honest banker from complaining against any regulatory lapses which could disrupt the growth of business,” Hazari said. It is within any company’s legal right to appoint anyone as an independent director. What experts like Hazari are questioning is the level of trust such boards can evoke when they appoint those whom regulators have recently shunned. RBI may have wanted her out of Axis Bank but Starbucks partner Tata Global Beverages is among four companies which brought Shikha Sharma on-board

<keyword id="6355975" type="CITY" weightage="80" keywordseo="Axis-Bank">Axis Bank</keyword> and <keyword id="6653" type="CITY" weightage="80" keywordseo="ICICI-bank">ICICI Bank</keyword> share a similar profile in terms of corporate exposure and funding roads, power companies, etc, still there could be a divide emerging between the two. 
 
The stock performance of the two banks clearly point out the divide as the latest quarter financial performance indicate investors believe that Axis Bank is better place than ICICI. 
 The past year saw Axis outperform ICICI by a huge margin. Axis rose 68.71% in the past year when compared with ICICI, which gained 12.23%. The broader BSE <keyword id="54657" type="CITY" weightage="60" keywordseo="Bankex">Bankex</keyword> rose 21%. 
 
ICICI Bank's March quarter earnings rose 10.2% to Rs 2,922 crore, while Axis reported an 18.36% advance to Rs 2,180.6 crore. 
"Axis' earnings growth for the past few quarters has been at 18% while that of ICICI Bank has been at around 10%. Its growth is almost double, which is driving investors to the stock," Vaibhav Agrawal, Vice President research - banking at Angel Broking told Economic Times, adding "Axis Bank's asset quality has been steady while ICICI Bank has seen a rise in its net nonperforming loans. This has also been a positive for Axis Bank." 
 
Meanwhile, Anish Tawakley, analyst with Barclays, said for ICICI Bank, the slippages from the restructuring book are very high as loan exposures come out of the moratorium. 
 
"In large corporates, there can be some lumpy accounts. Even if the economy picks up, they can see stress as they are highly leveraged,” he told ET. 
Even though Axis and ICICI apparently emerged from their past issues - partly created by the economic slowdown that saw bad loans of the industry's largest bank rise to 1.40% of total assets - investors seem to choose former over latter. 
 
"As far as the impact of NPA additions is concerned, as the bank has previously explained, the higher slippages to NPA have come mainly from the existing restructured portfolio; hence the impact on NII and margins is not significant," an ICICI Bank spokesman told the financial daily. 
 Both ICICI and Axis are run by chips of the same block - <keyword id="45875" type="PERSON" weightage="80" keywordseo="Chanda-Kochhar">Chanda Kochhar</keyword> and <keyword id="6356453" type="PERSON" weightage="80" keywordseo="Shikha-Sharma">Shikha Sharma</keyword> - who rose up the ranks at ICICI under KV Kamath. 
 
The newspaper reported that Sharma, who spent almost three decades at the ICICI Bank Group before moving to head Axis Bank in 2009, showed some aggressive management style by buying Enam Securities for Rs 2,070 crore, while Kochhar spent steadying the ship by pulling back funds from overseas businesses. 
 
"Asset quality continues to be challenging due to the tough operating environment and the economic recovery being slower and volatile," Kochhar said during the post-earnings call. In the past few years, she said. 
 
Kochchar added that restructuring was done keeping in mind assumptions of a possible turnaround in the economy. "But the pick-up in economic activity has been gradual and volatile affecting these companies. Asset quality in 2016 will be better than last year," said Kochhar. 
 
"The asset quality environment continues to be challenging with economic activity being weak," V Srinivasan, executive director at Axis Bank, told ET, adding, “We will have to monitor our exposure."

Indian investors are cozying up to Axis bank. Know why

<a href="http://www.businessinsider.in/DoYou-Need-Aadhaar-Card-Govt-Says-Yes-Supreme-Court-Says-No/articleshow/22981267.cms">Controversy</a> is still raging over the mandatory use of <keyword id="144117" type="ORGANIZATION" weightage="100" keywordseo="AADHAAR">Aadhaar</keyword>, but an expert <keyword id="2006823" type="UNKNOWN" weightage="100" keywordseo="Committee-on-financial-inclusion">committee on financial inclusion</keyword> has already recommended that the <keyword id="6354335" type="CITY" weightage="100" keywordseo="reserve-bank-of-india">Reserve Bank of India</keyword> should leverage the <keyword id="2006820" type="UNKNOWN" weightage="100" keywordseo="Aadhaar-network">Aadhaar network</keyword> to ensure that every Indian has a <keyword id="2006817" type="UNKNOWN" weightage="100" keywordseo="Free-bank-account">free bank account</keyword> by January 2016. The recommendation has come from the Committee on Comprehensive <keyword id="2006821" type="UNKNOWN" weightage="100" keywordseo="Financial-Services-for-Small-Business">Financial Services for Small Business</keyword> and Low-Income Households, which is headed by <keyword id="311391" type="PERSON" weightage="100" keywordseo="Nachiket-Mor">Nachiket Mor</keyword>, an <keyword id="2006825" type="UNKNOWN" weightage="100" keywordseo="RBI-board-member">RBI board member</keyword> and former <keyword id="6653" type="CITY" weightage="100" keywordseo="ICICI-bank">ICICI Bank</keyword> executive. 
 <keyword id="30067" type="ORGANIZATION" weightage="100" keywordseo="RBI">RBI</keyword> set up the committee last September and it has now sought comments from the public on the <keyword id="1180163" type="UNKNOWN" weightage="100" keywordseo="draft-recommendations">draft recommendations</keyword> on or before January 24, 2014. Other key members of the panel include former <keyword id="44473" type="CITY" weightage="80" keywordseo="Citigroup">Citigroup</keyword> CEO <keyword id="25396" type="PERSON" weightage="100" keywordseo="Vikram-Pandit">Vikram Pandit</keyword> and <keyword id="2006826" type="UNKNOWN" weightage="100" keywordseo="Axis-Bank-CMD">Axis Bank CMD</keyword> <keyword id="6356453" type="PERSON" weightage="100" keywordseo="Shikha-Sharma">Shikha Sharma</keyword>. 
 According to the report, every Indian resident over 18 years of age should be automatically issued a “universal <keyword id="2006829" type="UNKNOWN" weightage="100" keywordseo="Electronic-bank-account">electronic bank account</keyword> at the time of receiving his/her <keyword id="485058" type="UNKNOWN" weightage="100" keywordseo="Aadhaar-number">Aadhaar number</keyword>.” One can choose his/her <keyword id="2006832" type="COMPANY" weightage="100" keywordseo="Preferred-bank">preferred bank</keyword> from the empanelled ones and need not pay any fee for opening an account. However, the bank can levy <keyword id="162862" type="UNKNOWN" weightage="100" keywordseo="transaction-charges">transaction charges</keyword>, the committee says. It also recommends setting up of a ‘unified’ redressal agency under the <keyword id="47209" type="ORGANIZATION" weightage="100" keywordseo="Finance-Ministry">finance ministry</keyword> to deal with <keyword id="786199" type="UNKNOWN" weightage="100" keywordseo="customer-complaints">customer complaints</keyword>. 
 About 90% of small businesses have no links to a <keyword id="154831" type="ORGANIZATION" weightage="100" keywordseo="financial-institution">financial institution</keyword> and 60% of Indians do not have bank accounts, the report states. “Aadhaar is the key piece of infrastructure to enable a customer to be identified and authenticated so that repudiation and fraud risks are minimised and therefore, should become the universal basis for authentication,” it adds. 
 The panel has also suggested that a special type of <keyword id="6368751" type="PERSON" weightage="100" keywordseo="Banks">banks</keyword> should be introduced to provide payment services and deposit products to small businesses and low-income households. Such banks could be categorised as <keyword id="2006841" type="UNKNOWN" weightage="100" keywordseo="Payments-banks">payments banks</keyword> and “they will be restricted to holding a <keyword id="2006842" type="UNKNOWN" weightage="100" keywordseo="Maximum-balance">maximum balance</keyword> of Rs 50,000 per customer,” the report says. Even <keyword id="2006844" type="UNKNOWN" weightage="100" keywordseo="Existing-lenders">existing lenders</keyword> can set up these payments banks as <keyword id="4128451" type="UNKNOWN" weightage="100" keywordseo="subsidiaries">subsidiaries</keyword>. The report also recommends setting up another category of wholesale banks that will provide funds to other banks and financial institutions that directly lend to low-income households. 
 On the face of it, the recommendations to introduce a multi-layered <keyword id="6354778" type="ORGANIZATION" weightage="100" keywordseo="Banking">banking</keyword> system make sound sense as these ‘proposed’ entities will be serving the <keyword id="2006855" type="UNKNOWN" weightage="100" keywordseo="Financially-weak">financially weak</keyword> segment of the country and overall, the inclusion plan for 2013-2016 looks good. 
 
Except for the Aadhaar part. 
 But before we go ahead, let us have a look at Aadhaar and what all it offers. Launched by the <keyword id="86474" type="ORGANIZATION" weightage="100" keywordseo="Unique-Identification-Authority-of-India">Unique Identification Authority of India</keyword> (<keyword id="6355252" type="CITY" weightage="100" keywordseo="UIDAI">UIDAI</keyword>), the <keyword id="804646" type="UNKNOWN" weightage="100" keywordseo="Aadhaar-scheme">Aadhaar scheme</keyword> was initially introduced to ‘promote inclusion and benefits of the <keyword id="1389586" type="UNKNOWN" weightage="100" keywordseo="marginalised-sections">marginalised sections</keyword> of the society that has no <keyword id="2006861" type="UNKNOWN" weightage="100" keywordseo="Formal-identity-proof">formal identity proof</keyword>.’ Even today, Aadhaar-enabled services are essentially linked to various <keyword id="580043" type="UNKNOWN" weightage="100" keywordseo="government-welfare-schemes">government welfare schemes</keyword> – so that its beneficiaries can access the same in a hassle-free manner. 
 However, the ‘<keyword id="2006816" type="UNKNOWN" weightage="100" keywordseo="Banking-for-all">banking for all</keyword>’ initiative in its ‘suggested’ format cannot be a marginalised movement, aimed to serve only the under-banked/unbanked regions or the weaker section or those below the <keyword id="141042" type="ORGANIZATION" weightage="100" keywordseo="poverty-line">poverty line</keyword>. It has to have a <keyword id="2006866" type="UNKNOWN" weightage="100" keywordseo="Unified-structure">unified structure</keyword> across the country – involving every Indian citizen. In other words, it will be much like the ‘<keyword id="49358" type="UNKNOWN" weightage="100" keywordseo="voter-card">voter card</keyword>’ mechanism we have in place right now. At the age of 18, an Indian is entitled to get a voter card irrespective of the <keyword id="2006868" type="UNKNOWN" weightage="100" keywordseo="Financial-divides">financial divides</keyword>. Going forward, if the central bank intends to follow the same principle and wants to bring the entire population of the country under its <keyword id="2006870" type="UNKNOWN" weightage="100" keywordseo="Inclusion-umbrella">inclusion umbrella</keyword> (after all, one cannot leave one section of the citizens out of a <keyword id="2006871" type="UNKNOWN" weightage="100" keywordseo="Mass-initiative">mass initiative</keyword> just because they are financially more stable), opening an account at the stipulated age should become mandatory and that means a mandatory <keyword id="1953676" type="UNKNOWN" weightage="100" keywordseo="Aadhaar-validation">Aadhaar validation</keyword>. 
 And that brings us back to the basic question – what is the legal status of Aadhaar in India? Is it just a <keyword id="107911" type="ORGANIZATION" weightage="100" keywordseo="Financial-inclusion">financial inclusion</keyword> tool for the economically weak or do the government agencies intend to turn it into an ‘all-inclusive’ tool required for every social and <keyword id="672932" type="ORGANIZATION" weightage="100" keywordseo="economic-activity">economic activity</keyword> – right from <keyword id="427269" type="UNKNOWN" weightage="100" keywordseo="Marriage-registration">marriage registration</keyword> to <keyword id="854003" type="UNKNOWN" weightage="100" keywordseo="land-registration">land registration</keyword>, from banking to <keyword id="6368952" type="ORGANIZATION" weightage="100" keywordseo="shopping">shopping</keyword> and more? 
 The RBI has already asked banks to ensure <keyword id="1953683" type="UNKNOWN" weightage="100" keywordseo="Aadhaar-authentication">Aadhaar authentication</keyword> for <a href="http://www.businessinsider.in/Now-RBI-Wants-Aadhaar-Validation-For-Card-based-Transactions/articleshow/26473660.cms">card transactions</a> at merchant locations. “All new card present infrastructure has to be enabled for both <keyword id="1953693" type="UNKNOWN" weightage="100" keywordseo="EMV-chip-and-PIN">EMV chip and PIN</keyword> and Aadhaar (<keyword id="1953679" type="UNKNOWN" weightage="100" keywordseo="Biometric-validation">biometric validation</keyword>) acceptance,” the central bank stated in a notification on November 26 last year. 
 Although the <keyword id="6354977" type="ORGANIZATION" weightage="80" keywordseo="Supreme-Court">Supreme Court</keyword> has ruled that the <keyword id="6356006" type="UNKNOWN" weightage="100" keywordseo="Aadhaar-card">Aadhaar Card</keyword> is not mandatory to get <keyword id="1739662" type="UNKNOWN" weightage="100" keywordseo="government-benefits">government benefits</keyword> and services, and the <keyword id="1878758" type="UNKNOWN" weightage="100" keywordseo="National-Identity-Authority-of-India-Bill">National Identity Authority of India Bill</keyword> is yet to get Parliamentary nod, Aadhaar seems to be enjoying a more hallowed status and getting its teeth deep into every key financial transaction one can think of. That might not be quite desirable at this stage as divulging <keyword id="441301" type="UNKNOWN" weightage="100" keywordseo="biometric-data">biometric data</keyword> (required for Aadhaar Card) is still considered voluntary and <keyword id="2006881" type="UNKNOWN" weightage="100" keywordseo="Secure-storage">secure storage</keyword> of the same cannot be guaranteed even now. 
 The rest of the recommendations by the committee dwell on the structure and requirements of the <keyword id="2006882" type="UNKNOWN" weightage="100" keywordseo="Proposed-banks">proposed banks</keyword>, <keyword id="6597293" type="UNKNOWN" weightage="100" keywordseo="priority-sector-lending">priority sector lending</keyword> and deposits, and classification of non-banking financial companies (NBFCs). 
 Interestingly, the payment banks will be required to meet the standard <keyword id="35038" type="ORGANIZATION" weightage="80" keywordseo="crr">CRR</keyword> terms and must also deposit the balance proceeds in approved <keyword id="838337" type="UNKNOWN" weightage="100" keywordseo="SLR-securities">SLR securities</keyword> with duration of no more than three months. As they won’t be permitted to assume any kind of <keyword id="854662" type="UNKNOWN" weightage="100" keywordseo="Credit-risk">credit risk</keyword>, which literally rules out any risk of default, the <keyword id="2006891" type="UNKNOWN" weightage="100" keywordseo="Minimum-entry-capital">minimum entry capital</keyword> for them will be Rs 50 crore instead of the Rs 500 crore required for full-service commercial banks in the country. Also, the wholesale banks cannot accept deposits bigger than Rs 5 crore from a single depositor. 
 The RBI had launched a three-year financial <keyword id="2006853" type="UNKNOWN" weightage="100" keywordseo="Inclusion-programme">inclusion programme</keyword> in April 2010, which prompted banks to open outlets in 200,000 villages. The current recommendations seek to deepen such access and experts even feel that the new banking licences, to be announced soon, can be categorised accordingly. But both the government and the RBI should ensure that the programme becomes ‘inclusive’ in the true sense of the term and validation issues should not throw a spanner in the works.

Teeth, To Play Key Role In ‘Banking For All’

<ul><li>According to a study done by Prime Database, 118 companies out of top 500 companies still haven’t appointed a woman director on their board as is required by law. </li><li>11 top Indian banks feature in the list, an industry which once had many prominent women running the show. </li><li>Top 500 companies have to appoint women directors on their board by April 1, 2019. </li></ul> For a long time, India’s private banking sector has been led by women even when it wasn’t a law. However, India’s state-owned banks have consistently lagged in giving women a chance. Even today, when SEBI mandates companies to appoint have at least one woman director on their board, 10 out of 21 Indian <keyword id="153602" type="PERSON" weightage="20" keywordseo="Government-banks">government banks</keyword> don’t have one. Marquee names like Canara Bank, Bank of India, Indian Bank, Union Bank of India, Indian Overseas Bank, UCO Bank, Vijaya Bank, Andhra Bank, United Bank of India and Dena Bank have failed to comply with the law. Under Section 149 of the Companies Act 2013, every company needs to have at least one woman director. Last year, <a href="https://www.moneycontrol.com/news/business/companies/sebi-wants-one-woman-independent-director-in-top-500-listed-companies-is-it-feasible-2539047.html">SEBI</a> had directed all top 500 companies to imply the same by April 1, 2019. Government banks can’t complain that there aren’t enough skilled women leaders as their private sector peers have been steered by women for years now. This is a reflection of the glass ceiling in public companies in India. The Indian <keyword id="34494" type="PERSON" weightage="20" keywordseo="banking-industry">banking industry</keyword> had leaders like Arundhati Bhattacharya of State Bank of India, Chanda Kochhar of ICICI Bank, Shikha Sharma of Axis Bank and Usha Ananthasubramanian of Allahabad Bank, who once found themselves in every list of top <keyword id="7273119" type="UNKNOWN" weightage="20" keywordseo="women-in-banking">women in banking</keyword>. However, since then they have either resigned from their position or have been embroiled in scams/controversies leading to a forceful exit. Government banks are not alone. <ul><li>The non-executive directors or <keyword id="6373267" type="UNKNOWN" weightage="20" keywordseo="Independent-Directors">independent directors</keyword> will now have to go through an online assessment exam to be hired on company boards. </li><li>The assessment exam will be based on corporate literacy including <keyword id="7821650" type="UNKNOWN" weightage="20" keywordseo="Indian-company-law">Indian company law</keyword>, ethics, and capital market norms. </li><li>Experienced directors will not be required to take the test, but will need to register on a government portal.</li></ul>Independent directors will soon have to pass a test before they are hired onto the board of directors of a company. According to the Corporate Affairs Secretary, Injeti Srinivas these non-executive directors will be tested by an online assessment exam that the ministry will design. Testing Corporate Literacy These assessment exams will test the corporate literacy of ‘budding’ independent directors. The questions on the exam will cover the basics of Indian Company Law, ethics, and capital market norms, corporate government standards among others. Aspiring directors will be able to take as many attempts as possible to pass these tests within a limited period of time. “This is a step in the right direction. Anything which potentially improves the quality of independent directors thereby improving the quality of governance is welcome.Government is trying to ensure that Independent directors are qualified to add value that companies today are looking from them,” said Ankit Bansal, CEO and Founder of Sapphire Human Solutions, an executive Search firm. This move will result in many ‘active’ independent directors, experts say. “The independent directors are hired for a fixed time period, which can be extended with mutual consent. Several companies hire via executive search firms or market networks. However, the online test will focus on producing independent directors who are active corporate employees and possess relevant knowledge and experience to serve the industry,” Agamjeet Dang, Managing Partner of Executive Access told Business Insider. According to Dang, the demand for independent directors is expected to rise in the coming years. And, the government will also make it easy for companies to access talent and vice versa. However, experienced directors — who are furnished with the unique Director Identification Number (DIN) — need not go through the test. They can register on a government database. This will bridge the gap between hiring companies and aspiring independent directors. Active directors As the incidence of corporate fraud is rising, the government is increasing scrutiny on the internal workings of boards. In the current system, the remuneration committee of a company tends to choose independent directors after a member proposes a name. Now, the government wants to vet these directors beforehand. Independent directors are expected to bring in diverse experience and knowledge to the decisions taken by the board of directors of a company. In many cases, family owned businesses in India tend to bring in their own relatives, friends or acquaintances on board who tend to sway the votes in favour of them. And, that has led to many indiscrepancies in companies which are passed, without objection from the board. “This will promote appointment of directors on merit rather than network or connections. Aspiring independent directors in India will have to master these topics

This has translated into consistent lapses in governance and delays in strategic decisions on issues like restructuring. The Indian government has finally appointed the CEOs of 10 “head-less” public-sector banks

<ul><li><keyword id="45660" type="COMPANY" weightage="20" keywordseo="Yes-Bank">Yes Bank</keyword>, which is India’s third-largest private sector lender, has lost more than half its <keyword id="6463972" type="UNKNOWN" weightage="20" keywordseo="market-value">market value</keyword> since 20 August as it deals with succession and compliance issues. </li><li>On 20 September, the <keyword id="30067" type="ORGANIZATION" weightage="20" keywordseo="RBI">RBI</keyword> refused to extend the tenure of Yes Bank <keyword id="5645" type="POSITION" weightage="20" keywordseo="CEO">CEO</keyword> <keyword id="128581" type="PERSON" weightage="20" keywordseo="Rana-Kapoor">Rana Kapoor</keyword>’s term, which precipitated a dramatic <keyword id="5683" type="ENTERTAINMENT" weightage="20" keywordseo="Crash">crash</keyword> in the bank’s share price. </li><li>Following a risk review by the RBI last year, it came to light that Yes Bank had underreported ₹63.6 billion worth of non-performing loans. </li></ul>As a central banking regulator, the Reserve Bank of India can usually be counted on to support the banking sector and ensure the health of the institutions it oversees. However, in the wake of its attempts to clean up a system riddled by bad loans, it might have facilitated the downfall of some banks. Yes Bank, which is India’s third-largest private sector lender, has lost <a href="https://www.google.co.in/search?q=yes+bank+share+price&amp;oq=yes+bank+share+price&amp;aqs=chrome.0.0l6.4046j0j7&amp;sourceid=chrome&amp;ie=UTF-8">more than half</a> its market value since 20 August - from ₹910 billion to ₹438 billion-, as its share price has been in a freefall. Investors feared that the RBI would not approve the extension of the CEO Rana Kapoor’s tenure, which was set to expire on 31 August. Those fears were confirmed last week, when the RBI <a href="https://economictimes.indiatimes.com/industry/banking/finance/banking/rbi-allows-rana-kapoor-continue-as-yes-bank-md-ceo-till-january-end/articleshow/65875341.cms">refused to extend</a> Kapoor’s term, capping it at 31 January 2019, which precipitated a dramatic crash in the bank’s share price. On 20 September, when the decision was announced, the bank’s stock fell by a whopping 29% as the fears and uncertainty over its future leadership became compounded. That marks a loss of over $3 billion in market value on one day alone. Rana Kapoor founded the bank in 2004, steering it towards a dramatic rise in the ensuing decade. However, in his quest to expand the bank’s operations and loan book at a rapid pace, a number of issues were overlooked. Following a risk review by the RBI in October last year, it came to light that Yes Bank had underreported ₹63.6 billion worth of non-performing loans. There were also allegations that the bank had direct dealings with a trust run by Kapoor’s family and that it had window-dressed some of its large corporations to look financially stronger than it actually was. As the country grappled with a bad loan crisis, the RBI wasn’t in a forgiving mood. Since then, the future of Kapoor has been under intense speculation. Earlier this year, the RBI also refused to clear a three-year extension of the tenure of Shikha Sharma, the CEO of Axis Bank, as the bank dealt with its own host of bad loan calculation problems. To reassure investors and stabilise its share price, Yes Bank could have announced a successor for Kapoor this week. However, on 25 September, it wrote to the RBI again asking the regulator to reconsider its decision to trim Kapoor’s tenure, asking for an extension till September 2019. The RBI is expected to decline the bank’s request. That being said, the bank has set up a search committee to find a replacement for Kapoor. In addition to this, their immediate priority should be to draw up an effective turnaround plan in order to limit any further damage to their market cap.

One of India’s largest private banks has lost more than half its market value in 37 days

<a href="http://www.businessinsider.in/searchresult.cms?query=Fortune+magazine+">Fortune magazine </a>has ranked Indian bankers Chanda Kochhar and Arundhati Bhattacharya as the top two in a list of most powerful women in <a href="http://www.businessinsider.in/searchresult.cms?query=Asia+Pacific">Asia Pacific</a>. 
 
Kochhar, 53 heads the country's largest private sector lender <a href="http://www.businessinsider.in/searchresult.cms?query=ICICI+Bank">ICICI Bank</a> stands tall at Number 1 on the list. The magazine has recognized Kochhar who has revolutionized Indian banking and for making <a href="http://www.businessinsider.in/searchresult.cms?query=ICICI+Bank">ICICI Bank</a> into the "nation's largest and most profitable private sector lender". 
 
Kochhar is closely followed by Arundhati Bhattacharya, the chairman of the country's largest lender bank - <a href="http://www.businessinsider.in/searchresult.cms?query=State+Bank+of+India">State Bank of India</a>. Bhattacharya has shot up from the fourth spot from last year.

Indian bankers top Fortune's most powerful women list

Many Indian banks, including ICICI and SBI, are ready to take on a battle with non-bank companies offering <keyword id="6368227" type="UNKNOWN" weightage="100" keywordseo="Mobile-wallets">mobile wallets</keyword>. For this, they are armed with their readymade payment systems, a wide merchant network and an on tap customer base, with which they want to reclaim what was their territory just a couple of years ago. 
 
In the past one year, large lenders like ICICI Bank, SBI, Axis Bank and HDFC Bank have launched new payment instruments so that they can prevent their customers from moving money to these newly emerging non-bank companies. 
 These apps include SBI's Buddy, ICICI's Pockets, HDFC Bank's PayZapp and Axis' Lime, which are in the market to challenge <keyword id="6357120" type="UNKNOWN" weightage="100" keywordseo="PayTM">Paytm</keyword>, <keyword id="143842" type="UNKNOWN" weightage="100" keywordseo="Mobikwik">MobiKwik</keyword> and Citrus Pay. 
 
"It is an evolving space and the shift is towards digital transactions. None of us know the pace of the shift. Everyone is trying to experiment with the space," Axis Bank Chief Executive Shikha Sharma told ET. 
 
While on one side, wallets have spent millions of rupees to brand themselves and establish their presence in the market, banks are using their existing brand value to attract customers. 
 
"Investments in this business for us is in terms of deployment of resources as platform has been provided by our technology partner," said Manju Agarwal, SBI’s Deputy MD for corporate strategy and new businesses. 
 
Parag Rao, who heads cards and merchant acquiring at HDFC Bank, told ET that he has been leveraging the bank's merchant and customer base so that customers can be offered attractive discounts for users of PayZapp. 
 
"We want to facilitate all forms of transactions that the customer uses. In the physical world, the user can use the credit card and the debit card while in the mobile world he can use wallets," Rao said. 
 
Data from RBI show that the number of outstanding debt and credit cards have increased more than three times in the past six years. However, paying in cash is still people’s preferable option. 
 
"Banks are excellent settlement engines, but when it comes to user experience, we have been able to train 123 million people over the last five years to make digital transactions without glitches. People trust us with their money," said Nitin Mishra, head of products at Paytm, India's largest wallet company.

State-run banks don’t want you to use mobile wallets from non-banking players

The fine followed a notice issued to the bank the preceding July for its failure to report a cybersecurity attack at its ATM network. According to the RBI, this amounted to a refusal to accept liability for the loss of customers’ information. June 12th, 2018 At an annual shareholders’ meeting, Yes Bank’s shareholders voted to give Rana Kapoor <a href="https://www.bseindia.com/xml-data/corpfiling/CorpAttachment/2018/6/f8d7297d-dbbc-4a80-b910-bd0be88b546f.pdf">another three-year term</a> as the bank’s CEO starting September 1st. September 20th, 2018 Yes Bank’s share price plummeted by over 29% on the first day of trading since the RBI’s decision was announced - a loss of nearly $3 billion worth of market capitalisation. October 1st, 2018 CARE Ratings, a credit ratings agency, placed Yes Bank’s debt on <a href="https://www.yesbank.in/media/press-releases/developing-implications-by-care-ratings">‘credit watch with developing implications’</a>, causing further investor jitters. October 17th, 2018 The RBI rejects the request submitted by Yes Bank’s board of directors seeking a minor extension for Kapoor. To allay investor fears, Yes Bank says that it should conclude the CEO search process by mid-December 2018.
