The Maharashtra government has declared a day of mourning on Thursday (October 10) to honour the late <keyword id="19981455" type="General" weightage="100" keywordseo="Ratan-Tata" source="keywords">Ratan Tata</keyword>, a towering figure in Indian industry, who passed away on Wednesday night at the age of 86. Tata, celebrated for leading the <keyword id="19924335" type="General" weightage="20" keywordseo="Tata-Group" source="keywords" meta.keywordsubtype="org" meta.entityname="Tata Group" meta.hostid="261" meta.entityid="Tata Group">Tata Group</keyword> to international acclaim, died at Breach Candy Hospital in Mumbai following a brief illness. In the early hours of Thursday morning, his remains were transported from the hospital to his Colaba residence, accompanied by a police escort. Several prominent figures, including Maharashtra Chief Minister <keyword id="19913631" type="General" weightage="20" keywordseo="Eknath-Shinde" source="keywords">Eknath Shinde</keyword>, Deputy Chief Minister Devendra Fadnavis, Education Minister Deepak Kesarkar, and industrialist Mukesh Ambani, visited the hospital upon learning of his passing. The Maharashtra Chief Minister’s Office confirmed that, as a mark of respect, the state flag would be flown at half-mast on Thursday, and all entertainment activities would be paused for the day. The public will have the opportunity to pay their respects to Ratan Tata at the National Centre for the Performing Arts (NCPA) in south Mumbai, where his body will lie in state from 10 am to 3:30 pm. Tata’s final rites are scheduled to be performed later on Thursday in Worli. Meanwhile, Maharashtra Chief Minister Eknath Shinde announced late Wednesday night that Ratan Tata will be accorded a state funeral. In a post on X, CM Shinde described Tata as a “unique blend of morality and entrepreneurship” and hailed him as a living legend who successfully led the Tata Group, a conglomerate with a 150-year legacy. “Ratan ji Tata’s mortal remains will be accorded a state funeral,” Shinde said as per a PTI report. Praising Tata’s legacy, Shinde said that the industrialist will remain a source of inspiration for future generations of entrepreneurs. He also recalled Tata’s unwavering strength during the 26/11 terror attacks, when the Tata Group’s Taj Hotel in Colaba was one of the primary targets of the 2008 tragedy. “His resoluteness during the 26/11 terror attack will always be remembered,” the Chief Minister added. Tata, born on 28 December 1937 in Mumbai, was the driving force behind the growth of the Tata Group from 1991 until his retirement in 2012.  The <keyword id="123235" type="COMPANY" weightage="100" keywordseo="Charitable-Trust">charitable trust</keyword> owns 66% of <keyword id="46894" type="PERSON" weightage="100" keywordseo="Tata-Sons">Tata Sons</keyword>, which is the holding entity of all companies controlled by the conglomerate that deals in a variety of interests, ranging from salt, cars, technology and steel.

It is because of you that we can derive and obtain the opportunity and the privilege to serve our community and through that, our nation," Tata wrote in a letter on the occasion of the 178th birth anniversary of Tata Trusts founder Jamsetji Nusserwanji Tata. It’s also the 125th year of the philanthropic organization. 
 
It was in 1892 that Tata Trusts was set up, in the form of the JN Tata Endowment, followed by Sir Ratan Tata trust in 1919, Sir Dorabji Tata Trust in 1932, the JRD Tata Trust in 1944, the Navajbai Ratan Tata Trust Jamsetji Tata Trust in 1974 and lastly, the Tata Education and Development Trust in 2008. 
 
The trust deals in healthcare, water, rural upliftment, energy, education, relief, rehabilitation and individual grants, and boasts of the creation of institutes such as the Indian Institute of Science, Tata Memorial Hospital, Tata Institute of Social Sciences and the National Centre for the Performing Arts, all reputed names in their respective fields. 
 However, only recently it was in the news because of former Tata Sons chairman <keyword id="6356895" type="PERSON" weightage="20" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> <a href="http://www.businessinsider.in/war-intensifies-cyrus-mistry-is-going-to-challenge-chandrasekarans-appointment-as-tata-sons-chairman/articleshow/56642005.cms">questioning its governance structure</a> and ambit of power. It was October 24, 2016 that Mystry was <a href="http://www.businessinsider.in/cyrus-mistry-removed-as-tata-sons-director/articleshow/57003221.cms">ousted from his post</a>, which led to the feud. 
 
Four months later, on February 21 2017, <a href="http://www.businessinsider.in/this-is-how-new-chairman-chandrasekaran-is-going-to-enhance-operational-expertise-at-tata/articleshow/57307123.cms">N. Chandrasekaran had earlier served as the <a href="http://www.businessinsider.in/chandrasekaran-moving-out-of-tcs-may-be-alarming-for-most-profitable-it-company/articleshow/56564074.cms">CEO of TCS</a>. 
 
Chandrasekaran also wrote a letter of encouragement to his employees, saying that higher shareholder value and business performance can be achieved if the conglomerate focuses relentlessly on customers and use innovation to reinvent its businesses.

Ratan Tata calls Tata employees inheritors and custodians of Tata Trusts

New Delhi, Jan 3 () Ratan Tata on Friday filed a petition in the Supreme Court seeking to quash a company law appellate court order directing Tata Sons to rehire the chairman it had fired in 2016, saying the judgment was "wrong, erroneous and contrary to the record of the case".
His petition is separate from the one filed by Tata Sons Ltd, the holding company of the USD 110 billion salt-to-software conglomerate, in the Supreme Court on Thursday that sought a stay on the National Company Law Appellate Tribunal's December 18, 2019 order to reinstate Cyrus Mistry as the chairman.
Ratan Tata, who is chairman emeritus and a shareholder of Tata Sons, in the petition said the NCLAT judgment was wrong as it treats Tata Sons as a two-group company.
Mistry, he contended, was made the Executive Chairman of Tata Sons in a purely professional capacity and not as a representative of the Shapoorji Pallonji Group, which holds 18.4 per cent in Tata Sons.
Tata Trusts, of whom Ratan Tata had been a chairman for many years, holds 65.89 per cent of Tata Sons.
The petition said the NCLAT order wrongly suggests that "someone from the SP Group had been a director because of some entrenched right or convention".
"This is untrue and contrary to the records and the articles of association of Tata Sons, which are undisputed and binding on the shareholders including the SP Group," he contended.
He said Mistry's leadership "was lacking" in "his reluctance to timely and meaningfully disassociate himself from his family business after he became the Chairman of Tata Sons and address any conflict in this regard, which was a condition precedent to his appointment as Chairman of Tata Sons".
Mistry, he alleged, "concentrated power and authority in his own hands" and "board members were being alienated on matters relating to Tata Operating Companies where Tata Sons had huge financial exposure and the Board of Tata Sons had to contend with such decisions being cast upon it as fait accompli".
The chairman emeritus targeted Mistry for the handling of the failed partnership with Japan's DoCoMo saying it showed his "complete obstinacy" as he attempted to resist complying with the legal obligations further. "This is not what the Tata Sons brand stands for. Quite to the contrary, honouring its commitments is one of Tata Sons' highest virtues it takes great pride in. Spat with DoCoMo brought ill-repute and reputational losses to Tata Sons."
Ratan Tata said the NCLAT reached a judgment based on "a contrived and self-serving reading of certain correspondence from which it derives erroneous findings which kaleidoscopically portray the larger theme of the judgment on purported oppression and prejudice to the Shapoorji Pallonji Group (SP Group)".
"The Impugned Judgment is also infirm because it blatantly indulges in propagating a selective narrative where relevant facts and records have been glossed over," he said. "The pretense of reasoning and judicial approach is betrayed by omission to consider the record itself."
He said there are no 550 mails between him and Cyrus Mistry as mentioned in the NCLAT judgment. "These mails were between Chairman Emeritus and Chairman Cyrus Mistry and not by entities in Court."
"The whole case of oppression and prejudice is based entirely on words and statements contained in correspondence without there being an iota of evidence to buttress any actual loss/injury being caused to Tata Sons as a result of Cyrus Mistry being forced to act on such interference/interdiction against his wishes," the petition said.
It went on to state that it was "very unfortunate and distressing" that the NCLAT judgment without providing any proper evidence has passed adverse remarks against Ratan Tata who has spent more than half of his life in building the name of the Tata Sons and other Tata operating companies to one of the top global companies.
The judgment creates a wrong legal precedent that is vulnerable to being misused against several companies, including the public sector and government companies, it said. KRH ANZ BAL

Ratan Tata moves SC against NCLAT order reinstating Mistry as Tata Sons chairman

<keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword>, the ousted chairman of <keyword id="46894" type="PERSON" weightage="100" keywordseo="Tata-Sons">Tata Sons</keyword>, has denied filing four caveats against <keyword id="6360722" type="PERSON" weightage="100" keywordseo="ratan-tata">Ratan Tata</keyword> and <keyword id="290482" type="ORGANIZATION" weightage="100" keywordseo="Dorabji-Tata-Trust">Dorabji Tata Trust</keyword> at the National Company Law Tribunal, according to TV reports. 
 
The denial comes after Tata Sons filed caveats in all courts including the National Company Law Tribunal. 
 
A caveat is filed in courts as a preventive to ensure that courts do not issue any ex-parte orders, and should not hear any matter without allowing the other side to appear. 
 
"There is a risk of a closed-door appeal," said a Delhi High Court lawyer. Mistry could have asked courts to stay further appointment of directors or changes in management, which now the court cannot approve without listening to Tata's arguments.

Three of the caveats filed by Mistry were against Ratan Tata, Tata Sons, Sir Dorabji Trusts. The remaining one caveat was filed by Cyrus Investments Pvt Ltd against Ratan Tata and Tata Sons.

<a href="http://www.businessinsider.in/topic/ratan-tata">Ratan Tata</a> has in the recent past invested in several <a href="http://www.businessinsider.in/shout-out-to-entrepreneurs-ratan-tata-is-back-and-ready-to-invest-in-your-startup/articleshow/57018459.cms">local startups</a> through his personal investment vehicle RNT Associates. Now, the septuagenarian wants <keyword id="6383155" type="UNKNOWN" weightage="20" keywordseo="Tata-Trusts">Tata Trusts</keyword>, a group of charitable institutions that own 66% of <a href="http://www.businessinsider.in/breaking-news-n-chandrasekaran-is-the-new-tata-sons-chairman/articleshow/56500469.cms">Tata Sons</a>, to invest in <keyword id="910850" type="COMPANY" weightage="20" keywordseo="social-enterprises">social enterprises</keyword>. As of now, these enterprises can only get grants from Tata Trusts. 
 
For this, a three-tier structure is being set up, which would fund socially relevant businesses before they receive support from Tata Sons; following this, they would catch the attention of several other investors.

"I have Mr Tata's support to set up a new fund that will straddle the middle path between philanthropy and venture capital. The fund will sit outside the Tata Trusts' architecture but will invest in socially relevant and viable businesses incubated within the trust," Manoj Kumar, head of innovation at the Tata Trusts, told ET. 
 
Tata Trusts has its innovation centres in Indian Institute of Science, Indian Institute of Technology and Massachusetts Institute of Technology, which would be used as the first layer in this structure. 
 
Socially relevant business ideas will get funds through grants that these institutions get, and the ones that will prove their worth would then get transferred to the Foundation for Innovation and Social Entrepreneurship (FISE), under Kumar's leadership. 
 
FISE will be the second layer of the structure. 
 
The third layer would then be a fund for enterprises with maximum potential for social change.

<a href="http://www.businessinsider.in/topic/Tata-Trusts">Tata Trusts</a> have been granting funds to educational institutions, and to individuals and non-profit organisations involved in socially useful work. Reputed cancer treatment facilities, viz. <a href="http://www.businessinsider.in/What-a-breakthrough-Tata-Memorial-docs-find-a-new-way-to-increase-lifespan-of-oral-cancer-patients/articleshow/47525007.cms">Tata Memorial Hospital</a> (Mumbai) and the Tata Medical Centre (Kolkata) have been running by the support of Tata Trusts. 
 
In last FY, the trusts collectively spent about Rs 800 crore in the form of grants, out of which more than two-third amount was spent on health, education, natural resource management and livelihood.

Tatas might start funding social enterprises

<keyword id="6360722" type="PERSON" weightage="100" keywordseo="ratan-tata">Ratan Tata</keyword>, the chairman emeritus of the Tata Group has some great things to say about Uttar Pradesh and its government. In an interaction with the media on Monday in Lucknow, Tata stated that he was "losing his heart to this state". 
 
The businessman cum philanthropist was in the state capital to witness the signing of what has been a long-term understanding between the UP government and Tata Trusts for combined philanthropic efforts in the areas of nutrition, primary education and agriculture. 
 
Tata has promised to offer unconditional help to build Uttar Pradesh into a new city. "If there's anything we can do together to help you build this state, I will dedicate whatever time, effort or energies, personally, that it will take of me. I admire the fact you are doing great things. And I think you should consider that I am a friend of you, and your state," he was quoted saying. 
 
Thrashing the usual conceptions about the state, Tata stated that UP is often "misunderstood and underplayed", and that it will "take its place in the country and lead the way, in many ways". 
 The multi-dimensional MoU was signed by UP chief secretary Alok Ranjan, and the CEO of Tata Trusts, R Venkatraman. The signing saw some august company in the form of state CM <keyword id="6355031" type="PERSON" weightage="100" keywordseo="Akhilesh-Yadav">Akhilesh Yadav</keyword> and Ratan Tata himself. 
 
As per Venkatraman, Tata Trusts will be primarily supporting UP on four programmes, namely anaemia control interventions, strengthening maternal and child health, children's education through infusion of technology and life skills training, and solar energy. 
 
CM Akhilesh Yadav stated that he was grateful for Tata's visit to the state, and promised to help Tata Trusts in every way possible. "We, in the government of UP, ask for nothing but your presence in UP. That, itself, should galvanise us, and bring about winds of change in UP," Akhilesh added. 
 
As per the MoU, Tata Trusts will be extending its support to the UP government in running poverty alleviation programmes, for employment generation, and in increasing income and infrastructure development for its citizens. 
 
All work would be monitored and overseen by a joint state-level steering committee that would comprise of representatives of both the state government and the Tata Trusts.
