DHFL’s creditors will recover 46% of their pending dues via the resolution process, the company said in a statement. The amount of ₹34,250 crore ($4.61 billion) paid by Piramal will be through a combination of cash and non-convertible debentures and an amount of around ₹3,800 crore will be paid to the creditors from the cash balance available with DHFL. Analysts say this is one of the biggest resolutions till date to financial institutions after the <a href="https://www.business-standard.com/about/what-is-il-fs-crisis">IL&amp;FS crisis</a>. About 19 Indian banks have exposure to the crisis-hit housing finance firm including most of the public sector banks. DHFL, a non-banking financial company, primarily gives loans to home buyers in India’s tier 2 and tier 3 cities. After the IL&amp;FS crisis emerged, in September 2018, DHFL’s stock got hammered, by as much as 60%. Then, in January 2019, <a href="https://economictimes.indiatimes.com/markets/stocks/news/dhfl-plunges-after-cobrapost-expose-on-dubious-loans/articleshow/67749239.cms">Cobrapost </a>claimed that the company’s promoters were involved in a ₹31,000 crore scam siphoning off money. <div type="javascript" title="Custom" contenttype="Image"><cdata><![CDATA[ ]]></cdata></div> On June 4, 2019, the company failed to pay about ₹900 crore worth of interest, prompting ratings agencies to downgrade all of its commercial papers. Adding to the woes, allegations of dubious financial transactions continued to emerge against Kapil Wadhawan (the then chairman and managing director) and Dheeraj Wadhawan (then a non-executive director). In October last year, the enforcement directorate (ED) even conducted raids at several DHFL offices and promoter residences. Putting an end to the fiasco, on November 29, 2019, the Reserve Bank of India (RBI) initiated insolvency proceedings against DHFL. To the company’s rescue, in January, 2021, billionaire Ajay Piramal's Piramal Group emerged as the preferred bidder for debt-laden mortgage lender DHFL. After two years of the crisis, many banks who had lent money to the housing firm will receive part of their loans along with a lesson learnt. India’s 20 state owned banks get about $5 billion back from a loan written off and they are thrilled

(Eds: Adding details) New Delhi, Jun 27 () The US-based global investment firm Carlyle Group Inc will buy 20 per cent stake in Piramal Pharma for around USD 490 million (over Rs 3,700 crore), a statement said on Saturday. The capital raise will accelerate Piramal Pharma's organic and inorganic growth plans, the Ajay Piramal-led Piramal Enterprises and Carlyle Group said in the joint statement. "... CA Clover Intermediate II Investments, an affiliated entity of CAP V Mauritius Ltd, an investment fund managed and advised by affiliated entities of The Carlyle Group Inc has agreed to invest fresh equity capital for a 20 per cent stake in Piramal Pharma Ltd...," it said. The transaction values the pharma business at an enterprise value (EV) of USD 2.775 billion (over Rs 20,980 crore), with an upside component of up to USD 360 million (over Rs 2,720 crore) depending on the company's FY21 performance, the statement said. "Based on the EV (excluding the upside component), exchange rate and pharma net debt as on March 31, 2020, the estimated equity capital investment for Carlyle's 20 per cent stake in Piramal Pharma would amount to USD 490 million (over Rs 3,700 crore)," it added. The final amount of equity investment will depend on the net debt, exchange rate and performance against the pre-agreed conditions at the time of closing of the deal. The transaction is expected to close in 2020, it added. "This is an affirmation of the strength of our ability to build new, attractive and scalable businesses with a significant runway for continued organic growth and opportunities for consolidation," Piramal Enterprises Chairman Ajay Piramal said. This infusion of funds "will further strengthen our balance sheet and provide us with a war chest for the next phase of our strategy," he added. Asked about the stake Piramal Enterprises will hold in the company post the transaction, Ajay Piramal told it will have 80 per cent stake. On whether Piramal Enterprises Ltd (PEL) will list Piramal Pharma going forward, he said: "We have publicly stated in the past, that in the medium term we will separate the two PEL businesses. This is a step closer towards that endeavour." PEL has two businesses -- pharma and financial services. Piramal Enterprises Executive Director Nandini Piramal said, "This fresh growth investment into our pharma business will be used as growth capital for the pharma businesses to expand capacity across our sites as well as to tap attractive acquisition opportunities within and outside India." Sachin Bansal could soon acquire Essel Group’s mutual fund

By K J Bennychan Mumbai, Feb 17 () Adani Group, KKR, Bain Capital, Kotak Mahindra Bank and Piramal Enterprises are among the more than two dozen entities that have put in bids for crippled DHFL, the first financial services player undergoing insolvency process, according to two sources.The sources told that out of the interested entities, at least 14 are keen to take over the whole operations of the mortgage lender. In November, the Reserve Bank referred DHFL, the third largest pure-play mortgage lender, to the National Company Law Tribunal (NCLT) for insolvency proceedings.Prior to that, the company's board was superseded and R Subramaniakumar was appointed as the administrator. You might have never heard the name of <keyword id="3015094" type="PERSON" weightage="100" keywordseo="Rajat-Sethi">Rajat Sethi</keyword>, but several <keyword id="65833" type="COMPANY" weightage="100" keywordseo="MAs">M&amp;As</keyword> that have happened in India in the recent past have been a result of Sethi’s hardwork.

About a decade ago, Sethi helped a telecom giant in negotiating the terms and conditions of its $11-billion exit from India, a complicated transaction that not only involved Indian shareholders but also had overseas investment limits, future promises of exits, lock-ins related to performance, and various regulatory issues. 
 However, <keyword id="166105" type="COMPANY" weightage="100" keywordseo="Hutch">Hutch</keyword> did exit successfully from India after <a href="http://www.businessinsider.in/small-business/tech/softbank-may-pick-up-minority-stake-in-vodafone-india-heres-the-latest-development/articleshow/57306703.cms">Vodafone </a>acquired a 67% stake in it, and Sethi was the person to be credited. 
 
Ever since, Sethi has helped Vodafone a) make acquisitions so that it can expand its network in India, b) create <a href="http://www.businessinsider.in/small-business/tech/Telecom-towers-in-India-are-getting-a-make-over/articleshow/55691591.cms">Indus tower</a>, the tower partnership Indus with two of its biggest rivals <a href="http://www.businessinsider.in/small-business/companies/bharti-airtel-has-sold-10-of-its-stake-in-bharti-infratel-to-kkr-and-cppib/articleshow/57872873.cms">Bharti Airtel</a> and Idea Cellular, and c) transfer shares from Indian joint venture partners Essar, the Piramal Group and individuals like Analjit Singh and Asim Ghosh.

When the time came for the merger between Vodafone and Idea Cellular, which would result in <a href="http://www.businessinsider.in/idea-to-merge-with-vodafone-india-time-to-say-hello-to-indias-biggest-telco/articleshow/57728557.cms">India's biggest phone company</a>, Sethi was the man to be remembered for being the legal advisor. 
 
Sethi, co-founder of S&amp;R Associates (2005) along with Sandeep Bhagat, is known to be calm, methodical and thorough, who usually is the first person to come to the office and the last to leave. 
 
"He is quiet, only speaks when it's needed but that is why when he speaks his words have gravitas," Deep Kalra, Makemytrip CEO told <a href="http://economictimes.indiatimes.com/news/company/corporate-trends/meet-the-calm-methodical-deal-maker-rajat-sethi-the-legal-brain-behind-some-of-indias-big-ma/articleshow/58159499.cms">ET</a>. Sethi had helped the travel portal in its merger with rival <a href="http://www.businessinsider.in/thelife/destinations/Goibibo-enables-guest-houses-to-collect-digital-payments/articleshow/55687264.cms">GoIbibo </a>last year, a deal worth around $2-billion.

 In the telecom space, Sethi has navigated the $1-billion investment by Qatar's sovereign wealth fund in market leader <keyword id="6354287" type="CITY" weightage="100" keywordseo="Bharti-Airtel">Bharti Airtel</keyword> in 2013. 
 
It was in 1999 that Sethi had met Bhagat at the law firm Pathak and Associates, after Bhagat had returned with a degree from Cornell Law School, while Sethi had just moved to corporate law from litigation. 
 
It was their idea to make it big that had them pursuing limited work, and the confidence in their work because of which they priced themselves on par with market leaders, promising quality and personal attention. 
 
Who knew then, that these two form a partnership that would help sealing the deals between some of world’s biggest and widely known companies.
