The agreements follow the conclusion of an exclusive negotiation period during which ZEEL and SPNI conducted mutual due diligence. After closing, the new combined company will be publicly listed in India. The closing of the transaction is subject to certain customary closing conditions, including regulatory, shareholder, and third-party approvals. Under the terms of the definitive agreements, SPNI will have cash balance of USD $1.5 Bn (assuming an INR:USD exchange rate of 75:1) at closing, including through infusion by the current shareholders of SPNI and the promoters (founders) of ZEEL, to enable the combined company to drive sharper content creation across platforms, strengthen its footprint in the rapidly evolving digital ecosystem, bid for media rights in the fast-growing sports landscape and pursue other growth opportunities. SPNI is an indirect subsidiary of Sony Pictures Entertainment Inc. (SPE). Under the transactions contemplated by a non-compete agreement, SPE, through a subsidiary, will pay a non-compete fee to certain promoters (founders) of ZEEL, which will be used by such promoters (founders) to infuse primary equity capital into SPNI, entitling the promoters (founders) of ZEEL to acquire shares of SPNI, which would eventually equal approximately 2.11% of the shares of the combined company on a post-closing basis. After the closing, SPE will indirectly hold a majority 50.86% of the combined company, the promoters (founders) of ZEEL will hold 3.99%, and the other ZEEL shareholders will hold a 45.15% stake. Punit Goenka will lead the combined company as its Managing Director &amp; CEO. The majority of the board of directors of the combined company will be nominated by the Sony Group and will include the current SPNI Managing Director and CEO, NP Singh. The seamless blend of rich expertise in content creation, deep consumer insights and success across entertainment genres is expected to drive the combined company’s ability to accrue higher shareholder value. As part of the definitive agreements, the promoters (founders) of ZEEL have agreed to limit the equity that they may own in the combined company to 20% of its outstanding shares. When one talks about creating impact there is no better example than the bold bet on the IPL. This was uncharted territory in 2007 when cricket leagues were unheard of. I am also gratified that SPN has always observed fiscal discipline. This has been a key reason for our success in a highly competitive space. We have invested where we expected a strong strategic and economic value and exited from properties which appeared unviable over the longer term. We acquired TEN Sports to further strengthen our place in sports entertainment and that too worked well for us. Another acquisition that has worked really well is Sony Aath. The new channel had to come up with a unique proposition in a cluttered category, and it did so through homegrown content; again, a category first. Our foray into the regional language space with the recent launch of Sony Marathi shows great promise. We have had a fair share of challenges but have always taken them head-on. Through rigorous focus, our flagship channel SET has been turned around and now, is a torchbearer for relevant, progressive content. Presently, our footprint pervades the categories and genres of English, regional and factual entertainment besides Hindi entertainment, sports and movies. Societal reflections have been delicately portrayed in our movies; be it the story of a legendary mathematician (Shakuntala) or an inspirational hockey star (Soorma) or the fun side of arranged marriages (Mubarakan) and father-daughter relationships (Piku).Truly, film productions under our banner have left lasting impressions. We realised early on that digital needed to be the cornerstone of our strategy. In 2013, SPN became the first broadcaster in the country to launch an OTT platform. For all practical purposes, SonyLIV was like a start-up in an established organization and this came with its own set of challenges. But today, SonyLIV in its refreshed avatar, with its emphasis on premium original web series, live sports, global content, movies in multiple languages and popular entertainment content from our linear business, is among the most watched OTT platforms in India. I am very confident of its bright future. Mumbai, Mar 25 () With people staying at home during the 21-day lockdown called by Prime Minister Narendra Modi, the streaming services in India have decided to temporarily suspend HD and ultra-HD services to ensure smooth running of internet services.The lockdown, a measure taken to contain the spread of the coronavirus in the country, will lead to more traffic on the cellular network infrastructure, a release from the digital industry said post the meeting of key players."It was unanimously agreed that as an exceptional measure, all companies will immediately adopt measures, including temporarily defaulting HD and ultra-HD streaming to SD content or offering only SD content, at bitrates no higher than 480p on cellular networks. These voluntary measures will be in effect until April 14. Lockdown: Streaming platforms suspend HD, ultra-HD services until April 14

The biopic is titled 'Main Rahoon Ya Na Rahoon, Yeh Desh Rehna Chahiye - ATAL'. The film is an adaptation of the book 'The Untold Vajpayee: Politician and Paradox' by renowned author Ullekh N.P. Talking about the film, Vinod said, "I have been a great fan of Atalji all my life. A born leader, a statesman par excellence, a visionary. Shri Atal Bihari Vajpayee ji was all the above. His contribution to our nation-building is unparalleled, and it is our great honour that Bhanushali Studios Ltd is bringing his legacy to the silver screen." Adding to that Sandeep Singh shared, "Being a filmmaker, I feel that cinema is the best medium to communicate such untold stories, that will unveil not only his political ideologies, but his humane and poetic aspects, that made him the most loved leader of the opposition as well as India's most progressive Prime Minister." Mumbai, Apr 5 () Megastar Amitabh Bachchan has pledged monthly ration to support 1,00,000 households of daily wage workers belonging to the All India Film Employees Confederation amid the coronavirus pandemic.The initiative will be supported by Sony Pictures Networks India and Kalyan Jewellers. "Given the unprecedented nature of the situation we are in, an initiative undertaken by Mr Bachchan, 'WE ARE ONE' has been supported by Sony Pictures Networks India and Kalyan Jewellers, through which the monthly ration of 1,00,000 households across the country will be funded," a statement released by Sony Pictures Networks on Sunday read."Through a commercial tie-up with a leading chain of hypermarkets and grocery stores in India, digitally barcoded coupons have been distributed to a verified list of workers from the All India Film Employees Confederation. Furthermore, monetary help has also been extended to those in need," it added.However, there was no information till when these daily wage workers will receive monthly ration from the donators. NP Singh, managing director and CEO, Sony Pictures Networks India, said as part of its CSR outreach, SPN took the initiative of working alongside Bachchan to support the households of daily wage earners of the Indian film and television industry. Bachchan, 77, has been hosting the reality game show "Kaun Banega Crorepati" for Sony since 2010."SPN's support will ensure that at least 50,000 workers and their families have their home supplies for a month," he added.Along with this, Bachchan will also feature in a short film "Family", which has been conceptualised and virtually directed by Prasoon Pandey."Family", which talks about the importance of staying at home, maintaining hygiene and social distancing, also features Rajinikanth, Ranbir Kapoor, Priyanka Chopra Jonas, Alia Bhatt, Chiranjeevi, Mohanlal, Mammootty, Sonali Kulkarni, Shiv Raj Kumar, Prosenjit Chatterjee, and Diljit Dosanjh.The short film will telecast across Sony Network on April 6."Family" aims to capture the resilience of human spirit amid tough times, Singh added.
