A special court here on Thursday discharged all accused in the <keyword id="671656" type="UNKNOWN" weightage="100" keywordseo="Aircel-Maxis">Aircel-Maxis</keyword> case, including former Communications Minister <keyword id="44007" type="PERSON" weightage="20" keywordseo="Dayanidhi-Maran">Dayanidhi Maran</keyword>. 
 
The Central Bureau of Investigation had alleged Dayanidhi Maran, as Minister in the UPA-I government used his influence to help Malaysian businessman T.A. Ananda Krishnan buy Aircel by coercing its owner Sivasankaran to part with his stake. 
 Along with Maran, his brother and businessman Kalanithi Maran, Chennai-based firm Sun Direct TV, Krishnan, his aide Augustus Ralph Marshall, and the two accused firms -- <keyword id="658107" type="ORGANIZATION" weightage="20" keywordseo="Maxis-Communications-Berhad">Maxis Communications Berhad</keyword> and Astro All Asia Networks, both of Malaysia, were charged in the case.

<keyword id="46907" type="CITY" weightage="100" keywordseo="Reliance-communications">Reliance Communications</keyword> is in negotiations with <a href="http://www.businessinsider.in/searchresult.cms?query=Aircel+">Aircel </a>for a potential merger of <keyword id="192625" type="CITY" weightage="100" keywordseo="Wireless-Business">wireless business</keyword>. 
 The company said it is in talks with shareholders of <keyword id="6360249" type="COMPANY" weightage="100" keywordseo="Aircel">Aircel</keyword> - Malaysia's <keyword id="127022" type="COMPANY" weightage="100" keywordseo="Maxis-Communications">Maxis Communications</keyword> and Sindya Securities and Investments Private Limited. 
 
A statement by <a href="http://www.businessinsider.in/searchresult.cms?query=Reliance+Communications">Reliance Communication</a> said that the objective of a potential merger would be "to mutually derive the expected substantial benefits of in-country consolidation, including opex and capex synergies and revenue enhancement," . 
 It also said the current talks would exclude RCom's <keyword id="382597" type="UNKNOWN" weightage="100" keywordseo="telecom-towers">telecom towers</keyword> and <a href="http://www.businessinsider.in/searchresult.cms?query=optic+fibre">optic fibre</a>. 
 
Discussions with RCom are currently non-binding and a transaction would be subject to due diligence, definitive documentation and regulatory, shareholders' and other third party approvals, the note further said.

Reliance Communications, Aircel likely to merge wireless business

The ground for a greater telecom platform is settling up in India as <a href="http://www.businessinsider.in/searchresult.cms?query=Reliance+Communication">Reliance Communication</a> (<keyword id="6368075" type="CITY" weightage="20" keywordseo="RCom">RCom</keyword>), <keyword id="6360249" type="COMPANY" weightage="20" keywordseo="Aircel">Aircel</keyword> and <keyword id="6368074" type="COMPANY" weightage="20" keywordseo="Sistema">Sistema</keyword> (MTS) are planning for a three-way merger. 
 
As reported by The Economic Times, talks have already begun between the three companies. Under the first phase of the proposed pact, MTS could be merged into RCom through share-swap arrangement. The second phase will involve Aircel. 
 
The first phase of the deal is in the advanced stage of conversations while the second phase is at a preliminary stage, the business daily revealed. 
 
As per an official, Maxis-owned company and RCom are planning to sell assets to reduce their debts. The official, however, was referring to RCom's move to sell stakes in its tower and overseas businesses, besides monetising its land holdings to trim its over Rs 38,000-crore debt. 
 
Aircel is also in conversation to sell its 4G airwaves to market leader <a href="http://www.businessinsider.in/searchresult.cms?query=Bharti+Airtel">Bharti Airtel</a>, and use the same money to reduce its debt of Rs 20,000 crore. 
 
However, no official statement has yet been issued by either of the companies. 
 
Officials aware of the matter also informed ET that RCom and Aircel were exploring sharing and trading pacts for the five circles, wherein the former didn't win back 900 Mhz airwaves during the auctions that took place recently. 
 Industry experts also say that if the three-way merger worked out, it’ll result in Aircel's owner <keyword id="106826" type="COMPANY" weightage="20" keywordseo="Maxis">Maxis</keyword> becoming the largest shareholder with 35-40% stake. Aircel, which is 74% owned by Maxis, will also bring in its infrastructure for the deal. 
 
Bankers, aware of the development say that RCom and Aircel, both are saddled with high debts which must be resolved before the merger. 
 
According to the latest figures available, Aircel’s debt is around Rs 20,000 crore, while RCom reported a debt of nearly Rs 38,595 crore. 
 
As per the media report, none of the networks – Aircel, RCom – independently are likely to achieve high profitability. But the three-way merger will create the country's third-largest telco after Airtel and Vodafone. It will also enable the combined entity to leverage size and synergies to enhance profitability.

RCom, Aircel and Sistema in talks for a three-way merger

India’s fourth-largest phone company, in terms of customers and revenue, was born after Reliance Communications announced its merger with <keyword id="6360249" type="COMPANY" weightage="20" keywordseo="Aircel">Aircel</keyword> in a Rs 65,000 crore deal. 
 
Once the merger formalities are over, the merged entity will also get on board a third entity by diluting about 25% equity to raise around Rs 6,000 crore. 
 RCom-Aircel are planning to make Russia's <keyword id="6368074" type="COMPANY" weightage="20" keywordseo="Sistema">Sistema</keyword> a part of it, which already holds 10% in RCom. Once a third partner enters, Reliance and Aircel will dilute stakes on a proportional basis. 
 "Together with our partners, Maxis Communications Bhd (MCB), we are delighted to have taken the lead in consolidation of the Indian telecom sector," said Reliance Group Chairman <keyword id="9171" type="PERSON" weightage="20" keywordseo="Anil-Ambani">Anil Ambani</keyword>. 
 
RCom and Aircel will have equal board representation. Sources told ET Ambani and Maxis Group promoter T Ananda Krishnan will stay out of this to ensure that an independent professional team runs the company under board supervision. 
 
However, the new brand name and CEO’s name haven’t been decided as yet. 
 
“Both Aircel and RCom will dilute and eventually plan to hold around 37.5% each while Sistema can potentially own 25% in the mega alliance. The entity will also be separately listed in a few years," an executive aware of the plans told ET. 
 
ET reported RCom will transfer Rs 20,000 crore of its debt into the new combine that includes Rs 14,000 crore of long-term debt and Rs 6,000 crore of installments payable to the Department of Telecommunications (DoT) over 10 years for spectrum purchases by both RCom and Sistema. Aircel will also transfer Rs 14,000 crore of its debt to the entity. 
 
"This deal further reinforces MCB's commitment to India. Since acquiring Aircel in 2006, MCB has invested in excess of Rs 35,000 crore ($5.2 billion) into Aircel, making this one of the largest foreign investments into India, not only in the telecom industry but across all sectors," a Maxis spokesperson told ET.

Ideally, other than these two companies – which were three earlier–there were 13 others who could have been affected by the order, if they did survive. Fortunately for them and unfortunately for DoT – they did not. As much as ₹38,000 crore that the telecom department is owed can never be recovered, according to a report by Spark Capital. “Recovery is unlikely from bankrupt companies given banks are already taking a haircut on such telcos,” Nitin Soni, director of corporate at Fitch Ratings told Business Insider India. One of such is Reliance Communications which is now undergoing bankruptcy proceedings. It is the only telecom company for whom the change in definition of Adjusted Gross Revenue (ADR) is known along with penalties---at over ₹16,000 crores. However, since this order came much after it went into bankruptcy, there is no way could recover it. Aircel has been fighting a losing battle with its own debt and inability to keep up its operations. Just last year, the company became defunct and filed for bankruptcy. But the company was once the market leader in Tamil Nadu and also expanded to 6 other circles. But it was hit by a controversy over its takeover by Malaysian company Maxis Communications and was heavily investigated by the CBI. By 2012, it had started scaling down its operations owing to excessive competition among other hurdles. It had tried to merge itself with many operators including Sistema, Airtel and RCom but those deals never took off. The next in line is BPL Communications which unlike other telecom companies, died a natural death. Its held licence only for the Mumbai circle which expired in 2014. While it did consider re-applying for it and also merging itself with Airtel, that was not to be. It simply stalled operations and allowed its users to port out. DoT is getting nothing from it, as no traces of this company exists now. There are many others which have been protesting against DoT’s move to charge ADR on all the revenues of a telecom company instead of those which centric to telecom operations. Some of them are listed entities like Tata Teleservices Maharashtra, and others like Tata Teleservices which also includes Tata Docomo and Tata Indicom. But these companies have since merged with Airtel and the extent of their liability and ability to pay up is not known.

The trending Instagram hashtag #Internetbestfriends has over 320,000 posts, and dedicated accounts on the platform with thousands of followers collect videos of IBFs meeting for the first time. One recent post reveals a common type of IBF personal ad: "I'm 13, and I'm looking for some new IBFs. I'm from Arizona, I'm looking for anyone 12-16. I love to talk a lot." On Instagram, there are entire accounts devoted to posting these listings.The trend is so popular that an app called Reach has secured over<a href="https://www.crunchbase.com/organization/reach-internet-best-friends"> $5 million in funding</a> based on the idea. It's supposed to allow young people to connect to anyone looking for an IBF between the ages of 13 and 55. But most teens and tweens appear to prefer sticking with the tried-and-true method of posting their ad on TikTok or Instagram.Alexa, 12, met her Internet Best Friend, Bean, on Instagram after seeing her post that read, "I'm taking applications for an IBF, has to be 10-13-years-old, has Snapchat and has at least 100 followers."Soon after, they exchanged phone numbers and became instant best friends. Bean is also from Massachusetts and they're the same age. Their favorite topic of conversation: the famous TikToker Charli D'Amelio. "We talked for weeks, became best friends and it's almost been 6 months already," 12-year-old Alexa said. "We're planning on meeting."<h2>Friendship on-demand</h2>One of Alexa's favorite things about her Internet Best Friend is that she's almost always available online."I feel like she's so much more up for talking than my friends in real life," Alexa said. "She's always available."They primarily communicate now via Snapchat, and talk about everything from TikTok to gymnastics to friendships.Despite obvious safety concerns of meeting strangers on the internet, some parents are coming around to the idea, too. "It's a bit strange at first, but as she described it, it normalized it," said Mike, Alexa's father.He understands the benefits: his daughter is able to socialize during the pandemic while avoiding the cliques of middle school. The other is in New York, but she doesn't know anything beyond the name of the state.<h2>Some child advocates warn that the trend could be dangerous</h2>Meeting a stranger on the Internet and then meeting them in person has been <a href="https://theconversation.com/stranger-danger-in-the-online-and-real-world-79517">warned against </a>since the early days of the Internet, with dangers ranging from kidnapping to rape and even murder. Even with precautions like meeting on FaceTime first, Gail Dines, president of <a href="https://www.culturereframed.org/board/">Culture Reframed</a>, a non-profit that aims to shield children from porn on the internet and sexualized media, said the practice is still risky."Studies show that predators are using teen platforms to groom children," Dines said. If the Internet Best Friends want to meet, Lis suggests that the parents meet first and that the kids go to a public place. For now, the IBF trend is a positive one, she said. Teens are looking for total strangers to be their 'Internet Best Friends' and creating dramatic meet-up videos once they make a match

A consortium of lenders of <a href="http://www.businessinsider.in/searchresult.cms?query=SBI&amp;sortorder=effectivedate">State Bank of India </a>moved <a href="http://www.businessinsider.in/searchresult.cms?query=supreme+court&amp;sortorder=effectivedate">Supreme Court</a>, pleading to be part of proceedings of <a href="http://www.businessinsider.in/searchresult.cms?query=aircel&amp;sortorder=effectivedate">Aircel</a> case. The group has said it will be severely affected if the Apex Court barred Aircel from trading in<a href="http://www.businessinsider.in/searchresult.cms?query=2G+airwaves&amp;sortorder=effectivedate"> 2G airwaves</a>. 
 
The group said this order will impact repayment to creditors, adding it was vitally interested, as the Chennai-based carrier owed the bank and others a total of Rs 20,000 crore as of December 2016. 
 
"In the event this court passes an order directing that Aircel be restrained from earning any revenue, by using 2G spectrum licences which were granted to them in November 2006, the same would severely affect all lenders as it would result in non-payment of dues owed to lenders,” the plea, filed by SBI and 11 other banks, stated. 
 
The banks added there is no occasion for any benefit being passed on to (majority Malaysian stakeholder) Maxis or any persons as all amounts are to be deposited with SBI for benefit of lenders. 
 
“No payments by way of dividends, profits or otherwise can be made to any of the shareholders of Aircel or Maxis unless all debt servicing obligations are met,” the plea added. 
 
The lenders said Aircel’s shares are secured with them that cannot be transferred or sold by shareholders without their permission. 
 
Dues owed to local banks including SBI is Rs 12,627 crore, foreign currency debt is Rs 595 crore and that from bank guarantees and letters of credit stands at Rs 3,232 crore. Maxis Communications Berhad, which owns 74% of Aircel, has since December 2005 invested Rs 33,000 crore in the unit through equity contributions, redeemable preference shares and shareholder loans. 
 
Earlier this month, the court said it would revoke Aircel's licence if promoter T Ananda Krishnan and former executive Ralph Marshall, who ran Maxis, the parent company of Aircel at the time of the acquisition, didn't appear in an ongoing case of corruption in a lower court. 
 
The court barred the transfer or sale of Aircel's 2G airwaves to a third party in the interim. The top court had also asked the telecom department to look for an alternative service provider for Aircel's 91 million subscribers, and it could even consider auctioning the spectrum.

It was Kimora's ex-husband, Russell Simmons, who spilled the beans of the nuptials while trying to debunk rumors that his ex was dating rapper Birdman.

Many media outlets assumed the German-Brazilian Leissner was Russian after the couple, who have reportedly been dating for less than a year, were spotted <a href="http://www.dailymail.co.uk/tvshowbiz/article-2529543/Kimora-Lee-Simmons-decadent-holiday-aboard-325k-week-yacht-new-lover-Tim-Leissner-ex-husband-Russell-children.html" target="_blank">aboard a $325,000/week yacht</a> in St.Bart's over the holidays.
According to <a href="http://blogs.wsj.com/moneybeat/2013/05/03/goldman-and-malaysia-bff-from-way-back/" target="_blank">The Wall Street Journal</a>, Leissner is extremely accomplished in his own right.
Leissner rose quickly in Goldman's investment banking ranks after joining the firm in 1998. In 2002, he focused on Malaysia, a rapidly growing market where he saw little competition from other banks, a person familiar with the matter said. Tall and blonde, Leissner's appearance stood out in Malaysia but, his manner meshed well with the Malaysian mindset and he developed a strong stable of clients, a person familiar with Leissner said.
Leissner had become Goldman's main contact in Malaysia, associating with the country's top leaders. He developed a close rapport with Malaysian billionaire Ananda Krishnan in 2007 while advising him on his purchase of telecommunications company Maxis Communications Bhd, a person close to the deal said.
Kimora has yet to confirm the news herself and it is still unknown exactly when the couple tied the knot.
Russell and Kimora Simmons, who were married from 1998-2009, have two daughters together and remain on very friendly terms, often traveling together as <a href="http://www.dailymail.co.uk/tvshowbiz/article-2529543/Kimora-Lee-Simmons-decadent-holiday-aboard-325k-week-yacht-new-lover-Tim-Leissner-ex-husband-Russell-children.html" target="_blank">one big happy family</a>.
