Talks between <keyword id="6354742" type="COMPANY" weightage="100" keywordseo="Flipkart">Flipkart</keyword> and <keyword id="541988" type="COMPANY" weightage="100" keywordseo="SnapDeal">Snapdeal</keyword> have hit another hurdle as the Snapdeal board has refused a takeover offer of $800-850 million, or nearly Rs 5,500 crore. PTI quoted sources as saying Flipkart has completed the due diligence process and has made an offer of USD 800-850 million to buy Snapdeal. However, Snapdeal's board felt the amount undervalued the company. "The first offer has been rejected but talks are still on. It is an ongoing discussion," one of the sources told PTI. <keyword id="163404" type="COMPANY" weightage="20" keywordseo="Softbank">SoftBank</keyword>, the Snapdeal's largest investor, has been proactively mediating the sale for the past few months. The board also has representation from Snapdeal founders (<keyword id="219793" type="PERSON" weightage="20" keywordseo="Kunal-Bahl">Kunal Bahl</keyword> and Rohit Bansal), NVP and Kalaari Capital. The deal between Snapdeal and Flipkart, if completed, would mark the biggest acquisition in the Indian e-commerce space. Compared to a valuation of about USD 6.5 billion in February 2016, the sale to Flipkart could see Snapdeal being valued at about USD 1 billion. SoftBank has already written off over USD 1 billion on valuation of its investment in Snapdeal.

<keyword id="541988" type="COMPANY" weightage="100" keywordseo="SnapDeal">Snapdeal</keyword>’s board <keyword id="6481662" type="COMPANY" weightage="20" keywordseo="Jasper-Infotech">Jasper Infotech</keyword> has agreed to sell <keyword id="6377963" type="UNKNOWN" weightage="20" keywordseo="Freecharge">FreeCharge</keyword> to <keyword id="6355975" type="CITY" weightage="100" keywordseo="Axis-Bank">Axis Bank</keyword>, ending its hunt of two years. However, Jasper Infotech has agreed to a deal of Rs 385 crore-Rs 390 crore, which is a steep markdown as it bought FreeCharge for Rs 2,400 crore in 2015. People aware of the ongoing developments within Jasper Infotech told ET, the board of the Delhi-based company is also expected to approve the sale of its troubled online marketplace Snapdeal, to rival <keyword id="6354742" type="COMPANY" weightage="20" keywordseo="Flipkart">Flipkart</keyword>, over the course of the next 2-3 days. Flipkart made a revised offer of $950 million to Snapdeal. Snapdeal founders <keyword id="219793" type="PERSON" weightage="20" keywordseo="Kunal-Bahl">Kunal Bahl</keyword> and <keyword id="396598" type="PERSON" weightage="20" keywordseo="Rohit-Bansal">Rohit Bansal</keyword> have been arguing that they are prepared to run and operate, what has been described as a stripped-down version of the company, sources told ET. Meanwhile, FreeCharge’s sale will come as a breather for Snapdeal as it requires capital at the moment. The company is estimated to have recorded Rs 300 crore in transaction revenue on about 12 million transactions in April.

E-commerce companies <keyword id="6354742" type="COMPANY" weightage="100" keywordseo="Flipkart">Flipkart</keyword>, Amazon, <keyword id="541988" type="COMPANY" weightage="100" keywordseo="SnapDeal">Snapdeal</keyword> come together to raise objections on Goods and <keyword id="645517" type="COMPANY" weightage="20" keywordseo="services-tax">Services Tax</keyword> (<keyword id="6354679" type="ORGANIZATION" weightage="20" keywordseo="GST">GST</keyword>). At a <keyword id="6355001" type="CITY" weightage="20" keywordseo="FICCI">FICCI</keyword> conference in New Delhi on Thursday Amazon India head Amit Agarwal, Flipkart's cofounder <keyword id="225032" type="PERSON" weightage="20" keywordseo="Sachin-Bansal">Sachin Bansal</keyword> and Snapdeal's cofounder and CEO <keyword id="219793" type="PERSON" weightage="20" keywordseo="Kunal-Bahl">Kunal Bahl</keyword> joined hands to seek modifications in the draft version of the GST law. 
 
The provision that has the ecommerce giants worried has to do with tax collection at source (TCS). The proposed GST model makes these companies responsible for the collection of taxes on behalf of its sellers and merchants. With GST expected to be finalised by this month, ecommerce rivals have for the first time presented a joint front to put pressure on the government. Each ecommerce major flaunts more than a lakh of merchants on its platform and they are worried that being in charge of tax collection for these increasing number of sellers is going to increase to be time¬ consuming and cost increasing. Whether the government takes note of these objections against GST remains to be seen, however, tax experts are not convinced by the reasoning of these companies. "It is going to be difficult for the government to keep track of all these vendors and on the other hand, these ecommerce companies are strategically placed in the marketplace, so the onus falls on them. 
 
Besides, this legislature is not new and procedures are in place from the government's side, while the concept also exists from taxpayer's point of view. This should not be an issue. And, while it may increase compliance for these companies, this is a way forward to a transparent economy. These companies are at the forefront of development and it should not be difficult for them to create software for easy compliance," says Agarwal Singhania &amp; Co, Partner, Ankur Agarwal.

Amazon, Flipkart, & Snapdeal join hands to oppose GST provision

<keyword id="541988" type="COMPANY" weightage="20" keywordseo="SnapDeal">Snapdeal</keyword> CEO <keyword id="219793" type="PERSON" weightage="100" keywordseo="Kunal-Bahl">Kunal Bahl</keyword> eased concerns among employees after <keyword id="6377963" type="UNKNOWN" weightage="20" keywordseo="Freecharge">FreeCharge</keyword>’s sale deal to <keyword id="6355975" type="CITY" weightage="100" keywordseo="Axis-Bank">Axis Bank</keyword>. Bahl wrote to his employees saying the sale would provide Snapdeal the necessary boost in resources to continue its e-commerce journey. Dismissing lay-off concerns, Bahl said Axis Bank intends to not just retain all Freecharge employees but also invest significantly in the team and brand. "Every new beginning comes from some other beginning's end. Building Freecharge has been a tremendously enriching experience for us. And now, it is time for us to focus our energy and passion on continuing the Snapdeal journey. They intend to retain entire team (and build on it), invest behind the brand and leverage the world class technology platform to the fullest," Bahl said. Snapdeal sold FreeCharge at 90% discount for Rs 385 crore. Snapdeal had bought FreeCharge for Rs 2,400 crore in 2015. In another mail, <keyword id="6504504" type="PERSON" weightage="20" keywordseo="Jason-Kothari">Jason Kothari</keyword>, the current CEO of FreeCharge, sought to assure employees that the mobile wallet would continue to operate as a standalone business. "I'm thrilled to say, in the case of Axis Bank, FreeCharge will continue to operate as an entrepreneurially run standalone business, and the business will retain the 'FreeCharge' brand, technology and full team," he wrote.

Discontinuation of higher valuation notes has led to a 15-30% fall in COD orders. Sachin Bansal from Flipkart said,’ This move is forward-looking as we are moving to become data-focused as a company.' 
 
"At some point in time, it was (COD) at 70 % for us and then it came down to 50 per cent. It is now at 30 percent. While it might go up a bit, we expect the ratio to hover around the current level," Kunal Bahl commented.

Snapdeal, which had acquired<a href="http://www.businessinsider.in/The-pros-and-cons-of-e-wallets-like-Paytm-Freecharge-and-Mobikwik/articleshow/55437683.cms"> Freecharge</a> last year, said that the e-wallet has seen a tremendous increase in transactions and digital payments have made the operations processes smoother for them. 
 
"What is important is that we (in the sector) will have to <a href="http://www.businessinsider.in/In-a-first-Ola-launches-credit-for-ride-share/articleshow/55461416.cms">make digital payments more convenient, secure and rewarding for consumers," he added.</a> 
 
Following the announcement on the evening of November 8, most e-commerce companies had either limited orders or banned COD for some days. 
 
"It would take around 35 to 60 days for things to be normal. For us, tier-II and tier-III areas performed much better than metropolitans, as most of the orders from were paid in advance. Our COD percentage is actually a lot more in metropolitans," said Sanjay Sethi from Shopclues. He mentioned that in the first four days, there was a sale fall of about 15 percent but now it is normalizing. 
 
But why would these giants be so pleased with doing away with COD, which is a boon for consumers? Well, that’s because the cash received on delivery usually takes several extra days to process, therefore reflect on the books. Also, there is the huge problem of customers returning COD orders on account of dissatisfaction with the products delivered and not paying the amount, in which case it’s quite a loss for the company. 
 
COD never made much business sense but while being an innovation in this space, it was mostly a consumer winning over tactic employed by e-commerce players to increase footfalls.
