<p><div class="image-container float_right" style="width:400px"><div class="image"></div><p class="source">YouTube</p></div><keyword id="1776314" type="UNKNOWN" weightage="60" keywordseo="Chad-Dickerson">Chad Dickerson</keyword>, the CEO of <keyword id="279712" type="COMPANY" weightage="60" keywordseo="Etsy">Etsy</keyword>, just announced <a href="http://www.youtube.com/watch?v=O4GEk-NjRNo">at a PandoMonthly event</a> that he's hired a CFO for the fast-growing indie-goods marketplace.</p>
<p><keyword id="1776380" type="UNKNOWN" weightage="60" keywordseo="Kristina-Salen">Kristina Salen</keyword> is leaving <a href="http://www.linkedin.com/pub/kristina-salen/4/308/137">her position as a portfolio manager at Fidelity</a> to join the company. She's an enthusiastic Etsy shopper, having <a href="http://www.etsy.com/people/salenkr/">joined as a member in December 2008</a>.</p>
<p>Etsy <a href="http://www.businessinsider.com/etsy-just-raised-40-million-2012-5">raised $40 million last year</a>, in a deal that valued the company at <a href="http://www.businessinsider.com/etsy-valuation-688-million-2012-5">almost $700 million</a>.</p>
<p>Dickerson said that Salen's hire was not a clear sign of ambitions to go public. Instead, he expressed admiration <a href="http://www.businessinsider.com/dave-golderg-surveymonkey-interview-2013-1">for SurveyMonkey's decision</a> to do a complex financing deal that cashed out employees and early investors, much as a public offering would, while letting the company avoid the scrutiny and costs of operating as a publicly traded company.</p>
<p>Dickerson also said that were Etsy to go public or otherwise "provide liquidity" to insiders, he hoped to find a way for Etsy members—both sellers and buyers on the site—to participate.</p>

Etsy Has Hired A CFO, But CEO Uncertain About IPO

<ul class="summary-list"><li>It's a boom time for SPACs — special purpose acquisition companies that provide an easy way for <keyword id="6362513" type="UNKNOWN" weightage="60" keywordseo="startups">startups</keyword> to go public without the rigmarole of an <keyword id="6354763" type="UNKNOWN" weightage="60" keywordseo="ipo">IPO</keyword>.</li><li>Retail investors are flocking to SPACs, seeing them as a chance to get in early on the next Apple or Google; <strong>Pets.com is another distinct possibility</strong>. </li><li>The real winners are the CEOs, celebrities and athletes who get a nice payday mostly for lending their names to SPACs.</li></ul><p>A debate is raging on Wall Street and Main Street about SPACs, the financial-engineering flavor of the moment. Depending on whom you ask, these so-called blank-check companies-funds raised for the sole purpose of buying a company and taking it public-are either the <a href="https://markets.businessinsider.com/news/stocks/spac-craze-driven-speculation-frenzy-short-seller-jim-chanos-says-2020-10-1029703256">latest get-rich-quick scheme</a> for financial charlatans or the <a href="https://www.businessinsider.com/spacs-to-invest-in-strategy-3-attractive-buys-baron-funds-2020-11">greatest innovation in capital markets in years</a>.</p><p>Let's dispense with some of the drama straightaway: Both positions exaggerate. That said, precisely who is certain to make a buck here -  hint: not the benighted masses - is the ultimate tell. SPACs are a hiding-in-plain-site godsend for bankers, lawyers, capital-hungry entrepreneurs, and, critically, those privileged few who already are exceedingly well connected and can profit simply by lending their name to a project.</p><p>At the same time, <a href="https://www.businessinsider.com/spac-blank-check-companies-explained-2020-5">SPACs are neither new nor particularly innovative</a>. They've been around for years, though they've mostly been <a href="https://www.businessinsider.com/spac-investing-strategy-portfolio-manager-shares-3-prospects-evan-ratner-2021-1">consigned to a darker corner </a>of the <keyword id="25455" type="ORGANIZATION" weightage="60" keywordseo="finance">finance</keyword> industry. Still, it's still worth understanding why they are suddenly the rage - and who will get hurt when the furor inevitably dies down.</p><p>Organizers of a special purpose acquisition companies ask investors to give them money to form a publicly listed shell company. These sponsors, who typically invest a modest sum while awarding themselves 20% of the shell, then hunt down a privately held target company that would like to go public. It's an opportunity for investors to get potentially high returns in an era of ultra-low interest rates. And for the target companies, especially those who might otherwise have struggled to go public, it's a speedy route to an IPO. Virgin Galactic, Draft Kings, and, more recently, the <a href="https://www.businessinsider.com/23andme-cofounder-anne-wojcicki-interview-explains-decision-spac-ipo-2021-2">genetics firm 23andMe</a> and the dog-walking app Rover, have all agreed to be purchased by a <keyword id="1817616" type="ORGANIZATION" weightage="60" keywordseo="SPAC">SPAC</keyword>.</p><p>In short, a SPAC is like a pop-up private-equity firm but without the diversified portfolio. The SPAC makes precisely one investment and then goes away, a process known as "de-SPACing." The risk is that as more and more SPAC deals get raised, each will have fewer companies from which to choose. Last year 248 SPACs raised $83 billion, according to SPAC Research, a nifty firm in Chicago that is soaring as a sort of Bloomberg terminal for the SPAC world. Already this year <a href="https://markets.businessinsider.com/news/stocks/spac-boom-record-year-blank-check-company-kaepernick-ackman-2021-2-1030073674">there've been 134 more SPAC deals that have raised $42 billion</a>. Before last year there were fewer than 200 deals in the last seven years combined.</p><p>As the software entrepreneur Aaron Levie joked the other day on Twitter, "Little-known fact: We reach singularity once there are more SPACs than actual companies in existence." There's a healthy development at play here. In an era that concluded with the burst of the dot-com bubble in 2000, companies went public at much earlier phases in their development than they have since. Apple, Microsoft, Amazon, and others gave retail investors the opportunity to get in relatively early.</p><p>SPACs, flawed though they may be, are giving investors that chance today. Consider a deal from this week that saw Alta Crest, a SPAC overseen by veteran investment banker Ken Moelis, inject $1.1 billion into a Palo Alto, Calif., flying taxi manufacturer called Archer Aviation. United Airlines, which is investing too, announced a $1 billion order of <a href="https://www.businessinsider.com/united-airlines-orders-1-billion-in-evtol-aircraft-from-archer-2021-2">Archer's aircraft</a>, with an eye to creating a short-haul taxi service between airports. The downside: Archer doesn't intend to begin delivering its far-out planes until 2024, which is also the first year it projects having revenues. That's as early - and speculative - as it gets. </p><p>And that's the rub. Investors in SPACs are taking a flyer. (Literally, in the case of Archer.) As for who is simply going along for the ride, consider the growing number of established executives and other prominent people sitting on the boards or advising SPACs. This group stands to make hundreds of thousands of dollars without doing all that much work.</p><p>For example, a SPAC called Forest Road Acquisition associated with <a href="https://www.businessinsider.com/kevin-mayer-disney-tiktok-ceo-investor-moment-house-jared-leto-2020-10">ex-Disney bigwigs Kevin Mayer</a> and Thomas Skaggs, is buying the well-regarded fitness company Beachbody. Its advisors also include hoops star <a href="https://markets.businessinsider.com/news/stocks/shaq-mlk-disney-execs-forest-road-spac-blank-check-launch-2020-10-1029666326">Shaquille O'Neal and human rights advocate Martin Luther King III</a>. Stanford professor Fei Fei Li and Kristina Salen, chief financial officer of World Wrestling Entertainment, are on the team that's advising the SPAC started by entrepreneurs <a href="https://www.businessinsider.com/reid-hoffman-mark-pincus-launch-600-million-spac-2020-8">Reid Hoffman and Mark Pincus</a>. And Vy Global, the SPAC offshoot of a venture-capital firm, counts Facebook executives Hugo Barra and Javier Olivan as well Reddit CEO Steve Huffman as its directors. (A different Vy fund recently invested in Reddit, prompting some on the <a href="https://www.businessinsider.com/wallstreetbets-redditors-defiant-amid-gamestop-stock-crash-2021-2">Reddit board Wall Street Bets</a>to wonder if Vy's SPAC will buy the whole company.)</p><p>It's not as if these people add no value. Surely their networks alone are helpful for raising money. Some also invest alongside the SPAC founders. But all have full-time jobs, making this the latest "side hustle" for the already well off.</p><p>It's more or less obvious how all this will end. Good deals will lead to bad deals. Volume will dry up the moment interest rates climb. A few companies will go on to greatness while a great many more will vaporize when the bubble bursts.</p><p>And the financial engineers and those who serve them will move on to the next new thing.</p><p>***<br />The Wall Street Journal reported Wednesday and that the buyout of TikTok by Oracle, Walmart and others is on hold indefinitely. <a href="https://www.businessinsider.com/larry-ellison-wacky-tiktok-plan-exposes-oracle-glaring-problem-2020-11">In my first Insider column</a>, on Nov. 13, I noted that the deal made good sense for Oracle, which is struggling to build a cloud business to compete with Amazon, Microsoft, and Google. The deal was bad policy from the beginning, however, as it was a capricious diktat from a transactional president seeking "key money" for his troubles. I <a href="https://www.businessinsider.com/larry-ellison-wacky-tiktok-plan-exposes-oracle-glaring-problem-2020-11">noted at the time the deal was likely to wilt</a> in a Biden administration. SPACs are the hot new way for startups to go public - and a booming 'side hustle' for people with star status

<p><a href="http://www.businessinsider.com/etsy-hires-cfo-fidelity-kristina-salen-2013-1">Before joining Etsy</a>, Salen led <keyword id="117850" type="COMPANY" weightage="60" keywordseo="Fidelity-Investments">Fidelity Investments</keyword>' media, Internet, and telecommunications group for seven years. </p>
<p>While at Fidelity, <a href="http://pandodaily.com/2013/01/24/etsy-hires-fidelity-star-kristina-salen-as-cfo-downplays-predictions-of-ipo/">Salen led "tens of billions of dollars" worth of investments</a> in companies like Google, eBay, Amazon, Spotify, and Hubspot. </p>
<p>Salen has also held several financial and executive roles at Oppenheimer Capital, Merrill Lynch, Lazard Freres, and SBC Warburg. </p>
<p>Salen received her MBA in finance from Columbia University in 2003. She was also designated a Fulbright scholar for her work in political science and economics that same year. </p>
<p>She's also an avid Etsy user, <span>Etsy CEO <keyword id="1776314" type="UNKNOWN" weightage="60" keywordseo="Chad-Dickerson">Chad Dickerson</keyword> said a</span>t a <a href="http://pandodaily.com/2013/01/24/etsy-hires-fidelity-star-kristina-salen-as-cfo-downplays-predictions-of-ipo/">recent PandoMonthly event</a>.</p>
<p>"She buys a lot of things on Etsy," Dickerson said. "I don't think she makes and sells stuff, but maybe she has a secret account."</p>
<p>Salen will officially join the company starting in February.</p>

Meet The New CFO Of $700 Million Etsy

<p><div class="KonaFilter image-container display-table"><div><div class="image on-image"><p class="source"><span>Spencer Platt/Getty Images</span></p><p class="caption">The CEO of the online marketplace Etsy, Chad Dickerson, stands with the CFO Kristina Salen on the floor of the Nasdaq as the company becomes a public company began Thursday morning under the ticker symbol 'ETSY' on April 16, 2015 in New York City.</p></div><p></p></div></div></p><p>Etsy is finally profitable.</p><p>The crafty online marketplace <a href="http://investors.etsy.com/phoenix.zhtml?c=253952&amp;p=irol-newsArticle&amp;ID=2164531">posted its quarterly earnings on Tuesday</a>, and reported its first quarterly profit since going public in April 2015.</p><p>The market loved it: Its stock soared as much a 12% in after-hours trading.</p><p><div class="KonaFilter image-container display-table"><div><div class="image"><p class="source"><span>Google</span></p></div><p></p></div></div></p><p>Here are the key numbers:</p><ul><li>Revenues of $81.8 million (versus analyst expectations of $75.2 million, <a href="http://www.bloomberg.com/news/articles/2016-05-03/etsy-rises-after-beating-earnings-estimates-by-adding-new-users">according to Bloomberg</a>), up 39.8% year-on-year.</li><li>Active sellers jumped from 1.4 million to 1.6 million in Q1 year-on-year.</li><li>Active buyers also leapt YoY - from 20.8 million to 25 million.</li><li>Etsy turned $1.2 million in profit for the quarter, compared to a $36.6 million loss this time last year (analysts had expected another loss-making quarter).</li></ul><p>All in all, it's good news for the company. But to keep things in perspective: Its stock is currently at £9.48 in after-hours trading - well below its $16 IPO price last year.</p><p>In a statement, CEO Chad Dickerson said: "Our financial results in the first quarter were driven by our strong execution. We supported 1.6 million active sellers and 25.0 million active buyers, who together generated nearly $630 million in GMS. The second quarter is also off to an exciting start with the launch of our newest high-impact seller service, Pattern by Etsy, and a host of other products and seller tools that we believe will build long-term value for our community. We are as committed as ever to our vision of reimagining commerce and are looking forward to a productive year."</p><p>While the market has reacted positively, the reaction from analysts has been mixed. Morgan Stanley has raised its price target for Etsy stock from $8.50 to $9; likewise Wedbsh raised its target from $9 to $10.</p><p>But Roth Capital Partners takes a more pessimistic view in an analyst note, reiterating its sell rating, writing: "Despite the beat, it left FY16 sales growth guidance unchanged, leading us to believe it's either being conservative or growth will slow as the year progresses. Besides including sellers at the stock exchange and holding a craft marketplace in New York City afterwards, Etsy also chose to make 5% of its shares available to individual investors, allowing normal people, not just big banks, to get in on the action.</p><p>"Etsy is very much a community-based business," Dickerson tells Business Insider, "What we're really trying to do is build an 'Etsy economy' that's about connecting people."</p><p>Even though its first few quarters on the stock market have bruised Etsy - the stock has sunk about 53% to ~$14 per share - Dickerson doesn't let that bother him, as long as the company is keeping its eyes locked on its ultimate vision of building a more authentic, community-centric marketplace. He says he keeps his constituents in mind - Etsy's customers, shareholders, and employees - but ignores the stock price. </p><p>"Many companies that go public, their first year-or-so out of the gate is volatile, but the important thing is that we're building a long-term business," he says. "The rigor of being a public company makes us more disciplined and focused on mission."</p><p>We talked to Dickerson, who topped our 2015 <keyword id="56002" type="COMPANY" weightage="100" keywordseo="SAI">SAI</keyword> 100 list of the biggest names in New York tech, about his biggest business lessons, most important epiphanies, and why Silicon Valley isn't the only good place to build a tech company.</p><h2><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span>Etsy</span></p><p class="caption">Etsy CEO Chad Dickerson</p></div><p></p></div></div>Never fear growth</h2><p>Dickerson first learned about Etsy when a former colleague, Flickr founder Caterina Fake, called to woo him into meeting the team. He says he connected so well with Etsy's culture and mission, that he bid farewell to Silicon Valley and his job at Yahoo to become the startup's chief technology officer in 2008.</p><p>Etsy was only three years old with less than 60 employees at the time.</p><p>In 2011, the board made him CEO. While transitioning from CTO of a tiny startup to the CEO of a nearly-800-person, public company, Dickerson has had several big revelations about being a leader and growing a company.</p><p>First: You can't fear growth, or the change that comes with it.</p><p>For example, many employees bemoan the day they realize that their company has become so big that they can't remember everyone's names.</p><p>Dickerson remembers when one of Etsy's engineers first made that same complaint. But, instead of complacently accepting the issue, that person hacked together a quiz game for the company's intranet that allowed employees to practice putting names to faces. He had gamefied the problem.</p><p><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span>Etsy</span></p><p class="caption">Etsy employees performing</p></div><p></p></div></div>Since, Etsy has also developed a program called "manager mixer" that randomly pairs up employees to have lunch together (they're often surprised when they discover that Dickerson actually participates). And every year, Etsy hosts a company-wide talent show, highlighting the diversity of talent and personalities that its hundreds of employees bring to the table.</p><p>"As companies grow, people tend to focus on the negative aspects of what that means," he says. "But when you don't fear growth, but embrace it and organize around it, you can do some interesting things."</p><p>That works on the business side as well as culturally.</p><p>About <a href="http://www.businessinsider.com/etsy-to-price-its-167-million-shares-at-16-2015-4">two years ago</a>, Etsy started allowing sellers to hire additional employees and work with outside manufacturers, as long as they listed the information on their "About" page, and retained authorship and responsibility over the products made.</p><p>A firestorm erupted, because some sellers with single-person operations felt like they wouldn't be able to keep up.</p><p><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span>Etsy</span></p><p class="caption">Deluxe Screen Printing, a small factory in LA, can work with Etsy sellers through its manufacturing program</p></div><p></p></div></div>But, Dickerson argues, the manufacturing rule has allowed very successful sellers who wouldn't be able to keep up with demand if they had to work alone, stay on the site. It sounds like a scary change at first, but it allows businesses to scale. Etsy wouldn't be as inclusive, diverse, or interesting as a website if it didn't remain open to growing businesses, according to the company.</p><p>That brings us to lesson two: As a leader, you need to be incredibly resilient.</p><p>"No decision you make is ever going to make everyone happy," Dickerson says, speaking in particular about Etsy's introduction of manufacturing rules. "In the cases where you're going against conventional wisdom, you have to be prepared to take short-term criticism in the name of long-term growth and development. To do anything great, you have to be tough."</p><h2><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span>Business Insider / Jillian D'Onfro</span></p><p class="caption">Etsy's owl mascot, inside its Brooklyn office</p></div><p></p></div></div>Why New York? </h2><p>Another one of Dickerson's unconventional choices was leaving a big, West Coast company like Yahoo for a tiny, New York startup at a time when the tech scene there was pretty sleepy.</p><p>But, after his successful meeting with Etsy, Dickerson stumbled upon <a href="https://pando.com/2013/01/24/chad-dickersons-path-from-pizza-hut-to-etsy/">a Bon Jovi concert in Central Park</a>, and the magic of the city struck him. In New York you can ship code during the day and go see a Broadway show at night. Working late and need to refuel? No problem: Amazing local restaurants will still be open, not just the neighborhood Denny's. </p><p>"What New York has that no one else has is this really global perspective, and some of the most important cultural institutions in the world," he says. "You have art, culture, media, fashion, music, as well as all the ingredients for a first-class tech ecosystem. New York will never be a one-industry town, and as a tech person working in New York, that's the most exciting thing."</p><p>Today, he says, with the increase of startup investors in Manhattan and the opening of Cornell's tech campus on Roosevelt Island bringing in new engineering talent, New York City tech has a bright future. </p><p>"We have all the ingredients," he says.
