The hugely popular mixed martial arts league UFC has been sold for $4 billion

<ul class="summary-list"><li>An <keyword id="35216" type="ENTERTAINMENT" weightage="60" keywordseo="initial-public-offering">initial public offering</keyword> (<keyword id="6354763" type="UNKNOWN" weightage="60" keywordseo="ipo">IPO</keyword>) marks a private company's debut on a stock exchange and its issuance of publicly traded stock.</li><li>Companies do IPOs for the prestige of going public and the cash the new shares bring.</li><li>IPOs are often high risk, as the new shares' prices can initially soar and then drop dramatically.<a href="https://www.businessinsider.com/?hprecirc-bullet"></a></li></ul>An "IPO," short for initial public offering, is a big day in the life of a business. It's the point at which a privately owned business makes it to the major leagues of the publicly traded companies - and onto stock exchanges like the NYSE or the NASDAQ. It's also a chance for early investors to make a killing - like in September 2020, when software company <a href="https://www.businessinsider.com/snowflake-ceo-frank-slootman-comensation-explainer-2020-9" target="_blank" rel="noopener">Snowflake</a>'s price more than doubled on its opening day, breaking records as the <a href="https://markets.businessinsider.com/news/stocks/snowflake-ipo-biggest-ever-software-listing-2020-9-1029593272#" target="_blank" rel="noopener">largest-ever US software initial public offering</a>. So it's no surprise that pumped-up investors jump on IPOs. In 2019, 235 companies went public for a total of $65.4 billion, according to <a href="https://insight.factset.com/u.s.-ipos-raised-more-money-in-2019-despite-a-decline-in-ipo-volume" target="_blank" rel="noopener">FactSet</a>. The analytics firm also <a href="https://insight.factset.com/u.s.-ipo-market-spacs-drive-a-third-quarter-ipo-surge" target="_blank" rel="noopener">notes</a> that 283 companies had IPOs in the first three quarters of 2020. IPOs offer a chance to get in on the ground floor of a newly launched <a href="https://www.businessinsider.com/what-is-common-stock" target="_blank" rel="noopener">stock</a>. Here are the risks and rewards - the ABCs of IPOs - that investors need to know.<h2>How the IPO process works</h2>An IPO means that a company is transitioning from private ownership to public ownership. To wit, the process is often referred to as "going public." Going public is the dream of many a company. But a successful IPO is rooted in a "viable business model that will interest investors," says <a href="https://www2.deloitte.com/us/en/profiles/pwaas.html" target="_blank" rel="noopener">Previn Waas</a>, a partner at Deloitte &amp; Touche and the leader of its IPO Center of Excellence. When they're ready to pull the trigger, owners and initial backers of a private business will "consult with banks to underwrite the deal. Next, the banks will present their view of the company." A lot of thinking goes into the timing, including whether the current market is receptive to initial public offerings in general and that company in particular.If it looks like a go, the company and its backers will select a banking syndicate - a group of institutions that share the going-public costs - to lead the IPO, Waas adds. With their help, "the company will draft an S-1 registration," or prospectus, which can take two or three months.The S-1 is required as a way to disclose to potential investors about the company's business, financial statements, potential risks, and its plans for how the cash raised from the public offering will be used. "The SEC will review the S-1 and may send it back with questions or comments," says Waas, adding that it could go through multiple drafts until it's accepted."<h3>Building the book</h3>After the SEC gives its blessing, the new company and its backers have to price the public offering. Too low could mean missing out on a lot of capital, but pricing that's too high could choke off demand. That's where "book building" comes in - performed by an underwriter, or investment bank, in collaboration with the IPO's backers, notes Jay R. Ritter, the Joseph B. Cordell Eminent Scholar Chair at the <a href="https://warrington.ufl.edu/" target="_blank" rel="noopener">University of Florida's Warrington College of Business</a>. "The underwriter gets information about the state of demand from institutional investors, and then recommends an offer price."A date is set to go public. The day before, about 90% of shares are allocated - pre-sold, in a sense - to certain institutional investors, mainly hedge funds and mutual funds. Finally, "the stock opens for trading on Nasdaq or the NYSE the next morning. A 'designated market maker' is assigned the task of opening trading at a price that balances supply and demand," according to Ritter. And they're off. The stock starts trading. The share price can jump - as it did with Snowflake. Or it can fall, like ride-hailing pioneer Uber, which <a href="https://markets.businessinsider.com/news/stocks/uber-stock-price-2q-earnings-losses-after-earnings-report-disappoints-2019-8-1028432631" target="_blank" rel="noopener">dropped</a> more than 7% on its first trading day in 2019.<h2>Why do companies go public?</h2><ul><li>Raise capital: An IPO brings an immediate cash infusion from the stock sales for a company, its owners, and those who already owned a piece of it, like venture capitalists (who often cash out at this point). In 2020, "the average deal was $186 million," notes Joe Daniels, co-chair of law firm <a href="https://www.mccarter.com/" target="_blank" rel="noopener">McCarter &amp; English</a>'s Venture Capital &amp; Emerging Growth Companies practice. </li><li>Long-term benefits: "Stock that is listed on a major exchange may be more easily used for 'acquisition currency,'" says Daniels - meaning a public company can make an all-stock, or cash-and-stock bid for another company it wants to buy, instead of making an all-cash offer than may require heavy borrowing. A publicly traded company can do a better job of attracting and retaining talent, since "stock and options are considered much more valuable incentive compensation," he adds.</li><li>Cachet: There's prestige in going public. "A listed company may be perceived as more reliable to counterparties, lenders, and investors," Daniels says.</li></ul><h2>The drawbacks of going public</h2>Going public isn't all roses. It "does add another layer of complexity to the business," says Chris DeCresce, a partner in the law firm <a href="https://www.cov.com/" target="_blank" rel="noopener">Covington</a> whose practice focus includes securities and capital markets. "Drafting the S-1 can put a lot of stress on the CFO and the accountants. It can also distract the management team from their traditional business responsibilities for months at a time."Even after a successful IPO, "there are multiple SEC filing requirements that include annual, quarterly and other detailed reports," he adds. "Publicly held companies typically have to hire more people in their accounting and other departments, and pay more for employees who have regulatory experience."And a publicly held company can no longer operate in the shadows. The business's financial results - and by extension its top management - will be scrutinized by regulators, shareholders, portfolio managers and reporters. Actions that used to be considered in a relatively straightforward way must now be weighed against their effect on short-term issues like quarterly earnings and stock prices.Sometimes, even announcing an IPO can blow up a company. That's what happened in 2019 when coworking company WeWork publicly filed its IPO paperwork. Investors and the media put WeWork's finances and leadership under the microscope, and a series of red flags were soon raised. In September 2019, WeWork shelved its IPO.And finally, while successful firms tend to be the ones that launch, there's no guarantee the market will embrace them. According to the independent news and research firm <a href="https://www.iposcoop.com/">IPOScoop, </a> of nearly 200 IPOs tracked in 2020 through early December, 53 were down from their opening day price.Still, IPO investments overall returned a nearly 65% yield year-to-date, according to IPOScoop, compared to nearly 38% for the NASDAQ Composite Index. <h2>Investing in an IPO</h2>So there's certainly been opportunities to profit from IPOs, with a "39% average first-day pop [share-price increase]," according to a 2020 third-quarter report by <a href="https://xcssprrx.pages.infusionsoft.net/" target="_blank" rel="noopener">Renaissance Capital</a>, which provides pre-IPO institutional research, and management of IPO-focused investment products. Its Renaissance IPO Index gained 27% compared to the S&amp;P 500's 6%. But for average individual investors, it could be tough to get in on the action, says Kathleen Shelton Smith, a co-founder and principal of Renaissance Capital LLC. First, there's a question of being able to buy into an IPO - that aforementioned 90% allocation to the investment funds. "It's often very difficult for a Main Street investor to get IPO shares," she says. "Most of them go to large institutions and high-net-worth customers of big brokerages."Other challenges can include finding out about an IPO, although sometimes, a good-hearted broker will tip off their customers, even if they're not big-wheel ones. Or investors can track down upcoming IPOs by checking out the NASDAQ IPO <a href="https://www.nasdaq.com/market-activity/ipos" target="_blank" rel="noopener">Calendar</a>.Some brokerages do reserve slots for small investors. E*Trade, for example, lets customers place a "conditional offer," where an individual specifies the number of shares and the maximum price he or she is willing to pay. "However, submitting a conditional offer does not necessarily mean that you will be allocated shares; the allocation of shares depends on many factors," according to E*Trade's <a href="https://us.etrade.com/e/t/estation/pricing?id=1209044001#allocation-1" target="_blank" rel="noopener">website</a>.<a href="https://www.fidelity.com/stock-trading/faqs-ipos">Fidelity</a> also gets access to some IPOs. Fidelity also allocates some of those IPO shares to its brokerage customers. But they need a "minimum of $100,000 in certain assets at Fidelity," according to the website. And that minimum only gets investors behind the gate for IPOs underwritten by Kohlberg Kravis Roberts &amp; Co., one of Fidelity's business partners. "Other providers of traditional IPOs, and other equity public offerings made through Fidelity may be reserved for brokerage customers with a minimum of $100,000 or $500,000 in certain assets at Fidelity."<h3>Some alternate ways to buy IPOs</h3><ul><li>One way for small investors to get into an IPO is through a <a href="https://www.businessinsider.com/what-is-a-spac" target="_blank" rel="noopener">SPAC</a> (Special Purpose Acquisition Company) It's basically a new publicly traded firm with operations, no assets - other than a war chest of cash - and just one stated business plan: to eventually buy another company. The high number of shares sold in a SPAC offering makes it easier for smaller investors to get in early.</li></ul><ul><li>Another way is to buy into a pool of recently minted IPOs. For example, Renaissance Capital's U.S. and International IPO ETFs (exchange-traded funds) offer small investors a chance to diversify while getting into those newly issued securities. "Our ETFs - which are traded like stocks - represent a portfolio of recent IPOs," explains Smith. "So an investor doesn't face the risk associated with a single stock selection. The ETFs are also designed to emphasize larger companies that went IPO, which studies indicate are a slightly safer bet compared to small-company IPOs."</li></ul><h2> The financial takeaway</h2>There's always a lot of excitement around a company that goes public. So when an IPO happens, investors can quickly bid prices up, offering early investors a quick way to make some good money. Or a quick way to lose some or all of their investment, if the shares nosedive - right away, or in the following months. IPOs involve taking a chance on a company -one that has a good history and promising prospects but is an untried player in the public markets. A massive run-up in prices and an above-average price-earnings ratio have many concerned that the stock market may have gotten ahead of itself.
<div class="image-container display-table float_right"><div><div class="image">KKR</div></div></div>While the logic may be sound, the historical evidence shows that stocks can go higher and earnings multiples can expand further.
Indeed, 2013's 29.6% surge represent the 12th strongest year for stocks since 1900. And on average, the stock market has returned an average 7.6% after a 20%+ year, which compares to an average 5.1% after all years. (See exhibit 44 to the right.)
"On the multiple front, we are using just north of 16.5x to reflect our view that real rates are likely to remain positive over the remainder of this economic cycle," said McVey. "Indeed, ...investors tend to place a significantly higher multiple on stocks when real rates turn positive as they have just done. Moreover, given that we expect slightly higher GdP growth on a go-forward basis in the 2014-2016 period, we gain comfort that some additional multiple expansion may be warranted. That said, we think the 17.9x projected multiple that typically accompanies a 2-3% 5-year trailing GdP environment may be too ambitious given the sizeable risk premium associated with exiting the historic amount of Fed-driven liquidity in the system."
While McVey is bullish on U.S. stocks, he actually see greater opportunity abroad:
From a regional perspective, our view for 2014 is to have over- weight positions in Asia and in Europe, while we are equal-weighted the U.S. and Latin America in our target asset allocation. Key to our thinking is that, despite the strong increase in Japan during 2013, the stock market has actually gotten cheaper in absolute terms (i.e., EPS has increased more than prices; meanwhile, consensus annual EPS growth for 2014 is a solid 19%). We are also now more constructive on china (consensus EPS is for growth of 14%). In the euro area, we expect earnings to grow a full 21% year- over-year. by comparison, in the U.S. and Latin America, we expect earnings to grow 9% and 13-15%, respectively.

	1) Turn India into a global manufacturing hub 
	Business is NaMo’s mantra, and that is what we expect him to create in his meetings with global CEOs. We expect that Prime Minister Narendra Modi will try garnering support for his 'Make in India' campaign, which aims to turn the Indian sub-continent into a global manufacturing hub. The ambitious plan entails increasing the growth rate in the manufacturing sector to 10% per year and raising its share to 25%in the overall GDP. If the plan falls in place, it will create job opportunities for over 10 million people residing in the country. 
	 
	2) May lift FDI cap to woo overseas investors To turn 'Make in India' campaign into a grand success, India needs long-term foreign capital or foreign direct investment (FDI) in different sectors. In the last decade, gross FDI inflows into the nation have averaged less than 2% of GDP and the new government will have to up that figure considerably. However, it still remains to be seen how <keyword id="6360789" type="ORGANIZATION" weightage="20" keywordseo="Modi-Government">Modi government</keyword> would do that. Will it lift the FDI cap to woo investors? He surely can, but let’s see if he will. 
	 
	3) May try to bring clean energy in India 
	Modi might try to ensure gas supply from the US and seek aid in shale gas exploration. He might also try to bring in more investments in clean energy technology. India had recently done away with the anti-dumping duty on solar energy equipment to encourage the renewable energy sector, and now the focus is on tapping solar and wind energy. 
	 
	4) Could address taxation issues 
	The biggest task that Prime Minister Narendra Modi has at hand is to convince investors on India’s commitment to faster reforms, especially those related to labour laws, land acquisition and taxation. These taxation issues have been a sore point with global investors for long. The retrospective amendment, introduced in 2012, resulted in high-profile tax enforcement actions against global companies such as Vodafone. These episodes dented India’s appeal as an investment destination, contributing to an image of India as a country that pursues “tax terrorism”.

Bloomberg's Jesse Drucker and Zach Mider <a href="http://www.bloomberg.com/news/2014-04-28/u-s-treasury-seen-loser-in-tax-avoiding-pfizer-deal.html">report</a> that if Pfizer successfully acquires AstraZeneca, they would join "a wave of U.S. companies using mergers as ways to slash income tax bills by shifting their head office overseas -- often on paper only. 'This is basically an opportunity to go outside the U.S. and still sell in the U.S. and strip the tax base,' said H. David Rosenbloom, an attorney at Caplin &amp; Drysdale in Washington and director of the international tax program at New York University's school of law.
Energy Future Bankruptcy. The subject of the largest-ever private-equity buyout filed for creditor protection. Energy Future, once known as TXU, serves over a million customers in Texas. It could not fight through plummeting natural gas prices. Deutsche Bank Slowdown. "Deutsche is one of the least well capitalised banks among its peers and has faced pressure to raise equity amid concerns over its capital strength," the FT said. MtGox May Not Be Dead Yet. A group of American investors are hoping to preempt the Bitcoin's exchange's liquidation, and last night <a href="http://www.businessinsider.com/mtgox-may-not-be-dead-yet-2014-4#ixzz30Gzr3nx5">announced</a> they'd come to terms with two sets of class action plaintiffs on its behalf. "The company negotiated the settlement as part of its effort to take over the bankrupt exchange before a court-ordered liquidation," Sunlot's statement said. William Quigley, one of the Sunlot investors, added that,"Liquidation would have adverse consequences for Mt Gox customers and the entire Bitcoin community. Millions of dollars worth of lost bitcoins would never be recovered and most of Mt Gox's assets would go to paying bankruptcy lawyers and others involved in the process rather than customers." 
Fed Vacancy Votes. The Senate will vote on three nominees - including Stanley Fischer at vice chair - for vacant Federal Reserve board positions today.
Samsung Earnings. Earnings fell for the second-consecutive quarter but the company hit its forecast for Galaxy sales thanks to developing market demand. Operating profit fell 3.3% YOY, but sales increased 1.5%.
Case-Shiller. At 9 a.m. we get the Case-Shiller home price index for February. Expecations are for a seasonally-adjusted increase of 0.7% from January, down a bit from the prior 0.8% gain.
Consumer Confidence. At 10 a.m. we get the Conference Board's consumer confidence reading for April. Analysts forecast it will come in at 83.0 from 82.3 prior.
Earnings. Twitter, ebay, and Sprint announce earnings today. Herbalife's earnings conference call begins at 11 a.m.
Markets. U.S. futures are up. Stocks are higher around the world, led by Germany's DAX at 1.26%.

10 Things You Need To Know Before The Opening Bell

(<keyword id="6354544" type="CITY" weightage="60" keywordseo="KKR">KKR</keyword>) recently published its outlook for 2013.
"[W]e are somewhat pessimistic relative to the consensus on earnings growth in early 2013," writes <a href="http://www.kkr.com/company/insights/global-macro-trends-14">Henry McVey, KKR's Head of Global Macro &amp; Asset Allocation</a>.
"However, we are probably more optimistic than the consensus in our belief that the global economic cycle, the private sector in particular, is still on track and will recover as we head into 2014. Indeed, after a short, sharp pause in 1Q13, we actually see a notable re-acceleration of economic growth and profits in 2H13."

 "[S]tocks at current levels appear compelling for longer-term investors," writes McVey.
"We still expect a lot of volatility over the next few years as governments deleverage," writes McVey. "[B]ut we think the time to reduce equity exposure has largely passed. Trading multiples are now at the level where they can act as a buffer rather than the detriment they were for the decade following the year 2000."
KKR's base case has the S&amp;P 500 heading to 1,550 by the end of the year. Here's McVey:
Given this view, we feel comfortable stating that – under our base case – the S&amp;P 500 appreciates about 11-12% in 2013 towards 1550 from its current level of 1400. In addition to forecasting positive earnings growth this year (which we did not in 2012), we are also using a slightly higher multiple to reflect the positive impact of heavy central bank intervention on the equity risk premium. We also think that the sustainability of the recovery, which includes strength from cyclical sectors like housing, autos, and energy, may become more obvious as we move through the second half of the year. Finally, ...the quality of earnings composition is set to rise significantly in 2013 as financials become a much smaller piece of the overall mix.

KKR's Outlook For The Stock Market And The Global Economy In 2013

<div class="image-container float_right"><div class="image">Jonathan McEuen</div></div>Jodi Kantor's <a href="http://www.nytimes.com/2013/09/08/education/harvard-case-study-gender-equity.html?pagewanted=all&amp;_r=1&amp;" target="_blank">bombshell article in The New York Times</a> on <keyword id="6358360" type="CITY" weightage="60" keywordseo="gender">gender</keyword> issues at Harvard <keyword id="107736" type="ORGANIZATION" weightage="60" keywordseo="Business-school">Business School</keyword> stirred up a firestorm of discussion about the gender and class environment there. The article described the school's attempts to change a culture that often alienated women and held them back from achievement.
Interested to learn more about the experiences of students at other elite business schools, we talked to women at The University of Pennsylvania's Wharton School, Stanford University's Graduate School of Business, and New York University's Stern School of Business. While all acknowledged that gender and class divisions exist at their schools, they told us the toxic atmosphere that Kantor describes at Harvard isn't anything like what they've experienced. 
Whether they could or couldn't relate to it, one thing's for sure: Kantor's article put a glaring spotlight on gender inequality at business schools and the business world at large. According to Rachel Nayman, a recent Wharton graduate, that's a good thing.
"It's bringing these issues to light," said Nayman. "Putting it on the front page of The New York Times is amazing because we're in a really pivotal moment for women. This is a great opportunity to think about women who are high achieving - what's going to happen to them in the future and how we can shape the business school environment and future companies."
Still, the gender tension portrayed at Harvard is nothing like what Nayman has seen at Wharton. As the co-president of Wharton Women in Business, the school's major women's group, she said she was pleasantly surprised to learn that men at the school weren't resistant to talking about gender issues - at least within the confines of her group.
"Men were really open to having these conversations and oftentimes would approach us and say, 'What can we do? We really want to be involved and help out,' " Nayman said.
However, outside of groups like Nayman's and one <a href="http://www.wharton.upenn.edu/mba/academics/core.cfm">required first-year class</a> on teamwork and leadership that touches on gender, the obstacles women face in class and in the workplace are rarely discussed on campus. That could use improvement, said Nayman, who has worked and continues to work on opening up the dialogue.
Meanwhile, Stanford's Graduate School of Business (GSB) is even further removed from what's described at HBS, several students told us. Although class and gender divisions are present, students say there's a culture that works to minimize any feelings of exclusion or disadvantage. 
"Gender, wealth, and social status are issues that students at elite MBA programs will always struggle with," second-year Stanford GSB student Christine Su told Business Insider in an email exchange. "Differences in spending habits and lifestyles are unavoidable when you throw entrepreneurs who have sold companies, finance professionals, company managers, and nonprofit leaders into the same social scene."
While Kantor describes an HBS clique called "Section X" as an "on-again-off-again secret society of ultra-wealthy, mostly male, mostly international students known for decadent parties and travel," Su told Business Insider that displays of wealth and exclusionary behaviors are heavily discouraged by students at Stanford. In fact, she said that last year an annual satire show at Stanford named and skewered people who posted photos of luxury hotels from international trips. 
"I don't know of any social group as exclusive as 'Section X' - and if there were, they would probably be embarrassed to show off their activities publicly," Su said. "Our small class size means most people know each other. This means that if someone is noticeably rude or excludes a classmate, he or she will get talked about and put their entire business school network at risk."
Su, who worked at McKinsey and private equity firm Kohlberg Kravis Roberts before coming to Stanford, was warned by older students to avoid joining cliques based on wealth or background. She makes a point of hosting and attending more inclusive, low-key events, like having dinners at home versus pricey Palo Alto restaurants and organizing camping trips instead of booking rooms at lavish resorts.
"From class to class, it is unofficially passed on by MBA2s (second-year students) that exclusionary behavior is not cool," Su said.
The school also hosts a series of weekly speeches called "TALK," where students share what are often very personal narratives each week about the events and experiences that have shaped them. What's more, most women at the school participate in a Women In Management (WIM) group, where they can discuss gender issues in a confidential space along with a facilitator.

Women MBA Students React To Jodi Kantor's Bombshell Article On Gender Issues

Today, the CEOs of New York City's 200 leading companies - all members of the <a href="http://pfnyc.org/">Partnership for New York City</a> - sent an urgent letter to House Republican Leadership asking them "to quickly pass the Terrorism Risk Insurance Reauthorization Act (TRIA)."
TRIA was originally passed in 2002 in the wake of 9/11, and exists to "provide a federal backstop for insurance coverage in the event of catastrophic losses from terrorist attacks." In other words, the bill was designed to help employers and insurers to appropriately manage terrorism risk. As it stands, TRIA is set to expire in December 2014.
On July 17, the Senate passed a version of a TRIA reauthorization 93-4 in a display of overwhelming support from both sides of the aisle. The Senate's renewal bill extends TRIA for an additional seven years, and was first brought to the floor by Sen. Schumer (NY) in April. The House currently has its own version of the TRIA extension, which only proposes to extend the bill for five years. 
The Partnership for New York City's letter cites the U.S.'s "vulnerab[ility] to international terrorism" and urges the House to "act swiftly to pass a bill that maintains a program structure that has proven effective and has had no cost to the federal taxpayer." It was signed by executives from a wide array of industries including. Some of the signatories included: fashion designer Tory Burch, media mogul Barry Diller, American Express CEO Kenneth I. Chenault, Viacom Inc. President and CEO Philippe Dauman, and billionaire John Catsimatidis. 
The House is set to vote on the Senate's version of the bill in coming weeks.
